Required Pricing

Information

Based on our knowledge of the VHF inventory, its condition, rates of return, and rates of BER, we believe that the VHF Com and Nav equipment will have significant impact on aircraft availability early in the T-38 AVCI contract.

We have two alternative recommendations:

First, we recommend the VHF retrofit be part of the base contract and not an option. This would address both supportability (with a new or refurbished part) and availability (by supplying sufficient parts with improved reliability).

Second, as an alternative, we recommend the VHF Com and Nav CLIN 0004 be removed and responsibility for VHF sustainment remain in the CLS CLIN 0009.

Without well-defined options, uninformed competitors will fail to recognize the magnitude of the VHF Com and Nav risk. They may underprice the CLS CLIN 0009, the government may fail to fund the VHF Com and Nav CLIN 0004, and the fleet may experience unacceptable aircraft availability in the first years of the T-38 AVCI contract.

The Government will not change the requirements documents.

Item 1 states: A minimum 4% overall small business subcontracting requirement based on total contract value. Offerors must demonstrate ability to meet 4% or more expressed in terms of percentage of total contract value.

Given overall cost of new or refurbished equipment and associated engineering, this goal will be very difficult to achieve.

To meet the 4% overall small business subcontracting requirement based on Total Contract Value, please allow the contractor to include sub-tier small business participation in the total small business dollars.

Sub-tier small business participation can not be included. The requirement will be reduced to 3%.

Table 11-1 of the PWS and the CDRL attachments do not include SB participation and SB subcontracting reporting requirements.

Please correct.

To support accurate pricing of work scope, we respectfully request clarification of Period of Performance of the CLS PWS and whether it begins mid-2015 or 01 April 2017.

For example, when will the CLIN X009 CLS, Material Cost Per Flight Hour start? We recommend Section B CLIN Schedule be updated to reflect the start date for each CLIN.

The appropriate changes will be made to reflect the Period of Performance for the requirements.

PWS 3.7.2 requires that the contractor serve as the Current Document Change Authority (CDCA) for the documents listed in Appendix E of the PWS.

8.1.3 Courseware

Paragraph 8.1.3 identifies the GFE that will be provided to the contractor for courseware support at the courseware development site.

At the same time, paragraph 8.1.3 references paragraph 4.11 to specify the work effort which the GFE supports. However, paragraph 4.11 does not exist in the PWS. We believe that the appropriate paragraph is 8.1.1 where the effort is to be performed or paragraph 8.1.6 where the work effort the GFE is to be used for is specified.

Please correct the reference to paragraph 4.1.1

8.2.1.b Courseware SME’s 38

PWS 8.2.1.b states: “Recent experience in the T-38C ATD as a T-38C simulator instructor may be substituted for T-38C aircraft currency if the candidate has previously flown the T-38C aircraft.”

We respectfully request that PWS 8.2.1.b include the following provision: “Recent experience as an AETC T-38C SME/Courseware Developer may also be substituted for T-38C aircraft currency.”

The customer has been contacted and the requirement remains the same.

Test Equipment

Ramp Tester TCAS/MODE S Model IFF-701TI, named in Appendix D as contractor provided test equipment, requires annual calibration.

Supporting this equipment at remotes sites without a contractor presence creates added cost and complication

Please consider removing this equipment from Edwards, Holloman, and Pax River (a calibrated tester can be provided from the COMBS if required).

The Government agrees with the request. The appropriate changes will be made to the CLS PWS. However an additional requirement has been added to ensure AETC is never without a Test Set on station due to an AFMC, Navy or calibration requirement.

NOTE: The current model is the preferred equipment however a suitable substitute may be used. If a substitute is provided by the contractor, the contractor shall be required to provide the appropriate system test procedures, technical data change documents and information to ensure the references and operational checkout procedures in the current technical data is updated.

PWS 5.12 directs the contractor to “monitor the entire T-38C avionics system to ensure supportability. If DMSMS research (parts screening or monitoring) identifies an item/component that is a candidate for last-time/life-time buy, the contractor shall notify the Government of the requirement, the quantity recommended to purchase based on the estimated aircraft retirement date at the time of need, cost, date of required purchase and delivery schedule.”

The following sentence states “Additionally all components purchased shall be stored by the contractor as GFE until the end of the period of performance or until delivery is requested by the Government, whichever is sooner.”

This clearly implies that the Government will fund the purchase identified last-time / life-time buys through exercise of CLIN X0025.

Is it safe to assume that all future requirements for last-time / life-time buys will be funded by the Government through exercise of CLIN X0025?

If the Government’s intent is that CLIN X025 is only for parts needed by the Government for years beyond AvCI PoP, we recommend this be stated explicitly. We recommend specific comments to this effect be included with paragraphs CLS PWS 5.10.2 and 5.12.

At the same time, the Table 1 of the Bidder’s Library AVCI Report identifies nine parts that will require last-time / life-time buys in the foreseeable future (during the next CLS contract period of performance, if not earlier).

Considering the requirement in PWS 5.12, the role of CLIN X0025, and the fact that these parts have been identified in the AVCI Report

Yes, all last-time/life-time buys will be funded by the Government through the exercise of CLIN X025.

Language has also been clarified. The Government is only responsible for the recommended quantity from the end of the AvCI contract PoP through the estimate lifecycle at time of purchase.

CLIN X025 is only for parts needed by the Government for years beyond AvCI PoP.

The Government issued the AvCI solicitation early to ensure uninterrupted CLS support and allow offerors time to prepare for the assumption of the CLS requirement while mitigating system DMSMS issues.

as requiring a last-time / life-time buy, is it safe to assume that future purchases of these identified parts, when required, will be funded by the USG through exercise of CLIN X0025?

If not, competitors should be informed that they will be responsible for such purchases in accordance with PWS 5.10.5 “The contractor shall be responsible for the costs of investigating part availability, inter-changeability and substitutability, locating part replacement, vendor interface, engineering efforts, testing requirements, drawing changes, and all other actions associated with an ECP. The Contractor shall prevent any additional costs from being incurred by the Government due to obsolescence.”

We recommend that the Government consider modifying PWS 5.12 to clarify contractor’s obligation with respect to last-time / life-time buys and the parts identified in the AVCI report.

Although some last-time / life-time buy recommendations have been made as part of the AvCI study Offerors are cautioned to accomplish their own market/supportability research. Some LRU OEMs may have altered their position as to the long-term supportability of their product.

If the rates are utilized as specified on the contract for a proposal over $700K, then they will be exempted from the TINA certification, if they are made a matter of negotiation (at the government's discretion) either under note 6 or 9, then certified cost or pricing data will need to be provided and they will be included in the TINA certification.

What is the expected Period of Performance for each CLIN? Some CLINS (e.g. 1006 and 1007) would seem to have a firm start date of Apr 1, 2017. Others would seem to have a start date targeted at Sept 1, 2015.

Please clarify the Period of Performance for each CLIN.

Clarification will be made. CLINs 1-4 will be a fully-priced option for the Base Year and Year 2. CLINS 5-25 will be associated with the CLS PWS. The CLS PWS PoP does not start until 01 April 2017. The CLS delivery orders will be 12 months in length and run from 01 April – 31 March.

We assume that the entire price for the multi-year effort associated with CLIN X001 should be put in only the base year’s cell on the TEP worksheet and the following years would be zero.

Please confirm whether this assumption is correct.

Section M states that CLINs X001, X002, X005, X006, X007, X009, X010, X011, X012, X013, X023, X024, X025 will be evaluated at the Proposed Fixed Prices multiplied by specified quantities for the base and all option years. This reads as if each competitor is required to establish an average price per unit and that the average price will be multiplied by a specified quantity.

Please clarify if you are requiring an average price and where the average price is to be documented within the Draft Documents? Is it Section B under each applicable CLIN and/or Attachment 6B TEP Worksheet? Please clarify intent.

The section M language will be changed or clarified. CLINs X005, X006, X007, X009, X010, X011, X012, and X013 will be priced for each independent delivery order and the sum of each CLIN will be added to the TEP.

CLIN X023 will be priced for the base year and CLIN X024 will be priced for Year 6 and Year 10.

CLINs X014 – X017, X020, X021 and X025 will be calculated per the Offerors’ proposed labor rates.

The FFP Rate Table accompanied with Government established notional hours and Labor Mix will be used to determine the Total Evaluated Price for CLIN’s X014, X016, X017, and X020. The Total Evaluated Price for CLINs X015 and X021 will use Government established notional hours and labor mix against government evaluated rates plus Offeror’s fee identified on the labor rate matrix.

Based on the current evaluation, no bidder will know the TEP value at proposal submittal or at potential Final Proposal Revision (FPR). This could potentially lead to a bidder losing the competition and not understanding why? Additionally, can the TEP be considered valid with CPFF CLIN’s if the Government uses notional hours and government evaluated rates for evaluation purposes?

To avoid misunderstandings, ensure that each bidder concurs with the calculated TEP, avoid potential calculation errors and avoid potential delays to the acquisition, please consider adding the hours and skill mix to the TEP Spreadsheet sometime prior to release of the Final

RFP.

The hours and skill mix will not be provided.

Please define the Experience/No. of Years, Academic Equivalent, Duties/ Responsibilities of “Subject Matter Expert” identified in Attachment L2 - Labor Category Definitions and referenced within Attachment 6A - T-38 AVCI FFP Labor Rates Worksheet.

CLS PWS Questions

Government Response

In section 3.7.2, it states “IAW MIL-HDBK-61, the Contractor shall be the Current Document Change Authority (CDCA) for the documents listed in Appendix E of this PWS.” Appendix E contains reference documents such as Air Force Instructions and Handbooks as well as Military Standards. Please confirm that the contractor will be the CDCA of those documents.

The reference should have been Appendix "F". The PWS will be corrected.

In section 3.10.2, it states “The Contractor shall repair or replace all parts identified in Appendix A, (Group A Component List) and Appendix B, (Group B Component List), including…”. Understandably, usage data available and given for the Group B components but not the Group A. Can some guidance be provided?

The Government will provide the FY09-FY13 Group A consumption in an updated Bidder's Library prior to or in conjunction with the RFP release.

In section 3.10.8, it states “The Contractor shall stock, store and issue government-owned panels as identified in Appendix G of this PWS until current supplies are exhausted.”

When current supplies are exhausted, what happens then?

The drawings for the panels are not in the bidder’s library. If the Government wants the prime contractor to provide additional panels, please provide the drawings. Two of the panels are catalogued under the current prime contractor part number; does the Government plan to facilitate procurement?

When the current supplies are exhausted the Government will determine if additional panels will be manufactured. There is currently no requirement for the contractor to provided additional panels.

Questions

In section 3.10.13, it states “The Contractor shall provide the Test Equipment listed in Appendix D of this PWS.” It appears the TCAS/Mode S Ramp Tester has obsolescence issues and has a new model. Can the newer model be used if the referenced tester is not available at the time of stocking the COMBS facilities?

The current model is the preferred test set however a suitable substitute may be used. If a substitute is provided by the contractor, the contractor shall be required to provide the appropriate system test procedures, technical data change documents and information to ensure the references and operational checkout procedures in the current technical data is updated.

In section 3.16.1, it states “Parts damaged by the government will be paid under CLIN X010. The contractor shall only invoice direct costs from a sub-contracted repair vendor.

Prime contractor supplier management and associated costs shall be estimated based on historical consumption rates and paid for under CLIN X009 as part of the FFP cost per flight hour.”

Please confirm that shipping costs to the sub-contracted repair vendor do not qualify as material costs.

Shipping costs will be authorized for damaged parts. The PWS language will be changed. However, the shipping cost shall be identified on the invoice when requested by the Government.

In 3.16.2 it states “Damaged parts will be identified either by Government personnel or Contractor personnel at the COMBS facility prior to shipment to the repair facility. Vendor or supplier reported damage will not be considered”. Please confirm that once a part has been shipped for repair, it can never be identified as damaged even though later it becomes obvious that it was.

All damage shall be identified and the appropriate paperwork completed at the COMBS facility and acknowledged by the COR prior to shipment. "Vendor or supplier reported damage will not be considered.”

How many separate computer stations comprise each system (i.e. Mission Debrief System, Joint Mission Planning System) at each base? Can the Government provide a hardware listing for each computer station?

The software shall operate in the environment referenced in section 4.1 of the CLS PWS. An example of the Mission Planning Environment is provided in the Bidder's Library. The computer hardware is provided by and maintained by the Government. The number of stations the software is installed/operated on is irrelevant to the requirement.

MDP/HUD/ADS-B/VHF SOO Questions

When a functional LRU or part has been replaced by an updated version per the modification schedule, can these parts that have just been removed be placed back into the spares pool?

Yes, removed components can be used as spares. When the item is no longer required, the Government will determine final disposition.

Please confirm that the MDP OFP is owned by the Government and written in ADA with no OS on board. Can additional information about the tool chain and the build procedure be provided?

The Government has Unlimited Rights to the OFP and it is written in C. The MDP OS is called Versatile Real-Time Executive (VRTX). Additional information about the tool chain and the build procedure has been provided in the updated Bidder's Library.

Power for the MDP is 115 VAC (nominal), at a frequency range of 320Hz to 480Hz. An alternative MDP uses 28VDC.

Can a waiver be provided to change Power to LRUs (MDP, HUD, UFCP, ADS-B)? Can a T-38C power budget be provided?

The requirement language is being changed to allow varance from the F3I specification(s) as long as mission and aircraft performance can be met. A 28 volt system is authorized as long as it is proven that the aircraft electrical system has the capacity for the proposed changes. Please refer to the "T-38C AUP Electrical Loads Analysis Report" provided in the updated Bidder's Library.

These clauses state that the contractor shall perform systems engineering and/or technical direction during the contract. They also state that due to this work the contractor is precluded for the life of the system from award of a DoD contract to supply the system or any of its major components, and from acting as a subcontractor or consultant to a DoD supplier for the system or any of this major components.

Please define the "system" in the context of these clauses. It is assumed that the "system" refers to the MDP, HUD, ADS-B, and the VHF and does not refer to the larger "T-38".

The definition of system for this contract refers to the T- 38C avionics system. The avionics system is all LRUs listed on the Group B parts list and their system related components. The contractor is required to provide full systems engineering support for all components comprising the avionics system. The contractor will be responsible for reliability and maintainability of the system. Additionally, based on the Government defined requirements the contractor will have overall contractual responsibility for system/component development, integration, LRU or component production, aircraft modification specifications, and system operational performance and operational checkout procedures.

Model Contract, Section I, FAR

52.222-2 (Overtime Premiums); PWS paragraphs 3.15.9 and 3.15.10

FAR 52.222-2 (Payment for Overtime Premiums) states that overtime premium will not exceed $0.00, however, PWS 3.15.9 states that overtime may be approved by the Program Office COR. 3.15.10 states that the NTE for overtime under CLIN x008 is $30K.

As Section I and the PWS are in conflict, please revise either the "fill-in" portion of the FAR clause or PWS paragraphs 3.15.9 and 3.15.10.

PWS 3.7.4

DFARS 252.278-7001 (Ground and Flight Risk) is not included in the DRFP.

IAW the prescribing language located under DFARS 228.370 (Additional Clauses), the Ground and Flight Risk clause should be included in solicitation for the maintenance, and repair of aircraft with four exceptions (delineated in paragraphs i - iv). As these exceptions do not apply, please justify the exclusion of this clause or verify that this clause will be added to the final RFP.

The government will maintain possession of the aircraft during the accomplishment of all modifications and testing. The clause is not required.

Contracting Officer Representative will review and approve Contractor submitted metrics and deliverables for the purposes of billing and acceptance as specified in Section 14 of the applicable SOOs and Section 11 of the PWS. DCMA may be utilized at the convenience of the Government.

Paragraph 2.1

PWS 3.1.1 states that the contractor assumes total responsibility for all requirements, however, PWS paragraphs 2.1.1 and 2.2.9 state the Government will perform all flight line maintenance activities and be responsible for all on-aircraft hardware installation, respectively. In addition, the SOOs state Installation of components into the aircraft will be the responsibility of the Government and the Contractor shall install and evaluate the systems for proper fit in the aircraft.

These statements appear to conflict, please revise/clarify accordingly.

The requirements of the SOOs and PWS should viewed as "Stand Alone" requirements. The requirements of the PWS will not begin until 01 April 2017. The requirements of the SOO(s) will be executed as deemed appropriate by the Government.

All the CDRLs are marked as Distribution D, which means the data may be distributed to any DoD Contractor. Some of this data may be deemed proprietary to the Contractor. For example, the Contractor is to provide a Distribution D annual report (IAW CDRL A015) which shows actual cost incurred by the contractor, overhead, manpower and labor, and material costs.

Will the AF consider changing this Distribution designation from D to either Distribution B or E (i.e. to remain within the Government) for relevant Contractor data?

The Government will make the appropriate adjustments.

11 PWS 11 (General)

The Table is titled Contract Deliverables. This table does not contain any hardware deliverables nor any CDRL requirements for the MDP, HUD, ADS-B, and the VHF SOOs.

Also, does the base support apply to all Contractor on base requirements including FSRs and training personnel, as applicable?

All bidders will be equally assigned the same no-charge-for-use base for the requirements associated with PWS

13.4.2. The support refers to the COMBS facility

provided by the Government for Contractor use and does include the FSR personnel. The courseware support personnel are provided support within the AETC/A3FO area.

PWS Appendix F (Technical Data

A technical data package was previously made available to bidder's.

Will there be updates provided? Updates will be provided as necessary. At a minimum the contractor can expect an update, approximately January 2017, prior to assumption of CLS requirements.

However, an update to the bidders library will be provided by mid January 2015.

Section L, Paragraph

5.3.1; Section L, Paragraph 4.7

Section L, Paragraph 4.7 says that the bidders are not to cross-reference between volumes, however, 5.3.1 states that a "synergistic approach shall be used for development and integration of all hardware and software requirements."

As the MDP, HUD, and ADS-B each have their own technical volume, and with the page limitations for each, it will be difficult to illustrate a synergistic approach that reaches across the different components without cross-references. Please advise whether cross-references will be allowed or whether the Government will entertain an increase in the page counts for the technical volumes.

The language "synergistic approach shall be used for development and integration of all hardware and software requirements" has been removed. All requirements should be executable separately. Cross-references between volumes will not be allowed and the Government believes the page count is adequate.

36 PWS 3.11.1

3.11.1 The contractor shall invoice T-38C flying hours

against CLIN X009. The Government estimates the T- 38C annual flying program will fly 95,000 hours. Flight hours shall be billed against actual flight hours incurred in accordance with proposed cost per flight hour, e.g.; 100 actual flight hours X $50 per flight hour proposed = billing amount of $5,000.

If flying program did not fly for a given period, i.e. zero flight hours, how will the contractor be compensated for any costs incurred against CLIN X009?

CLIN X009 will be invoiced based on the requirements of PWS 3.11. The contractor is only entitled to invoice for actual flight hours expended.
