Justification and Approval (J&A) for Other Than Full and Open Competition

March 2018 FOR OFFICIAL USE ONLY Page 3 of 5 assets to be able to support the weapons system until FY21. The total estimated annual requirement for these items are 4EA, per both NSNs.

IV. Statutory authority permitting other than full and open competition.

10 USC 2304 (c)(1), as implemented by the Federal Acquisition Regulation (FAR) 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).

A. The above authority was selected because the requirement is for repair of highly specialized assets. The test equipment necessary for repair is a circuit card test stand with extenders for the ROLM Specification 1666B Processor unit, and the 2166B ALCS In/Out (I/O) Interface Unit circuit cards and modules. The circuit cards include memory data processing units:

32K Stack, 32K_X, 32K_Y bubble memory modules, FPU C66, FPU_B,FPU_A, CPU MAP, CPU DATA, CPU PROM, CPU PFP, 1755, 7100A, 3561A, 3561A I/I Bus Expander, 3563 I/I Bus Repeater, 2119 Memory-IN, 2119 Memory OUT, S948 Power Line Filter, and 3543 Differential I/O Buffer.

The time required for Depot stand-up necessitates pursuit of this effort.

B. The ALCSC/P Controller/Processor and the ALCSC/E EXU LRUs are designed specifically for the E-6B Aircraft. Repair services are not available from any other source than Design Data. The government currently possesses insufficient drawings for administering asset repair beyond intermediate card-swap. Design Data is the only vendor which has demonstrated the unique repair knowledge, and/or possesses the technical data required to repair the listed ALCS stock numbers at this time. The Systems Directorate's acquisition of data and equipment to stand up Depot repair capability is underway but will not be complete in time to meet present needs. Design Data is experienced with performing repair on circuit cards containing memory data processing units [32K Stack, 32K_X, 32K_Y bubble memory modules, FPU C66, FPU_B,FPU_A, CPU MAP, CPU DATA, CPU PROM, CPU PFP, 1755, 7100A, 3561A, 3561A I/I Bus Expander, 3563 I/I Bus Repeater, 2119 Memory-IN, 2119 Memory-OUT, S948 Power Line Filter, and 3543 Differential I/O Buffer]. The United States Air Force (USAF) does not possess or have rights to the necessary data to support the development of alternate sources of production, repair, and sustainment of the ALCSC/P Controller/ Processor and the ALCSC/E EXU LRUs. Specifically, the USAF does not currently have rights to: schematics, bench test equipment for the cards and modules, spare parts, and the engineering capabilities for diagnostics and repairs.

C. Currently, the ALCS system's mission capability is in a degraded state due to the level of repair required for the two NSNs per this effort. The USAF does not own the technical data required to rebuild or refurnish the existing equipment, and, therefore, would require an estimated six year reverse engineering effort. If a reverse engineering effort was pursued at this time, without repairing the NSNs, the ALCS system would remain in six year degraded state, which is unacceptable as it would negatively impact mission readiness. It is estimated that the cost to reverse engineer the two ALCS LRUs would be approximately $ , over a six year effort. The reverse engineering effort considers the man-hours of an appropriately scoped engineering team, administrators and technicians, along with operational costs, cost of materials, and Hardness Critical considerations and testing. This six year effort would most likely be extended by two to three years due to the efforts to secure the necessary funds, lead time to qualify a new manufacturing source, and any additional government engineering support. Design Data currently owns proprietary data rights for repairing these items, and has agreed to sell its data rights to the government on a separate, Systems Directorate funded, contracting effort, in an attempt to stand up depot repair capabilities. Due to the long lead times associated with Depot activation, the program is mitigating risk and soliciting a contract prior to end of vendor capability. Due to the retirement of individuals with the repair expertise, Design Data will no longer repair these assets after this effort is complete. No other source is known to have the capabilities to repair and certify these assets as serviceable.

D. Accordingly, Design Data is the only firm capable of providing the repair services, described in Section III above, without the USAF experiencing substantial, time-sensitive support constraints, and duplication of cost, that could not be expected to be recovered through competition and unacceptable delays in fulfilling its requirements.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

A. Sources Sought Synopsis: The Sources Sought Synopsis was posted under FA8206-ALCS_Repair, on 21 May 2018 in FEDBIZOPS and closed on 21 June 2018. The requirement is to repair 2 Processors, and 4 EXUs.

B. No response was received from the Sources Sought Synopsis.

C. Synopsis - this requirement will be synopsized in FEDBIZOPPS as a notice of contract action IAW 5.201.

D. Other Actions: None.

E. Qualifying Country Sources: None.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The following steps will be taken to ensure that the anticipated cost of this acquisition will be fair and reasonable. The Contracting Officer will comply with the procedures and criteria contained in the Federal Acquisition Regulation (FAR), under Part 31 - Contract Cost Principles and Procedures, Subpart 15.4 - Contract Pricing; to include technical evaluations and audits, as appropriate. Additional steps to ensure price reasonableness will be under the guidance of the Contract Pricing Reference Guides, jointly developed by the Federal Acquisition Institute and the Air Force Institute of Technology. The final step is to include the Price Negotiation Memorandum (PNM). This detailed documentation and justification of price reasonableness will be disclosed in the official PNM, to be prepared upon completion of negotiations.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

A. As described in Section VI above, market research, in accordance with FAR Part 10, has been conducted by synopsis of the proposed acquisitions, advising industry of the pending acquisition and soliciting inquiries from interested parties.

B. In accordance with FAR part 10, and in addition to ongoing market surveillance performed by the integrated product team, acquisition specific market research has been conducted by the 414 SCMS on 21 May 2018. The Market Research Strategy focused on gathering information to support the efficacy of establishing additional repair sources for the ALCS Processor and EXU. Research included vendor surveys, commercial opportunities evaluation, product data and data rights evaluation, review of past and current terms and conditions of repair, performance requirements, engineering skills and techniques required, repair history, and additional and existing sources for the system.

Additionally, Internet based searches were conducted via Google, ThomasNet, IQS Directory, marketresearch.com, AcqNet, Yahoo, Bing, and by other actions by USAF pursuant to FAR Part 10.0019(a)(2)(v).

C. Market research concluded that there are no alternate/additional sources capable of meeting the government's requirement at this time, and Design Data is the only known company capable of satisfying the government requirements.

D. The ALCS Processor and EXU is unique to the E-6B Navy Aircraft, ICBM weapons system, and does not have commercial-off-the-shelf sources of manufacture. No commercial or non-developmental items are available with similar form, fit, or function parameters that can be used or modified to satisfy the agency's need.

E. The ALCS Processor and EXU are currently not candidates for organic repair, due to limited depot repair capabilities.

The government does not currently possess the necessary data rights sufficient for organic repair. The Depot Maintenance Activation Working Group (DMAWG) is currently working to establish full depot repair capabilities. Depot

Source of Repair (DSOR) #87-P004 dictates depot repair, but capabilities are not yet to Depot level standards. The technical data (to be acquired by the Systems Directorate) will help to improve those Depot capabilities.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

None

X. List of any sources that expressed, in writing, an interest in the acquisition.

See Section VI above.

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

Design Data currently owns proprietary data rights for repairing these items, and has agreed to sell its data rights to the government on a separate, Systems Directorate funded, contracting effort. The required data for this effort is not available from any other source.
