Explanation of Terms

Aircraft service change (ASC) – An ASC is a Federal Aviation Administration (FAA) approved method used to modify and/or amend aircraft type design of a standard production aircraft (commonly referred to as a “green” aircraft). The ASC kit/data package consists of parts, materials and instructions required for a one-time alteration to the aircraft. Most ASCs are optional and are offered as a means to enhance aircraft capabilities to meet individual operator requirements. The only time an ASC is not optional is when it is “forced” by a Customer Bulletin (CB), an Alert Customer Bulletin (ACB), or an FAA Airworthiness Directive (AD). ASCs can be priced or no charge. The impact of an ASC on spares, support equipment, training, special publications, etc., is not included in the price of an ASC. Therefore, the incorporation of a priced or no charge ASC could require additional funds for changes to these support areas.

Airframe – The structural components of an airplane, including the framework and skin of such parts as the fuselage, empennage, wings, and engine mounts (does not include landing gear or engines).

Airworthiness Directive (AD) – Mandatory, regulatory bulletin issued by the FAA that requires compliance in order to maintain the aircraft airworthiness certificate.

Alert Customer Bulletin (ACB) – An ACB is a safety related Customer Bulletin (see Customer Bulletin below) that is considered urgent and requires a one–time inspection (may require incorporation of an ASC to address the condition). Compliance times are usually less than 25 flight hours or 50 landings.

Customer Bulletin (CB) – A document requiring a one–time inspection for a specific condition within an appropriate compliance period (may require incorporation of an ASC to address the condition). Compliance times are usually greater than 25 flight hours or 50 landings. Calendar times can also be used.

Data – Management, scientific, engineering and logistics information, reports and documentation.

Foreign Military Sales (FMS) – US Governments program for transferring defense articles, services, and training to our international partners and international organizations.

Maintenance & Operations Letter (MOL) – This document communicates information that will enhance operations or safety, improve a maintenance practice, provide information regarding service events, or provide advance information on pending changes to the Aircraft Maintenance Manual or Illustrated Parts Catalog. They also may be used to notify operators when a Notice of Proposed Rule Making (NPRM) will be issued by the FAA or as a cover document to a forwarded vendor service bulletin. An operator’s response to an MOL is not recorded for tracking purposes and is not required for continued airworthiness. MOLs are distributed via facsimile and electronic mail and are available on the Gulfstream Internet site.

Missionize/Missionization – The term used by the Government to define the process by which aircraft are outfitted to meet the mission requirements of the Government as defined in the Completion Specification. The Government term “missionization” and the commercial term “completion” as related to aircraft outfitting have the same meaning within the context of this document.

Modification – A change in the physical or functional configuration or in the functional characteristics of a system or equipment (form, fit, function, interface).

Pre-Operational Support (POS) – All actions necessary to provide support prior to operation of aircraft.

Safety-of-Flight – When a failure or malfunction would present a hazardous condition to equipment or personnel during pre-flight, in-flight, or post-flight operations.

Service Bulletin (SB) – Manufacturer’s document which requires inspection for a specific condition or to modify and/or amend the type design of an aircraft or component. Gulfstream does not issue Service Bulletins, however some Gulfstream suppliers utilize Service Bulletins for their components.

1.0 Scope

This statement of work (SOW) outlines the Contractor actions, responsibilities, and work efforts necessary to comply with Government requirements for acquisition of Gulfstream Aerospace Corporation aircraft which are being purchased as delivery orders (DO) under an IDIQ contract managed by the United States Air Force (USAF). The program will be abbreviated “IDIQ Acquisition" throughout this SOW. This is a supply contract with embedded services.

The intent of this contract is to allow USAF, Foreign Military Sales (FMS), Department of Defense (DoD), and Non-DoD (U.S. Government) entities the ability to purchase commercial aircraft, supplies, and services.

Services are incidental to the supply purchase. In the case that the services are not incidental to a supply purchase, performance based language will be included in the associated services sections of the SOW at the DO level and a Quality Assurance Surveillance Plan (QASP) will be attached. Any associated CDRLs will be specified at the DO level.

1.1 Mission Area

World events will at times require senior United States Government officials (SECDEF, SECSTATE, CJCS, MEMBERS of CONGRESS and WHITE HOUSE STAFF), as well as from other foreign partners, to immediately deploy by air transportation on matters of national security or national interest. Mission requirements could dictate operation into civil as well as military airfields both during peacetime and wartime. High levels of physical as well as communications security are required to protect national interests.

The USAF, DoD, Non-DoD entities, and foreign countries require a fleet of intercontinental range jet aircraft to accomplish this, as well as other required missions.

1.2 Type of Proposed System

This SOW anticipates a procurement consisting of Gulfstream aircraft in support of the USAF, FMS, DoD, and Non-DoD entities. These aircraft shall be new, Federal Aviation Administration (FAA) certified, commercial business jets, which either establish a new standing fleet or supplement an existing fleet of operational support aircraft devoted solely to government support. Aircraft shall be commercially available with FAA certification and further specifications, purposes, and certifications to be specified at the DO level.

1.3 Anticipated Operational and Support Concepts

The aircraft shall support missions on a priority basis, regardless of regional location.

Commercial technical data (operations and maintenance) shall be used. Maintenance at all levels will be provided at a level of effort available on this contract or through other contracts providing required maintenance services. Maintenance may consist of full Contractor Logistics Support (CLS), organic/third party maintenance with Contractor Operated and Maintained Base Supply (COMBS), organic/third party maintenance through Base Supply, and Field Service Representative (FSR) support (partial CLS).

Successful operations require information exchange, including a Command

Communications System composed of commercial cockpit communication systems to ensure safe worldwide flight operations. Missionization of the aircraft will be defined at the DO level.

1.4 Design Changes

The Contractor shall maintain type certification by obtaining FAA certification, to the maximum extent possible, of any design changes during missionization of the aircraft.

1.5 Description of Effort

The scope for this SOW includes aircraft procurement, modification, government unique equipment integration, Pre-Operational Support (POS) and sustainment activities to include but not limited to:

Procurement of any current or future Gulfstream model aircraft for USAF, FMS, DoD, and Non-DoD customers during the contract period of performance (PoP).

1.5.1.1 Modification and integration of each aircraft, as required, to meet the individual needs for all USAF, FMS, DoD, and Non-DoD customers and the missionization specifications as described at the DO level.

1.5.1.2 Delivering all aircraft, modifications, and upgrades with necessary FAA certifications.

Providing POS, FSR, logistics and engineering support for the modified aircraft after aircraft delivery as defined at the DO level.

Providing CLS as defined at the DO level.

Developing, managing, conducting, and delivering training for aircrew, maintenance, and mission system operators as defined at the DO level.

Developing, implementing, maintaining, and delivering data required by the

Contract Data Requirements List (CDRL) Exhibits.

1.6 Commission Fees

Commission fees to be defined at the DO level.

Notice Additional modifications and/or work performed not listed in this SOW shall be performed as Over and Above (O&A) actions, in accordance with (IAW) Defense Federal Acquisition Regulation Supplement (DFARS) 252.217-7028 and the Defense Contract Management Agency (DCMA).

2.0 Applicable Documents

The documents referenced in this SOW are only applicable to the extent specified.

Documents referenced within the documents cited herein shall not be applicable to this SOW solely because of such reference. They must be referenced directly in this SOW in order to apply. The version/revision of the document current as of the award date shall apply.

3.0 IDIQ Acquisition Aircraft Requirements

The IDIQ acquisition aircraft shall be new, FAA-certified commercial, passenger-carrying business jets that are in widespread commercial service worldwide. The aircraft, by design, must not be limited from worldwide military and civil operations.

Unrestricted worldwide military and civilian operations are only required to the maximum extent commercially available. The system shall meet a planned service life as defined at the DO level. The IDIQ acquisition aircraft shall meet or exceed the requirements of all the applicable documents outlined in paragraph 2.0 above.

3.1 Commercial Air Vehicle

The Contractor shall deliver a new Commercial Air Vehicle(s) described in the applicable Gulfstream Product Specification as defined at the DO level.

3.2 Missionized Air Vehicle

The Contractor shall missionize the commercial air vehicle(s), as documented in the contract that meet the requirements of the DO Completion Specification. The missionized IDIQ acquisition aircraft shall comply with the intent of applicable sections of Federal Aviation Regulations Amendments as defined at the DO level.

3.3 Paint, Exterior/Interior, Scheme and Marking

The Contractor shall paint the acquisition aircraft using standard commercial processes and practices. Specific paint schemes will be defined at the DO level.

3.4 Extended Twin Engine Operations (ETOPS)

The aircraft shall be equipped for extended overwater operations IAW Federal Aviation Regulations Part 135. Aircraft shall be ETOPS certified as defined at the DO level.

3.5 Frequency Assignment

The Contractor shall ensure that authorizations to radiate at an exact location or area, during a defined test period, and on specific channel or groups of channels are requested with sufficient lead-time to process the requirement through all required coordinating and approving agencies as defined at the DO level.

3.6 Electromagnetic Compatibility (EMC)

The Contractor shall employ an EMC program to ensure the EMC of the integrated IDIQ acquisition aircraft systems. The program shall encompass existing equipment, added equipment and interface modifications to the basic aircraft. The IDIQ acquisition aircraft subsystems shall be compatible with each other and the external electromagnetic environment. All systems shall operate in its intended operational electromagnetic environment without suffering or causing unacceptable performance degradation due to electromagnetic interference (EMI) from other equipment in the same environment.

Avionics receivers and transmitters will not be substantially degraded or suffer from EMI across all approved operating frequencies.

3.7 High Intensity Radiated Fields (HIRF)

The performance of flight critical functions shall not be degraded when the aircraft system is exposed to HIRF. Critical function is defined as a function that, if it fails, would prevent the continued safe flight and landing of the aircraft. FAA certification testing includes HIRF testing to these criteria.

3.8 Radiation Hazards

The aircraft system shall protect electro-explosive subsystems from inadvertent initiation under all electromagnetic environmental conditions generated by the aircraft subsystems, electrostatic charges, lightning and the HIRF environment. FAA certification testing includes these criteria(s).

3.9 Emissions Security (EMSEC)

The Contractor shall provide all support services for the aircraft to support EMSEC testing as defined at the DO level.

3.10 Cybersecurity

The Contractor shall provide all support services for the aircraft to support Cybersecurity testing as defined at the DO level. Cybersecurity testing shall meet DoDI 8510.01 requirements. (A001, A002, A003)

3.11 Automated Weight and Balance

The Contractor shall provide a commercial system that will generate information found on the DD365-4, Weight and Balance Clearance Form F - Transport.

3.12 Performance Analysis and Flight Planning

The Contractor shall provide an automated capability to calculate aircraft performance analysis (takeoff and landing data) and flight planning. The system shall include performance data for the range of climatic conditions for which the aircraft has been certified. Ideally this system will be used off-aircraft prior to departure. The ability to upload the computer flight plan into the flight management system is required.

3.13 System Test and Evaluation

The Contractor shall conduct all testing of the green aircraft and the missionized IDIQ acquisition aircraft systems required for FAA certification compliance. Ground tests shall be conducted in accordance with the Contractor’s standard commercial testing procedures, as required for the procured aircraft. Contractor pilot(s) shall perform the Contractor acceptance flight tests that shall be conducted in accordance with the Contractor's acceptance flight cards. Customer/End User observers may participate in test activities and demonstrations as deemed necessary by the Government IDIQ Acquisition Program Manager and the Contractor pilot and/or test engineer. The Contractor shall provide all necessary support equipment, parts, logistics, petroleum, oil, lubricants, maintenance, personnel and test planning to support all required tests.

3.14 Functional Check Flight (FCF)

The Contractor shall conduct an FCF as defined at the DO level to ensure a safe, reliable, and airworthy aircraft.

3.15 Acceptance Flights

The Contractor shall support an acceptance flight in which all specification compliance items will be verified as defined at the DO level. The Contractor shall be responsible for all support costs for this flight. All discrepancies noted and agreed to shall be resolved before aircraft entry into service. Should an additional flight be required to validate a particular discrepancy, the Contractor shall be responsible for the support costs.

3.16 Acceptance Inspections

The Contractor shall support customer/end-user ground inspections at a Gulfstream Completion Center or a designated location which will be defined at the DO level.

3.17 Aircraft Delivery

The Contractor shall deliver an outfitted aircraft resulting in acceptance that will be defined at the DO level.

3.18 Aircraft Delivery Documentation

The Contractor shall utilize its commercial delivery process. The Contractor shall provide a copy of the type certificate, and FAA Form 8130-31 (to document all variations from the FAA certified type design), and any other FAA documentation required at the configuration review. The FAA form 8130-31 Statement of Conformity may be used to satisfy the requirements of the Configuration Review where appropriate. Any further requirements will be defined at the DO level. (A008)

3.19 Ferry Flight

The Contractor shall be responsible for ferry flight(s), outside of CLS services, when defined at the DO level.

3.20 Configuration Management

The Contractor shall establish and maintain a Configuration Management program for each IDIQ acquisition aircraft. This program shall comply with the Contractor's commercial best practices.

Engineering Release System The Contractor shall maintain control over the manufacture and acceptance of all configuration items as directed by the Contractor’s FAA approved process.

Airworthiness Directives (ADs)/Alert Customer Bulletins ACBs)/Customer Bulletins (CBs)/Aircraft Service Changes (ASCs)/Maintenance & Operations Letter (MOL)

The Contractor shall use ADs, ACBs, CBs, ASCs, and MOLs to alert Customers/End Users of various issues concerning the aircraft’s fleet. These documents may require inspections, repair actions, remove/replacement activities, etc.

Pre-Delivery Incorporation of ADs/ACBs/CBs/ASCs Configuration Identification

During the completion cycle, the Contractor shall incorporate mandatory ADs/ACBs/CBs/ASCs into the aircraft. The availability and price of optional, non-mandatory ASCs will be communicated to the U.S. Government PO for approval and contract action prior to incorporation.

Post Delivery Incorporation of ADs/ACBs/CBs/ASCs The Contractor shall recommend incorporation of appropriate ADs/ACBs/CBs/ASCs as defined at the DO level.

Specification Maintenance The Completion Specification shall be maintained using the Contractor’s existing FAA approved process. (A009)

Configuration Audit The Contractor shall host a configuration audit to verify that all requirements have been met as defined at the DO level.

Initial/Baseline Configuration Status Accounting Records (CSARs) The Contractor shall establish initial/baseline CSARs for each aircraft, associated engines and software level for equipment items as defined at the DO level.

3.20.7.1 Initial/ Baseline Airframe CSAR

The Contractor shall provide an initial/baseline airframe CSAR for each IDIQ aircraft at the time of delivery of the completed aircraft. The initial/baseline airframe CSAR shall reflect the ADs and Gulfstream ACBs/CBs/ASCs that have/have not been incorporated into the aircraft as of the delivery date. (A010)

3.20.7.2 Initial/Baseline Engine CSAR

At time of delivery of the completed IDIQ aircraft, the Contractor shall provide an initial/baseline engine CSAR for each engine. The initial/baseline engine CSARs will reflect ADs, Gulfstream ACBs/CBs/ASCs and engine SBs that have been incorporated into each engine since type certification. (A011)

3.20.7.3 Initial/Baseline Software CSAR

At time of delivery of completed IDIQ aircraft, the Contractor shall provide an initial/baseline software CSAR that reflects the software modification level for selected equipment as defined at the DO level. (A012)

4.0 Technical Manuals (TMs)

TMs shall conform to current commercial specifications (Air Transport Association specifications).

4.1 Production Aircraft Manuals

As part of the purchase price of each aircraft, the Contractor shall provide production aircraft manuals containing but not limited to the manuals shown below with delivery as defined at the DO level.

Contractor Supplied Technical Documentation The Contractor shall provide additional contractor supplied technical documentation as defined at the DO level.

Production Aircraft Manual Revision Services Services are incidental to the supply purchase. In the case that the services are not incidental to a supply purchase, performance bas ed language will be included in this section of the SOW at the DO level and a Quality Assurance Surveillance Plan (QASP) will be attached. CDRLs will be specified at the DO level.

The Contractor shall provide production aircraft manual revision services as defined at the DO level.

4.2 Completion Manuals

The Contractor shall provide completion manuals that reflect the final aircraft configuration and operating procedures resulting from Contractor modifications to the green aircraft required to comply with the Completion Specification. Any furnished electronic checklist or aircraft performance database shall reflect the final aircraft configuration. Delivery and quantity of completion manuals will be defined at the DO level. These manuals include, but are not limited to the following:

a) Completion Maintenance Handbook

b) Cabin Operations Manual

c) Completion Illustrated Parts Catalog (separate from the

Completion Specification) Completion Manual Revision Service

The Contractor shall provide modification and integration support with necessary FAA certifications for each aircraft as defined at the DO level. Follow-on modification support shall be as defined at DO level.

7.0 Supply Support

7.1 Parts

The Contractor shall provide parts as defined at the DO level.

7.2 Spares

The Contractor shall provide spares as defined at the DO level.

7.3 Support Equipment

The Contractor shall provide support equipment as defined at the DO level.

7.4 Tools

The Contractor shall provide tools as defined at the DO level.

8.0 Engineering Support Services

Services are incidental to the supply purchase. The Contractor shall be responsible for ferry flight(s) and EIS as defined at the DO level.

9.2 Gulfstream Aircraft Ownership Services (AOS)

The Contractor shall customize a Gulfstream AOS package to satisfy any of the POS or post-delivery requirements as defined at the DO level.

12.0 Brokerage and Disposition Services

Services are incidental to the supply purchase. In the case that the services are not incidental to a supply purchase, performance based language will be included in this section of the SOW at the DO level and a Quality Assurance Surveillance Plan (QASP) will be attached. The Contractor shall provide brokerage and disposition services as defined at the DO level.

13.0 Other Services

Services are incidental to the supply purchase. 14.0 Services Summary

Services are incidental to the supply purchase. In the case that the services are not incidental to a supply purchase, a services summary will be included in this section of the SOW at the DO level and a Quality Assurance Surveillance Plan (QASP) will be attached. CDRLs will be specified at the DO level.

14.1 Performance Objectives and Thresholds

The Contractor shall achieve performance objectives and thresholds as defined at the DO level.

NOTE 1: The performance thresholds are designed to:

a. Align Contractor performance with objectives.

b. Focus on critical success factors in meeting performance objectives.

c. Reflect performance goals.

d. Promote continuous improvement in performance.

NOTE 2: The PO will exercise surveillance over the performance thresholds. The absence of any contract requirement from the Services Summary table shall not detract from its enforceability nor limit the rights or remedies of the Government under any other provision of the Contract.

14.2 Surveillance Methods

The Contractor shall support the PO surveillance methods as defined at the DO level.

NOTE 1: The Government will use these methods to evaluate the Contractor’s performance for the listed performance objectives. The PO will monitor Contractor performance to determine if it meets the contract thresholds as set forth in the performance measures and this SOW.

14.3 Services Summary Table

The Contractor shall meet the performance thresholds identified in the services summary table which will be provided at the DO level.

15.0 Program Integration

The Contractor shall provide a program management POC for each DO as it is awarded. (A030)

15.1 Delegation of Authority

The Government’s Procuring Contracting Officer (PCO) is the only person authorized to approve changes in any of the requirements under this SOW and any provision contained elsewhere in this contract. If the Contractor implements any change at the direction of any person other than the PCO, the change will be considered to have been made without Government authority.

15.2 Integrated Management Framework

The Contractor shall use and maintain an IDIQ Acquisition Organization that reflects the Contractor's implementation of the Integrated Product Development philosophy.

Contractor and U.S. Government Program Office (PO) will operate seamlessly in a fully integrated organization that emphasizes teamwork, open communications and U.S.

Government PO insight of program status, progress, problems and deliveries. The Contractor’s commercial practices shall be used as the basis for this requirement.

15.3 Contractor Funds Status Report

The Contractor shall provide a Contractor Funds Status Report (CFSR) which shall list all details in each Contract Line Item Number (CLIN) and sub-CLIN, per contract modification. (A031)

15.4 Organizational Structure

The Contractor shall coordinate with the U.S. Government PO and develop/maintain/distribute an Integrated Product Team (IPT) organizational chart that reflects the names, telephone numbers, functions, and responsibilities of key Contractor and U.S. Government PO personnel assigned to the IPT.

15.5 Program Schedule

The Contractor shall implement and maintain a program schedule for each DO. The schedule shall be an integrated schedule of detailed program tasks. The schedule shall identify a critical path and Government Furnished Equipment / Government Furnished Information need dates (if required) to maintain integration schedules. (A032)

15.6 Program Management Reviews (PMRs)

The Contractor shall conduct and provide facilities, agendas and recording of minutes for PMRs, to be held at mutually agreeable intervals and locations as specified at the DO level. The Contractor shall provide schedule and technical status at these reviews.

15.7 Technical Interchange Meetings (TIMs)

The Contractor shall conduct and provide facilities, agendas and recording of minutes for TIMs to be held at mutually agreeable intervals and location as specified at the DO level. The Contractor shall provide status of technical issues at these meetings. The Contractor shall coordinate an agenda, to address as a minimum the topics for discussion at the TIM, risk evaluation, as well as impacts on performance, logistics, cost and schedule and deliver the agenda along with minutes. A copy of all attached briefing material shall include any corrections made during the review.

15.8 Other Program Meetings

The Contractor shall conduct and provide facilities, agendas and recording of minutes for any other program meetings (e.g., Logistics Support Conferences, etc.) to be held at mutually agreeable intervals and locations as specified at the DO level. The Contractor shall provide status of the meeting topic at these meetings. All required agenda and presentation materials shall be delivered to the government 10 business days prior to meeting for proper review and consideration.

15.9 Minutes/Documentation

The Contractor shall deliver any meeting minutes along with any other applicable documentation to the U.S. Government PO. (A033, A034, A035)

15.10 Management Information System (MIS)

The Contractor shall ensure that the U.S. Government PO has access to IDIQ

Acquisition Program Management information. The Contractor shall establish/maintain a limited access Internet website for distribution of data/information to the U.S.

Government PO.

15.11 Contract Oversight

Contract oversight will be managed by either the DCMA representative or the COR at Contractor facilities. The DCMA representative and the CORs are technical representatives for the Contracting Officers. The DCMA representative and the COR are responsible for providing technical assistance to the PCO and for monitoring contract performance in accordance with Federal Acquisition Regulation (FAR) Part 12 procedures at the Contractor’s facilities. The DCMA representative and the COR will coordinate work requests for O&A actions and approve receiving reports. The DCMA representative and the COR do not have the authority to effect a change to the scope, price, terms or conditions of the basic contract. Written delegation of the responsibilities required by this clause will be provided to each designated DCMA representative and COR; a copy will be provided by the PCO to the Contractor. Use of a DCMA representative and/or COR will be further defined at the DO level.

15.12 Contractor Employees

In accordance with DFARS 211.106, Contractor employees are required to identify themselves as Contractor personnel by introducing themselves and/or distinguishing themselves as Contractor personnel by badges or other visible identification for meetings with Government personnel. In addition, Contractor personnel shall appropriately identify themselves as Contractor employees in telephone conversations and in formal and informal written correspondence to include email communications.

15.13 Subcontract Management

The Contractor shall establish and maintain a Subcontract Management System that provides management of the supplier network, identification of major/critical subcontractors and surveillance of major/critical subcontractors’ delivery/ performance.

This system should provide reasonable assurance that the subcontractors understand and will meet contractual requirements.

15.14 Subcontracting Plan for Small Business

The Contractor shall maintain a commercial Company-Wide Subcontracting Plan for Small Business and Small Disadvantaged Small Business Concerns. This plan shall be approved by DCMA or PCO.

15.15 Manpower Reporting

The Contractor shall follow manpower reporting requirements as defined at the DO level.

15.16 Change Proposals (CPs)

The Contractor shall generate CPs requested by the PCO for all Gulfstream aircraft/engine configuration changes and ASCs that may impact contract price.

CPs will be O&A the basic contract price. Along with price and schedule (if any), CPs may address but are not limited to the following areas:

a) Summary-level description of the work to be performed

b) Technical implications of incorporating/not incorporating the change

c) Impact on Spares, Support Equipment, Training and Publications

d) Availability of kits (parts, etc.)

e) Aircraft downtime

16.0 Other Requirements

16.1 Warranty

All warranties shall remain intact and shall transfer in full to any party to whom the aircraft is transferred by the U.S. Government. Additional warranty information to be specified at the DO level.

16.2 Deficiency Reporting

The Contractor shall investigate all Deficiency Reports including Product Quality Deficiency Reports, Material Deficiency Reports, Acceptance Inspection Deficiency Reports, Hazardous Material Reports, and Technical Publication Deficiency Reports submitted against defective items procured, manufactured, repaired, or overhauled by the Contractor in support of this SOW. Contractor shall report any safety-of-flight issues immediately to the PO. (A036)

16.3 Risk Management

The Contractor shall perform risk management to identify and mitigate program cost, schedule, and performance risks. All safety-of-flight related risks shall be tracked and reported regurlary to the PO. (A037)

16.4 Mishaps, Accidents and Incidents

The Contractor shall report mishaps, accidents, or damages involving Covered Aircraft, engines, installed components, and/or Government Furnished Material (GFM) that are in the Contractor’s possession or control, to include MOB, Depot, and Field Team activities as defined at the DO level. (A038)

16.5 Quality System Requirements

The Contractor shall support quality system requirements. Any further requirements will be defined at the DO level.

Quality Control The Contractor’s maintenance facility shall maintain a Quality Control and Inspection Requirement IAW FAA Federal Aviation Regulation Part 145. The Contractor’s quality control and inspection program shall be an internal FAA approved written plan to manage services, production processes and procedures to ensure integral quality workmanship and practices at all Contractor facilities and be used in support of the program.

The Contractor shall allow Government personnel access to the Contractor’s written quality control and inspection program.

Maintenance Records

The Contractor shall maintain maintenance and inspection records IAW FAA Federal Aviation Regulation Parts 43 and 145 to reflect all maintenance actions accomplished at Contractor’s facility or off-site by Contractor personnel.

CMP Updates The Contractor shall update CMP to reflect all maintenance actions accomplished at the Contractor’s facility or off-site by Contractor personnel.

16.6 Reporting Requirements

The Contractor shall comply with reporting requirements as defined at the DO level.

17.0 Security

This SOW shall require the Contractor to have the ability to access classified information during the performance of the contract as specified at the DO level. The Contractor shall comply with all sensitive information requirements defined at the DO level.

The Contractor shall comply with DoD 5220.22-M, National Industrial Security Program Operating Manual (NISPOM), and maintain a production facility approved for the use and storage of classified material, up to and including material classified as SECRET.

Higher classification may be required as defined at the DO level.

All Contractor personnel with access to U.S. Government unclassified e-mail/network/information systems, containing sensitive program information, shall have at a minimum a favorable National Agency Check with Written Inquiries (NACI) in accordance with DoDD 5200.2, Personnel Security Program.

17.1 Program Protection Plan or Applicable Agency Equivalent

Note: will be referenced as PPP throughout the rest of this SOW.

A PPP and supporting annexes shall be provided as Government Furnished Information (GFI) as required at DO award. The Contractor shall follow guidance in the PPP and annexes for protection of Critical Program Information (CPI) identified in the PPP. The Contractor shall, as requested by the Government, provide input for updates to the PPP and associated annexes. Any modifications or deviations to the PPP or annexes shall be made in writing by the U.S. Government PO. Requests for clarification of the PPP and annexes shall be made by the Contractor to the U.S. PO as defined at the DO level.

17.2 Critical Program Information

Contractor, including Subcontractors, shall supplement their current security practices by requiring any personnel involved in executing this contract where CPI has been identified to protect the CPI to the standards articulated in the PPP and in accordance with DoDI 5200.39, CPI Identification and Protection within Research, Development, Test and Evaluation. The Contractor shall immediately notify the U.S. Government upon the discovery of any loss or compromise of identified CPI. During delivery of the aircraft contractor shall work with the applicable agency to identify any new CPI.

17.3 Critical Component

For each Level I and Level II Mission-Critical Function identified in the PPP, the Contractor shall identify the following for each associated logic-bearing system components (e.g., hardware, firmware, and software) that implement, protect, or introduce vulnerability to that function, hereafter referred to collectively as the Critical Components (CC)

a) Company Description (Company Name, Address, Website, CAGE Code)

b) Company Type (Vendor, Integrator, OEM, etc.)

c) Brief Description of Product and/or Service Acquired

17.4 Controlled Unclassified Military Information

The Contractor shall provide adequate security to safeguard Controlled Unclassified Military Information (CUMI), Controlled Unclassified Information (CUI) and Unclassified Controlled Technical information from compromise. The Contractor shall notify the Government of any security violation, security incident, or of any indication of a potential unauthorized disclosure or compromise of classified or CUI. (A039)

The Contractor shall be responsible for control and distribution of CUMI and CUI (For Official Use Only, Personnel Privacy and Company Proprietary, and Export controlled information.) The Contractor shall comply with DoDM 5200.01, Volume 4, DoD Information Security Program: Controlled Unclassified Information (CUI), Enclosures 3 & 4, for identification, protection and training requirements of CUI. The Contractor shall be responsible for training their personnel and accomplishment of the out-processing procedures identified in Enclosure 4. The Contractor shall comply with DoDI 5230.24, Distribution Statements on Technical Documents. The Contractor shall comply with DoDM 5400.07, DoD Freedom of Information Act (FOIA) Program, requirements.

Protection of unclassified DoD information not approved for public release on non-DoD Information Systems will be protected IAW DoDI 8582.01, Security of Unclassified DoD Information on non-DoD Information Systems, Enclosure 3.

The Contractor shall safeguard CUI stored on non-DoD information systems to prevent the loss, misuse, and unauthorized access to or modification of this information. The Contractor shall ensure that Contractor-owned and operated unclassified information technology (IT) network assets (including assets used for Contractor teleworkers) used to process sensitive Government CUI are managed and maintained IAW DFARS 252.204-7012 and commercial best practices, vendor-specific, or other nationally or internationally-recognized IT configuration and management.
