The contractor shall perform non-personal R&D and related services in accordance with the Performance Work Statement (PWS), for Modeling and Simulation Research and Development (MSRD), dated 9 Mar 10, as specified in the individual Task Order. Period of performance will be at the task order level.
Note: During the course of this contract performance period it is anticipated that the Government provided facility will be relocated to another location on Patrick
AFB.

The contractor shall perform travel as required to support performance of CLIN 0001 on a cost reimbursable basis no fee, in accordance with the Joint Travel Regulations (JTR) Guidelines. Period of performance will be at the task order level.

The contractor shall furnish all necessary supplies and services required to deliver technical data and information in accordance with DD Form 1423, Contract Data Requirements List (CDRL). The cost for this CLIN is to be included in the cost of CLIN 0001. This CLIN is not separately priced.

B-1. TRAVEL AND PER DIEM
(a) Travel and per diem negotiated under CLIN 0002 shall be reimbursed in accordance with FAR 31.205-46 and the Joint Travel Regulations. The contractor shall use per diem allowance in lieu of actual subsistence expenses for all persons in travel status both within and outside the continental United States. Per diem shall be limited to the government JTR per diem schedule. Charges for transportation and car rental shall not exceed those stated in the JTR per diem schedule.
(b) Transportation by private vehicle for off-base travel shall be reimbursed on a mileage basis only, in lieu of the actual expenses of such transportation in accordance with the JTR
B-2. DATA RELEASE
Notwithstanding any other terms or conditions of this contract, no information or data, technical or otherwise, concerning this project will be released through publication, posted on the internet, or released in any other manner unless authorized in writing by the contracting officer, AF ISRA/A7KRB, 1030 South Highway A1A MS 1000, Patrick AFB, FL 32925-3002. Three to four weeks must be allowed for the processing of such requests.
B-3. CONTRACT MINIMUM/MAXIMUM AND CEILING
The guaranteed minimum is $50,000.00. The maximum amount and the ceiling for this contract awarded is $4,990,000.00. TASK ORDERS WILL BE ISSUED AS STATED IN SECTION H OF THE CONTRACT.
NOTE 1: Upon contract award, contracting officers shall not physically include Part IV in the resulting contract, but shall retain in the contract file. Section K, shall be incorporated by reference in the contract.
5332.705-2 IMPLEMENTATION OF LIMITATION OF FUNDS.
(a) The sum allotted to this contract and available for payment of costs under CLIN 0001 through (date TBD) in accordance with the clause in Section I entitled “Limitation of Funds” is (insert dollar amount).
(b) In addition to the amount allotted under the “Limitation of Funds” clause, the total amount of (dollar amount TBD) is obligated for payment of fee for work completed under CLIN 0001.
Section C – Descriptions and Specifications
The following documents, which constitute the work description, specifications and PWS to define the task requirements for performance under this contract, are hereby incorporated into this contract by reference or full text:
(a) Classified Performance Work Statement (PWS) for Modeling and Simulations Research and Development as referenced in Section J. All other exhibits and attachments are identified in Part III, Section J of this solicitation and resultant contract.
Section D - Packaging and Marking
(a) Packaging and marking of technical data to be delivered pursuant to the provisions of this contract shall be in accordance with Contractor’s standard commercial practices and the Contract Data Requirements Lists (CDRLs) (Attachment 4) and DD Form 254 (Attachment 5) as applicable.
(b) Items designated by the government Program Manager will be packed and shipped according to the Contractor’s standard commercial practice. Registered mail will be used when shipping data. When required by the urgencies arising out of the performance of the work, and when approved in advance by the government Program Manager, the Contractor may use air express or air freight services to expedite the shipment of the item.
Section E - Inspection and Acceptance
E-1. DD FORM 1423 DATA INSPECTION AND ACCEPTANCE
Inspection and acceptance of data will be at destination specified in the CDRLs (Exhibit A) hereof.
E-2. POINT OF INSPECTION
a. The government reserves the right to perform quality assurance inspections at the contractor’s place of performance identified in each task order. The government will inspect the contractor’s submissions (deliverables) and products as specified in this contract. To accomplish these inspections, the contracting officer will appoint a quality assurance evaluator (QAE).
b. Inspection and acceptance of the services at destination shall be accomplished by the QAE, AFTAC/TMK, Patrick AFB, FL 32925-3002.
E-3. DATA APPROVAL
Unless specific time limits are identified in the relevant CDRL, data item description (DID), or statement of work,, the following general rule(s) shall apply to government handling of data submissions.
a. The government shall furnish required approvals or, in lieu thereof, comments to the contractor in accordance with applicable CDRL.
b. Subject to DFARS 252.246-7001, Warranty of Data, government comments on the initial data submission shall be complete and shall not be expanded subsequently. Recurring or new defects in subsequent submissions shall be the subject of fair comment.
c. Where specified in the CDRL item, “approval” by government silence, after a stated period of time from receipt of the data item, is authorized. Automatic approval may be withheld, however, by notice to the contractor that, for reasonable cause, additional time for review is required. Action thereafter shall proceed in due course.
E-7. QUALITY ASSURANCE EVALUATOR (QAE)
Appointed Quality Assurance Evaluators (QAEs) from the functional area receiving the contract services will participate in the administration of this contract specifically to evaluate contractor performance, inspect the services for the government, and provide a report of inspection to the contracting officer. This designation does not include authority to direct and/or authorize the contractor to make changes in the scope or terms of the contract without the written authority of the contracting officer. The contractor will be notified in writing by the contracting officer of the names, duties, and limitations of the QAEs.

Pursuant to the “Government Property” clause herein, the list of property included as Attachment 4, Section J, will be made available to the contractor by the government for performance of this contract. Government furnished equipment (GFE) will be provided on an “as is” basis in accordance with Section I, FAR 52.245-1, Government Property. Routine maintenance and repair of GFE is considered to be a support service under CLIN 0001.

G-3. SUBMISSION OF INVOICES
ALL PAYMENT REQUESTS/COST VOUCHERS SHALL BE PROCESSED ELECTRONICALLY IN WAWF-
RA.
(1) Upon submission of proper cost vouchers in WAWF-RA for cost-reimbursement CLINs, the government will pay the contractor on a monthly basis for services rendered and accepted, less any deductions provided for in this contract. Payments will be made in accordance with DFARS 252.232-7003 and this clause.
(2) If direct submission to DFAS is authorized, cost vouchers for cost reimbursement CLINs shall be submitted directly to the Payment Office in WAWF-RA. If direct submission is not authorized, payment requests submitted for payment of cost reimbursement CLINs, in accordance with Section I, FAR 52.216-7 and 52.216-8, shall be submitted to the cognizant Defense Contract Audit Agency (DCAA) (designated as the Inspector in WAWF) for audit and transmission to the paying office via WAWF-RA.
(3) Upon submission of cost vouchers in WAWF-RA, a copy shall be submitted to the Contracting Office at the address in block 7 of the SF33 and the Project Officer Christopher Ramos AFTAC/TMK 1030 S. Highway A1A MS 100 Bldg 989 Patrick AFB, FL 32925.

Section H - Special Contract Requirements
H-1. ORDERING
a. Task orders will be issued and prepared by the government and include: a detailed description of the work to be accomplished; a list of SOW and other applicable references; security instructions if required; any required government inputs; expected completion date(s); a list of deliverables; and additional data as appropriate to assist the contractor in understanding the task.
b. Prior to issuance of a task order, a request for proposal will be issued with a contractor response date. The contractor shall prepare and submit a detailed technical and cost proposal, and if not previously defined, the proposed period of performance and delivery schedule. Proposals shall be submitted to the contracting office no later than the contractor response date. Proposals shall be priced on a cost-plus-fixed-fee basis using rates listed in Section J, ATCH 3, Rate Schedules. These rates may be revised once each fiscal year to adjust, if necessary, the rates for the following fiscal year, in accordance with FAR 52.216-7(e), and the contract modified accordingly.
Proposed rate changes will be based on DCAA approved billing rates or, if applicable, the most recent forward pricing rate agreement (FPRA).
c. Upon completion of negotiations, the task order will be issued by the contracting officer. Changes to task content, estimated cost, schedules, and deliverables shall be accomplished by a negotiated modification to the task order. However, the contractor may redistribute the labor hours among the categories of the task order as long as they do not exceed the dollar amount allocated for CLIN 0001 for the task order.
d. It is not anticipated that any work will begin on any task order until the task order is priced. In the event it does becomes necessary to start the work prior to completion of negotiations, the task order may be issued as a change order subject to the provisions of the FAR 52.243-2.
H-2. TASK ORDER PRICING
The cost estimated for each task order will be established using the rates proposed by the contractor and accepted by the government in Section J, ATCH 3, Rate Schedules. A fixed fee rate (%) will also be established. This fixed fee rate will be applied to the estimated cost accepted by the government to determine the fixed fee for each task order issued under this contract.
H-3. BILLING RATES
The billing rates approved by the cognizant DCAA shall be used by the contractor to invoice for the interim reimbursement of incurred costs (FAR 42.7). Such rates shall be exclusive of profit or fee. Final indirect cost rates will be negotiated in accordance with FAR 52.216-7(d), and the contract modified accordingly.
H-4. ORGANIZATION CONFLICT OF INTEREST, ALTERNATE III
(a) The Contractor may gain access to proprietary information of other companies during contract performance. The Contractor agrees to enter into company-to-company agreements to (1) protect another company’s information from unauthorized use or disclosure for as long as it is considered proprietary by the other company and (2) to refrain from using the information for any purpose other than that for which it was furnished. For information purposes, the Contractor shall furnish copies of these agreements to the Contracting Officer. These agreements are not intended to protect information, which is available to the Government or to the Contractor from other sources and furnished voluntarily without restriction.

(a) The Contractor has indicated by the response to the solicitation provision, Representation of Extent of Transportation by Sea, that it did not anticipate transporting by sea any supplies. If, however, after the award of this contract, the Contractor learns that supplies, as defined in the Transportation of Supplies by Sea clause of this contract, will be transported by sea, the Contractor—
(1) Shall notify the Contracting Officer of that fact; and
(2) Hereby agrees to comply with all the terms and conditions of the Transportation of Supplies by Sea clause of this contract.
(b) The Contractor shall include this clause, including this paragraph (b), revised as necessary to reflect the relationship of the contracting parties—
(1) In all subcontracts under this contract, if this contract is a construction contract; or

5352.201-9101 OMBUDSMAN (AUG 2005)
(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the party to another official who can resolve the concern.
(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. 52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (APR 2010)
(a)
(1) The Offeror certifies, to the best of its knowledge and belief, that --
(i) The Offeror and/or any of its Principals --

(i) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability.
This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror’s responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (APR 2010)
(a) Definitions. As used in this provision— “Administrative proceeding” means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceeding at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
“Federal contracts and grants with total value greater than $10,000,000” means—
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
