About this file

This document is a Justification for an Exception to Fair Opportunity to extend services on a firm-fixed price task order under the General Services Administration's OASIS contract. The Air Force District of Washington Contracting Directorate requires a one-month extension of the existing task order FA701419FA065 with Parsons Government Services, Inc. to provide continued International Armaments Cooperation (IAC) policy guidance, expertise, program, and administrative support. The anticipated cost for the one-month extension is $243,393.83. The justification cites the immediate and critical need for these services, as a break in service would negatively impact the mission of the Deputy Under Secretary of the Air Force for International Affairs. Parsons is the only contractor positioned to perform these highly technical and specialized requirements without interruption. The Contracting Officer will determine the price to be fair and reasonable.

(1) Contracting Activity:

Air Force District of Washington Contracting Directorate (AFDW/PK) 1500 W. Perimeter Rd. Suite 5750 JB Andrews MD 20762

(2) Nature and/or description of the action being approved:

AFDW/PKS requires approval to extend the Period of Performance (PoP) in accordance with Federal Acquisition Regulation (FAR) 52.217-8, Option to Extend Services, on a Firm Fixed-Price (FFP) Task Order (TO) FA701419FA065 with Travel CLIN and Contract Access Fee CLIN awarded on 12 March 2019 to Parsons Government Services, Inc. under the General Services Administration (GSA) One Acquisition Solution for Integrated Services (OASIS) Indefinite Delivery Indefinite Quantity (IDIQ) contract GS00Q14OADU127. The current period of performance for TO FA701419FA065 ends on 13 June 2024. Justification is required as the pricing for 52.217-8, Option to Extend Services, was not evaluated at the time of the original award as required by FAR 17.207(f). AFDW/PKS requests to exercise the Option to Extend Services clause under the existing contract through July 2024.

(3) Description of the supplies/services required to meet the agency's needs:

SAF/IAPC TO FA701419FA065 provides overall SAF Armaments Cooperation Division (IAC) policy guidance, expertise, program, and administrative support for implementation of Research, Development, Test, and Evaluation (RDT&E) and acquisition programs and projects. This support enables SAF/IAPC to advocate, establish, and implement USAF IAC strategies & policies. The division monitors DAF operational requirements, acquisition programs, and strategic plans for IAC opportunities and then advocates for cooperative solutions to support the Deputy Under Secretary of the Air Force-International Affairs.

The extension of these services are within the scope of the terms of the base level OASIS contract. The PoP will be 14 June 2024 -14 July 2024. The aggregate value of the extension for one (1) month is $243,398.83.

CLIN 5004 - Labor $230,649.00/Month CLIN 5005 - Travel $12,500.00/Month CLIN 5006 - Contract Access Fee $244.83/Month

(4) Identification of the exception to fair opportunity and the supporting rationale:

The Government has determined that SAF/IA has an immediate and critical need for these services is so urgent that providing a fair opportunity would result in unacceptable delays and approximately additional Government cost and resources to fulfill the v 18 Jan 2024 CONTROLLED UNCLASSIFIED INFORMATION Page 2 of 5v 18 Jan 2024 CONTROLLED UNCLASSIFIED INFORMATION Page 2 of 5

Department of the Air Force's requirements. Specifically, the Deputy Under Secretary of the Air Force for International Affairs (SAF/IA) has requires a one-month extension for its mission-critical International Armaments Cooperation Support Services (IACSS) requirements to avoid a break in service as AFDW/PKS completes the re-compete the follow-on effort. To have a new contractor provide this support during the one month period, would not allow for adequate transfer time, cause shortfalls and mission failure that would negatively impact the SAF/IA mission. It would be unfeasible for a new contractor to provide the highly technical and specialized requirements required in an uninterrupted manner for the performance period described. Furthermore, it would be nearly impossible and extremely difficult for a new contractor to acquire the technical knowledge and specific program expertise to pick up the contract work without a delay or unacceptable degradation in performance, resulting in unacceptable risk to the SAF/IA mission.

SAF/IA requires this extension in order to ensure mission continuity can be achieved without any break in service. SAF/IA cannot fulfill its international affairs mission with a break in service would cause a complete cessation of all International Armaments Cooperation (IAC) activities with an immediate and catastrophic impact to SAF/IA operations. These program management and support services are critical components that enable the SAF/IA International Affairs mission, are needed on a continuous basis, and require comprehensive and in-depth knowledge of Security Cooperation in the IAC domain: IAC International Agreements process, IAC Programs, and most importantly IAC budget execution. Other to ensure compliance with all international agreements, federal statutes, and regulations governing these programs. SAF/IA performs the vital DAF international cooperative research, development, test, and evaluation (RDT&E) mission. There are very few vendors that have the requisite experience. Due to the substantial expertise, knowledge, and unique skill sets required to perform each of these requirements (IAC Agreements process -presently, 16 pending IAC Agreements valued at $300M), Parsons Government Services, Inc. currently is the only contractor positioned to immediately perform all the duties required by the PWS. Further, Parsons contractor employees currently possess the required security clearances to perform all tasks, including the Top Secret/Sensitive Compartmented Information with SAP clearances required to very sensitive IAC Agreements that have SECAF, SECDEF, and the National Security Council levels of visibility. Finally, it is cost prohibitive effort for another contractor to commit the resources necessary to assume this highly technical and complex contract for only three months.

The Government has an immediate and critical need to fulfill SAF/IA's mission. Based on these facts, this acquisition precludes the fair opportunity process in accordance with FAR 16.505(b)(2)(i)(A) as the agency need for the services is so urgent that providing a fair opportunity would result in unacceptable delays.

(5) Contracting Officer's determination that the anticipated cost to the Government will be fair and reasonable:

The price/cost to the Government will be determined fair and reasonable in accordance with FAR 15.4, Contract Pricing to include, but not limited to, comparison to historical prices paid on similar contracts and comparison to the independent government estimate. A complete analysis will be conducted by the Contracting Officer to make an overall determination if price is fair and reasonable and the best value to meet the government's needs. Certified Cost or Pricing Data is not required for this procurement, as it does not exceed acquisition thresholds established in accordance with FAR 15.403-4, 10 U.S.C. chapter 271 and 41 U.S.C.

chapter 35 but the Contracting Officer will obtain data other than certified cost or pricing data, if necessary, to establish a fair and reasonable price IAW FAR 15.403-3.
