The QCM shall be available during normal duty hours to investigate and resolve all problems related to Quality Control when notified by the COR and/or Contracting Officer that a problem exists. The QCM shall be a separate individual from the Contract Project Manager or Project Superintendent.
7.4. Government Inspection: During the execution of the works the Government reserves the right to carry out all the visits and the controls that it considers necessary, also without warning. Upon completion of all contract items, the Government will perform a Final
Inspection walkthrough of the facility according to the provisions in paragraph “23, Pre-
Final and Final Inspection.”
7.5. The Government inspection does not negate the need for regular Contractor quality control, nor does it indicate either expressed or implied that all codes, safety regulations or any other criteria have been followed properly. The Contractor shall comply with all codes, safety regulations, or any other criteria.
8. Provisions on Contracting Officer’s Authority
No person other than a Contracting Officer (CO) have authority to modify the terms of this agreement. The Contracting Officer is the only person authorized to approve changes in any of the requirements under this agreement and not withstanding any provisions contained elsewhere in this agreement, the said authority remains solely with the Contracting Officer. The contractor shall not take direction from anyone other than the Contracting Officer. In the event the contractor makes any such changes at the direction of any person other than the CO, Pag. 12 of 68 the change shall be considered to have been made without authority and the Contractor may be unable to recover any expenses incurred. The CO is the only person who can obligate the
Government; input taken and acted on changes the contract (other than health/life safety concerns) in any way received from the end user, Civil Engineering, or anyone else besides the
CO is done so at the sole financial and legal responsibility of the Contractor.
8.1. Contracting Officers may delegate an individual to serve as their Contracting Officer
Representative (COR) for purposes of monitoring the technical or administrative aspects of contractor performance during the life cycle of the contract to ensure the contractor provides quality products and services according to the SOW/technical specifications. After the CO designates an individual to serve as a COR, they are responsible for ensuring they fully understand the scope of their delegated responsibilities and limitations of their authority.
9. Bare Cost
Bare Cost is obtained from the applicable DEI PRICE BOOKS, the sum of the various cost items will constitute the task order Bare Cost amount which is subject to the applicability of the coefficients as described below.
10. Description of Coefficients and applicability.
Bare cost as specified in paragraph 9 is subject to be adjusted with the use of three coefficients:
C1, C2 and C3. Coefficients are numerical factors and are defined at the SABER contract award and are not subject to change/negotiation during the life of the contract. All applicable coefficients will be applied to each TO for every contract year.
10.1 Coefficients’ description:
Coefficient 1 (C1): discount/increase coefficient applied to the Bare Costs set by the DEI Price
List. The Contractor may propose different coefficients for each different type of macro work activity.
The following “Renovation, Maintenance and Sustain Works Schedule” with coefficients shown for each macro work activity to be used for purely indicative purposes.
The Contractor shall propose coefficients for the entire term of the contract. Coefficients and escalation will not be adjusted after the initial proposal is accepted.

Coefficient 2 (C2):
Coefficient C2 is used when the order requires the execution of works in specific locations and/or hours/and or Holidays as specified below.
Coefficient C2 is comprised of the following sub-coefficients that are to be applied based on a case-by-case basis as required in each TO Request for Proposal (TORFP):
C2A: coefficient to be applied for work performed during standard hours (Monday through Friday, 7:00 AM 5:00 PM. This coefficient shall consider the fact that works will be performed in a military installation: suspension of work without advance notice, latency at the entrance gate, administrative duties for compliance abide by local regulations (i.e. ID pass requests, driving licenses obtained, specific training) shall be considered.
C2B: coefficient to be applied for works performed during non-standard hours and/or Holidays. For the list of applicable Holidays see Section H. Non-standard hours begin at 5:01 PM and end at
6:59 AM.
C2C: coefficient to be applied for works performed in RESTRICTED areas where works are to be performed under the supervision of military escorts at all times. This coefficient shall consider the fact that military escorts may not be always available on time or may leave the site without prior notice for ongoing military operations.
C2D: coefficient to be applied for works performed in the AIRFIELD area. Works in the Airfield area are subject to continuous coordination with the Airfield Management Team to not interfere with flight operations. Obtaining driving licenses for all personnel, use of precautions while driving in the airfield, special requirements for site mobilization, possible suspension of work without advance notice, maximum care in the cleaning of the work site shall be considered.
Coefficient 3 (C3):
C3 will measure the yearly inflation. The Contractor shall propose for each year a coefficient that is not subject to negotiation during contract execution.
The coefficient for each year will be the same for all the DEI price lists.
11. How the Total Project Cost is Computed
The task order computation will follow the formula:
(CxC1)*(C2A*C2B*C2C*C2D*C3)
NOTE: Only C2 coefficients applicable to the specific TORP will be considered into the calculation. C3 coefficient will refer to contract year applicable to the TORP
Find below an examples of cost computation for a TO:

− C2A = 1,02
− C2B = 1,01
− C2C = 1,02
− C2D = 1,25
− C3 = (1st year=1,02; 2nd year=1,03; 3rd year=1,04; 4th year=1,05; 5th year=1,06.
A typical Cost estimate sheet is shown in Annex 1 of “Attachment 1 – SABER Statement of
Work”.
11.1. The Contractor shall consider the following factors which affect the calculation of the coefficients:
11.1.1. The coefficients shall be established for the term of the contract.
11.1.1.1. The Price List prices are for final total cost works. There shall be no allowances added for waste, compaction, storage, shipping, staging, handling, etc.
11.1.1.2. The coefficient shall cover all items including all general conditions. In determining their coefficient, the Contractor shall include the cost for performing all services unless expressly prohibited elsewhere in this SOW or the SABER contract. The coefficient shall include but is not limited to, the following: all costs to obtain, maintain, update, etc. the Price List and cost estimating software "Primus" by ACCA SOFTWARE or similar; overhead and profit for both the prime Contractor and any subcontractors or suppliers;

(including environmental and/or tax laws); general & administrative expenses;
prime and subcontractors’ expenses; and for transportation to and from the jobsite, insurance, administrative/technical support and labor burden for the prime Contractor’s office staff and workforce.
11.1.1.3. All vehicles, office supplies/setup, administrative requirements, Personal
Protective Equipment (PPE) and equipment/tools which are customary to the trade shall be part of overhead and therefore included in the coefficients. Under normal circumstances, no equipment/tool rental shall be allowed as a direct cost to any Task Order. For example, the Contractor shall provide and maintain equipment/tools such as a generator, gasoline powered pump with hoses, laser level, flatbed trailer, etc. The cost of maintaining, operating, mobilizing, demobilizing, and transporting the Contractor’s equipment shall be included in the coefficient.
11.1.1.4. Daily clean-up shall be performed at all active project sites. It shall NOT be a direct Task Order cost but shall be paid from the coefficient.
11.1.1.5. Equipment rental shall NOT be allowed as a direct cost to any Task Order, except under special circumstances such as performing work which is not normal for a given trade. EXAMPLE: TO is issued to replace light bulbs in a high bay. Rental of a scissor lift shall be part of the TO as a direct cost because this is not a normal tool or equipment a Contractor would purchase and maintain.
11.1.1.6. Tarpaulins, temporary controls, tethers, work site signs, site security, required permits, licenses, submittals, drawings, and other risks to doing business shall be included in the coefficient.
11.1.1.7. Design fees and fees for as-built documentation will be priced per TO and shall
NOT be included in the coefficient.
12. Non-Priced Line Items (NPI)
12.1. Any item of work not found in the DEI Price Book but required under an individual TO may be negotiated by the Government as a Non-Priced Item. NPI includes only direct costs.
12.2. Non-priced items once negotiated and used in a TO will be added to Aviano Air Base additional price list as supplement to the DEI Price Book. Uses of items previously added to the Supplement in subsequent TOs shall be considered pre-priced items in those subsequent TOs.
12.3. NPIs shall not exceed 25% of the cost per TO.
Pag. 17 of 68
12.4. If the Contractor's TO proposal includes any non-priced items, the items cost shall be negotiated. The burden of justification for the dollar value of the NPI falls on the
Contractor, who shall provide documentation from a minimum of three independent sources of the actual installed cost of the item.
12.5. Excessive pass-through charges are not allowable and will be reduced or removed, if found, during the negotiation. The following documentation shall be provided at negotiations:
12.5.1. A minimum of three (3) independent written price quotes which shall include;
material(s) description with unit price and installation cost. The price quotes shall be submitted on the Vendor’s letterhead and be signed by the owner or authorized representative of the company. The Contractor and the Government will negotiate the labor hours required to install the NPI and any other appropriate mark-ups and the fixed coefficient. If three (3) suppliers cannot be found, the Contractor shall submit at least one price quote with their proposal and provide documentation of efforts taken to obtain the three (3) quotations. If the NPI has a commercially available price list, the Contractor shall submit that with the proposal. The
Government will determine price reasonableness through processes allowable under FAR Part 15 and negotiate the labor hours to install the NPI and any other appropriate mark-ups and the fixed coefficient. If price reasonableness cannot be determined and the material cost is significant, the Contractor shall break down each unit of cost the Contractor will pay for the NPI to facilitate the price reasonableness determination. If the NPI is a custom-made item, the Contractor shall submit the manufacturer’s itemized costs with their proposal.
12.6. Accessory items that don't have a separate price and that are usually required for the performance of a priced work item cannot be negotiated as a separate NPI
13. Task Order Procedures
13.1. As the need exists for performance under the terms of this contract, the Government will notify the Contractor of an existing performance requirement and request a price from the Contractor for a "one job, lump sum" Task Order. The Government will provide to the Contractor a Task Order Request for Proposal (TORFP) with a Statement of Work
(SOW) describing the work to be performed, which may include special instructions and conditions, and potentially a Material Submittal Register (AF Form 66). The Contractor
WILL NOT be reimbursed for any Pre-Task Order costs including proposal preparation and attendance during negotiations or site visits.
13.1.1. For each project or solicitation, the Contractor will be furnished with one (1) digital copy of the Government’s Statement of Work (SOW), or Specifications (if fully designed), Construction Cost Estimate Breakdown (CCEB) worksheet and drawings, if applicable, from the Contracting Officer or his/her designated
Contracting Specialist. Although the Contractor is given a design package, the
Contractor shall verify/validate existing site conditions prior to submitting their proposal package to the Government. The Contractor may reproduce the drawings
Pag. 18 of 68 and specifications at the Contractor’s own expense if additional copies are needed.
The Contractor shall check all drawings and specifications immediately upon receipt for discrepancies and notify the Contracting Officer or his/her designated representative immediately of all discrepancies found in the form of a Request for
Information (RFI). The RFI shall be forwarded to the Contracting Officer for review and in-turn forwarded to the assigned COR for review, clarification and response. Enlarged plans and details shall govern where the same work is shown at smaller scales. The Contractor shall review all drawings and verify the installation before laying out the work and shall be responsible for any errors which might have been avoided thereby. Where drawings are not provided as part of the TORFP, the Contractor shall perform field investigation, historical record research, design including construction drawings, engineering and constructability review necessary to ensure the drawings are accurate and complete.
13.1.2. The design and engineering required for this contract is at the level normally expected of a general construction contractor and considered incidental to the accomplishment of the scope of work provided by the Government. Examples of services required from the Contractor include sizing and selection of electrical and mechanical equipment and systems; sizing of electrical circuits (i.e., wiring and cable sizing; to include pole mount and pad mount transformers sizing), electrical devices, heating and ventilating air ducts, fluid piping systems and light structural framing members; lighting layout; fire detection systems; surveying;
computer aided drafting, etc.
13.2. Project Site Visit
13.2.1. After the release of a TORFP, the Government and the Contractor will schedule and conduct a pre-proposal site visit for project. Discussions held during the site visit may include, but are not limited to scope of work, method of construction, sequence of operations, progress schedule, means of access to project site, delivery and storage of materials and equipment, work restrictions, coordination requirements, project goals, liquidated damages and potential difficulties/problems. The Contractor shall email detailed site visit minutes to the
Contracting Officer within one (1) business day following the day of the site visit.
The Contracting Officer or designated Contracting Specialist shall provide consolidated site visit minutes to the Civil Engineer Squadron SABER Project
Manager(s) within two (2) business days following the site visit. The Contractor shall comply with the requirements of the clause at FAR 52.236-3, Site
Investigation and Conditions Affecting the Work.
13.2.2. Any questions asked during the site visit or identified after the site visit should be submitted as a Request for Information (RFI) to the Contracting Officer and designated Contract Specialist within seven (7) calendar days after the site visit.
13.3. On-Site Conditions
13.3.1. Drawings may not be available or provided for all locations where work will be performed. Drawings showing the location of equipment, piping, ducts and
Pag. 19 of 68 conduit, are diagrammatic and may not show every detail required. In addition, site conditions will not always permit installation in the locations shown on the concept drawings. Drawings showing equipment, piping, ducts, conduit, etc. to be removed, altered, or installed may require deviation from the configuration of the demolition or installation drawings due to existence of conflicting ducts, conduits, hangers, light fixtures, structural items, and temporary walls, etc. All such minor details of work which are not shown in the drawings, as well as such items not specifically mentioned in the specifications, but which are essential and necessary for the completion of the work, and to make all systems or equipment operational, shall be considered as incidental and shall be included as part of the work.
