1. DESCRIPTION OF SERVICES. The contractor shall provide all management, licenses, laboratory testing, tools, supplies, equipment, transportation and labor to develop and implement an Integrated Termite Extermination Management (ITEM) plan for DoD Family
Housing at various installations on Okinawa, Japan in accordance with all local, prefecture, national and federal laws and regulations. Except for those items or services specifically stated as government furnished in Para 3 of this Performance Work Statement, the contractor shall furnish everything needed to perform this contract according to all its terms.
1.1. BASIC SERVICES. The contractor's ITEM plan shall establish the strategy and methods for conducting a safe, effective, and environmentally sound termite extermination management program. Prospective contractors may review the installation's historical records of termite activity and abatement actions, survey facilities and grounds, consult with the base Pest
Management Coordinator at 634-1961 in order to develop a Termite Extermination Management plan. In developing the ITEM plan, the contractor may want to address continuous monitoring, termite response and extermination procedures, record keeping, warranties, termite extermination education and communication. The ITEM approach should use targeted (effective, environmentally sound) methods including habitat/facility modification, biological/genetic/cultural control, mechanical/physical control and where necessary, the judicious use of least hazardous pesticides. The ITEM plan shall comply with all applicable
Environmental Protection Agency (EPA), Occupational Safety and Health Administration
(OSHA), and local regulatory guidance on pesticide storage, applications, and disposal.
1.2. SERVICE REQUIREMENT. All applicable recommendations must include, but are not limited to:
Provide and install complete bait stations in the soil around the outside perimeter of the structures (Below Ground Stations) and/or Above Ground Stations (AGS) for inside the house to provide protection of structures from subterranean termite colony attack and subsequent damage. All bait stations (Requirement) shall have child resistant caps and be installed 3 meters apart. If cap(s) is/are removed or busted it must be replace immediately.
Use a proper boring device to provide access through concrete or asphalt for installation of the baiting device. Provide and install a tamper proof expandable cap after boring.
Maintain and monitor monthly those stations for 3 years from date of installation.
Installed bait stations remain the property of the Government until expiration of 3 years monitoring period is complete.
It will not be required if;
- The contract is terminated.
- Option is not exercised.
During the year, add recruit termite bait to and remove it from the stations as appropriate.
During the year, inform the government representative of:
- Any new or increased termite activity noted at the stations.
- Any addition or removal of recruit's termite bait.
- Any observed effect of the bait system on termite activity.
Should termites miss the bait stations and enter the structure, the contractor shall provide spot treatment services to eliminate the infestation in accordance with the Japan
Environmental Governing Standards (JEGS).
1.3. SERVICE CALLS. Service calls are defined as customer complaints requiring attention. The contractor shall be on the job site and working within 24 hours after notification from the government Quality Inspector (QI).
1.4. DIGGING PERMITS. Digging permit forms shall be submitted by the contractor to the following shops prior to any digging around facilities:

Permits will be submitted at the in-box at each facility and once approved picked up at the out-box. Underground lines will be marked with colored paint by respective shops.
2. SERVICES SUMMARY.
The Contractor service delivery requirements are summarized into performance objectives that relate directly to standards of performance required to meet mission essential needs. For the
Performance Objective to be met, service delivery must be in substantial compliance with applicable performance standards. The Performance Threshold describes the minimum overall levels of service delivery required for acceptable quality control. Failure to meet these
Performance Thresholds means that contractor Quality Control is unacceptable.

3. GOVERNMENT FURNISHED PROPERTY AND SERVICES.
3.1. UTILITIES. Water and electricity, where and if available, will be provided to the contractor without cost. Water faucets or valves shall be turned off when not in use. If extra lights are needed in a maintenance area, the contractor shall provide those extra lights. The government will not be responsible to provide those extra sources.
3.2. REFERENCES AND TECHNICAL DOCUMENTATION. The government will furnish to the contractor all necessary floor plans and maps and related facility information and equipment/component manufacturer's literature, when available.
3.3. SECURITY POLICE AND FIRE PROTECTION. The following telephone numbers are furnished:

3.4. FACILITIES: Facility will be the housing unit being treated.
4. GENERAL INFORMATION.
4.1 QUALITY CONTROL.
The Contractor is required to control the quality of service delivery and offer to the Government for acceptance only services which conform to contract requirements. The overall control of quality must meet the specified performance thresholds for each requirement in the Services
Summary.
4.1.1. The contractor shall develop and maintain a quality control program to ensure systematic inspection of facilities and grounds for termites, a customer service call/emergency response system for termite removal, and a continuous termite prevention education program for housing occupants. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. As a minimum the contractor shall develop quality control procedures addressing the areas identified in Para 1., Description of Services.
4.1.2. Quality Control Program (QCP) The contractor shall provide a complete Quality
Control Program (QCP) to ensure the requirements of the contract are provided as specified. The contractor shall provide a QCP describing the inspection system for the requested services listed in the PWS. The contractor shall develop and implement procedures to identify, prevent and ensure non-recurrence of unacceptable services. The contractor shall submit to the Contracting
Officer (CO) through QI for review no later than 3 weeks prior to starting of the contract. The contractor shall update the plan as changes occur and changes shall be submitted for review by the QI.
4.1.3. The contractor’s QCP shall contain, as a minimum, the following items:
a. A description of the inspection system to cover all services. Description shall include to be inspected on a scheduled or unscheduled basis, monthly inspections, and the title and organizational placement of the inspector(s).
b. A description of the methods to be used for identifying and preventing defects in the quality of service performed.
c. A description of how the records will be kept. Records must document all inspections and corrective or preventive actions taken.
4.1.4. Records of inspections shall be kept and made available to the Government throughout the contract performance period and for the period after contract completion until final settlement of any claims under this contract.
4.2. CONFORMANCE. All Contractor furnished items or materials shall conform to contract specifications. If not specified, the contractor shall use commercially standard available products.
4.3. QUALITY ASSURANCE. The government will periodically evaluate the contractor’s performance by appointing a representative(s) to monitor performance to ensure services are received. The government representative will evaluate the contractor’s performance through intermittent on-site inspections of the contractor's quality control program and receipt of complaints from the 718 th CES Housing Maintenance Flight or DoD Family Housing Occupants.
The government may inspect each task as completed or increase the number of quality control inspections if deemed appropriate because of repeated failures discovered during quality control inspections or because of repeated customer complaints. Likewise, the government may decrease the number of quality control inspections if merited by performance. The government will also investigate complaints received from various customers located on the installation. The contractor shall be responsible for initially validating customer complaints. However, the government representative shall make final determination of the validity of customer complaint(s) in cases of disagreement with customer(s).
4.3.1 The Quality Inspector (QI) is the authorized government representative(s) who will perform assessments of the contractor’s performance. Subsequent to contract award, the identity of the QI, with a letter defining their duties and authority will be promptly furnished to the successful bidder/offeror.
4.3.2 The QI will inform the contract manager in person when discrepancies occur and will request corrective action. The QI will make a notation of the discrepancy on their surveillance checklist with the date and time the discrepancy was noted and will request the contract manager
(or authorized representative) to initial the entry on the checklist.
4.3.3 Any matter concerning a change to the scope, prices, terms or conditions of this contract shall be referred to the CO through the QI.
4.3.4. The services to be performed by the contractor during the period of this contract shall at all times and places are subject to review by the QI and CO.
4.4. SECURITY REQUIREMENTS Security and base access requirements are contained in Air Force Federal Acquisition Regulation Supplement (AFFARS) clause 5352.242-9000
“Contractor Access to Air Force Installations.” Contractor employees will be required to obtain and display identification badges. Anticipate delays in getting commercial vehicles on base and allow time for commercial vehicles to reach their destination by driving designated routes at posted speed limits throughout the base. Procedures for commercial vehicle access to the base are subject to change without prior notice.
4.4.1 ID Passes, Badges and Vehicle Stickers The contractor is responsible to obtain such clearances and/or passes as required for his/her employees to enter military installations on
Okinawa prior to start to work. The contractor shall be responsible for all passes issued to his/her employees under this contract. Applications shall be coordinated through the CO or designated representative. At the time of application, Security Forces may conduct a background check on employees. Upon termination of employment, the contractor shall be responsible for returning identification cards and base passes to Security Forces within 24 hours.
4.5. PHYSICAL SECURITY The contractor shall be responsible for safeguarding all government property provided for contractor use. At the close of each work period, government facilities, property, and materials shall be secured.
4.5.1. Key Control The contractor shall establish and implement methods of ensuring that all keys/key cards issued to the contractor by the government are not lost or misplaced and are not used by unauthorized persons.
4.5.1.1. The contractor shall immediately report any occurrences of a loss of duplicate key to

In the event keys, other than master keys, are lost or duplicated, the contractor shall, upon written direction of the QI, re-key or replace the affected lock or locks; however, the government, at its option, may replace the affected lock or locks or perform re-keying. When the replacement of locks or re-keying is performed by the government, the total cost of re-keying or the replacement of the lock or locks shall be deducted from the monthly payment due the contractor. In the event a master key is lost or duplicated, all locks and keys for that system shall be replaced by the government and the total cost deducted from the monthly payment due the contractor.
4.5.1.3. The contractor shall prohibit the use of keys issued by the government by any persons other than the contractor’s employees. The contractor shall prohibit the opening of locked areas by contractor employees to permit entrance of persons other than contractor’s employees engaged in the performance of assigned work in those areas, or personnel authorized entrance by
4.5.2. Lock Combinations. The contractor shall establish and implement methods of ensuring that all lock combinations are not revealed to unauthorized persons. The contractor shall ensure that lock combinations are changed when personnel having access to the combinations no longer have a need to know such combinations. These procedures shall be included in the contractor’s
Quality Control Plan.
4.6. CONTINUATION OF ESSENTIAL DOD CONTRACTOR SERVICES DURING
CRISIS IAW DoDI 3020.37. (MANDATORY) These positions are designated as non-mission essential; therefore services will not be required when the facility is closed at the direction of the commander. This includes base closure for inclement weather. The QI will notify the contractor’s POC if the facility is closed due to inclement weather or for other reasons.
On occasion, services may be required to support an activation or exercise of contingency plans outside the normal duty hours. Emergency situations (i.e., accident and rescue operations, civil disturbances, natural disasters, military contingency operations, and exercises) may necessitate the contractor provide increased or reduced support as determined by the CO through QI.
4.7. HOURS OF OPERATION.
4.7.1. Normal Hours of Operation. The contractor shall perform the services required under this contract during the following hours: 07:00 - 16:30, Monday through Friday, except on U.S.
holidays (except to respond to service calls) specified in paragraph 4.7.1.1.of this PWS. The contractor may work, with prior approval of the CO through QI, extended hours to ensure timely completion of work at no additional cost to the government.
4.7.1.1. Recognized Holidays. The contractor is not required to provide service on the following days:

If a holiday falls on a Saturday, it will be observed on the preceding Friday. If a holiday falls on a Sunday, it will be observed on the following Monday. If Down day falls on Friday or Monday, the QI will notify the contractor two (2) days in advance.
4.7.2. Emergency Services. Reserved.
4.8. RECORDS. The contractor shall be responsible for creating, maintaining, and disposing of only those government required records that are specifically cited in this PWS Para 4.8.1. and
4.8.2. If requested by the Government, the contractor shall provide the original record or a reproducible copy of any such record within five(5) working days of receipt of the request unless otherwise specified.
4.8.1. The contractor shall develop a work schedule by coordinating each monitor/Install site representative. The schedule shall be submitted to the QI for approval no later than 25 th day prior to the start of service of the following month. This schedule shall indicate as minimum, task descriptions, dates and times, location the work shall be performed. Work should be scheduled so there is no interruption with the operation of the facility and established a routine schedule.
Any changes to the original schedule shall be revised and submitted to the QI.
4.8.2. Submission of Invoice The contractor shall submit an original, plus three (3) Copies of the invoice, no later than the 5th day of each month to the following:

An invoice is a written request for payment under the contract for supplies delivered or for services rendered. In order to be proper, an invoice should include (and in order to support the payment of interest penalties, must include) the following in accordance with FAR 52.232-25.
(a) Invoice date;
(b) Name of Contractor;
(c) Contract number;
(d) Date of sale and original receipts for items to be reimbursed;
(e) Name and address to which payment is to be sent (which must be the same as that in the contract or on a proper notice of assignment);
(f) Name (where practicable), title, telephone number and mailing address of person to be notified in event of a defective invoice; and
(g) Any other information or documentation required by the contract.
(h) While not required, the Contractor is strongly encouraged to assign an identification number to each invoice
4.8.3 Invoices shall clearly state each CLIN/SubCLIN by number and the amount invoiced under the current year CLIN/SubCLIN structure, or Delivery Order for services.
4.8.4 The QI will verify that all services have been performed in a satisfactory manner and accept services performed by generating, signing, and forwarding an original, plus three (3) copies of the DD Form 250, Material Inspection and Receiving Report, with the original plus three (3) copies of the contractor’s invoice to the 18 th Contracting Squadron within three working days for processing.
4.8.5 Payments Payment will be made in yen to the contractor upon submission of proper invoices. The paying office will be:

4.9 PERFORMANCE PERIOD. The performance period shall be as follows:
(a) Basic Year Period: 1 Oct 11 through 30 Sep 12
(b) Option One Period: 1 Oct 12 through 30 Sep 13
(c) Option Two Period: 1 Oct 13 through 30 Sep 14
4.10. ENVIRONMENTAL CONTROLS.
4.10.1. Compliance with Laws and Regulations. The contractor shall be knowledgeable of and comply with all applicable Japan Environmental Governing Standards (JEGS), and requirements regarding environmental protection. In the event environmental laws/regulations change during the term of this contract, the contractor is required to comply as such laws come into effect. If there is an increase or decrease in cost as a result of the change, the contractor shall inform the CO pursuant to notice requirements and discuss a modification to the contract.
4.10.2. Notification of Environmental Spills. If the contractor spills or releases any substance contained in 40 CFR 302 into the environment, the contractor or its agent shall immediately report the incident to Kadena AB Fire Dept at 911. The liability for the spill or release of such substances rests solely with the contractor and its agent.
4.10.3. Material Storage and Use. The contractor shall follow manufacturer’s guidelines and professional recommendations for control of humidity, temperature, cleanliness, and materials handling. This includes hazardous materials.
4.11. GOVERNMENT OBSERVATIONS. Government personnel, other than CO and QI may from time to time, with CO coordination, observe contractor operations. However, these personnel may not interfere with contractor performance or make any changes to the contract.
4.12. SAFETY REQUIREMENTS. In performing work under this contract, the contractor shall:
4.12.1. Conform to the safety requirements contained in the contract for all activities related to the accomplishment of the work.
4.12.2. Perform work in a safe manner as required by OSHA 2206, General Industry, Occupational Safety and Health Standards (29 CFR 1910) and Japan Environmental Governing
Standards (JEGS) by US Force Japan.
4.12.3. Develop and provide at the start of the orientation period or the start of the first operational performance period (if there is no orientation period) a safety plan for the protection of government facilities and property and to provide a safe work environment for contractor personnel.
4.12.4. Provide protection to government property to prevent damage during the period of time the property is under the control or in possession of the contractor.
4.12.5. Include a clause in all subcontracts to require subcontractors to comply with the safety provisions of this contract as applicable.
4.12.6. Record and report promptly (within one hour) to the contracting officer or designated government representative (GR), all available facts relating to each instance of damage to government property or injury to either contractor or government personnel.
4.12.7. In the event of an accident/mishap, take reasonable and prudent action to establish control of the accident/mishap scene, prevent further damage to persons or property, and preserve evidence until released by the accident/mishap investigative authority through Security
Police and/or Provost Marshall (See Para 3.3.).
4.12.8. If the government elects to conduct an investigation of the accident/mishap, the contractor shall cooperate fully and assist government personnel in the conduct of investigation until the investigation is completed.
4.12.9. Include a clause in each applicable subcontract requiring the subcontractor's cooperation and assistance in accident reporting and investigation.
4.13. PARTNERING AGREEMENT. The contracting officer may require a partnering agreement between the government and the contractor to ensure joint cooperation and a sound partnership of all parties involved in the execution of this contract. Partnering is the creation of a government-contractor relationship that promotes achievement of mutually beneficial goals. It involves an agreement in principle to share the risks involved in completing the project and to establish and promote a nurturing partnership environment. Representatives from each organization are encouraged to participate in developing the partnering agreement. Suggested representation is the civil engineer manager, the government inspector, the government contract administrator, the contractor’s manager and the contractor’s quality control person. All costs for the partnership agreement should be shared equally between the government and contractor.
This group is responsible for developing a formal partnering agreement that should be signed by all parties involved. The agreement should contain as a minimum: specific goals to be reached and a list of objectives to reach the goals, a set of metrics to evaluate the objectives, a frequency for meetings to review the metrics, and a statement of cooperation to execute the terms of the agreement.
4.14. PHASE OUT.
4.14.1 If there is a change in contractor or if the operation reverts to in-house, the incumbent contractor will provide familiarization, to the government or the follow-on contractor, whichever the case may be. During the phase-out familiarization period, the incumbent will be fully responsible for the operation Termite Extermination Services.
4.14.2 The government reserves the right to conduct site visits in all contractor operated facilities in conjunction with the solicitation of offers for the follow-on contract. In the event the follow-on contract is awarded to other than the incumbent, the incumbent contractor will cooperate to the extent required to permit an orderly change over to the successful contractor.
With regard to the successor contractor’s access to incumbent employees, a recruitment notice may be placed in each facility.
4.15 PUBLICATIONS.
4.15.1 Compliance with all publications, regulations and operating instructions provided by the
Government is required when:
4.15.2 They pertain to the procedures for materials expediting herein and where the contractor is authorized by the performance work statement to accomplish the work specified in the publication, regulation or operating instructions.
4.15.3 The publications prescribe USAF policies, use of materials, procedures and processes applicable to the work requirements.
4.15.4 The contractor is required to acquire and work on the latest version of the
Publication.
4.16. CONTRACTOR PERSONNEL
4.16.1. Contract Manager: the contractor shall provide a contract manager and alternate contract manager (responsible in the absence of the contract manager) who shall be responsible for the performance of the services. The names of the contract manager and alternate(s) shall be provided to the CO in writing prior to the beginning of the first performance period. The contract manager and alternate(s) must be able to read, write, speak, and understand English.
4.16.1.1. The contract manager and alternate shall have full authority to act for the contractor on all contract matters relating to daily operations of this contract.
4.16.1.2 The contract manager or alternate shall be available during normal duty hours within two (2) hours to meet on the installation with government personnel (designated by the CO) to discuss problems. After normal duty hours the manager or alternate shall be available within four
(4) hours. The additional cost to the government should not be subject for these.
4.16.2. Contractor Employees: the contractor shall not employ persons for work on this contract if such employee is identified to the contractor by the CO as a potential threat to the health, safety, security, general well being or operational mission of the installation and its population.
4.16.2.1. Contractor personnel shall present a neat appearance and be easily recognized as contractor employees. This may be accomplished by wearing distinctive clothing bearing the name of the company or by wearing appropriate badges, which contain the company name and employee name in English.
4.16.2.2. The contractor shall not employ any person who is an employee of the U.S.
Government if employing that person would create a conflict of interest. Additionally, the contractor shall not employ any person who is an employee of the Department of the Air Force, either military or civilian, unless such person seeks and receives approval according to DOD
5500-7-R Joint Ethics Regulation. The contractor shall not employ any person who is an employee of the Department of the Air Force if such employment would be contrary to the policies in AFI 64-106.
4.16.2.3. The contractor is cautioned that off-duty active military personnel hired under this contract may be subject to permanent change of station, change in duty hours or deployment.
Military Reservists and National Guard members may be subject to recall to active duty. The abrupt absence of these personnel could adversely affect the contractor’s ability to perform;
however, their absence at any time shall not constitute an excuse for nonperformance under this contract.
4.17. GOVERNMENT PERSONNEL
4.17.1. Contacting Officer (CO). The government will designate a Contracting Officer (CO) who will be the point of contact for all contract matters. The CO will assign a Contract
Administrator (CA) to act on his/her behalf. The CO will inform the contractor who will be the designated CA prior to the start of this contract.
4.17.2. Quality Inspector (QI). The government will designate a Quality Inspector (QI) who will be responsible for inspection and acceptance of contractor performed services. The contractor shall coordinate all work requirements and schedules to the designated QI.
4.18. SPECIAL QUALIFICATIONS. The contractor shall ensure employees have the current and valid professional certifications before starting work under this contract. The contactor shall furnish the brand name of the bait system to provide and install on this contract.
Any application/installation licenses, certificates and training conducted by their company/organization shall be provided. The contractor shall furnish a list of all personnel and their qualifications at the time of proposal submission for review by the CO.
4.19. HAZARDOUS MATERIAL IDENTIFICATION.
Material Safety Data Sheets (MSDS) are required as specified in the latest version of Federal
Standard No. 313 (including revisions adopted during the term of the contract) for any other material designated by a government technical representative as potentially hazardous and requiring safety controls. MSDSs must be submitted by the Contractor upon contract award.
Failure to provide MSDSs or certificate when requested could result in the Contractor being considered non-responsive and result in termination of the contract.
4.20. HAZMART. The government (HAZMART personnel) will inventory all chemicals that the Contractor brings on to Kadena Air Base or any property under the control of Kadena Air
Base. Any products that meet the criteria of “Hazardous Waste” must be bar coded and tracked until permanently removed from government property. The inventory will be performed prior to commencement of work. Criteria for identifying hazardous waste, is contained in Subpart C of
40 CFR, Part 261.
4.21. JAPANESE ROAD LAWS
4.21.1. The contractor shall comply with Japanese Road Laws while on US Military installations to specifically include: Article 43 The Road Law (Japan) (prohibited acts relative to roads). No person shall commit the following described acts:
4.21.1.1. Damaging the road, causing roads to be littered with debris, polluting the roads with debris or fallout from motor vehicles or otherwise defacing roads unreasonably or without due cause.
4.21.1.2. Article 43-2 (Measures to be taken to prevent cargo or things loaded on motor vehicles from falling out)
4.21.2. The agency managing a road may when there is reasonable cause for him to feel that items or cargo being carried in or on a motor vehicle may fall out and damage, pollute, or otherwise deface the road in such manner as to hinder or obstruct the traffic, order the operator of the vehicle in question to take steps or measures necessary to prevent occurrence of such hindrance by stopping operation of the vehicle, or correcting the method of loading or traveling or operation of the vehicle.
4.22. REQUIRED INSURANCE by JAPANESE LAW
4.22.1. The Contractor shall procure and maintain during the entire period of his performance under this contract the following minimum insurance on each vehicle used by the Contractor at the work site.
4.22.1.1. Type: Automobile Property Damage Insurance Amount: ¥3,000,000 or Dollar equivalent Bodily Injury Insurance Amount: ¥30,000,000 or Dollar equivalent
4.22.1.2. All vehicles must be properly inspected/insured in accordance with Japanese
Compulsory Insurance (JCI) requirements.
4.22.2. Prior to the commencement of work hereunder, the Contractor shall furnish to the CO a certificate or written statement of the above required insurance. The policies evidencing required insurance shall contain an endorsement to the effect that cancellation or any material change in the policies adversely affecting the interests of the U.S. Government in such insurance shall not be effective for such period as may be prescribed by the laws of the state in which this contract is to be performed and in no event less than thirty (30) days after written notice thereof to the CO.
4.23. TYPHOON SERVICES:
4.23.1. Tropical Cyclone (Typhoon) Actions. When Tropical Cyclone Condition of
Readiness 2 (TCCOR 2 or TC-2) is declared by Kadena AB Weather authorities, the contractor shall suspend Termite Extermination Services.
4.23.2. TCCOR 1C. When Tropical Cyclone Condition of Readiness 1Caution (TCCOR 1C or
TC-1C) is declared by Kadena AB Weather authorities, the contractor shall depart the military installation and monitor radio/television for changes in the Tropical Cyclone Condition of
Readiness.
4.23.3. TCCOR SW. When Tropical Cyclone Condition of Readiness “STORM WATCH”
(TCCORSW or TC-SW) is declared by Kadena AB Weather authorities, normal cleaning schedules shall be resumed.
