(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the

Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1)in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the

Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract expiration.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days of contract expired; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 3 years.

252.225-7043 ANTITERRORISM/FORCE PROTECTION POLICY FOR DEFENSE CONTRACTORS

OUTSIDE THE UNITED STATES (MAR 2006)

(a) Definition. United States, as used in this clause, means, the 50 States, the District of Columbia, and outlying areas.

(b) Except as provided in paragraph (c) of this clause, the Contractor and its subcontractors, if performing or traveling outside the United States under this contract, shall--

(1) Affiliate with the Overseas Security Advisory Council, if the Contractor or subcontractor is a U.S. entity;

(2) Ensure that Contractor and subcontractor personnel who are U.S. nationals and are in-country on a non-transitory basis, register with the U.S. Embassy, and that Contractor and subcontractor personnel who are third country nationals comply with any security related requirements of the Embassy of their nationality;

(3) Provide, to Contractor and subcontractor personnel, antiterrorism/force protection awareness information commensurate with that which the Department of Defense (DoD) provides to its military and civilian personnel and their families, to the extent such information can be made available prior to travel outside the United States;

and

(4) Obtain and comply with the most current antiterrorism/force protection guidance for Contractor and subcontractor personnel.

(c) The requirements of this clause do not apply to any subcontractor that is--

(1) A foreign government;

(2) A representative of a foreign government; or

(3) A foreign corporation wholly owned by a foreign government.

(d) Information and guidance pertaining to DoD antiterrorism/force protection can be obtained from HQ

5352.242-9000 Contractor access to Air Force installations.

As prescribed in 5342.490-1, insert a clause substantially the same as the following clause in solicitations and contracts:

CONTRACTOR ACCESS TO AIR FORCE INSTALLATIONS (AUGUST 2007)

(a) The contractor shall obtain base identification and vehicle passes, if required, for all contractor personnel who make frequent visits to or perform work on the Air Force installation(s) cited in the contract. Contractor personnel are required to wear or prominently display installation identification badges or contractor-furnished, contractor identification badges while visiting or performing work on the installation.

(b) The contractor shall submit a written request on company letterhead to the contracting officer listing the following: contract number, location of work site, start and stop dates, and names of employees and subcontractor employees needing access to the base. The letter will also specify the individual(s) authorized to sign for a request for base identification credentials or vehicle passes. The contracting officer will endorse the request and forward it to the issuing base pass and registration office or security police for processing. When reporting to the registration office, the authorized contractor individual(s) should provide a valid driver’s license, current vehicle registration, valid vehicle insurance certificate, and valid driver’s base pass to Kadena AB, Okinawa in order to obtain a vehicle pass.

(c) During performance of the contract, the contractor shall be responsible for obtaining required identification for newly assigned personnel and for prompt return of credentials and vehicle passes for any employee who no longer requires access to the work site.

(d) When work under this contract requires unescorted entry to controlled or restricted areas, the contractor shall comply with AFI 31-101, Volume 1, The Air Force Installation Security Program, and AFI 31-501, Personnel

Security Program Management, as applicable.

(e) Upon completion or termination of the contract or expiration of the identification passes, the prime contractor shall ensure that all base identification passes issued to employees and subcontractor employees are returned to the issuing office.

(f) Failure to comply with these requirements may result in withholding of final payment.

SECTION I – DESCRIPTIONS OF SERVICES

1.0. OBJECTIVE. The Contractor shall provide Auxiliary Catholic Chaplain services for the Holy Family

Catholic Community at Kadena Chapel and duties shall include, but are not limited to: conduct Roman

Catholic Mass, provide for the Sacrament of Reconciliation/ Confession, provide additional sacramental ministrations during/outside of Mass, provide Catholic pastoral counseling as needed, conduct conferences and provide services to be performed at any of the chapel facilities.

1.0.1. REGULAR SERVICES. Provide Masses, sacrament of reconciliation/confession and other services.

Number of services will be limited to amount of contract. Your services will be requested by the Senior

Catholic Chaplain. Maintain liaison with the Senior Catholic Chaplain before, during and after all services.

1.0.2. SCHEDULED SERVICES. The Senior Catholic Chaplain will provide a schedule of days and times when services (except for emergencies) are required. Schedule will be made for a month at a time and shall be coordinated with the Contractor prior to issuance. Schedule will be provided to the Contractor several days prior to the beginning of the month in which it takes effect. These services are in support of the overall Catholic Community program and chapel contingency support plan. Therefore, while active duty

Catholic Chaplains are available, the services of this Contractor will be minimal but will be utilized so as to keep the Contractor’s training and experience with the community at a high standard. In the event of the deployment of the active duty Catholic Chaplain(s), the need for the services of this Contractor may increase.

1.1. GENERAL SCOPE. Conduct Roman Catholic Mass. Masses are on weekdays and weekends. The current schedule of Masses is as follows: Daily Mass is held Monday through Friday at 12:00 PM. Weekend Mass is held on Sunday at 8:30 AM, 12:30 PM, and 5:00 PM. The Sacrament of Reconciliation is normally celebrated on Sunday from 11:30 AM – 12:15 PM. but is subject to change. The Contractor shall provide additional sacramental ministrations during/outside of Mass, as well as pastoral counseling, and conduct conferences (e.g. Pre-Marriage Seminar). These additional ministrations may be scheduled in advance but will be required on an as needed basis (i.e. emergency counseling).

SECTION III – GOVERNMENT-FURNISHED PROPERTY AND SERVICES

3.0. GENERAL. The Government will provide the following equipment, supplies, and services listed below:

3.1. FACILITIES. The Contractor shall perform duties at appropriated chapel facility.

3.2. EQUIPMENT. Contract personnel shall have availability and access to Government furnished equipment for performing services required by this contract. This includes liturgical vestments. Items are not to be removed from the facilities.

3.3. HOUSKEEPING. The Government shall provide routine housekeeping services.

SECTION IV – GENERAL INFORMATION

4.0. QUALITY ASSURANCE. The Government will monitor the Contractor’s performance. The Government may increase or decrease the number of quality assurance inspections as performance indicates. The

Government reserves the right to inspect all of the Contractor’s performance to ensure services are received.

The Contracting Officer (CO), Quality Assurance Personnel (QAP), or Contractor may hold performance meetings regularly or as requested.

4.1. HOURS OF OPERATION. The Contractor shall maintain the following service schedule to conduct weekly business: Schedule of service will be provided on a monthly basis.

4.2. SECURITY REQUIRMENTS.

4.2.1. The Contractor shall establish and implement methods of ensuring that all keys issued to the Contractor by the Government are not lost or misplaced and are not used by unauthorized persons. The Contractor shall report lost keys to the Kadena Chapel staff. The Contractor shall not duplicate any keys.

4.2.2. The Government may, at its option, require the Contractor to replace keys, reimburse the Government for the replacement of locks, or re-key as a result of Contractor losing keys.

4.3. SPECIAL QUALIFICATIONS.

4.3.1. The Contractor must be an ordained Roman Catholic Priest, be in good standing with the Archdiocese for the Military Services, the Diocese of Naha, and his Religious Order (where applicable). He must be able to conduct Mass and Sacramental Rites in the English language and be available to respond to and provide pastoral assistance on short notice. The Contractor shall understand the importance of chaplains’ requests and deadlines. The Contractor must have the ability to provide chapel services and have good organizational skills. The Contractor must be able to work with and cooperate with chaplains, chaplain assistants, and other contracted lay people.

4.3.2. Contractor personnel shall present a clean, neat appearance and be easily recognized.

4.3.3. Smoking is not permitted in any government building or work area. Smoking is authorized only in designated areas.

4.4. LEAVE/TEMPORARY ABSENCE.

4.4.1. The Contractor shall notify the responsible Senior Catholic Chaplain at least five (5) working days in advance for any planned absence. Regardless of the reason for his absence, the Contractor shall assist in coordinating with the Senior Catholic Chaplain, or in his absence the Wing Chaplain or suitable designee, to establish a contingency plan to accommodate community needs. The replacement priest must be acceptable to the Senior Catholic Chaplain. The Government will not be responsible for ensuring a replacement is obtained or receives payment for service provided. No one other than the Contractor shall be paid from appropriated funds for the services provided. Any replacement provided by the Contractor shall not be authorized to submit invoices for services rendered.

4.4.2. The Contractor shall notify QAP in advance of scheduled leave and accommodate the chapel’s schedule for leave periods of two weeks or more.

4.4.3. The Contactor shall not employ persons for work on the contact if such employee is identified to the

Contractor by the Contracting Office as a potential threat to the health, safety, security, general well being, or operational mission of the installation and its population. The personnel performing this duty shall be responsible for the performance of the work and shall have full authority to act for the Contractor on all matters relating to daily contract operations.

4.4.4. The Contractor shall not employ any person who is an employee of the U.S. Government if employing that person would create a conflict of interest. Additionally, the Contractor shall not employ any person who is an employee of the U.S. military, unless such person seeks and receives approval in accordance with Joint

Ethics Regulation. The Contractor shall not employ any person who is an employee of the Department of the Air force if such an employment would be contrary to Air Force Policies.

4.5. PASSES FOR CONTRACTOR

4.5.1. The Contractor shall obtain identification cards and base passes for self and vehicle. Application shall be coordinated through the CO or designated representative. At time of application, Security Forces may conduct a background check. The Contractor shall be responsible for all passes issued to him under this contract. The Contractor shall return all applicable base passes upon termination of employment or completion of this contract to return identification cards and base passes to Security Forces within 24 hours.

4.6. SUBMISSION OF INVOICES. The Contractor shall submit an invoice via mail, fax, or electronically to the address below. Contact the Quality Assurance Personnel for current fax and email address.

An invoice is a written request for payment under the contract for supplies delivered or services rendered. In order to be proper, an invoice must include (and in order to support the payment of interest penalties) the information required by FAR Clause 52.212-4 as follows:

(i) Invoice date;

(ii) Name of Contractor;

(iii) Contract number, Contract Line Item Number (CLIN);

(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;

(v) Terms of any prompt payment discount offered;

(v) Name and address to which payment is to be sent;

(vi) Name (where practicable), title, telephone number and mailing address of person to be notified in event of a defective invoice; and

(vii) Any other information or documentation required by the contract.

(viii) While not required, the Contractor is strongly encouraged to assign an identification number to each invoice

Invoices shall clearly state each CLIN/SubCLIN by number and the amount invoiced under the current year

CLIN/SubCLIN structure, and/or Purchase Order for services.

The Quality Assurance Personnel will verify that all services have been performed in a satisfactory manner and accept services performed by generating, signing, and forwarding a DD Form 250, Material Inspection and

Receiving Report, with a copy of the contractor’s invoice to the address below within three working days for payment.

Upon certification of the contractor’s invoice by QAP, a copy of the invoice and DD Form 250 shall be provided to 18th Contracting Squadron within three (3) working days for contract file.

4.7. REQUIRED INSURANCE (in addition to that required by Japanese Law).

(a) The Contractor shall procure and maintain during the entire period of his performance under this contract the following minimum insurance on each vehicle used by the Contractor at the work cite:

Type: Automobile Property Damage Insurance Amount: ¥ 3,000,000 or Dollar equivalent

Bodily Injury Insurance: ¥ 30,000,000 or Dollar equivalent

All vehicles must be properly inspected/insured in accordance with Japanese Compulsory Insurance (JCI) requirements.

(b) Prior to the commencement of work hereunder, the Contractor shall furnish to the Contracting Officer a certificate or written statement of the above required insurance. The policies evidencing required insurance shall contain an endorsement to the effect that cancellation or any material change in the policies adversely affecting the interests of the U.S. Government in such insurance shall not be effective for such period as may be prescribed by the laws of the state in which this contract is to be performed and in no event less than thirty (30) days after written notice thereof to the Contracting Officer.

(c) The Contractor agrees to insert the substance of this clause, including this Paragraph (c) in all subcontracts hereunder.
