SECTION 1 – DESCRIPTION OF SERVICES/GENERAL INFORMATION
1. DESCRIPTION OF SERVICES. The contractor shall provide all necessary personnel, supervision, management, tools, equipment, transportation, materials and any other items or services necessary to support the U.S. Army/Japanese Ground Self Defense Forces (JGSDF) bilateral Exercise Orient Shield 2010 (OS10) in accordance with this Performance-Based Work Statement (PWS), the attached appendices and with commercial standards, local standards, Japanese ordinances and Japanese laws. These services shall be performed at the same levels as in the commercial marketplace to the maximum extent possible.
1.1. TYPE OF SERVICES REQUIRED. The contractor shall perform the following listed services:
(a) The contractor shall perform the required Refrigerated (Reefer) Van & Dry Storage Container services as listed in Appendix number one (#1) of this PWS and all supplemental instructions by the Contracting Officer/Government Representative (CO/GR).
(b) The contractor shall coordinate all aspects of this project with the designated CO/GR.
1.2. DESCRIPTION OF MATERIALS. The contractor shall provide all non-consumable supplies needed to perform all aspects of this contract.
1.3. INTERFERENCE WITH GOVERNMENT OPERATIONS. The contractor shall make every effort to schedule its activities so as not to interfere with U.S. Government operations. In the event the nature of the work may become such interference necessary, the contractor shall provide the GR with a minimum of five (5) days advance notification of the proposed work.
1.4. GENERAL INFORMATION.
1.4.1. QUALITY CONTROL. The contractor shall develop a Quality Control Program (QCP) to ensure services are performed in accordance with this PWS. A QCP shall be established and implemented by the contractor in order to identify and prevent defects or deficiencies in the quality of service performed.
1.4.2. QUALITY ASSURANCE. The Government will evaluate the contractor’s performance by appointing a GR to monitor performance to ensure services are received in accordance with this PWS. The U.S. Government reserves the right to increase or decrease the frequency of inspections being conducted based on the progress of the contractor, reported concerns, or perceived issues with the performance of contracted services.
1.4.3. GOVERNMENT REMEDIES. The Contracting Officer will follow Federal Acquisition Regulation (FAR) 52.212-4, Contract Terms and Conditions-Commercial Items for Contractor’s failure to perform satisfactory services or failure to correct non-conforming services.
1.4.4. CONTRACTOR PERSONNEL
(a) CONTRACT MANAGER. The contractor shall provide a contract manager who shall be responsible for all requirements in this PWS. No later than (NLT) five (5) days after contract award, the name of this person and an alternate and or alternates, who shall act for contractor when manager is absent, shall be designated in writing to CO/GR. The contractor shall provide telephone numbers of contract manager and alternate(s) for other than normal duty hours. He/She must be able to read, speak, and write English. Contract manager or alternate(s) shall have full authority to act for contractor on contract matters relating to daily operation of contract.
(b) EMERGENCY POINT(s) OF CONTACT. Contractor shall provide a point of contact (POC) sheet listing available twenty-four (24) hours a day with names and telephone numbers of individuals to call in the event emergency service is required for any aspect of this contract. The contractor shall respond to all emergency calls within twelve (12) hours from the time the call is placed.
(c) CONTRACTOR EMPLOYEES. The contractor personnel shall be easily recognizable as contractor employees. This may be accomplished by wearing distinctive clothing bearing the name of the company or by wearing appropriate badges, which contain the contractor’s company name and the employee’s name. The contractor shall not employ personnel who have been identified to the contractor as a potential threat to health, safety, security, general well being or operational mission of the installation or its population.
(d) Removal of Contractor’s Employees. The contractor shall utilize only experienced, responsible and capable employees in the performance of this contract. The CO/GR may require that the contractor remove from the Government job any of his/her employees who endanger persons or property, or whose continued employment under this contract is inconsistent with the interests of military security.
(e) THIRD COUNTRY NATIONALS (TCN). The Security Forces on each installation control access to the installation. Under certain circumstances, Third Country National (TCN) personnel may be denied entry. It is the contractor’s responsibility to coordinate with Security Forces at each installation when there is a question about particular circumstances.
(f) U.S. GOVERNMENT OR JAPANESE NATIONAL EMPLOYEES. The contractor shall not hire employees of the United States Government and/or Master Labor Contract employees in violation of the Procurement Integrity Act. See FAR Section 3.104. Further, the contractor shall not employ any Department of Defense employee, either military or civilian, unless such person seeks and receives approval in accordance with Department of Defense 5500.7-R, Joint Ethics Regulation.
(g) MILITARY PERSONNEL. The contractor is cautioned that off-duty active military personnel hired under this contract may be subject to permanent change of station (PCS), change in duty hours, or deployment. Military Reservists and National Guard members may be subject to recall to active duty. Abrupt absence of these personnel could adversely affect contractor’s ability to perform; however, their absence at any time shall not constitute an excuse for non-performance under this contract
(h) ACCOUNTING FOR CONTRACTED SERVICES REQUIREMENT. Due to a requirement at the U.S. Department of Army (DA) level, all service related contracts are required to report personnel information on all service related contract employees needed to meet contracted service requirements. The requirements mandated by DA are stipulated in the following paragraph.
a. The Officer of the Assistant Secretary of the Army (Manpower & Reserve Affairs) operates and maintains a secure Army collection site where the contractor will report ALL contractor manpower (including subcontractor manpower) required for performance of this contract. The contractor is required to completely fill in all the information in the format using the following web address: https://contractormanpower.army.pentagon.mil. This required information includes:
i. Contracting Office, Contracting Officer, Contracting Officer’s Technical
Representative
ii. Contract number, including task and delivery order number
iii. Beginning and ending dates covered by reporting period
iv. Contractor number, address, phone number, e-mail address , identity of contractor employee entering data
v. Estimated direct labor hours (including subcontractors)
vi. Estimated direct labor dollars paid this reporting period (including subcontractors)
vii. Total payments (including subcontractors)
viii. Predominant Federal Service Code (FSC) reflecting services provided by contractor (and separate predominant FSC for each subcontractor if different)
ix. Estimated data collection cost
x. Organizational title associated with the Unit Identification Code (UIC) for the Army Requiring Agency (the Army Requiring Activity is responsible for providing the contractor with its UIC for the purposes of reporting this information)
xi. Locations where contractor and subcontractors perform the work (specified by zip code in the United States and nearest city, county, when in an overseas location, using standardized nomenclature provided on website)
xii. Presence of deployment or contingency contract language
xiii. Number of contractor and subcontractor employees deployed in theater this reporting period (by country)
As part of its submission, the contractor will also provide the estimated total cost (if any) incurred to comply with this reporting requirement. Reporting period will be of performance not to exceed twelve (12) months ending thirty (30) September of each government fiscal year and must be reported by thirty-one (31) October of each calendar year. The contractor may use a direct Mark-up Language (XML) data transfer to the database server or fill in the field on the website. The XML direct transfer is a format for transferring files from a contractor’s system to the secure web site without the need for separate data entries for each data element at the web site. The specific formats for the XML direct transfer may be downloaded from the web site.
b. The FSC does not apply to Japanese contractors; Not Applicable (N/A) should be entered into this field.
c. The UIC for United States Army Japan Host Nation section is W6C0AA.
d. Use Camp Imazu, Ootomo Barracks and Aibano Training Area, Shiga-Ken, Japan for the locations where contractor or subcontractor performed the work.
e. No deployment of contingency contract language will be used in the contract; NA should be entered into this field.
f. No contractor of subcontractor employees will be deployed in theater for this contract; N/A should be entered into this field.
1.4. 5. INSTALLATION / BASE PASSES. Installation/Base Passes and Controlled Area Badges for contractor personnel are issued at no cost to the contractor. The contractor shall ensure each employee obtains required pass and identification items for access to Camp Imazu, Ootomo Barracks and Aibano Training Area, Shiga-Ken, Japan. The contractor shall return all applicable passes upon termination of employment or completion of this contract. All other government identification for terminated employees shall be returned to the issuing office within 24 hours of termination, and a certificate of receipt shall be obtained. Additionally, all contractor personnel shall be in compliance with all Japanese and designated location‘s Motor Vehicle Code requirements pertaining to operation requirements.
1.4.6. PERSONNEL LIST. The contractor shall provide a complete roster of all personnel (includes contract manager and alternate contract manager[s] as appropriate) to Contracting Office NLT five (5) days after contract award. Roster must include name, address and telephone number of employee. The contractor shall maintain a current listing of employees, providing updates as changes occur.
1.4.7. INSTALLATION SAFETY/FIRE REGULATIONS. The contractor is responsible for job site safety and fire prevention. Standard base procedures will be provided by the Contracting Officer or the GR at the job site.
1.4.8. REPORTS OF DAMAGES, DESTRUCTION, INJURY, OR DEATH
(a) The contractor shall report all incidents of damage or destruction to property, or personal injury or death to any person, arising out of and during the performance of this contract. For the purposes of this clause, the term “property” includes equipment, material, supplies, freight, or property of any type, whether Government owned or not. The term “contractor” includes the contractor, its agents, servants or employees.
(b) The contractor shall submit these reports to the CO/GR as follows:
(1) A preliminary report shall be made as soon as practicable after the time the incident occurs. Report may be either verbal or facsimile.
(2) A complete written report shall be submitted within ninety-six (96) hours after occurrence of the incident. A copy of this report shall be furnished to the GR.
1.4.9. HAZARDOUS MATERIALS. All hazardous materials must be contained and stored in the appropriate storage containers and/or cabinets. The contractor shall immediately report spills or releases of hazardous materials to the CO/GR and Contracting Office. The contractor shall be liable for containment and environmental cleanup of spill or release of such substance. contractor shall follow manufacturer’s guidelines and professional recommendations for control of humidity, temperature, cleanliness, and materials handling. The contractor shall comply with environmental and hazardous materials storage and handling requirements and maintain current Material Safety Data Sheets (MSDS).
1.4.10. ENVIRONMENTAL AND HAZARDOUS MATERIAL HANDLING. The contractor shall comply with municipal environmental laws to protect the health and safety of employees/residents and minimize or eliminate environmental pollution.
1.4.11. DISPOSAL OF MATERIALS: All debris generated from the work shall be removed from the job site and disposed by the contractor in accordance with the laws of Japan.
1.4.12. RESPONSIBILTY FOR DAMAGES. Any damages caused to U.S. Government/JGSDF property during the course of performing this contract shall be restored, replaced and/or repaired to its original condition at no additional cost to the U.S. Government.
1.4.13. OFF LIMITS SIGNS. The contractor shall provide and post “OFF LIMITS” signs in both English and Japanese and post them as appropriate or required.
1.4.14. HOURS OF OPERATION.
(a) AVAILABILITY OF FACILITIES. The facilities will be made available to the contractor from 0430-2000 hours, Sunday through Saturday, seven days per week to include any U.S. or Japanese holidays. Access to the facilities outside of these hours may be authorized by the CO/GR with prior coordination by the contractor.
(b) ON-SITE HOURS. The hours of operation for performing these services are identified in Appendix number one (#1). In the event the CO/GR requests a temporary shutdown of the jobsite, the contractor will be notified verbally and in writing. Any U.S. Government caused delays resulting in a temporary shutdown may require an adjustment to the contract and will be coordinated through the Contracting Office.
(c) U.S. LEGAL HOLIDAYS. Recognized US legal holidays are listed below. Holiday falling on a Saturday may be observed on the preceding Friday. Holidays falling on a Sunday may be observed on the following Monday.

1.4.15. CONSERVATION OF UTILITIES. The contractor shall instruct employees in utilities conservation practices. The contractor shall be responsible for operating under conditions that prevent waste of utilities.
1.4.16. PERFORMANCE OF SERVICES DURING CRISIS DECLARED BY SECRETARY OF DEFENSE OR THE OVERSEES COMBATANT COMMANDER. This provision is not applicable since no services are required during the crisis. The Contracting Office or CO/GR shall notify the contractor, by any means of communication available. There shall be no costs paid by the U.S. Government to the contractor during a crisis except those costs incurred for work performed under this contract and PWS.
SECTION 2
GOVERNMENT FURNISHED PROPERTY AND SERVICES
2. GOVERNMENT FURNISHED PROPERTY AND SERVICES.
2.1. UTILITIES. Water, electricity, and sewage as determined necessary to fulfill the needs of this contract will be provided to the contractor without cost.
2.2. SUPPLIES. Reserved.
2.3. SECURITY FORCES AND FIRE PROTECTION. Upon request for assistance, the following units will provide services on base as necessary:
(a) Base Security Forces Telephone 110
(b) Base Fire Department Telephone 119
(c) Base Emergency Telephone 119 Phone numbers to be verified at exercise site.

TWENTY-FOOT (20’) REFRIGERATION VAN
(FROZEN AND CHILLED) AND TWENTY (20’) DRY STORAGE VAN
Performance Period:
4 – 21 Oct 2009
Performance Location:
Aibano Training Area / Kirihata Tent Area, Shiga Pref, Japan Scope of Required Service: Total requirement is 1 (ea) 20ft refrigeration van (chill); 1 (ea) 20ft refrigeration van (frozen); 1 (ea) 20ft dry storage containers. Contractor shall provide the required number of electrical powered, forty-foot (20’) refrigerated vans, properly cleaned and prepared for food storage. Delivery of all items will be required no later than 4 October 2009 at 1500 hrs to the locations specified by the government representative. When the containers will be set down on the ground, Contractor shall reinforce the installation surface to make the container level. Contractor will not be required to set any shelves in side of the containers.

Performance Period:
4 – 21 Oct 2009 Scope of Required Service: Contractor shall provide one (1) electrical powered, twenty-foot (20’) refrigerated van (chilled), properly cleaned and prepared for food storage. Delivery of all items will be required no later than 4 Oct 2009 at 1500, pick up at 21 Oct 09 1400 hrs to the locations specified by the government representative.
Specifications:
1. Refrigeration temperature range: Minus 18 degrees Celsius (-.4 degrees Fahrenheit) to Plus 18 degrees Celsius (+64.4 degrees Fahrenheit)
2. Unit specifications: 200 Volt (35 ampere), 3-phase wiring type (non-fuel)
3. Inside dimensions: 20-foot container:
· Length: 5,725mm (225.4”)
· Width: 1,100mm (43.3”)
· Height: 1.100mm (43.3”)

SPECIAL INSTRUCTIONS
a. Contractor shall be responsible for delivery and pick-up of the containers, unloading and loading of the containers and the cleaning of the containers upon pick-up. Containers shall be delivered by 1500 hrs on 4 Oct 2009.
b. Contractor has 12 hours to repair or replace Frozen and Chilled containers once notified by the GR, and 24 hours to repair or replace Dry Storage container.
c. Reefer containers and Dry Storage container shall be picked-up by 1400 hours 21 Oct 2009 by the contractor.
d. The contractor shall repair a container or provide a suitable replacement if a rented container becomes inoperable, including pick-up of the inoperable containers and delivery of a replacement container at no additional cost to the U.S. Government.
e. Upon delivery, all containers must be cleaned and free of odors that could contaminate stored products.
f. The contractor shall provide insurance coverage as necessary. Estimated coverage will be around $175,000 per day.
g. The contractor shall coordinate with one of the specified GR to confirm delivery and pick-up times.
Government Representative: The primary authorized U.S. Government Representative for this contract is SFC Marlon Slade, SPO NCO (256-2480) and the alternate is Calvin Vance, USARJ G3, Support Operations Specialist at (DSN) 263-3673. The authorized CO for this contract is Mr. Masaki Sato, 374th Contracting Squadron, Yokota Air Force Base, Honshu, Japan at DSN 225-7544.
