SOLE SOURCE JUSTIFICATION FOR COMMERCIAL ITEMS TEST PROGRAM
I. CONTRACTING ACTIVITY
Department of the Air Force, Air Combat Command (ACC), Acquisition Management and Integration Center (AMIC), ACC AMIC/PKD, 11817 Canon Blvd., Suite 306, Newport News, VA 23606.
Purchase request number FA4890-15-N-CNGT2 (due to DEAMS transition).
II. NATURE AND/OR DESCRIPTION OF THE ACTION BEING PROCESSED
This action is for the award of a firm-fixed price contract to Overwatch Systems Limited to provide Intelligence Monitoring, Pattern Analysis and Collection Toolkit (IMPACT™) technical training services for the . This requirement requires the contractor to develop a training Plan of Instruction (POI) and associated course material, and provide IMPACT™ training for up to 10 technicians at a contractor provided facility. Training is required to be no more than 5 consecutive days and 50 hours in duration, and conducted in Latin American Spanish. The Contractor will provide all personnel, courseware, equipment and materials necessary to completely execute the training needed. IMPACT™ POI and course material and training will include the following Tier 1 help desk topics: installation; configuration; set-up and uninstall the software; database maintenance; system networking; and troubleshooting methods and techniques. Training will be taught by intelligence professionals, skilled on IMPACT™ products, with the ability to communicate with students in Latin American Spanish and USG representatives in English.
The Department of Defense (DoD) Counter Narcoterrorism Program Office (CNTPO) currently being managed by ACC AMIC Counter Narcotics & Global Threats Division (CN>). CN > was established to create worldwide counter narcotics technology networks, infrastructures, and capabilities focused on the detection, identification, and disruption of narcotics activities and organizations.
US Northern Command (NORTHCOM), Security Cooperation Program provides homeland defense and supports the United States Government (USG) regional counter narcotics partner, the
. NORTHCOMs Security Cooperation Program supports this partnership by building an intelligence capacity within North and Central America to combat Transnational Criminal Organizations threats.
In 2013 and 2014, NORTHCOM purchased 32 desktops, 215 laptops and 22 servers for the . Intelligence Monitoring, Pattern Analysis and Collection Toolkit (IMPACT™) programs were installed on each of the systems.
IMPACT™ assists users in easily collecting, linking, visualizing and analyzing information related to real-world situations. The program enables analysts to transform disparate information into actionable solutions. Visualizing and understanding disparate data points fosters deeper understanding and sharpens agencies’ situational awareness. IMPACT™ is a proprietary software product of Overwatch Systems Limited in Austin, Texas.
IMPACT™ software is currently being used in the to build intelligence capacity, disrupt and degrade counternarcotic threats and combat transnational criminal organizations. The initial purchase of the equipment did not provide technical training for the ; as a result, the is unable to conduct immediate, on-site troubleshooting and repair for their IMPACT™ programs. Currently, US Army Northern Command (ARNORTH) is providing limited technical support; however, ARNORTH is not designed to provide technical support to the on a long term basis. As a result the requests the USG provide IMPACT™ technical training support and deliver instructional services to equip the with the technical knowledge, skills and abilities necessary to successfully operate the IMPACT™ program.
Training can be completed within the United States; however, training must be executed in Latin American Spanish.
IMPACT™ technical training services requested by the are available from only one responsible source, Overwatch Systems, Ltd. As the company that developed the IMPACT™ they are the only responsible source with software engineers and technicians capable of providing the technical training for troubleshooting and maintaining the software. Additionally, Overwatch has IMPACT™ technical trainers fluent in Latin American Spanish. The services requested demonstrate a unique and innovative concept which only Overwatch Systems, Limited, can provide.
III. DESCRIPTION OF THE SUPPLIES/SERVICES REQUIRED TO MEET THE
AGENCY’S NEEDS
The estimated value of this procurement is $255,000 with a period of performance of 10 July 2015 to 30 September 2015. The performance requirements consists of developing a training POI and associated course material, and providing IMPACT™ training for up to 10 technicians at a contractor provided facility. Training would be no more than 5 consecutive days and 50 hours in duration, and conducted in Latin American Spanish. The Contractor will provide all personnel, courseware, equipment and materials necessary to complete execute the training need.
IMPACT™ POI and course material and training would include the following Tier 1 help desk topics:
installation; configuration; set-up and uninstall the software; database maintenance; system networking; and troubleshooting methods and techniques. Training will be taught by intelligence professionals, skilled on IMPACT™, with the ability to communicate with Mexican Military students in Latin American Spanish and USG representatives in English.
IV. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN
COMPETITION
Test Program for Commercial Items Section 4202 of the Clinger-Cohen Act of 1996, as implemented by FAR 13.5.
V. DEMONSTRATION THAT THE CONTRACTOR’S UNIQUE QUALIFICATIONS OR
NATURE OF THE ACQUISITION REQUIRES THE USE OF THE AUTHORITY CITED
ABOVE (APPLICABILITY OF AUTHORITY)
This action is being conducted as a sole source, using simplified acquisition procedures, under the authority of the Test Program for Commercial Items, as implemented by FAR Subpart 13.5.
IMPACT™ technical training services are available from only one responsible source, Overwatch Systems, Ltd. As the company that developed the IMPACT™ software, which are proprietary software products, Overwatch Systems, Ltd. is the only source with software engineers and technicians capable of providing the technical training for troubleshooting and maintaining the software. As the company that developed this software, it is the only entity with software engineers and technicians capable of providing detailed technical level training for troubleshooting and maintaining these software products. The technical training is required to be conducted in Latin American Spanish.
Overwatch has IMPACT™ technical trainers fluent in Latin American Spanish and possesses the expertise and resources to conduct a course in Latin American Spanish in their facility in Austin, Texas. The services requested demonstrate a unique and innovative concept which only Overwatch Systems, Ltd., can provide.
The Government estimates the time required to compete this requirement (including time required to evaluate the proposal and determination of technical acceptability), coupled with the time needed to bring a new service provider up to full performance level would result in an unacceptable delay in fulfilling the agency’s requirements. The delivery and integration of new software would take two – four years posing an unacceptable delay in intelligence data gathering within North and Central America. Overwatch Systems Ltd is the only available source to immediately continue this service without mission degradation. Standardization and interoperability of these systems is a significant mission concern for the U.S. Government and for the and the on-going counterdrug initiative. Failure to provide the with the required training would result in devastating disruption to counterdrug initiatives.
VI. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE SOLICITED
FROM AS MANY POTENTIAL SOURCES AS DEEMED PRACTICABLE
From Mar 2014 – Apr 2014, ARNORTH conducted market research and reached out to three intelligence community development and training companies and requested information based on the above described support; 1) New Horizons Computer Learning Center responded to ARNORTH advising they do not have the capability of delivering this type of training in Latin American Spanish,
2) ONLC Training Centers responded to ARNORTH advising they do not offer the training being sought out and they only offer standard information technology classes and 3) Overwatch was the only company that was able to meet the needs of the training needs for the . Overwatch has software engineers and technicians capable of providing detailed technical level training for troubleshooting and maintaining the IMPACT™ products.
On 12 Jan 15, a Sources Sought Synopsis Notice, to include the draft PWS, was posted on FedBizOpps (FBO) with a closing date of 26 Jan 15. The research was conducted to seek industry input from all sources to determine what resources are available, and if there were any capable small businesses, with capabilities to support IMPACT™ technical training. Overwatch Systems Limited and Imagineering Results Analysis Corporation responded by the closing date. Based on the results of the results of the sources sought synopsis, Overwatch Systems Limited is the only company capable of meeting the Government’s requirements.
VII. DETERMINATION BY THE CONTRACTING OFFICER THAT THE ANTICIPATED
COST TO THE GOVERNMENT WILL BE FAIR AND REASONABLE
The overall cost of this acquisition is anticipated to be fair and reasonable. The techniques identified at FAR 15.404-1(a)(2) will be used to ensure award will be at fair and reasonable prices. As part of this basis, IAW FAR 15.403-1(b)(3), certified cost or pricing data is not required because the item and/or service being acquired is considered commercial.
VIII. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE RESULTS,
OR A STATEMENT OF THE REASONS MARKET RESEARCH WAS NOT CONDUCTED
The Government has determined that no companies other than the Overwatch Systems Limited are able to satisfy the Government’s needs and there is no expectation that the Government will receive two or more responsible proposals from small businesses.
IX. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN FULL AND OPEN
COMPETITION
The USG does not have the organic resources necessary to meet these mission requirements and must have continued contract support. The potential damage to the government is significant and will result in serious degradation to the daily operations of intelligence gathering, disruption of counternarcotic threats and combating transnational criminal organizations. Failure to provide the with the required training would result in devastating disruption to counterdrug initiatives.

SUBSEQUENT ACQUISITIONS FOR THE SUPPLIES OR SERVICES REQUIRED
The requiring activity, in coordination with the contracting office, is researching ways to overcome barriers to competition in the future.
