CONTRACT PROVISIONS BY FULL-TEXT
FAR 52.204-22 Alternative Line Item Proposal (Jan 2017)
(a) The Government recognizes that the line items established in this solicitation may not conform to the Offeror's practices. Failure to correct these issues can result in difficulties in acceptance of deliverables and processing payments. Therefore, the Offeror is invited to propose alternative line items for which bids, proposals, or quotes are requested in this solicitation to ensure that the resulting contract is economically and administratively advantageous to the Government and the Offeror.
(b) The Offeror may submit one or more additional proposals with alternative line items, provided that alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation. However, acceptance of an alternative proposal is a unilateral decision made solely at the discretion of the Government. Offers that do not comply with the line items specified in this solicitation may be determined to be nonresponsive or unacceptable.
FAR 52.212-1 Instructions to Offerors -- Commercial Items (Aug 2018)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show --
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) “Remit to” address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers.
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)
(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

52.212-2 - Evaluation -- Commercial Items (Oct 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
1. Price
2. Technical
i. Management Plan
ii. Technical Approach
iii. Quality Control Plan Technical is approximately equal to price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
(End of Provision)
Addendum 52.212-2 - Evaluation -- Commercial Items (Oct 2014)
2. Basis for Contract Award: A single contract will be awarded to the Offeror whose proposal conforms to the solicitation requirements (to include all stated terms, conditions, representations, certifications, and all other information required by this solicitation) and is evaluated, based on the evaluation factors, to represent the lowest priced technically acceptable proposal resulting in overall best value to the Government. An order may be awarded to the contractor who is deemed responsible IAW FAR 9.1, as supplemented, whose proposal conforms to the solicitations’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by the solicitation instructions) and is judged, based on the evaluation factors and subfactors, to represent the technically acceptable proposal with the lowest complete and reasonable price. Offers will be evaluated utilizing the following evaluation criteria:
A. Price: Initially quotations shall be evaluated and ranked according to price. After proposals are evaluated for completeness and reasonableness, the lowest priced proposal will be evaluated for technical acceptance IAW subparagraph B. Contractors shall use Attachment 3, the Pricing Worksheet. The award will only be for one (1) base period and four (4) option periods with a 6 month option to extend services.
i. Lowest price will be determined based on the total evaluated price (TEP). The TEP will be calculated as the sum of each CLIN’s extended prices including the base period, all optional CLINs plus the 6-month Option to Extend Services, which will be 50% of the option year four’s pricing. If the lowest priced offeror is determined technically acceptable, a determination will be made that the price is fair and reasonable and award will be made to that offeror. Evaluation of options or optional CLINs shall not obligate the Government to exercise such options or optional CLINs.
ii. The six-month extension of services is IAW FAR 52.217-8, "Option to Extend Services" and will only be utilized if necessary. The six-month extension of services is not to be considered part of any option period and will be a separate option exercised if it is utilized. Contractors will be required to submit pricing for a six-month extension of services. This will be calculated by taking 50% of the last option year. Evaluation of this option CLIN shall not obligate the Government to exercise such this optional CLINs.
iii. Completeness. The proposal will be reviewed to determine the extent to which all the price elements have been addressed. The contractor’s proposed price and other information will be evaluated to ensure continuity and traceability of prices to the technical volume and between the initial proposal and any revisions thereto. The review will determine the adequacy of the contractor’s proposal in addressing and fulfilling the TOPR requirements.
iv. Reasonableness. For a price to be reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. The Government will determine prices fair and reasonable through the use of one or more of the price analysis techniques at FAR 15.404-1(b)(2).
v. Unbalanced pricing. Offerors are cautioned against submitting an offer that contains unbalanced pricing. Unbalanced pricing may increase performance risk and could result in payment of unreasonably high prices. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one (1) or more contract line items is significantly over or understated. The Government shall analyze offers to determine whether they are unbalanced with respect to separately priced line items or sub-line items. An offer that is determined to be unbalanced may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
B. Technical: The Government will review the contractor’s proposed technical approach to verify it will result in successful contract performance. Technical proposals will be assessed in accordance with Table 1 below. The evaluation team shall evaluate the below subfactors and determine Pass (acceptable) or Fail (unacceptable) ratings outlined in Table 1.
i. Management Plan: This subfactor evaluates the contractor’s ability to provide a sound and realistic Management Plan to provide services without introducing unacceptable risk. The management plan, or any portion thereof, could become an attachment to the contract at award. The Offeror must provide a Management Plan that demonstrates its capability and capacity to meet the requirements as outline in the PWS to include the appropriate and mix of technical personnel. The offeror provides an organizational chart identifying key personnel with a description of their work experience and all required certifications/licenses required to perform these services. At a minimum, the proposed approach shall thoroughly substantiate all of the following:
ii. A block diagram identifying the individuals (management and supervisors) associated with this requirement to include:
a) Key personnel: Each individual’s name, title, duty, certifications, licenses, years of experience, and experience level relating to similar contracts in size and scope.
b) Proof of current licenses and certification Standard: The management plan shall provide an approach to successfully manage and execute the contract at the acceptable performance level without introducing unacceptable risk. The management plan is acceptable when it successfully meets the following criteria:
a. The offeror demonstrates a sound approach to management throughout the life of the contract. The offeror describes the appropriate number and mix of technical personnel with the required certifications/experience to meet the requirements on the PWS.
ii. Technical Approach: The offeror shall submit a Technical Approach that addresses all of the following:
a) Draft maintenance schedule based on the PWS requirements.
b) Plan to acquire OEM parts for repair and maintenance of all equipment.
Standard: The technical approach shall provide an approach to successfully meet the objectives of the contract at the acceptable performance level without introducing unacceptable risk. The technical approach is acceptable when it successfully meets the following criteria:
a. The offeror demonstrates a sound approach to the maintenance and repair requirements of the PWS throughout the life of the contract.
iii. Quality Control Plan: Offerors shall provide a draft Quality Control Plan (QCP) describing their Quality Management System (QMS). In order to meet the government’s quality requirements, a contractor’s QMS should be robust enough and resourced adequately to execute four key quality functions: 1) Detection of quality program problems and defects; 2) Identification of root causes for quality related problems/defects; 3) Correction of root causes related to detected problems/defects; and, 4) Follow-up to ensure quality related problems/defects do not recur. Furthermore, a mature QMS requires the contractor be the proactive party on quality. The goal is to obtain performance reflective of continuous improvement with no reliance on COR’s surveillance to detect problems/defects, determine root causes, or ensure quality related problems/defects do not recur. After contract award, a finalized Quality Control Plan shall be required from the apparent awardee no later than twenty (20) calendar days after the award of the contract for approval IAW the PWS.
Standard: The quality control plan shall thoroughly substantiate all of the following:
a. A description of the contractor’s quality control processes and procedures, including a chart showing lines of authority. The QCP Manager shall report to the project manager or someone higher in the organization. The project manager in this context shall mean the individual with responsibility for the overall management of the project including quality and production.

52.217-5 -- Evaluation of Options (Jul 1990) Except when it is determined in ccordance with FAR 17.206(b) not to be in the Government’s best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s).
52.232-18 -- Availability of Funds (Apr 1984) Funds are not presently available for this contract. The Government's obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.
52.237-1 -- Site Visit (Apr 1984) Offerors or quoters are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable. 52.252-1 -- Solicitation Provisions Incorporated by Reference (1998)
This solicitation incorporates one or more solicitation provisions by reference, with the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.
