JUSTIFICATION AND APPROVAL (J&A)

FOR OTHER THAN FULL AND OPEN COMPETITION

I. CONTRACTING ACTIVITY

This is a Justification for Other Than Full and Open Competition.

II. NATURE AND/OR DESCRIPTION OF THE ACTION BEING APPROVED

The Air Force Security Assistance Training Squadron (AFSAT) is requesting approval for the sole-source justification for a new contract with Goodrich Corporation, ISR Systems (hereafter referred to as Goodrich), 7 Technology Park Drive, Westford, MA 01886.

The service will provide initial airborne, ground segment, and imagery analysis training for all Security Assistance and Security Cooperation customers on the unique, non-commercial DB-110 reconnaissance (RECCE) pod system.

This action will be awarded as a new Firm-Fixed-Price Indefinite Delivery Indefinite Quantity (FFP IDIQ) contract.

III. DESCRIPTION OF SERVICES REQUIRED TO MEET THE AGENCY'S NEEDS

All services will be procured by the 3381h Specialized Contracting Squadron and coordinated and overseen by AFSAT. Training is to be conducted at CONUS contractor-controlled facilities and OCONUS partner nation-provided facilities.

International Military Students (IMS) will require training on the DB-110 RECCE pod system and all associated equipment. The training will consist of a combination of prepared classroom instruction, computer-based self-study, laboratory application, and on-the-job training to include the following:

1. Pod and Mission Planner Operations

2. Ground Station Operations

3. Airborne Segment O&I Level Maintenance

4. Ground Station Maintenance

5. Data Link Operations

6. Train the Trainer

7. Upgrade Courses

8. Imagery Intelligence

9. Sensors

10. Analysis and Exploitation

Foreign Military Sales (FMS) Trust Fund in accordance with (IA W) Letter of Offer and Acceptance (LOAs) will be used for this requirement. Due to the limited feasible actions that can be taken in the upcoming fiscal years to remove barriers to competition, the contract period of performance will be a base period of five (5) years with no options. More than one fiscal year is required because multiple countries with the DB-110 RECCE pod system consistently request training. In addition, there are several anticipated tactical aircraft weapon system procurements by partner countries which have the DB-110 RECCE pod system as part of the aircraft.

IV. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN

COMPETITION

10 U.S.C. 2304(c)(l ), Contracts: Competition Requirements, as implemented by FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

V. DEMONSTRATION THAT THE CONTRACTOR'S UNIQUE QUALIFICATIONS

OR NATURE OF THE ACQUISITION REQUIRES THE USE OF THE AUTHORITY

CITED ABOVE (APPLICABILITY OF AUTHORITY)

Goodrich is the original equipment manufacturer (OEM) of the DB-110 RECCE pod system and associated support equipment. The development and implementation of classroom study material ( courseware) requires the use of proprietary information. Due to the proprietary nature of technical data, no other contractor is capable of providing this courseware and training.

To validate and substantiate this finding, on 17 January 2013 the 338 SCONS Contracting Specialist contacted the Director of Contracts for Goodrich who stated that Goodrich is the "sole provider of the DB-110 RECCE pod system and associated training and courseware." This validation was further confirmed on 11 March 2014.

VI. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY POTENTIAL SOURCES AS DEEMED PRACTICABLE

Efforts taken to identify as many potential sources as practicable, included contacting knowledgeable individuals in the Government and industry regarding market capabilities to meet the requirement, as well as posting a notice of intent to sole source to Goodrich, the OEM. As the subject matter experts, the AFSA T Training Program Managers were contacted regarding market capabilities to meet this requirement. Their independent review of industry capabilities for providing DB-110 RECCE pod system training revealed that Goodrich is the only company capable of providing DB-110 RECCE pod system training and courseware. IA W FAR 5.201, a notice of intent to award a sole source contract to Goodrich was synopsized on www.fbo.gov on 30 August 2013 and remained open for 15 days. Interested sources had an opportunity to http://www.fbo.gov provide the Contracting Officer with their capabilities to satisfy the Government's requirement and to challenge the Government's intent to award sole source prior to the response date of 16 September 2013. The Government did not receive responses from industry. This further confirmed the Government's determination that there is only one responsible source capable of providing this requirement.

VII. DETERMINATION BY THE CONTRACTING OFFICER THAT THE

ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR AND REASONABLE

The anticipated cost to the Government for this contract action will be determined fair and rea-sonable prior to contract award. Goodrich will be required to submit a completed AF Proposal Adequacy Checklist lAW AFFARS MP 5315.4 and Certified Cost or Pricing Data lAW FAR 15.403-4. Therefore, cost analysis of certified cost or pricing data under FAR 15.404 will be the basis the Contracting Officer will use for determining the price fair and reasonable. Price will also be determined fair and reasonable by using one or more of the proposal analysis techniques described in FAR 15.404, which may include price analysis (i.e. comparison with the IGE and with historical prices paid for same/similar efforts), technical analysis and unbalanced pricing.

In addition, DCMA forward pricing rate recommendations will be utilized to assist in determin-ing the Government's objective for labor, fringe, and G&A rates. The weighted guidelines method will be used to determine profit.

VIII. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE

RESULTS OR A STATEMENT OF THE REASON MARKET RESEARCH WAS NOT

CONDUCTED

Market research conducted pursuant to FAR Part 10 included contacting knowledgeable individuals in Government and industry regarding market capabilities to meet requirement as well as posting a notice of intent to sole source to Goodrich. Reference Paragraph V and VI above.

IX. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN FULL AND

OPEN COMPETITION

The Government does not possess the capability to provide this kind of training and training support services. Failure to procure this capability would result in AFSAT mission failure to provide the required mission training to international partners supported by Security Assistance and Security Cooperation programs.

SUBSEQUENT ACQIDSITION FOR THE SUPPLIES OR SERVICES REQUIRED

The DB-lID RECCE pod system is proprietary to Goodrich. Until such time as international partners start purchasing an alternative to the DB-l 10 RECCE pod system and associated equipment from a different manufacturer, there will be limited possibilities to remove barriers to competition for this initial airborne, ground segment, and imagery analysis training. A sole source effort for the planned contract duration is necessary to fulfill the requirement.

XII. CONTRACTING OFFICER'S CERTIFICATION

The Contracting Officer's signature on the Coordination and Approval Document evidences that he has determined this document to be both accurate and complete to the best of his knowledge and belief.

XIII. TECHNICAL/REQUIREMENTS PERSONNEL'S CERTIFICATION OF

ACCURACY

As evidenced by their signatures on the Coordination and Approval Document, the technical personnel have certified that any supporting data contained herein, which is their responsibility, is both accurate and complete.
