1. This is a combined Synopsis/Solicitation for ambulance services at Hanscom Air Force Base (AFB), MA prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. This is the second amendment to solicitation FA2835-13-R-0002. This amendment addresses sections 22, 25, and 28 of this solicitation. In section 22 the date and time for proposals to be submitted is 12:00 pm EST Friday 29 March 2013. In section 25, Technical Proposal Attachment Instructions, the requirement for a class “C” driver’s license has been changed to a class “D” license. This requirement is also reflected in section 28 of the solicitation regarding the evaluation of technical proposals. All offerors will be required to submit documentation of a class “D” license for ambulance drivers in their proposals, and that will be an evaluating factor determining whether the proposal is technically acceptable or technically unacceptable. The period of performance for the base year has also changed from 1 March 2013 – 30 September 2013 to 1 May 2013 – 30 September 2013. The option periods remain unchanged. All of the changes encompassed in this solicitation are reflected in the performance work statement attached. New offerors are welcome to send in proposals in accordance with this solicitation. Offerors who have already sent proposals shall reply to paul.capps@hanscom.af.mil and Patti.Falcione@hanscom.af.mil stating that they have read and understand this amendment, and whether or not they wish to submit a new proposal or leave their current proposal as is. All other parts of this solicitation remain unchanged.

10. The Contractor shall provide full emergency patient transport services at Hanscom AFB and all associated housing areas including the Hanscom AFB Family Campground Area, South Street, Bedford MA. Contractor will participate in 66th Air Base Group and 66th Medical Squadron (referred to as MTF hereafter) exercises, specials events, and specialized training. Contractor shall furnish all labor, management, supervision, vehicles, supplies, equipment, transportation, and reports, except as provided in the Performance Work Statement (PWS) Section 3, Government-Furnished Property and Services. Contractor care shall provide the full range of Emergency Medical Technician-Paramedic (EMT-P) and ambulance services provided in the local community to include local protocols or standing orders and staffing minimums in accordance with the most current Massachusetts “Emergency Medical Services Pre-Hospital Treatment Protocols.” Performance shall be according to the requirements contained in this Performance Work Statement (PWS) and professional standards of the Joint Commission on Accreditation of Healthcare Organizations/Accreditation Association for Ambulatory Health Care and Massachusetts State Department of Health's Division of Emergency Medical Services.

(a) Definitions. “Essential contractor service” and “mission-essential functions” have the meanings given in the clause at 252.237-7023, Continuation of Essential Contractor Services, in this solicitation.

(b) The offeror shall provide with its offer a written plan describing how it will continue to perform the essential contractor services listed in Combined Synopsis/Solicitation Section 25., Technical Proposal Attachment Instructions, Para. 4 – Mission Essential Contractor Services, during periods of crisis. The offeror shall–

(1) Identify provisions made for the acquisition of essential personnel and resources, if necessary, for continuity of operations for up to 30 days or until normal operations can be resumed;

(2) Address in the plan, at a minimum—

(i) Challenges associated with maintaining essential contractor services during an extended event, such as a pandemic that occurs in repeated waves;

(ii) The time lapse associated with the initiation of the acquisition of essential personnel and resources and their actual availability on site;

(iii) The components, processes, and requirements for the identification, training, and preparedness of personnel who are capable of relocating to alternate facilities or performing work from home;

(iv) Any established alert and notification procedures for mobilizing identified “essential contractor service” personnel; and

(v) The approach for communicating expectations to contractor employees regarding their roles and responsibilities during a crisis.

FAR 52.212-5 Contract Terms and Conditions Required to Implement Statutes or Executive Orders – Commercial Items (Nov 2012) (DEVIATION)

(a) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (a) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(b)

(1) Notwithstanding the requirements of any other clause in this contract, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (b)(1) in a subcontract for commercial items. FAR 52.217-8 Option to Extend Services (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 60 days.

FAR 52.217-9 Option to Extend the Term of the Contract (Mar 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within _60 days_ provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 _ days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed ___47 Months .

DFARS 252.237-7023 Continuation of Essential Contractor Services (Oct 2010)

(a) Definitions. As used in this clause–

(1) “Essential contractor service” means a service provided by a firm or individual under contract to DoD to support mission-essential functions, such as support of vital systems, including ships owned, leased, or operated in support of military missions or roles at sea; associated support activities, including installation, garrison, and base support services; and similar services provided to foreign military sales customers under the Security Assistance Program. Services are essential if the effectiveness of defense systems or operations has the potential to be seriously impaired by the interruption of these services, as determined by the appropriate functional commander or civilian equivalent.

(2) “Mission-essential functions” means those organizational activities that must be performed under all circumstances to achieve DoD component missions or responsibilities, as determined by the appropriate functional commander or civilian equivalent. Failure to perform or sustain these functions would significantly affect DoD’s ability to provide vital services or exercise authority, direction, and control.

(b) The Government has identified all or a portion of the contractor services performed under this contract as essential contractor services in support of mission essential functions. These services are listed, Combined Synopsis/Solicitation Section 25., Technical Proposal Attachment Instructions, Para. 4, Mission-Essential Contractor Services.

(c)(1) The Mission-Essential Contractor Services Plan submitted by the Contractor, is incorporated in this contract.

(2) The Contractor shall maintain and update its plan as necessary. The Contractor shall provide all plan updates to the Contracting Officer for approval.

(3) As directed by the Contracting Officer, the Contractor shall participate in training events, exercises, and drills associated with Government efforts to test the effectiveness of continuity of operations procedures and practices.

(d)(1) Notwithstanding any other clause of this contract, the contractor shall be responsible to perform those services identified as essential contractor services during crisis situations (as directed by the Contracting Officer), in accordance with its Mission-Essential Contractor Services Plan.

(2) In the event the Contractor anticipates not being able to perform any of the essential contractor services identified in accordance with paragraph (b) of this section during a crisis situation, the Contractor shall notify the Contracting Officer or other designated representative as expeditiously as possible and use its best efforts to cooperate with the Government in the Government’s efforts to maintain the continuity of operations.

(e) The Government reserves the right in such crisis situations to use Federal employees, military personnel or contract support from other contractors, or to enter into new contracts for essential contractor services.

(f) Changes. The Contractor shall segregate and separately identify all costs incurred in continuing performance of essential services in a crisis situation. The Contractor shall notify the Contracting Officer of an increase or decrease in costs within ninety days after continued performance has been directed by the Contracting Officer, or within any additional period that the Contracting Officer approves in writing, but not later than the date of final payment under the contract. The Contractor’s notice shall include the Contractor’s proposal for an equitable adjustment and any data supporting the increase or decrease in the form prescribed by the Contracting Officer. The parties shall negotiate an equitable price adjustment to the contract price, delivery schedule, or both as soon as is practicable after receipt of the Contractor’s proposal.

(g) The Contractor shall include the substance of this clause, including this paragraph (g), in subcontracts for the essential services.

AFFARS 5352.201-9101 OMBUDSMAN (Nov 2012)

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the party to another official who can resolve the concern.

(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMB Circular A-76 competition performance decisions).

(End of clause) AFFARS 5352.223-9001 Health and Safety on Government Installations (JUN 1997)

(a) In performing work under this contract on a Government installation, the contractor shall:

(1) Comply with the specific health and safety requirements established by this contract;

(2) Comply with the health and safety rules of the Government installation that concern related activities not directly addressed in this contract;

(3) Take all reasonable steps and precautions to prevent accidents and preserve the health and safety of contractor and Government personnel performing or in any way coming in contact with the performance of this contract; and

(4) Take such additional immediate precautions as the contracting officer may reasonably require for health and safety purposes.

(b) The contracting officer may, by written order, direct Air Force Occupational Safety and Health (AFOSH) Standards and/or health/safety standards as may be required in the performance of this contract and any adjustments resulting from such direction will be in accordance with the Changes clause of this contract.

(c) Any violation of these health and safety rules and requirements, unless promptly corrected as directed by the contracting officer, shall be grounds for termination of this contract in accordance with the Default clause of this contract.

(End of clause) AFFARS 5352.242-9000 Contractor Access to Air Force Installations (Nov 2012)

(a) The contractor shall obtain base identification and vehicle passes, if required, for all contractor personnel who make frequent visits to or perform work on the Air Force installation(s) cited in the contract. Contractor personnel are required to wear or prominently display installation identification badges or contractor-furnished, contractor identification badges while visiting or performing work on the installation.

(b) The contractor shall submit a written request on company letterhead to the contracting officer listing the following: contract number, location of work site, start and stop dates, and names of employees and subcontractor employees needing access to the base. The letter will also specify the individual(s) authorized to sign for a request for base identification credentials or vehicle passes. The contracting officer will endorse the request and forward it to the issuing base pass and registration office or security police for processing. When reporting to the registration office, the authorized contractor individual(s) should provide a valid driver’s license, current vehicle registration, and valid vehicle insurance certificate to obtain a vehicle pass.

(c) During performance of the contract, the contractor shall be responsible for obtaining required identification for newly assigned personnel and for prompt return of credentials and vehicle passes for any employee who no longer requires access to the work site.

(d) When work under this contract requires unescorted entry to controlled or restricted areas, the contractor shall comply with AFI 31-101, Volume 1, The Air Force Installation Security Program, section 7.15., Unescorted Entry to Controlled Areas and AFI 31-501, Personnel Security Program Management, Section 3.24, Processing Requests for Access to Restricted Areas, Sensitive Information or Equipment Not Involving Access to Classified Information.

(e) Upon completion or termination of the contract or expiration of the identification passes, the prime contractor shall ensure that all base identification passes issued to employees and subcontractor employees are returned to the issuing office.

(f) Failure to comply with these requirements may result in withholding of final payment.

WAWF INVOICING INFORMATION

IAW DFARS 252.232-7003(b)(1) all invoices shall be submitted via Wide Area Work Flow (WAWF) located at https://wawf.eb.mil/. (Procedures and POC’s specific to this contract will be added to this clause in the contract).

21. Defense Priorities and Allocations System (DPAS) and assigned rating, is not applicable.

The Submission letter, Technical Proposal and the Price Proposal (bid schedule) shall be submitted as separate e-mail attachment in the Offeror’s proposal. 23. Basis for Contract Award

The Government intends to award a single, firm-fixed-price contract using the lowest price technically acceptable (LPTA) source selection process (FAR 15.101-2). It is particularly important that each Offeror be fully responsive in providing its best offer. Proposals shall be reviewed to determine whether they satisfy the formal requirements of the solicitation. Failure to respond to or follow the instructions regarding the content of the proposal listed herein and the provisions of FAR 52.212-1, Instructions to Offerors – Commercial Items may make the proposal unawardable. The Offeror must complete and provide representations and certifications with the proposal in accordance FAR 52.212-3, Offeror Representations and Certifications (ORCA) – Commercial Items. The ORCA site is https://orca.bpn.gov. Past Performance will not be considered as an evaluation factor for this RFP. Prior to any award being made, the awardee must be registered in the System for Award Management (SAM) database at https://www.sam.gov/portal/public/SAM/. The Government intends to award without discussions, but reserves the right to enter into discussion if determined to be in the best interest of the Government.

25. Technical Proposal Attachment Instructions

Offerors shall include an attachment to their proposals consisting of the following:

1. EMT-Paramedic Certifications. Provide documentation of current state of Massachusetts certified EMT-Paramedics with Advanced Cardiac Life Support (ACLS) and Pediatric Advanced Life Support (PALS) certifications for all employees.

2. Emergency Ambulance/Class “D” Licenses. Provide documentation of current license to operate an emergency ambulance in the State of Massachusetts and valid Class “D” Massachusetts driver’s license for all employees.

3. EMT-Paramedic Licenses. Provide documentation of current license to perform EMT-Paramedic services in the State of Massachusetts for all employees.

4. Mission Essential Contractor Services Plan (limited to a total of 2 pages). In accordance with DFARS 237.76 and DFARS 252.237-7024, provide a Mission Essential Contractor Services Plan addressing the mission essential services listed below and describe how the offeror will continue to provide these services during periods of crisis. The following services are considered “Mission Essential Contractor Services” for purposes of this solicitation:

a. Respond within adequate time based on type of call (ALS/BLS), PWS Para. 1.4.1

b. Respond to calls with at a minimum of 2 State of Massachusetts certified EMT-Paramedics with Advanced Cardiac Life Support (ACLS) and Pediatric Life Support certification, PWS Para. 1.4.1

c. Provide ambulance response/back-up support to all emergencies 24 hours a day/365, PWS Para. 1.4.1

d. Provide adequate flow of information, documentation and communication to medical representatives related to all transports, PWS Para. 1.4.1

26. Price Proposal Attachment Instructions

Offerors shall include an attachment to their proposals consisting of:

1. Price Summary Cover Letter (contractor format). This letter shall include the total firm fixed price of the base year plus the three (3) option years.

2. Price Bid Schedule (attached). Each contract line item number (CLIN) in the bid schedule shall be filled out indicating per unit price and total amount for each CLIN and total of all CLINS for each year.

29. Price Factor Evaluation and Contract Award

Next, only proposals that are evaluated as Technically Acceptable will be evaluated for Price. Price will be evaluated for reasonableness in accordance with FAR 15.404-1(a)(2). Award will be made on the basis of the Lowest Evaluated Price of Technically acceptable proposals in accordance with FAR 15.101-2 to the contractor who is deemed responsible in accordance with FAR Part 9.

30. A site visit is available upon request at Hanscom Air Force Base, MA on Wednesday 13 February 2013 at 11:00 a.m. Requests must be made NO LATER THAN 1:00 pm EST, Tuesday 12 February 2013, and provide Attendee(s) name(s), Date of Birth, Company name, and Telephone number.
