Justification and Approval (J&A) for Other Than Full and Open Competition

II. Nature and/or description of the action being approved.

A. Upon approval to use other than full and open competitive procedures, the United States Air Force will issue a modification to contract FA8201-18-D-0015 for the continuation of technical engineering, architecture development, maintenance, and additional software services in support of HEDC sustainment operations and onboarding of additional applications selected for consolidation during the performance period.

B. A timely protest was filed to the GAO in response to the award of contract FA8201-20-D-0001 (HEDC Sustainment, Modernization, and Consolidation (SMaC)). Resultantly, a stay to stop performance has been placed against the HEDC SMaC contract as the source selection team takes corrective action. To avoid a break in service, the HEDC contract (FA8201-18- D-0015) must be extended to allow time for the corrective action to be completed, the HEDC SMaC contract to be awarded, and performance under the HEDC SMaC contract to begin.

C. The Air Force intends to modify the existing IDIQ bridge contract (FA8201-18-D-0015), which was awarded sole source on 15 September 2018 and is currently set to expire 14 September 2020. The modification will extend the IDIQ ordering period and the end date by which all task order performance must be completed. The Air Force intends to issue a sustainment task order for six months (From: 15 September 2020 To: 14 March 2021) with two one-month option periods (Option period 1 - From: 15 March 2021 To: 14 April 2021; Option period 2 - From 15 April 2021 To: 14 May 2021).

III. Description of supplies/services required to meet agency needs (including the estimated value).

A. The purpose of this effort is to continue Information Technology (IT) Professional Subject Mater Expertise (SME) in Enterprise Architecture, Engineering and Services support, which includes: engineering, infrastructure architecture design, technology counsels, modernization, consolidation, hosting, Business Case Analysis (BCAs), Economic Analysis (EA), Analysis of Alternatives (AOAs), Conference Room Pilots (CRPs), and technical and program/project management support services to the 75th Air Base Wing Communications and Information Directorate (75 ABW/SC) at Hill Air Force Base (HAFB), Utah and 16 other Continental United States (CONUS) Hill Enterprise Data Center (HEDC) Wide Area Network (WAN) Point of Presence (POP) Portable Operating Data Center (POD) locations for current HEDC workload. This effort includes the implementation of Air Force directives and local policies, organizational structure, systems and procedures necessary to support the Department of Defense (DoD). Supported activities include onboarding, administration, performance tuning, disaster recovery planning, enterprise networking, and technical management necessary to support current customer applications and customers with mission critical requirements to be onboarded.

B. The CLIN structure for this requirement will be as follows:

C. The type of funding being utilized for this action will primarily be 3400, Operation and Maintenance (O&M) funds. This approval request is for more than one fiscal year. No feasible actions can be taken to promote competition during the period of this contract as described in Section V of this document.

IV. Statutory authority permitting other than full and open competition.

10 U.S.C. 2304(c)(2) as implemented by FAR 6.302-2 and required by FAR 6.303-2(b)(4).

V. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the authority cited above (applicability of authority).

A. The current HEDC contract's period of performance is set to expire 14 September 2020. The follow-on HEDC SMaC source selection was awarded 16 July 2020; however, a protest was filed with the GAO. As a result, a stay of performance has been placed on the HEDC SMaC contract. Currently, corrective action is being taken by the source selection team to address the protest.

B. The Government has concluded that only the incumbent contractor, SI, would be able to perform requirements of the HEDC without the Government experiencing a break in service. Additionally, the Government has determined that the current HEDC contract must be extended to allow sufficient time to resolve the protest and for a contractor other than the incumbent to potentially transition and assume full operational control of the HEDC. It is anticipated that corrective action, award of the HEDC SMaC contract, and potential transition time will require approximately 6 months with the 2 one-month options in place in case additional time is required due to unforeseen delays.

C. A break in service would eliminate performance continuity across the HEDC infrastructure, place multiple mission critical

March 2020 FOR OFFICIAL USE ONLY Page 4 of 5 applications at risk, and cost the Air Force $1M per hour in lost productivity and downtime in just one of the Maintenance Wings that this effort supports.

D. Accordingly, the unusual and compelling circumstances outlined above require award of this contract modification to the incumbent contractor. Until services may be performed under the competitively-awarded HEDC SMaC contract, SI is the only firm with the required skill-sets in place for this contract extension to continue providing the services required in Section III above without the United States Air Force experiencing a break in service leading to unacceptable project delays and downtime events for critical maintenance and enterprise information systems. To have any other contractor perform the services would require at least 2 months of transition time. Due to these circumstances, there are no feasible actions that can be taken to promote competition during the period of protest resolution. Therefore, this contract modification is to provide critical services while the agency takes corrective action and to allow for transition time to take full operational control of the HEDC in the case a contractor other than the incumbent were to be awarded the HEDC SMaC contract.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under

FAR 5.202 applies.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

A. The following steps will be taken to ensure that the anticipated cost of this acquisition will be fair and reasonable.

The Contracting officer will comply with the procedures and criteria contained in Federal Acquisition Regulation (FAR) under Part 30 - Cost Accounting Standards, Part 31 - Contract Cost Principles and Procedures, Subparts 15.4 - Contract Pricing; to include technical evaluations from the appropriate technical experts as well as audits and support as appropriate from relevant resources such as DCMA and DCAA. Additional steps to ensure price reasonableness actions will be under the guidance of the Contract Pricing Reference Guides, jointly developed by the Federal Acquisition Institute and the Air Force Institute of Technology.

B. The Government will obtain certified cost or pricing data IAW FAR Subpart 15.403, when required. A Pricing Analyst will be consulted to assist in the determination of cost and pricing reasonableness. This will include an in-depth review of all costs proposed including overheads, material costs, labor costs, etc. Any costs considered to be irrelevant, unreasonable, unbalanced, or otherwise inappropriately allocated will be addressed with the Contractor directly via fact finding efforts and negotiations in order to fully understand the nature of those costs. Costs wherein disagreement is found will be negotiated, mitigated, and adjusted such that the final agreement reflects fairness to all parties. The final step is to develop a Price Negotiation Memorandum (PNM). Detailed documentation and justification of price reasonableness will be disclosed in the official PNM, to be prepared upon completion of negotiations.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

Market research was not conducted as this requirement is of unusual and compelling urgency. The extension to the current IDIQ contract (FA8201-20-D-0015) will serve as a bridge until (1) corrective action regarding the HEDC Sustainment, Modernization, and Consolidation (SMaC) source selection is completed, (2) the resultant HEDC SMaC contract (FA8201-20- D-0001) is awarded, and (3) the contractor is allowed sufficient transition time.

Market research was conducted for the HEDC SMaC source selection.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

The HEDC SMaC source selection award decision has been protested; the government is taking corrective action. This modification to extend the current HEDC contract will provide services until the protest of the HEDC SMaC source selection is resolved.
