About this file

This document is an Exhibit A Statement of Work for an ESRI Enterprise License Agreement between the California Department of Conservation (DOC) and Environmental Systems Research Institute, Inc. (ESRI), procured through the Department of General Services with Event ID IFB 3480-34390. The contract is a three-year enterprise software licensing agreement effective October 1, 2025, providing comprehensive Geographic Information System (GIS) software deployment rights across multiple platforms including ArcGIS Enterprise, ArcGIS Online, and various desktop and mobile applications. The agreement includes perpetual and subscription-based licenses for multiple user types, with flexible "Esri Flex" deployment quantities, and covers 44 concurrent use ArcGIS Desktop Advanced licenses, 10 annual Esri International User Conference registrations, and 61,500 annual ArcGIS Online Service Credits.

The contract's total value is not explicitly stated, but includes a 20% reserved allowance for unanticipated tasks, services, upgrades, and additional components. Funding is contingent on annual California State Budget Act appropriations, with the potential for cancellation or amendment if sufficient funds are not allocated. The DOC will have deployment rights for a comprehensive suite of GIS software products that support the department's scientific, regulatory, and public safety data mapping and analysis requirements. The agreement maintains the DOC's long-standing relationship with ESRI, which has been their primary GIS software provider for over 25 years, ensuring continued technological infrastructure for geospatial data compilation, analysis, and publication.

A. Scope and Description The California Department of Conservation (DOC) is a science and engineering focused department. Its mandates are fundamentally dependent on the compilation, analysis, and publication of geospatial data in print and online formats. The modern regulatory and public safety environment requires a highly connected cloud, server, desktop, and mobile integration of data and mapping applications. This combination of geospatial data, software, and IT infrastructure is a Geographic Information System (GIS). Environmental Systems Research Inc (ESRI) is the dominant global developer of GIS software and has been DOC’s primary GIS software provider for at least 25 years. Their applications and tools are inextricably linked to essential regulatory, scientific, and public safety business processes. The Contractor shall implement a three (3) year ESRI Enterprise License Agreement (ELA), provided by Environmental Systems Research Institute, Inc. (ESRI) that includes products listed in Section C.

B. Period of Performance

The duration of services will be in effect for three (3) years, effective October 1, 2025, or upon approval by the Department of General Services (DGS), whichever is later, and no work shall begin before that time. This Agreement is of no effect unless approved by DGS. The Contractor shall not receive payment for work performed prior to approval of the Agreement and before receipt of notice to proceed by the DOC Contract Administrator.

E. State Responsibilities

The DOC shall provide access to department staff and management, offices and operation areas, as required, to complete the tasks and activities defined under this Agreement.

F. Acceptance Criteria

As applicable, the Department receives software, license keys, vouchers, and/or written confirmation of subscription and/or warranty enrollment and/or renewal. In addition, the Department receives additional benefits listed in section C.

G. Change Management

Change management enables effective handling of project changes, and ultimately helps keep the project budget, quality and timeline within the expectations of both organizations. The change management process is as follows:

1. All changes within the original terms of the contract will be executed by means of a “Change Order Request” form (Exhibit A-1). Upon approval by both parties, an amendment to the contract will be processed. No verbal authorizations shall be binding on either party.

2. All applicable rules and requirements will be applied to any changes in costs.

H. Agreement Changes/Amendments

The State reserves the right to amend this Agreement for time, money, quantity and/or additional products or services covered by this Agreement. All amendments for additional products or services will be at the discretion of the DOC and must be approved by DGS.

I. Unanticipated Tasks

The State shall allow an amount equal to 20% of the total contract, to be added to the contract to allow for State required services/options/upgrades (licenses, components, equipment, parts, etc. that provide additional functionality), unanticipated tasks (well documented and unanticipated price increase of goods/services, freight/shipping/delivery or additional work that must be performed which was wholly unanticipated and is not specified in the specification, but which in the opinion of both parties is necessary), and unforeseen components or labor, etc. necessary to complete the requirements as indicated within the agreement. This is the maximum amount that will be available for State required and approved options/upgrades, components, additional work, etc. after award.

Any requests shall be processed via a Change Order Request (Exhibit A-1). The Contractor will submit a Change Order Request Form to the DOC and after approval the Contractor can proceed with the approved changes and will be paid from this reserved allowance. The contractor is not entitled to any portion of the additional 20% unless the extra components, labor, tasks, etc. are documented and approved by the DOC. The executed Change Order Request will thereby be incorporated as a Schedule to this Agreement.
