About this file
This is a Professional Service Agreement Terms and Conditions document for Florida Keys Electric Cooperative Association, Inc. (FKEC) that establishes standard contractual terms governing professional services contracts. The agreement specifies that awarded contractors will perform services as authorized by FKEC under a fixed "not to exceed" compensation structure for specified projects. The scope of services encompasses locating FKEC's underground utilities and facilities prior to excavation, in accordance with the Sunshine 811 notification service. The document does not specify response dates, bid submission deadlines, site visit requirements, bidders' conferences, award dates, or contract renewal options; these details are referenced as being contained within the associated bid package materials.
Payment will be rendered by FKEC upon submission of invoices, with FKEC retaining the right to withhold ten percent of projected costs if the contractor exceeds the scheduled completion date, with withheld funds released only upon satisfaction of all deliverables. The contractor must maintain professional liability insurance with General Liability coverage of $2,000,000 per occurrence, Workers' Compensation of $500,000 per accident, and Auto Liability of $2,000,000 per accident, with FKEC designated as certificate holder. Performance and Payment Bonds at 100 percent of contract price are required for construction and facility contracts exceeding the federal simplified acquisition threshold, though this particular solicitation is identified as "without bonding." The agreement incorporates federal requirements under 2 C.F.R. Part 200, Appendix II for any federally funded procurements and permits suspension or termination by either party upon ten days' written notice, or termination for cause with thirty days' written notice. All reports, analysis, and deliverables become the property of FKEC upon completion, though the contractor retains ownership of proprietary computer software developed in conjunction with the work.
