About this file
Summary
This is a draft Term Agreement for road material products between the Florida Department of Agriculture and Consumer Services (FDACS), Florida Forest Service, and a selected vendor responding to Invitation to Bid No. ITB FFS 25 26 57. The agreement establishes the framework for providing road materials to the Chipola Forestry Center within FFS Region 1 - District 2. The vendor will supply road material products on a unit-per-ton basis upon issuance of purchase orders (POs) by the Department. The initial agreement term is specified in the executed document, with provisions for renewal on the same terms and conditions on a yearly basis for up to three years, and a single extension period not to exceed six months, both contingent upon mutual written agreement by the parties.
Pricing is established on a fixed rate unit price basis as specified in the vendor's response to the ITB and detailed in Exhibit I. The Department is not obligated to issue purchase orders despite executing this agreement, and no products should be delivered prior to PO issuance. The vendor shall indemnify and hold harmless the Department from third-party claims arising from the agreement or services. Either party may terminate for convenience with 30 days written notice. The Department may withhold up to 10 percent of invoice amounts for non-performance and assess financial consequences if breaches are not cured within specified timeframes. The agreement incorporates by reference the ITB, FDACS-01341 Terms and Conditions, and the vendor's dated response to the ITB.
