About this file

Summary

This document is a sample contract form (PUR-132) provided by Oregon Child Development Coalition Inc. (OCDC), a 501(c)(3) nonprofit corporation, for use in contracting with service providers. The contract establishes the legal framework and terms governing the relationship between OCDC and contractors who will provide services at OCDC-designated locations. The document includes a master agreement structure with four primary exhibits covering standard terms and conditions, scope of service with compensation and payment terms, federal and state pass-through requirements, and insurance requirements. The contract does not specify a fixed term in the template but contains provisions allowing either party to terminate on thirty days' notice for any reason or immediately upon material breach following a fifteen-day cure period. The template indicates that specific performance metrics will be negotiated upon award of a request for proposal (RFP), with reference to Head Start Performance Standards as applicable guidance for service delivery.

The contract imposes comprehensive compliance obligations on contractors, including maintenance of professional licenses and permits, adherence to federal and state laws, strict confidentiality protocols for personally identifiable information and proprietary data, and retention of all books and records for a minimum of seven years. Contractors must obtain specified insurance coverage including workers' compensation (if applicable), professional liability of at least $1,000,000 per occurrence, commercial general liability of $1,000,000 per occurrence for bodily injury and property damage, and automobile liability of $1,000,000 combined single limit. All work product created by the contractor becomes exclusive property of OCDC. Federal pass-through requirements apply based on contract value thresholds, including the Byrd Anti-Lobbying Amendment (contracts exceeding $100,000), Clean Air Act compliance (contracts exceeding $150,000), Contract Work Hours and Safety Standards Act compliance (construction contracts exceeding $2,000), and Davis-Bacon prevailing wage requirements (construction contracts exceeding $2,000). The contract is governed by Oregon law with jurisdiction and venue in Washington County, Oregon, or the United States District Court for the District of Oregon for federal claims.
