Summary of Exemplar City of Milpitas Professional Services Agreement and Fire Medical Services RFP
This is an exemplar Professional Services Agreement template used by the City of Milpitas, California, in conjunction with a Request for Proposal for Fire Medical Services comprising two separate packages to be awarded independently. The RFP solicits qualified contractors for Package A (annual physical examinations and related services for Fire Department personnel compliant with Joint Labor Management Wellness Fitness Initiative and National Fire Protection Association standards 1582 and 1583) and Package B (Medical Advisor services for the Fire Department's Emergency Medical Services program providing prescriptive authority, protocol review, case reviews, and quality improvement activities). All physical examinations under Package A must be completed onsite at a City facility. The question submission deadline is December 3, 2025, at 12:00 p.m., with proposal submissions due electronically through the City's OpenGov eProcurement portal by January 6, 2026, at 12:00 p.m. The estimated contract start date for both packages is July 1, 2026, for an initial five-year term. All employees assigned to perform services must be at least twenty-one years old and undergo background security checks.
The exemplar agreement establishes comprehensive terms including maximum compensation limits, monthly billing on a detailed invoice basis, a thirty-day payment schedule, and provisions for amendments to scope of work only through executed written modification. The agreement requires consultants to maintain books and records for four years post-final payment, comply with all applicable federal, state, and local laws including California prevailing wage requirements for public works projects exceeding $1,000, maintain required insurance coverage (Commercial General Liability of $1,000,000 per occurrence, Automobile Liability of $1,000,000 combined single limit, and Professional Liability of $1,000,000 per occurrence/$2,000,000 aggregate with seven-year tail coverage for medical services), and execute detailed data security and HIPAA compliance provisions. Current incumbent vendors include Stanford Health Care (EMS Medical Director services under Contract No. 397) and Kaiser Permanente On-the-Job (medical services for uniformed personnel); the previous Kaiser contract referenced a compensation not-to-exceed of $300,000, which provides potential context for contract value. The City reserves the right to negotiate final contract terms and award to the most advantageous proposer based on comprehensive evaluation criteria rather than lowest price, and proposers must maintain active registration with the California Secretary of State and comply with Milpitas business license requirements.
