About this file

This is a Non-Disclosure Agreement template issued by the Teacher Retirement System of Texas (TRS) for vendors providing services to the organization. The agreement establishes the terms under which vendors and their employees may access confidential information provided by TRS in connection with service delivery. TRS retains ownership of all information disclosed, regardless of format—whether oral, written, electronic, or other media—and designates all such information as confidential regardless of whether it is formally marked as such. Vendors are restricted from copying, disclosing, publishing, releasing, transferring, disseminating, or using the information except as necessary to fulfill the contracted business purpose. Access to the information is limited to employees and agents with a legitimate need to know and who have been informed of the confidential nature of the materials.

The agreement imposes comprehensive obligations on vendors, including liability for breaches by their employees or agents, destruction of information within five business days of notice or upon completion of services, and immediate notification of TRS in the event of unauthorized disclosure. Vendors are required to return all information and copies immediately upon request. The agreement entitles TRS to seek injunctive relief for violations and reserves all legal remedies and claims available under Texas law. Vendors indemnify and hold harmless TRS for any losses, damages, liabilities, expenses, or costs—including attorney's fees and credit monitoring services—resulting from non-compliance with the agreement's requirements. The agreement is governed by Texas state law with exclusive jurisdiction and venue in the state district courts of Travis County, Texas.
