In the event of such termination, TISD or the Customer will not be considered to be in default or breach under the Contract, nor shall it be liable for any further payments ordinarily due under the Contract, nor shall it be liable for any damages or any other amounts which are caused by or associated with such termination. Vendor shall be given a reasonable opportunity (30 calendar days) before termination, to correct the deficiencies. TISD may, in its sole discretion, terminate this Contract upon thirty (30) days’ written notice to Respondent. Such notice may be provided by facsimile or certified mail return receipt requested and is effective upon Respondent’s receipt. In the event of such termination, the Respondent shall, unless otherwise mutually agreed upon in writing, cease all work immediately upon the effective date of termination.
