About this file

This is Addendum 1 to RFP 473-25-00003 issued by the Public Utility Commission of Texas (PUCT) for a management audit. The addendum provides written questions and answers regarding the assessment of mobile generation facilities, liquidated damages, and conflicts of interest. The PUCT clarifies that CenterPoint's mobile generation facility arrangements are documented in Dockets 53442 and 54830, which are available through the PUCT's filing interchange website. The selected contractor will need to work with CenterPoint to evaluate all leased mobile generation facilities, including those addressed in the dockets and any subsequent lease transactions.

The PUCT indicates willingness to consider modifications to the liquidated damages clause for delays outside the contractor's control during contract negotiations with the winning proposer. Regarding conflicts of interest inquiries, the PUCT directs proposers to refer to the specific parameters outlined in Section 6.A.6 of the RFP rather than providing additional clarification or a list of regulated entities.

ADDENDUM 1

TO

RFP 473-25-00003

TO PROVIDE MANAGEMENT AUDIT

Written questions posed during the question period and PUCT answers in red

Proposer Questions & PUCT Responses

1. Section 3 of the RFP states that audit would include an assessment of the mobile generation facilities. Could you please provide the number of mobile generation facilities and the locations that would be covered under this audit?

CenterPoint sought the PUCT's approval of its leased mobile generation facility arrangements in Dockets 53442 and 54830, both of which are available for review through the PUCT's filing interchange on the PUCT website. CenterPoint's applications in those dockets address mobile generation facility characteristics and locations within

CenterPoint's certificated service area at the time of application filing. The selected

Contractor will be expected to work with CenterPoint to identify and evaluate all leased mobile generation facilities, whether addressed in one of the PUCT dockets described above or made part of a lease transaction after those proceedings.

2. Section 3.5 of the RFP contains language for liquidated damages. Since this audit will rely on information from the PUCT and the auditee, would the PUCT be willing to modify the liquidated damages for delays outside of the contractor’s control?

The PUCT will consider requested modifications to the liquidated damage clause for delays outside of the contractor’s control during contract negotiations with the winning proposer.

3. Section 6.A.6 of the RFP discusses conflicts of interest. Could you please clarify whether all regulated entities under the PUCT would be grounds for a conflict or just the named auditee? If it applies to all regulated entities under the PUCT, may you please provide a listing of regulated entities so that we may perform a complete and thorough conflict check.

Section 6.A.6 sets forth the specific parameters for conflicts of interest; please refer to the specific instructions for this section of the RFP.
