I. INTRODUCTION
A. Entity Background The Travis County Healthcare District d/b/a Central Health (“Central Health” or the “district”) is a hospital district created under Chapter 281 of the Texas Health and Safety Code that is responsible for providing or arranging for the provision of hospital and medical care to low-income residents of Travis County. Central Health’s mission is to improve the health of the community by caring for those who need it most – particularly the uninsured and underinsured. Central Health is making health care better through the direct practice of medicine, partnerships and collaborations with other providers, and building facilities to provide care in the communities most in need. The district’s Healthcare Equity Plan, adopted in early 2022, is guiding up to $700 million in investments to close the gaps that persist throughout the safety-net healthcare system.
Central Health owns Sendero Health Plans, a community nonprofit insurer that covers members through the Affordable Care Act Health Insurance Marketplace. Central Health’s clinical partner, CommUnityCare Health Centers, is a federally qualified health center network with more than 27 primary care locations throughout Central Texas. All three entities (collectively the “Enterprise partners”) are rapidly expanding operations.

G. Interviews of Short-listed Bidders Based on step one of the selection process Central Health, at its sole discretion, may determine that it is necessary to interview the short-listed Bidders prior to making a recommendation. If Central Health desires to conduct interviews, only short-listed Bidders will be invited to present their bid to the Evaluation Committee. The purpose of interviews, if conducted, is to ensure the Evaluation Committee’s understanding of the Bidder’s Bid, as well as to evaluate the Bidder’s team under the criteria set forth in Section V, titled BID FORMAT, CONTENT REQUIREMENTS, AND ORGANIZATION. When conducted, interview scores will be used as an additional consideration to determine selection of the most qualified Bidder. The Procurement Authority will schedule the time for each Bidder presentation, if applicable. At Central Health’s discretion, Bidder presentations may be held as in-person or virtual conference call presentations. Each interviewee will be allowed fifteen (15) minutes to set up and one (1) hour for the presentation and questions/answers.
H. Negotiations with Selected Bidder Based on the most responsive and lowest Bid, the Procurement Authority will attempt to negotiate a contract with the Responsible Bidder recommended by the Evaluation Committee. Central Health and its architect or engineer may discuss with the selected Bidder options for a scope or time modification and any price change associated with the modification. If Central Health is unable to negotiate a satisfactory contract with the selected Bidder, the governmental entity shall, formally and in writing, end negotiations with that offeror and proceed to the next offeror in the order of the selection ranking until a contract is reached or all Bids are rejected.
I. Contract Award Central Health may but is not obligated to award a Contract to the Bidder that best satisfies Central Health’s requirements and provides the best overall value to Central Health for the Project.
As of the date of issuance, a single award is contemplated.
P a g e 11

Rights Amending Bids
Any Bidder may submit an amended Bid before the deadline for receipt of Bids. Such amended Bids must be complete replacements for a previously submitted Bid and must be clearly identified as such in the transmittal letter. Central Health will not merge, collate, or assemble Bid materials.

Designating Bid Contents as Confidential or Proprietary Bidders may mark, stamp, or imprint the words “proprietary” or “confidential” on any pages of the Bid that include information of this type. However, Proprietary or confidential information should be readily separable from the Bid in order to facilitate eventual public inspection of the other portions of the Bid. Central Health will not sort, otherwise isolate, or redact proprietary or confidential information embedded within the body of a Bid.
Obligations Conditions and Contract Terms Associated with RFB
Bidders must indicate their acceptance of all conditions governing the RFB in their letter of transmittal. However, a Bidder’s failure to do so will not operate to exempt Bidder from these conditions, as the act of submission itself constitutes acceptance of the conditions, including the criteria contained in Section V, titled BID FORMAT, CONTENT REQUIREMENTS, AND ORGANIZATION of this RFB.
Additionally, Bidders must agree to include the terms contained within Exhibit G – Model Contract with Required Terms and Conditions, including its General Conditions, which is incorporated in this RFB and in any Contract that results from this RFB.
Costs Associated with Procurement Any and all costs incurred by the Bidder in preparation, transmittal, and presentation of any Bid or material submitted in response to this RFB will be borne solely by the Bidder.

Identification and Selection of Subcontractors The term “subcontractor” includes sub-consultants. Bidder’s intended use of subcontractors must be clearly explained in its Bids, and major subcontractors must be identified by name. The
P a g e 12 awarded Bidder will be wholly responsible for the entire performance of the Contract, whether or not subcontractors are used, and Bidder expressly acknowledges that in entering into such subcontract(s), Central Health is in no manner liable to any subcontractor(s). Awarded Bidder further acknowledges that Central Health will make Contract payments only to the awarded Bidder.
Historically Underutilized Business (HUB) Program and Good Faith Effort Central Health’s Historically Underutilized Business (HUB) Program is committed to assisting and promoting all MBE/WBE vendors with procurement opportunities. • Texas Unified Certification Program;

Any subcontractor who Bidder intends to subcontract with at the time of Bid submission and that is identified as a HUB, will be required to submit a copy of its certification with this Bid.
Central Health reserves the right to verify any entity’s HUB status prior to Contract award.
Suspension and Debarment Certification The Bidder will certify, by signing the Acknowledgement of Receipt Form, attached hereto as Exhibit C, that to the best of its knowledge and belief that the Bidder and/or its Principals or subcontractors are not and have not been debarred, suspended, proposed for debarment, or declared ineligible for the award of Contracts by any federal department or district.
Conflict-of-Interest Questionnaire (CIQ Form) Pursuant to Chapter 176 of the Texas Local Government Code, the awarded Bidder, if any, will be required to complete the Conflict-of-Interest Questionnaire (“CIQ”), which is attached to this RFB as Exhibit E, and submit it together with the Contract, if the Bidder has: (i) an employment or other business relationship with a local government officer of Central Health or a family member of same; (ii) given a local government officer of Central Health or a family member of same one or more gifts having an aggregate value as specified in Exhibit E; or (iii) has a family relationship with a local government officer of Central Health. For additional information concerning filling out the CIQ, see with https://www.ethics.state.tx.us/forms/conflict/.
https://www.ethics.state.tx.us/forms/conflict/
P a g e 13
Certificate of Interested Parties (Form 1295) Section 2252.908 of the Texas Government Code prohibits a governmental entity, like Central Health, from entering into certain Contracts unless the business entity submits a Certificate of Interested Parties form (“Form 1295”), attached to this RFB as Exhibit I, to the governmental entity at the time the business entity executes a Contract. Form 1295 is applicable to any of awarded Bidder’s directors, officers, or employees who hold a controlling interest (10% or more ownership) in the business entity and who actively participated in facilitating the Contract or negotiating the terms of same (broker, intermediary, advisor, and/or attorney), if any.
Selected Bidder will be required to electronically file a Form 1295 with the Texas Ethics Commission upon notification of selection from Central Health. The online filing process will generate a Certificate Number and Date Filed. Selected Bidder will submit that information Central Health as part of its contract.
For more information, visit: https://www.ethics.state.tx.us/filinginfo/1295/.
Good-Faith Negotiations The Procurement Authority or designee will participate in all discussions with Selected Bidder.
Discussions will only be conducted with responsible Selected Bidder who submit Responsive Bids to the RFB, which are determined to be reasonably acceptable of being selected for award.
The Selected Bidder will be accorded fair and equal treatment with respect to any opportunity for discussion and revision of Bids. The Selected Bidder may be required to submit additional information and/or clarify previously submitted information before negotiations commence.
Revisions and supplements to Bids may also be permitted after submission and before Contract award for the purpose of obtaining BAFOs in Central Health’s sole discretion. Any BAFO, as well as the entire Bid, will become part of Central Health’s awarded Contract.
Central Health reserves the right to negotiate the price and any other term with the Selected Bidder. Any oral negotiations must be confirmed in writing prior to an award.
Texas Workers’ Compensation Coverage (“TWCC”) The Texas Department of Insurance, Division of Workers’ Compensation (“TDIDWC”) has adopted Rule 110.110. Rule 110.110 applies to all building and construction contracts advertised for bid by a governmental entity on or after September 1, 1994. Rule 110.100, and any amendments thereto, affects your bid on this project.
• Rule 110.110 is designed to achieve compliance from contractors, subcontractors, and governmental entities regarding workers’ compensation insurance coverage. This affects contractors, subcontractors, and Central Health on this project.
• Providing false or misleading certificates of coverage, failing to provide or maintain required coverage, or failing to report any change that materially affects the coverage may subject the contractor(s) or other persons providing services on this project to administrative penalties, criminal penalties, civil penalties, or other civil actions. This affects contractors and subcontractors.
• Therefore, the following TDIDWC RULE 110.110 is provided below in Section 11 in accordance with the requirements on governmental entities as set forth in Title 28, Part https://www.ethics.state.tx.us/filinginfo/1295/
P a g e 14
2, Section 110.110(c) of the Texas Administrative Code. Read this carefully and prepare your bid in full compliance with TDIDWC Rule 110.110. Failure to provide the required certificates upon submission of a bid could result in your bid being declared non-responsive.
• We do not believe that Rule 110.110 creates any additional duties or burdens on anyone beyond those already established by Texas workers’ compensation laws, rules, and regulations. Therefore, Central Health should not experience any increase in cost because of the need to comply with all Texas workers’ compensation laws, rules, and regulations.
Additional questions may be addressed to the Texas Department of Insurance, Division of Workers’ Compensation Central Office, 7551 Metro Center Drive, Suite 100, Austin, Texas 78744, (512) 804-4000 or toll free at (800) 372-7713.

i. A certificate of coverage prior to the other person beginning work on the project; and
ii. A new certificate of coverage showing extension of coverage, prior to the end of the coverage period, if the coverage period shown on the current certificate
P a g e 16 of coverage ends during the duration of the project;
Retain all required certificates of coverage on file for the duration of the project and for one year thereafter;
Notify the governmental entity in writing by certified mail or personal delivery, within ten (10) days after the person knew or should have known, of any change that materially affects the provision of coverage of any person providing services on the project; and
Contractually require each person with whom it contracts to perform, as required by paragraphs (1) - (7), with the certificates of coverage to be provided to the person for whom they are providing services.
By signing this contract or providing or causing to be provided a certificate of coverage, the contractor is representing to the governmental entity that all employees of the contractor who will provide services on the project will be covered by workers’ compensation coverage for the duration of the project, that the coverage will be based on proper reporting of classification codes and payroll amounts, and that all coverage agreements will be filed with the appropriate insurance carrier or, in the case of a self-insured, with the commission’s Division of Self-Insurance Regulation. Providing false or misleading information may subject the contractor to administrative penalties, criminal penalties, civil penalties, or other civil actions.
The contractor’s failure to comply with any of these provisions is a breach of contract by the contractor which entitles the governmental entity to declare the contract void if the contractor does not remedy the breach within ten (10) days after receipt of notice of breach from the governmental entity.
Prevailing Wage Rate Determination - Site Construction & Building Construction Crafts
NOTICE
Central Health has adopted the prevailing wage rates for its Travis County projects as determined by the United States Department of Labor in accordance with the Davis –Bacon Act and its subsequent amendments. The prevailing wage rates for this project are those rates set forth for Travis County in the U.S. Department of Labor General Decisions for (1) Building Construction Projects or (2) Highway Construction Projects which can be found at https://sam.gov/wage-determination/TX20240271/5
Copies of the appropriate U.S. Department of Labor General Decisions referenced above are included in this RFB.
This determination of prevailing wages will not be construed to prohibit the payment of more than the rate named. Under no condition will any laborer, workman, or mechanic employed on this job be paid less than the minimum wage scale.
The Contractor must comply with all applicable state and federal laws, including, but not limited to, laws concerned with labor, equal employment opportunity, safety, and minimum https://sam.gov/wage-determination/TX20240271/5
P a g e 17 wage. The Contractor must post the applicable Prevailing Wage Rate Determination in a prominent, easily accessible place at the work site. To ensure that the Contractor and/or subcontractors are paying the posted specified rates (including fringe benefits when applicable) to all classifications of workmen, mechanics, and laborers, Central Health reserves the right to perform “spot labor interviews” and examine Contractor payroll information.
Pursuant to Chapter 2258 of the Texas Government Code:
• A worker employed on a public work by or on behalf of Central Health must be paid:
o Not less than the general prevailing rate of per diem wages for work of a similar character in the locality in which the work is performed; and o Not less than the general prevailing rate of per diem wages for legal holiday and overtime work. NOTE: This Paragraph Number 1 does not apply to maintenance work.
• A worker is employed on a public work for the purposes of Paragraph Number 1 if the worker is employed by a contractor or subcontractor in the execution of a contract for the public work with Central Health or any officer or department of Central Health.
• The contractor who is awarded a contract by Central Health, or a subcontractor of the contractor, must pay not less than the rates (plus fringe benefits when applicable) as listed in the U.S. Department of Labor General Decisions referenced above to a worker employed by the contractor to work on the project.
• A contractor or subcontractor who violates this section must pay to Central Health $60 for each worker employed for each calendar day or part of the day that the worker is paid less than the wage rates set forth in the U.S. Department of Labor General Decisions referenced above. Subject to a final determination of the matter, Central Health may use any money collected pursuant to this section to offset the cost incurred in the administration of the requirements of Chapter 2258.
• Central Health will take notice of complaints of all violations of this chapter committed in the execution of the contract and withhold money or required to be withheld under Chapter 2258 from the payments to the contractor under the contract, except that Central Health may not withhold money from other than the final payment without a determination by Central Health that there is good cause to believe that the contractor has violated this chapter.
• The contractor will post the following notices and the wage rates prominently at the Project.

** Workers in this classification may be entitled to a higher minimum wage under Executive Order 14026 ($17.20) or 13658 ($12.90). Please see the Note at the top of the wage determination for more information. Please also note that the minimum wage requirements of Executive Order 14026 are not currently being enforced as to any contract or subcontract to which the states of Texas, Louisiana, or Mississippi, including their agencies, are a party.
Note: Executive Order (EO) 13706, Establishing Paid Sick Leave for Federal Contractors applies to all contracts subject to the Davis-Bacon Act for which the contract is awarded (and any solicitation was issued) on or after January 1, 2017. If this contract is covered by the EO, the contractor must provide employees with 1 hour of paid sick leave for every 30 hours they work, up to 56 hours of paid sick leave each year.
Employees must be permitted to use paid sick leave for their own illness, injury or other health-related needs, including preventive care; to assist a family member (or person who is like family to the employee) who is ill, injured, or has other health-related needs, including preventive care; or for reasons resulting from, or to assist a family member (or person who is like family to the employee) who is a victim of, domestic violence, sexual assault, or stalking. Additional information on contractor requirements and worker protections under the EO is available at https://www.dol.gov/agencies/whd/government-contracts.
Unlisted classifications needed for work not included within the scope of the classifications listed may be added after award only as provided in the labor standards contract clauses (29CFR 5.5 (a) (1) (iii)).
The body of each wage determination lists the classification and wage rates that have been found to be prevailing for the cited type(s) of construction in the area covered by the wage determination. The classifications are listed in alphabetical order of ““identifiers”“ that indicate whether the particular rate is a union rate (current union negotiated rate for local), a survey rate (weighted average rate) or a union average rate (weighted union average rate).
P a g e 23
Union Rate Identifiers
A four letter classification abbreviation identifier enclosed in dotted lines beginning with characters other than ““SU”“ or ““UAVG”“ denotes that the union classification and rate were prevailing for that classification in the survey. Example: PLUM0198-005 07/01/2014. PLUM is an abbreviation identifier of the union which prevailed in the survey for this classification, which in this example would be Plumbers. 0198 indicates the local union number or district council number where applicable, i.e., Plumbers Local 0198. The next number, 005 in the example, is an internal number used in processing the wage determination. 07/01/2014 is the effective date of the most current negotiated rate, which in this example is July 1, 2014.
Union prevailing wage rates are updated to reflect all rate changes in the collective bargaining agreement (CBA) governing this classification and rate.
Survey Rate Identifiers
Classifications listed under the ““SU”“ identifier indicate that no one rate prevailed for this classification in the survey and the published rate is derived by computing a weighted average rate based on all the rates reported in the survey for that classification. As this weighted average rate includes all rates reported in the survey, it may include both union and non-union rates. Example: SULA2012-007 5/13/2014. SU indicates the rates are survey rates based on a weighted average calculation of rates and are not majority rates.
