About this file

This document is an Invitation for Bids (IFB) issued by the Texas Comptroller of Public Accounts Statewide Procurement Division (CPA) for Meat Products under NIGP Class-Items 390-49 and 393-70. The IFB requests sealed responses for meat products, with a major customer being the Texas Department of Criminal Justice. The initial contract term is from the effective date until August 31, 2025, with four one-year renewal options. Responses are due by October 17, 2024, at 1:30 pm Central Time. A pre-bid conference is scheduled for September 27, 2024, at 2 PM. CPA intends to make an award to the vendor providing the best value to the state for each line item, which may result in awarding different line items to different vendors.

The IFB outlines a pricing structure with firm, all-inclusive fixed prices for some line items and a fluctuating base cost plus a constant per pound for other line items. Price adjustments are allowed annually or at the sole discretion of CPA throughout the term of the contract. Insurance requirements and special delivery terms are also specified. Respondents are required to submit supporting documentation for their proposed constant pricing and descriptive literature for any products offered other than the referenced brands.

The initial term of this Contract commences on the effective date set out in a Notice of Award issued by CPA and automatically expires on August 31, 2025.

1st Renewal Option: September 1, 2025, through August 31, 2026 2nd Renewal Option: September 1, 2026, through August 31, 2027 3rd Renewal Option:

4th Renewal Option:

September 1, 2027, through August 31, 2028 September 1, 2028, up to one (1) additional year

CPA may unilaterally renew the Contract.

A.4 PRICING

A.4.1 Pricing Structure – Firm Price with Escalation (Lines 4-7)

Response prices for lines 4 through 7 must be firm, all-inclusive, fixed prices. Contract pricing may only change in accordance with the Price Adjustments provision of the Contract, provided however, that if a Contractor offers or provides a lower price to any customer for the same goods or services, under the same terms and conditions provided for CPA and its Customers, the Contractor must provide the same lower price under the Contract.

Unit prices must include all Contract requirements. Shipping shall be FOB Destination; therefore, unit prices must include delivery (all shipping, handling, and delivery fees and fuel surcharges) to:

Lines 4, & 6: Tennessee Colony, TX 75886 Lines 5, & 7: Amarillo, TX 79107

A.4.2 Pricing Structure - Base Cost

Pricing for Lines 1, 2, and 3 of this Contract is based upon a published fluctuating base cost (the “Base Cost”), plus a constant per pound (the “Contractor’s Constant” (see Section A.4.3)). The Customer will pay the Base Cost for meat products under this Contract, calculated as of the date of quote request based on the published price for the market day prior to the quote request date. The Contractor must provide a copy of the National Carlot Meat Report (NCMR) with each quote request or provide payment for a subscription for the Customer agency throughout the contract life. The Base Cost of meat products is determined by the NCMR price per pound based on the Market day prior weighted average for:

(1) Pork – 72% trim combo (Line 1);

(2) Beef – National, Chemical Lean 65%, fresh, boneless processing beef and beef trimmings (Line

2); and

(3) Beef variety meats – Frozen hearts, regular, bone out (Line 3).

The NCMR is attainable through USDA Market News, Des Moines, IA (515-284-4460) or on the web at https://www.ams.usda.gov/mnreports/lswwklyblue.pdf https://www.ams.usda.gov/mnreports/lswwklyblue.pdf

Page A6

If the market day prior NCMR is not published by the USDA, i.e., during a government shutdown etc., pricing for the purchase order will be the Contractor’s constant unit price per pound plus the Urner Barry’s weekly weighed average for beef 65% and pork 72% trim combos and beef hearts. The Contractor must provide a copy of the Urner Barry’s weekly weighed average with each quote request.

This Urner Barry-based price will be the final and settled price for the loads ordered while no NCMR price is available. Once the market day prior NCMR price resumes availability, pricing will revert to the NCMR structured pricing. Urner Barry market information can be accessed at https://www.urnerbarry.com/

A.4.3 Pricing Structure - Contractor’s Constant, Lines 1-3

The constant unit price must remain firm through the initial term of the Contract with escalation in accordance with Section A.5.3 and may only change in accordance with the Price Adjustments provisions of the Contract, Section A.5.4. In the event a Contractor offers or provides a lower price to a specific customer for the same commodities or services, under the same terms and conditions, provided for the State of Texas pursuant to its Contract, the Contractor must provide the same lower price to all Customers.

The Contractor’s Constant must consider all costs associated with Contract requirements including overhead costs, profit margin, required microbiological testing, fuel surcharges as well as handling, packaging, and F.O.B Destination shipping to:

Line 1: Fresh Pork Trimmings: Tennessee Colony, TX 75886 Line 2: Fresh Beef Trimmings: Amarillo, TX 79107 Line 3: Fresh Frozen Beef Hearts: Amarillo, TX 79107

The fluctuating Base Cost is determined according to Section A.5.2.

Pricing Example

Constant unit price of $0.055 per pound added to the market day prior weight average price of $1.10 per pound quoted in the NCMR would result in an F.O.B. destination price to the Customer of $1.155 per pound.

(1) Base Cost (National Carlot Meat Report market day prior weighted average). $1.10 per pound

(2) Contractor’s Constant…………………………………………………………. $0.055 per pound

(3) Total Cost of meat (trimming, hearts, etc.) for the week………………..…… $1.155 per pound

A.5 PRICE ADJUSTMENTS

A.5.1 Price Decreases or Discount Increases

Contractor shall immediately implement any price decrease or discount increase that becomes available. Contractor shall notify CPA of price decreases or discount increases by email to:

spd.cmo@cpa.texas.gov

A.5.2 Price Adjustment Calculation – PPI (Lines 4-7)

Prices may be adjusted annually at time of renewal or at the sole discretion of CPA throughout the term of the Contract upwardly or downwardly when correlated with the index specified below and published by the Bureau of Labor Statistics (BLS).

BLS website: http://data.bls.gov/cgi-bin/srgate https://www.urnerbarry.com/ mailto:spd.cmo@cpa.texas.gov http://data.bls.gov/cgi-bin/srgate

Page A7

Producer Price Index:

Lines 4-7: Isolated Soy Protein and Textured Soy Protein: WPU029201122, Processed Foods and Feeds: Other soybean products, including isolates and concentrates.

Note: Enter the index number in the Series ID box and click Next and “Retrieve Data.”

For a price adjustment request, after the initial contract term, the Contractor will calculate the maximum allowable Contract price using the following formula:

Maximum Allowable Contract Price = (Original Awarded Price ÷ Original Index) x New Index, where:

(1) “Original Awarded Price” is the price at which the item was initially awarded to the Contractor;

(2) “Original Index” is the index value for the month and year that Responses to this Solicitation were submitted; and

(3) “New Index” is the index value for the month and year that the price increase request is submitted.

If the Respondent can demonstrate that the price index lags behind costs of performance or does not account for significant costs of performance, Respondent may request CPA to consider other documentation of its cost to perform the Contract, such as quotes or invoices. CPA may consider cost documentation that in its sole discretion is acceptable. Acceptable cost documentation must at a minimum be (1) clearly related to Contract performance, (2) verifiable by an external or third-party source, (3) certified as complete and accurate by the Respondent, under penalty of perjury, and (4) each alternate cost document must note the respective cost, i.e. fuel is 15% of the total cost or fuel cost is $30.00 of the total cost. CPA may reject cost documentation in its sole discretion.

A.5.3 Adjustment to Contractor’s Constant

Contractor’s Constants must remain firm through the initial term of the Contract. Adjustments may be requested annually at the time of renewal or at the sole discretion of CPA throughout the term of the contract upwardly or downwardly.

Contractor’s constant adjustment requests will be based upon documentation relevant to the components that makeup the Contractor’s constant. Relevant documentation may include the producer price indices (PPI) for factors specified at time of bid, or alternate cost documentation. Relevant cost documentation must demonstrate increases or decreases in freight or transportation costs, costs associated with required microbiological testing, fuel costs, packaging and handling costs, and all other costs associated with the makeup of the Contractor’s constant. CPA requires Respondents to disclose cost associate with individual components of the Contractor’s constant with the response, if any adjustments to price will be requested in the future. Additionally, CPA reserves the right to determine acceptability of documentation used to support the Contractor’s constant.

Example: Components of Contractor’s Constant Charge Cents per lb. of meat

Freight/Transportation: $0.02 Fuel Surcharge: $.005

Microbiological testing: $0.015 Packaging costs: $0.01

Contractor’s Profit Margin: $0.01 Contractor’s Constant per lb. of Meat: $0.060

Page A8

CPA may accept, reject, or negotiate price adjustments. The Contractor will receive written notification from Statewide Contract Management (SCM) documenting action taken, including effective dates, when appropriate.

If a complete, properly submitted price increase request is rejected, the Contractor may request to cancel the Contract for those items covered by the request. CPA may approve or reject item cancellation requests. CPA will specify the effective date of item cancellation in its written notice of approval. Purchase orders dated prior and up to the effective date of approval or cancellation, as applicable, must be honored at the Contract price in effect when issued.

Price adjustment requests and cancellation requests under this section should be sent by email to:

spd.cmo@cpa.texas.gov

A.5.4 Tariffs

The parties may agree to adjust prices periodically to reflect changes in tariffs implemented after the Response Due Date that affect the cost of supplying goods under this Contract. Any existing tariffs at the time of the response should be considered as part of the response price. To request a price increase related to tariffs, Contractor must provide documentation that includes the effective date, amount, and scope of the tariffs. Contractor must demonstrate with specificity the effect of tariffs on its necessary and reasonable cost of supplying goods under this Contract, including its commercial reasons for using a source subject to tariffs. Any adjustment is at CPA’s sole discretion. If CPA grants an adjustment related to tariffs, Contractor shall monitor tariff levels and notify CPA within five business days of any reduction or repeal. CPA may reduce or retract a tariff adjustment it has granted at any time by notifying the Contractor of the new prices.

A.6 INSURANCE

The Response must include a statement that Respondent intends to obtain and maintain for the term of the Contract (and any renewal periods) the minimum insurance coverage specified in the table below.

The Response should also describe other insurance coverage maintained by Respondent in the ordinary course of business and provide proof of same in its Response. If Respondent’s normal and customary insurance coverage exceeds the minimum required amounts in this Solicitation, the Contract will require those normal and customary types and amounts of coverage. Proof of insurance may be provided in the form of current certificates of insurance.

Respondent may propose alternate insurance amounts or coverages in the form of an exception. See Section A.16.7. If CPA rejects the exception, the Respondent shall obtain the minimum coverage listed.

Any subcontractor performing work under this Contract must meet the same minimum insurance requirements. Contractor shall ensure its subcontractors’ compliance with all requirements.

a. Lean to fat ratio shall be 65% to 35%, with an acceptable 2% variance. Any shipment which shows excess fat at or above 5% shall be rejected. The Contractor shall compensate the Customer for the percentage of fat found to exceed 2.1% but fall under 5% shall result in monetary compensation based on the following equation:

Independent lab result - % fat guarantee = % too fat (Invoiced price/lean guaranteed) x % too fat = lean value Lean value x total weight of shipment = claim value

Example:

40,500 pounds of 72/28 trim sold at $0.5230 tested at 32% fat: 32% - 28% = 4.0% too fat ($0.5230/.72) x 0.04 = $0.029056 (lean value)

A.7.4 Sample Submission Requirements – Prior To Award

CPA may request samples prior to award for evaluation purposes. If requested, Respondent must submit samples within 28 calendar days of receipt of the request. Failure to submit samples is cause for disqualification. CPA will provide submission instructions for samples in its request. Samples that do not conform to the specifications will disqualify the Response. Samples will not be returned to the Respondent. All costs of providing samples will be borne by the Respondent.

A.7.5 Sample Testing – Post Award

Line 1: Pork, Fresh Trimmings:

Samples will be randomly collected by Customer personnel, to represent the entire load, using a 36-inch long by 2-inch diameter core drill from any delivered load. A maximum of Five (5) random combinations per load will be sampled (6-10 representative core samples per combination) by the Customer at the time of unloading.

Page A16

Line 2: Beef, Fresh Trimmings, Combo Bins:

Test consists of pulling one core sample from each of 10 random combo bins. Samples one (1) through five (5) are combined and analyzed. Samples six (6) through ten (10) are combined and analyzed. The results of these two (2) tests are then averaged.

In the event the average exceeds 38% fat, an additional sampling is performed. The secondary test consists of five (5) random core samples per combination per load. Each individual combination’s five (5) core samples will be combined and analyzed. The results of the five (5) combinations will then be averaged.

Lines 1 & 2 Sampling Requirements:

Samples will be collected by Customer personnel using a 36-inch by 2-inch diameter core drill from any given delivered load and will be tested using a fat analyzing machine to insure proper fat content. Samples between 2.1% and 5% over the specified fat content will be sent, by the Customer, to an independent lab designated by the Contractor. Monetary compensation will be submitted to the Customer in accordance to Section A.7.3(2)(a) and A.7.3(3)(a) based on the independent lab results.

Should the average of the samples test more than 5% over the specified fat content, the load will be placed on hold. The Contractor will be notified, and the samples will be sent to an independent lab designated by the Contractor. Should the independent lab results confirm more than 5% over the specification, the load will be rejected. The Contractor shall be liable for all independent lab costs and return or disposal costs.

If the independent lab confirms that the fat content of the sample exceeds Contract requirements, the Contractor will pay all costs associated with the testing. If the independent lab does not substantiate the claim, all costs associated with the testing will be paid by the Customer. Should the Contractor request to have an independent lab collect the samples for testing, this cost will be the responsibility of the Contractor in all cases. In the event the Customer is liable for payment of testing samples, testing may not exceed $50.00.
