About this file
This document is a set of Special Provisions to the NAESB Base Contract for the purchase and sale of natural gas between The University of Texas at Arlington (UTA) or The University of Texas at Dallas (UTD) and the awarded Seller. The contract opportunity is for the firm supply and delivery of natural gas to Atmos Energy Corporation for redelivery to UTA and UTD. Key details include the initial contract term running from November 1, 2024 through October 31, with options to renew annually. The contract allows UTA or UTD to lock in fixed pricing for designated quantities and delivery periods. Seller is responsible for all transportation, scheduling, and imbalance charges downstream of the delivery point.
The contract outlines pricing terms, including formulas for calculating the indicative price and procedures for locking in fixed pricing. There are no stated set-asides, and the current incumbent is not identified. Funding for the contract will be through UTA's and UTD's operating budgets, which are subject to appropriation by the Texas State Legislature and allocation by the University of Texas System Board of Regents.

(NAESB STANDARD 6.3.1 DATED SEPTEMBER 5, 2006
REVISED BY R15003/R15007, APRIL 4, 2016; R19006, NOVEMBER 21, 2019;
R18007, AUGUST 6, 2020; MC23001, MAY 1, 2023)
DATED MAY _____________, 2024
BETWEEN
AND
THE UNIVERSITY OF TEXAS AT [ARLINGTON/DALLAS] [To be completed before the Contract is signed.]
If the terms of these Special Provisions and the other terms of the Base Contract conflict, the terms of these Special Provisions shall govern. Any definitions used in the Base Contract, unless otherwise defined in these Special Provisions, shall have the same meaning in these Special Provisions. Any reference to a Section in these Special Provisions refers to the same Section of the General Terms and Conditions to the Base Contract.
Section 1. Purpose and Procedures
Section 1.1 is deleted in its entirety and the following is substituted in its place:
“These General Terms and Conditions are intended to facilitate purchase and sale transactions of Gas on a Firm basis. ‘Buyer’ refers to the party receiving Gas and ‘Seller’ refers to the party delivering Gas. The entire agreement between the parties shall be the Contract as defined in Section 2.9.”
Section 1.2 is hereby amended by deleting the last sentence of the Section and replacing it with the following:
“If a Transaction Confirmation contains additional provisions or special conditions, other than those provisions relating to the basic commercial terms of the transaction (e.g., Contract Price, Delivery Period, Performance Obligation and Contract Quantity), which purport to modify or supplement the General Terms and Conditions of the Base Contract or these Special Provisions, such provisions shall not be binding on the parties unless agreed to in the form of an amendment containing the additional Special Provisions to the Contract and executed by both parties; provided, that, the foregoing shall not invalidate the remaining terms of any Transaction Confirmation agreed to by the parties.”
New Sections 1.5 through 1.7 are added as follows:
“1.5. Buyer shall be charged the Contract Price for the Contract Quantity received at the Delivery Point. Buyer shall be responsible for transportation charges incurred downstream of the Delivery Point.”
“1.6 At any point during the Term of the Contract, Buyer shall be entitled to lock in a fixed Contract Price for a designated Contract Quantity and Delivery Period under the following procedures:
(a) The Indicative Price at any time shall be calculated based on the following formula:
[Example to be completed before the Contract is signed:
Indicative Price = (NYMEX plus WAHA Basis)+/- $_______/MMBtu
OR
(NYMEX plus HSC Basis)+/- $_______/MMBtu]
OR
(NYMEX plus NGPL TexOk Basis)+/- $_______/MMBtu]
(b) To the extent that Buyer expresses an interest to Seller of locking in a fixed Contract Price for a designated Contract Quantity and Delivery Period, Seller shall immediately calculate the Indicative Price and submit it by telephone conversation to Buyer’s Authorized Representative. Buyer’s Authorized Representative, at its sole discretion, may then lock in the fixed Contract Price for the designated Contract Quantity and Delivery Period over the phone.
(c) The Confirming Party shall then send the Transaction Confirmation, the form of which is attached as Addendum B, via email to the receiving party in accordance with the terms of the Contract.
(d) The minimum Delivery Period for any transaction locking in a fixed Contract Price shall be one month. Buyer may lock in a fixed Contract Price for a different Delivery Period in each transaction.
(e) There is no limit to the number of times that Buyer can lock-in a fixed Contract Price for any designated Contract Quantity and Delivery Period, provided that the Contract Quantity designated in a transaction shall be no less than 20% of the total Estimated Gas Consumption Volume for any particular month as set forth in Addendum A.
(f) Buyer shall also have the options to (i) set lock trigger prices in advance indicating how much gas to lock when the NYMEX price for a given month(s) reaches specified price points, and (ii) lock the [WAHA/HSC/NGPL TexOk] Basis at any reasonable time during the Contract Term.
1.7 Seller shall not include any other charges, either implicit or explicit, in addition to the Contract Price as stated in any Transaction Confirmation including, but not limited to, system operating and/or maintenance expenses, scheduling charges, nominating charges, imbalance charges, administrative fees, and trading fees.”
Section 2. Definitions

If a transaction specifies that a renewal period applies and the parties agree to a fixed price with respect to all or part of the Contract Quantity for any Month(s) occurring after the initial Delivery Period or renewal thereof, as applicable and then in effect, then the Delivery Period of the transaction will be deemed to have been extended through and including the last calendar month of the last renewal period in which all or part of the Contract Quantity for any Month occurring during such renewal period is subject to a fixed price.

Seller represents, warrants, and agrees that it will: (1) hold Buyer Records in strict confidence and will not use or disclose Buyer Records except as (a) permitted or required by the Contract, (b) required by Applicable Laws, or (c) otherwise authorized by Buyer in writing; (2) safeguard Buyer Records according to reasonable administrative, physical and technical standards (such as standards established by the National Institute of Standards and Technology and the Center for Internet Security, as well as the Payment Card Industry Data Security Standards) that are no less rigorous than the standards by which Seller protects its own confidential information; (3) continually monitor its operations and take any action necessary to assure that Buyer Records are safeguarded and the confidentiality of Buyer Records is maintained in accordance with all Applicable Laws and the terms of the Contract; and (4) comply with Buyer Rules regarding access to and use of Buyer’s computer systems, including UTS165 at https://www.utsystem.edu/sites/policy-library/policies/uts-165-information-resources-use-and-security-policy. At the request of Buyer, Seller agrees to provide Buyer with a written summary of the procedures Seller uses to safeguard and maintain the confidentiality of Buyer Records.
15.10.1 Notice of Impermissible Use. If an impermissible use or disclosure of any Buyer Records occurs, Seller will provide written notice to Buyer within one (1) business day after Seller’s discovery of that use or disclosure. Seller will promptly provide Buyer with all information requested by Buyer regarding the impermissible use or disclosure.
15.10.2 Return of Buyer Records. Seller agrees that within thirty (30) days after the expiration or termination of the Contract, for any reason, all Buyer Records created or received from or on behalf of Buyer will be (1) returned to Buyer, with no copies retained by Seller; or (2) if return is not feasible, destroyed. Twenty (20) days before destruction of any Buyer Records, Seller will provide Buyer with written notice of Seller’s intent to destroy Buyer Records. Within five (5) days after destruction, Seller will confirm to Buyer in writing the destruction of Buyer Records.
15.10.3 Disclosure. If Seller discloses any Buyer Records to a subcontractor or agent, Seller will require the subcontractor or agent to comply with the same restrictions and obligations as are imposed on Seller by this Section 15.10.
15.10.4 Press Releases. Except when defined as part of the work performed by Seller, Seller will not make any press releases, public statements, or advertisement referring to the Contract or the engagement of Seller as an independent contractor of Buyer in connection with the Contract, or release any information relative to the Contract for publication, advertisement or any other purpose without the prior written approval of Buyer.
15.10.5 Public Information. Buyer strictly adheres to all statutes, court decisions and the opinions of the Texas Attorney General with respect to disclosure of public information under the Texas Public Information Act (“TPIA”), Chapter 552, Texas Government Code. In accordance with Section 552.002 of TPIA and Section 2252.907, Texas Government Code, and at no additional charge to Buyer, Contractor will make any information created or exchanged with University pursuant to this Agreement (and not otherwise exempt from disclosure under TPIA) available in a format reasonably requested by University that is accessible by the public.
15.10.6 Termination. In addition to any other termination rights set forth in the Contract and any other rights at law or equity, if Buyer reasonably determines that Seller has breached any of the restrictions or obligations set forth in this Section, Buyer may immediately terminate the Contract without notice or opportunity to cure.
15.10.7 Duration. The restrictions and obligations under this Section will survive expiration or termination of the Contract for any reason.”
Section 15.11 is deleted in its entirety and the following is substituted in its place:
“15.11 INTENTIONALLY DELETED.”
Section 15.12 is deleted in its entirety and the following is substituted in its place:
15.12 Any original executed Base Contract, Transaction Confirmation or other related document may be effected by scanned signature or digitally copied portable document format (.pdf) signatures (“Imaged Agreement”), all of which shall be treated as originals; provided, however, that the party receiving an Imaged Agreement, by Notice to the other, require the prompt delivery of an original signature to evidence and confirm the delivery of the Imaged Agreement. Buyer and Seller each intend to be bound by its respective Imaged Agreement, and is aware that the other party will rely thereon, and each party waives any defenses to the enforcement of the Contract, and documents, and any Notices delivered by Imaged Agreement.
Section 15 is amended to add the following Paragraphs 15.13 through Paragraph 15.43:
15.13. No Other Modifications. The parties represent and warrant that the General Terms and Conditions of the Base Contract have not been modified, altered, or amended in any respect except for these Special Provisions (and all exhibits, addenda, and attachments hereto) which are attached to and made a part of the Base Contract.
15.14 Dispute Resolution. To the extent that Chapter 2260, Texas Government Code, as it may be amended from time to time ("Chapter 2260"), is applicable to the Contract and is not preempted by other Applicable Laws, the dispute resolution process provided for in Chapter 2260 shall be used, as further described herein, by Buyer and Seller to attempt to resolve any claim for breach of contract made by Seller:
a. Seller’s claims for breach of the Contract that the parties cannot resolve pursuant to other provisions of the Contract or in the ordinary course of business shall be submitted to the negotiation process provided in subchapter B of Chapter 2260. To initiate the process, Seller shall submit written notice, as required by subchapter B of Chapter 2260, to Buyer in accordance with the notice provisions in the Contract. Seller’s notice shall specifically state that the provisions of subchapter B of Chapter 2260 are being invoked, the date and nature of the event giving rise to the claim, the specific contract provision that Buyer allegedly breached, the amount of damages Seller seeks, and the method used to calculate the damages. Compliance by Seller with subchapter B of Chapter 2260 is a required prerequisite to Seller’s filing of a contested case proceeding under subchapter C of Chapter 2260. The chief business officer of Buyer, or such other officer of Buyer as may be designated from time-to-time by Buyer by written notice thereof to Seller in accordance with the notice provisions in the Contract, shall examine Seller’s claim and any counterclaim and negotiate with Seller in an effort to resolve such claims.
b. If the parties are unable to resolve their disputes under subparagraph a. of this Section, the contested case process provided in subchapter C of Chapter 2260 is Seller’s sole and exclusive process for seeking a remedy for any and all of Seller’s claims for breach of the Contract by Buyer.
c. Compliance with the contested case process provided in subchapter C of Chapter 2260 is a required prerequisite to seeking consent to sue from the Legislature under Chapter 107, Texas Civil Practices and Remedies Code. The parties hereto specifically agree that (i) neither the execution of the Contract by Buyer nor any other conduct, action or inaction of any representative of Buyer relating to the Contract constitutes or is intended to constitute a waiver of Buyer’s or the state's sovereign immunity to suit, and (ii) Buyer has not waived its right to seek redress in the courts.
d. The submission, processing and resolution of Seller’s claim is governed by the published rules adopted by the Texas Attorney General pursuant to Chapter 2260, as currently effective, hereafter enacted or subsequently amended.
e. The parties agree that any periods set forth in the Contract for notice and cure of defaults are not waived.
15.15 Approval by the Texas General Land Office. As required by Texas law, the Texas General Land Office may periodically review and approve the Contract in accordance with Subchapter H, Chapter 31, Texas Natural Resources Code, and Chapter 8, Volume 31, TAC. Seller acknowledges and agrees that if at any time the Texas General Land Office fails to approve the Contract, Buyer may terminate the Contract without penalty, except as otherwise specifically provided in the Contract.
15.16 Payment of Debt or Delinquency to the State. Pursuant to Sections 2107.008 and 2252.903, Texas Government Code, Seller agrees that any payments owing to Seller under the Contract may be applied directly toward any debt or delinquency that Seller owes the State of Texas or any agency of the State of Texas regardless of when it arises, until such debt or delinquency is paid in full.
15.17 Texas Family Code Child Support Certification. Pursuant to Section 231.006, Texas Family Code, Seller certifies that it is not ineligible to receive the award of or payments under the Contract and acknowledges that the Contract may be terminated and payment may be withheld if this certification is inaccurate.
15.18 Venue. [Tarrant/Collin] [The correct county will be selected before the Contract is signed.] County, Texas, shall be the proper place of venue for suit on or in respect of the Contract.
15.19 Loss of Funding. Performance by Buyer under the Contract may be dependent upon the appropriation and allotment of funds by the Texas State Legislature (the "Legislature") and/or allocation of funds by the Board of Regents of The University of Texas System (the "Board"). If the Legislature fails to appropriate or allot the necessary funds, or the Board fails to allocate the necessary funds, then Buyer shall issue written notice to Seller and Buyer may terminate the Contract without further duty or obligation hereunder; except with regard to making payments then due and owing for gas delivered. Seller acknowledges that appropriation, allotment, and allocation of funds are beyond the control of Buyer.
15.20 State Auditor’s Office. Seller understands that acceptance of funds under the Contract constitutes acceptance of the authority of the Texas State Auditor's Office, or any successor agency (collectively, “Auditor”), to conduct an audit or investigation in connection with those funds pursuant to Sections 51.9335(c), 73.115(c) and 74.008(c), Texas Education Code. Seller agrees to cooperate with the Auditor in the conduct of the audit or investigation, including without limitation providing all records requested. Seller shall include this provision in all contracts with permitted subcontractors.
15.21 Technology Access. Seller represents and warrants (the “EIR Accessibility Warranty”) that the electronic and information resources and all associated information, documentation, and support that it provides to Buyer under the Contract (collectively, the “EIRs”) comply with the applicable requirements set forth in Title 1, Chapter 213, TAC, and Title 1, Chapter 206, Rule §206.70, TAC (as authorized by Chapter 2054, Subchapter M, Texas Government Code.) To the extent Seller becomes aware that the EIRs, or any portion thereof, do not comply with the EIR Accessibility Warranty, then Seller represents and warrants that it shall, at no cost to Buyer, either (1) perform all necessary remediation to make the EIRs satisfy the EIR Accessibility Warranty or (2) replace the EIRs with new EIRs that satisfy the EIR Accessibility Warranty. In the event that Seller fails or is unable to do so, then Buyer may terminate the Contract and Seller shall refund to Buyer all amounts Buyer has paid under the Contract within thirty (30) days after the termination date.
15.22 Subcontracting. Except as specifically provided in Addendum D, Historically Underutilized Business Subcontracting Plan, attached and incorporated for all purposes, the Seller’s duties and obligations to provide goods and perform services (collectively, the “Work”) under the Contract may not be subcontracted, in whole or in part, and any attempt to do so shall (a) not be binding on Buyer; and (b) be a breach of the Contract for which Seller shall be subject to all remedial actions provided by Texas law, including Chapter 2161, Texas Government Code, and 34 TAC Section 20.285. The benefits and burdens of the Contract are assignable by Buyer.
15.23 Historically Underutilized Business Subcontracting Plan. Seller agrees to use good faith efforts to subcontract the Work in accordance with the Historically Underutilized Business Subcontracting Plan (“HSP”), if applicable. Seller agrees to maintain business records documenting its compliance with the HSP and to submit a monthly compliance report to Buyer in the format required by the Texas Procurement and Support Services Division (“TPASS”) of Texas Comptroller of Public Accounts. Submission of compliance reports shall be required as a condition for payment under the Contract. If Buyer determines that Seller has failed to subcontract as set out in the HSP, Buyer shall notify Seller of any deficiencies and give Seller an opportunity to submit documentation and explain why the failure to comply with the HSP should not be attributed to a lack of good faith effort by Seller. If Buyer determines that Seller failed to implement the HSP in good faith, Buyer, in addition to any other remedies, may report nonperformance to the TPASS in accordance with 34 TAC Section 20.285. Buyer may also revoke the Contract for breach and make a claim against the Seller.
15.24 Changes to the HSP. If at any time during the term of the Contract, Seller desires to change the HSP, before the proposed changes become effective (a) Seller must comply with 34 TAC Section 20.285 (g)(2); (b) the changes must be reviewed and approved by Buyer; and (c) if Buyer approves changes to the HSP, the Contract must be amended in accordance with Section 15.4 to replace the HSP with the revised subcontracting plan.
15.25 Expansion of the Work. If Buyer expands the scope of the Work through a change order or any other amendment, including a contract renewal that expands the scope of work, Buyer shall determine if the additional Work contains probable subcontracting opportunities not identified in the initial solicitation for the Work. If Buyer determines additional probable subcontracting opportunities exist, Seller shall submit an amended subcontracting plan covering those opportunities. The amended subcontracting plan must comply with the provisions of 34 TAC Section 20.285 before (a) the Contract may be amended to include the additional Work; or (b) Seller may perform the additional Work. If Seller subcontracts any of the additional subcontracting opportunities identified by Buyer without prior authorization and without complying with 34 TAC Section 20.285, Seller shall be deemed to be in breach of the Contract under Section 10 and shall be subject to any remedial actions provided by Texas law including Chapter 2161, Texas Government Code, and 34 TAC Section 20.285. Buyer may report nonperformance under the Contract to the TPASS in accordance with 34 TAC Section 20.285.
