CONFLICT OF INTEREST
The District must maintain written standards of conduct covering conflicts of interest and governing the actions of its employees engaged in the selection, award, and administration of contracts. No employee, officer, or agent may participate in the selection, award, or administration of a contract supported by a Federal award if there is a real or apparent conflict of interest. Such a conflict of interest would arise when the employee, officer, or agent, any member of their immediate family, partner, or an organization which employs or is about to employ any of the parties indicated herein, has a financial or other interest in or a tangible personal benefit from the contract awarded to a specific supplier. The officers, employees, and agents of the District may neither solicit nor accept gratuities, favors, or anything of monetary value from suppliers of parties to subcontracts. It is the responsibility of the supplier to identify and make the District aware of any potential conflicts of interest that exist between supplier and the District.
Failure to do so will cause the associated supplier’s response to be disqualified from further consideration, or if already awarded, the associated contract will be terminated immediately without penalty to the District based on cause.

COST ANALYSIS / NEGOTIATION OF PROFIT
For contracts over the SAT, the District must negotiate profit as a separate element of the price for each contract in which there is no price competition, including solicitations that receive only one valid response. A cost analysis, to be performed by the District, should establish a fair and reasonable profit by evaluating the complexity of the work to be performed, the borne risk to the supplier, the supplier’s investment, subcontracting, quality, past performance, and industry profit rates in the surrounding geographical area for similar goods/services.
