Anticipated Award-Board Meeting July 15, 2024

2. OVERVIEW: Joshua Independent School District, which was established in 1902, encompasses 76 square miles in the Burleson, Crowley, Joshua, Egan and Cleburne communities of Johnson County. Known for its small school advantages and big school opportunities, Joshua ISD is now a fast-growth district. Currently the third largest district in Johnson County, Joshua ISD is expected to add nearly 2,000 additional students in the next 10 years. The District currently has five elementary schools, two middle schools, a ninth-grade campus, one high school, and one alternative school. A list of Joshua ISD campuses with each address was included with this RFP on the Pricing Sheet.

3. SCOPE OF RFP: Joshua ISD is seeking bids for the purchase of paper goods and supplies for all nine (9) District campuses for the 2024-2025 school year. Types of paper goods and supplies requested include, but are not limited to: disposable lunch trays, individually wrapped cutlery kits, plastic portion cups, disposable bowls, disposable plates, vinyl gloves, sheet pan liners, plastic storage bags, trash can liners, and plastic containers.

Bidders will bid a percentage off MSRP, list, retail, or catalog price for any or all the lines represented in this RFP.

Vendors submitting a response must be prepared to provide a sample of each item proposed, and be able to deliver to each campus weekly during the district operating hours of 8:00 a.m. to 2:30 p.m., Monday through Friday. Vendors must notify the district weekly of any shortages or substitute options, and offer hot shots if vendor shorts or mis-pulls orders.

4. ESTIMATED EXPENDITURES AND MINIMUMS: Based on previous expenditures over the past twelve months for paper goods and kitchen supplies, Joshua ISD estimated contract spending to be approximately $58,000. Please note that there is no guaranteed annual volume. Joshua ISD makes no guarantees as to quantities and may purchase more or less than those stared in this proposal.

If minimum purchase quantities per order and/or per line item are required, proposer must note these amounts for the line item(s) at the time of submission.

5. PRODUCT SPECIFICATIONS: The requested goods that are required to fulfill the purpose of this proposal for the award period are listed on the Pricing Sheet included in this

RFP packet. Please note that the line items are meant to be descriptive, not restrictive, and bids on brands of equivalent nature and quality will be considered.

6. OFF-BID AND ADDITIONAL PRODUCTS: If Joshua ISD determines that adding the purchase of a limited number of products to a current contract would be advantageous, Joshua ISD may do so. In accordance with USDA recommendations, such additional costs for off-bid products shall not exceed 5-10% of the estimated value of the resulting contract.

The additional products allows Joshua ISD to order under the umbrella of a “market basket”.

Vendor agrees that any resulting contract shall include this provision related to off-bid products.

7. VENDOR RESPONSIBILITIES AND PRICING: Each respondent agrees to hold their offer open for acceptance by the District for no less than 90 days from the Request for Proposal response date and time.

Submitted prices must remain firm for a period of one (1) year from date of award. Any pricing or discount percentage changes after the initial year must be submitted in writing to the Director of Purchasing. All pricing must include shipping/freight/handling (SFH).

8. TERM OF CONTRACT: The term of this contract shall be from the date of award until August 31, 2025, with the option to renew for one (1) additional year. All parties must mutually agree upon a renewal.

9. ADDENDA TO RFP: Joshua ISD reserves the right to revise and amend the specifications prior to the date set for the opening. Respondents are requested to clarify any ambiguity, conflict, discrepancy, omission or other error(s) in the RFP in writing and request modification or clarification desired. Revisions or amendments, if any, will be made by issuing an addendum. Every effort will be made to send addenda issued to the parties known to have been furnished a complete copy of the RFP. Any addenda or clarification that may be issued for this bid will be posted to the Joshua ISD webpage and Public Purchase.

10. BID AWARD: Joshua ISD reserves the right to award one or more contracts, in part or in whole, to a single or to multiple prospective vendors. The decision to award multiple contracts, award only one contract, or to make no awards rests solely with Joshua ISD. The District may make multiple awards, and this fact should be taken into consideration by each vendor. If a vendor will not accept a partial award, but will accept only an award for all the items proposed, this stipulation must be stated clearly in the proposal response.

Joshua ISD may award a contract on the basis of proposals received, without discussions.

Therefore, each proposal should contain the proposer’s best terms from a financial and technical standpoint. The District may negotiate with one or more proposer; and no proposer shall have any rights against the District arising from such negotiations or any invitation to negotiate. It is the intent of this RFP that should a given proposal be accepted, it will automatically become part of a binding contract

11. EVALUATION OF THE RFP: A committee selected by Joshua ISD will review and evaluate all responses and make a recommendation to the Joshua ISD Board of Trustees.

Award will be made to the most responsive and responsible offer. Evaluation of the bid, in accordance with Texas Education Code 44.031, takes into account the following considerations:

Criteria Points

1) Total Cost: the total cost will be determined by calculating “estimated quantities” times the “proposed case”.

2) The reputation of the vendor and of the vendor’s goods and services; 10

3) The quality of the vendor’s goods or services; 10

4) The extent to which the goods or services meet the District’s needs; 10

5) The vendor’s past relationship with the District; 0

A) has its principal place of business in this state B) employs at least 500 persons in this state

Any other relevant factor specifically listed in the request for bids or proposals

In the event that the District approves a transfer or reassignment of this agreement, all terms and conditions of this agreement, and addenda to this agreement, will be honored throughout the period and option periods of the agreement.

17. Except as otherwise provided for within the Standard Terms and Conditions of this document, this contract may be terminated in whole or in part by either party in the event of substantial failure by the other party to fulfill its obligations under this contract through no fault of the terminating party; provided that no such termination may be implemented unless and until the other party is given (1) at least ten (10) days written notice (delivered by certified mail, return receipt requested) of intent to terminate and (2) an opportunity for consultation with the terminating party, followed by a reasonable opportunity, of not more than ten (10) working days, to rectify the defects in products or performance, prior to termination.

21. If the Board of Trustees for any reason fails to appropriate funds for the good or service, the District will notify the vendor immediately and the district will no longer be obligated to fulfill its responsibilities under the contract. Quantities listed are an estimate and should not be construed to be a guarantee of either minimum or maximum since purchases are dependent upon actual need and available funds.

22. Neither the District nor Vendor shall be responsible or deemed to be in default of its obligations to the other to the extent any failure to perform or delay in performing its obligations under the contract is caused by events or conditions beyond the reasonable control of that party, and are not due to the negligence or willful misconduct of such party (hereinafter, "Force Majeure events"). Subsection (b) states, “a school district may terminate a contract with a person or business entity if the district determines that the person or business entity failed to give notice as required by Subsection (a) or misrepresented the conduct resulting in the conviction.” The district must compensate the person or business entity for services performed before the termination of the contract.

(3) “Texas resident bidder” means a bidder whose principal place of business is in this state, and includes a contractor whose ultimate parent company or majority owner has its principal place of business in this state.

Section 1. (b) The state or a governmental agency of the state may not award a contract for general construction, improvements, services, or public works projects or purchases of supplies, materials, or equipment to a nonresident bidder unless the nonresident’s bid is lower than the lowest bid submitted by a responsible Texas resident bidder by the same amount that a Texas resident bidder would be required to underbid a nonresident bidder to obtain a comparable contract in the state in which the nonresident’s principal place of business is located.

CERTIFICATION OF COMPLIANCE WITH BUY AMERICAN PROVISIONS

The Buy American provision, set out in 7 C.F.R. Part 210.21(d), requires participants in the National School Lunch Program and School Breakfast Program to use the nonprofit food service funds, to the maximum extent practical, to buy domestic commodities or products. A “domestic commodity or product” is defined as one that is either produced in the U.S. or is processed in the U.S. substantially using agricultural commodities that are produced in the U.S. “Substantially” means that over 51 percent of the final processed product consists of agricultural commodities that were grown domestically.

Vendor certifies that, in compliance with the Buy American provision, its products are “domestic commodities or products” as defined by 7 C.F.R. § 210.21(d).

REQUEST FOR EXCEPTION FROM THE BUY AMERICAN PROVISION

Exceptions to the Buy American provision should be utilized as a last resort; however, an exception may be approved upon request. If Vendor did not certify compliance with the Buy American provision above, it may request an exception by checking one or both of the following grounds for an exception:

The product is not produced or manufactured in the U.S. in sufficient and reasonable available quantities of a satisfactory quality.

The costs of a U.S. product are significantly higher than the non-domestic product.

Vendor certifies that it submits this request for an exception from the Buy American provision in good faith and with the reasonable belief that: (a) the product is not produced or manufactured in the U.S. in sufficient and reasonable available quantities of a satisfactory quality; and/or (b) the costs of a U.S. product are significantly higher than the non-domestic product.
