SCOPE

The Contract is to provide as-needed electrical services to the Blue Water Bridges and Facilities to maintain the traffic entering and leaving the International Plaza.

1.0 Requirements

1.1 General Requirements

The services shall be performed by the Contractor only at the request of the Blue Water Bridge Maintenance Supervisor or his delegate.

If an Emergency situation occurs the Contractor shall be on site to repair said emergency within 2 hours of the call. Emergency Call outs will happen only by the BWB Maintenance Foreman or his delegate. Once the Contractor leaves the job site for the day the emergency stops and regular time will start again once the Contractor returns to continue working on the problem. The maximum amount of emergency line item pay per occurrence will be 12 hours.

If the repair is not an emergency the Contractor will coordinate schedules, anticipated equipment needs, labor needs and material needed with the BWB Maintenance Supervisor, or designee. MDOT will not pay for more laborers needed than the job requires. A master electrician does not need to be always on the job site, but a journeyman electrician does. The master electrician is responsible for all work. MDOT expects the appropriate employees to be on the job site, as an example, if an Apprentice and Journeyman can do the job, we will not pay for two master electricians to be on the site doing the work or if the job requires two employees MDOT won’t pay for three.

Hazardous electrical work pay, will include any time an employee(s) is in any bucket truck 46’ or taller off the ground or bridge deck or climbing over the bridge railings will be paid for as the applicable hazardous electrical work time line item. There may be times when climbing is the only way to repair a problem. The Contractor shall provide all climbing gear and trained personnel to perform the task.

The BWB WILL NOT provide the Contractor to use any of the aerial lift trucks, scissors lift trucks, backhoes, or equipment to close a lane.

This equipment listed and tools (except a semi-trailer type generator, if required) shall be supplied by the Contractor and will not be paid for separately but will be included in the Contract line items. Any equipment brought on site shall have the Contractors Logo on both sides of the equipment.

If a semi-trailer type generator or under bridge inspection unit is needed, force account will be paid according to the 2020 Standard Specifications for Construction.

When a lane(s) closure is needed the Contractor is to provide the labor, materials and equipment for the lane(s) closure at no additional cost to the Contract.

Regular working hours are from 7:00 am until 3:30 pm, Monday thru Friday. Overtime will only be paid to the Contractor if an employee spends more than 40 hours on this contract during the week.

If material is needed to be purchased, there will be two ways the purchase could be accrued.

1.The Contractor shall recommend the material and only after approval from the Maintenance Supervisor or delegate, purchase the material. Purchases will only be paid for if an invoice from the supplier is attached to the invoice to the BWB. BWB will pay invoiced amount plus 10% markup. This will be the preferred way to purchase material.
2.The Contractor meets with the Blue Water Bridge Maintenance Supervisor or delegate, and they concur as what needs to be purchased and the BWB buys the product(s) and the Contractor installs the material. If this method is chosen, if the material does not arrive when expected, no down time or lost time can be charged to the BWB.

All scrap material belongs to the Contractor and is the Contractors’ responsibility and cost to dispose of properly.

The Contractors time to start to be paid will start when they arrive at the Plaza or work site. Portal-to-portal drive time for labor or equipment will NOT be paid for.

If the electrical repair(s) includes breaking into a wall to repair the electrical problem, the Contractor will do the demolition, but the BWB will repair the damage, at no cost to the Contractor. Minimal demolition shall occur and only after the BWB Maintenance Foreman is notified and concurs with the needed demolition.

The Contractor is responsible to secure all permits required. The BWB will pay for the permit fees separately and will pay for Contractors time it takes to secure the permit per the contract line item for master or journeyman electrician performing electrical work on regular time on the plaza, bridges, or outbuildings without using lift trucks.

Key Personnel must be specifically assigned to the State account, be knowledgeable on the contractual requirements, and respond to State inquiries within 2 hours.

Contractor’s Key Personnel must be on-site when major decisions are made.

The State has the right to recommend and approve in writing the initial assignment, as well as any proposed reassignment or replacement, of any Key Personnel. Before assigning an individual to any Key Personnel position, Contractor will notify the State of the proposed assignment, introduce the individual to the State’s Project Manager, and provide the State with a resume and any other information about the individual reasonably requested by the State. The State reserves the right to interview the individual before granting written approval. In the event the State finds a proposed individual unacceptable, the State will provide a written explanation including reasonable detail outlining the reasons for the rejection. The State may require a 30-calendar day training period for replacement personnel.

Contractor will not remove any Key Personnel from their assigned roles on this Contract without the prior written consent of the State. The Contractor’s removal of Key Personnel without the prior written consent of the State is an unauthorized removal (“Unauthorized Removal”). An Unauthorized Removal does not include replacing Key Personnel for reasons beyond the reasonable control of Contractor, including illness, disability, leave of absence, personal emergency circumstances, resignation, or for cause termination of the Key Personnel’s employment. Any Unauthorized Removal may be considered by the State to be a material breach of this Contract, in respect of which the State may elect to terminate this Contract for cause under the Termination for Cause section of the Standard Contract Terms. It is further acknowledged that an Unauthorized Removal will interfere with the timely and proper completion of this Contract, to the loss and damage of the State, and that it would be impracticable and extremely difficult to fix the actual damage sustained by the State as a result of any Unauthorized Removal. Therefore, Contractor and the State agree that in the case of any Unauthorized Removal in respect of which the State does not elect to exercise its rights under Termination for Cause, Contractor will issue to the State the corresponding credits set forth below (each, an “Unauthorized Removal Credit”):

i. For the Unauthorized Removal of any Key Personnel designated in the applicable Statement of Work, the credit amount will be $500.00 per individual if Contractor identifies a replacement approved by the State and assigns the replacement to shadow the Key Personnel who is leaving for a period of at least 30-calendar days before the Key Personnel’s removal.

ii. If Contractor fails to assign a replacement to shadow the removed Key Personnel for at least 30-calendar days, in addition to the $500.00 credit specified above, Contractor will credit the State $200.00 per calendar day for each day of the 30-calendar day shadow period that the replacement Key Personnel does not shadow the removed Key Personnel, up to $200.00 maximum per individual. The total Unauthorized Removal Credits that may be assessed per Unauthorized Removal and failure to provide 30-calendar days of shadowing will not exceed $6,000.00 per individual.

Contractor acknowledges and agrees that each of the Unauthorized Removal Credits assessed above: (i) is a reasonable estimate of and compensation for the anticipated or actual harm to the State that may arise from the Unauthorized Removal, which would be impossible or very difficult to accurately estimate; and (ii) may, at the State’s option, be credited or set off against any fees or other charges payable to Contractor under this Contract.

The Contractor must identify the Key Personnel, indicate where they will be physically located, describe the functions they will perform, and provide current chronological résumés.
