About this file
This is a Sole Source Memorandum justifying a non-competitive award for the production of AN/SQQ-32(V) UR6 Circuit Card Assemblies. The Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD) will award a firm fixed price purchase order to Innovative Professional Solutions (IPS), located at 8317 Front Beach Road Suite 17D, Panama City Beach, Florida 32407, for production of these assemblies, which are vital components of the AN/SQQ-32(V) Towed Body Sonar system aboard Avenger Class combat ships. The requirement includes addressing component obsolescence avoidance issues of the Solid-State Relay Module (keycode UR6) and assembling and delivering forty (40) circuit card assemblies.
The contract value will be conducted using simplified acquisition procedures and does not exceed the simplified acquisition threshold of $350,000.00. IPS is determined to be the sole source capable of fulfilling this requirement because IPS personnel developed the procedures and techniques for production, upgrading, and testing these specific circuit cards, received training from the Original Equipment Manufacturer, and possess unique in-house resident knowledge to address component obsolescence issues. The justification asserts that no other contractor can duplicate IPS's knowledge and processes, and that competitive procurement would result in significant and unacceptable delays negatively impacting the requirement. The Contracting Officer has determined the award represents best value and lowest overall cost. The requirement will be synopsized on SAM.gov per FAR Part 5.2.

MEMORANDUM
Subj: SOLE SOURCE MEMORANDUM FOR THE PRODUCTION OF AN/SQQ-32(V) UR6
CIRCUIT CARD ASSEMBLIES
1. Identification of the agency and the contracting activity, and specific identification of the document as a “Limited Source Justification.”
This is a sole source justification. Contracting activity is the Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City, FL 32407-7001.
2. Nature and/or description of the action being approved.
This action will award a firm fixed price purchase order, on a sole source basis, to Innovative Professional Solutions (IPS), 8317 Front Beach Rd Suite 17D, Panama City Beach, FL 32407 for the production of AN/SQQ-32(V) UR6 Circuit Card Assemblies. These assemblies are a vital component of the AN/SQQ- 32(V) Towed Body Sonar aboard Avenger Class combat ships. This task requires knowledge of the AN/SQQ-32(V) operations of Unit 3A4 control, indicators, and power management of the AN/SQQ-32 Sonar system on board the Minehunting Class Ships.
3. A description of the supplies or services required to meet the agency’s needs (including the estimated value).
The Navy is producing Unit 3A4 Circuit Card Assemblies (CCA) for the AN/SQQ-32(V) Minehunting Sonar Set (MSS) Towed Body. Contractor support is required to address component obsolescence avoidance issues of the Solid-State Relay Module, keycode UR6, CCAs as well as to assemble and deliver forty (40) circuit card assemblies.
The Government’s minimum needs have been verified by the certifying technical and requirements personnel. This memo does not authorize acquisition for other requirements. This acquisition will be conducted using simplified acquisition procedures with a total dollar value above micro-purchase levels, but not exceeding the simplified acquisition threshold of $350,000.00.
4. Identification of the justification rationale and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service. 10 U.S.C.
2304(c)(1), 10 U.S.C. 2304(d)(1)(B). Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements FAR 6.302-1(a)(2)(iii)(B).
Pursuant to 10 U.S.C. 2304(c)(1), IPS Incorporated personnel developed the procedures and techniques for production, upgrading, and testing the AN/SQQ-32 (V) UR6 Circuit Cards. IPS personnel were trained to repair and test the legacy Circuit Cards by the Original Equipment Manufacturer. IPS’s knowledge of the unique AN/SQQ-32 (V) UR6 Circuit Cards and (V) Sonar System coupled with their experience in designing and fabricating the unique tooling required to repair and upgrade the internal components, uniquely qualifies them to perform this SOW. IPS is the only company with the in-house resident knowledge to address component obsolescence avoidance issues of the Solid-State Relay Module, Key Code UR6, CCAs as well as to assemble and deliver forty (40) circuit card assemblies. These assemblies are a vital component of the AN/SQQ-32(V) Towed Body Sonar aboard Avenger Class combat ships.
In summary, no other contractor will be able to duplicate the knowledge and processes. As such, the Government does not expect significant savings through competition and does expect significant and unacceptable delays that will negatively impact this requirement. Therefore, it is in the Governments’ best interest to award on a sole source basis to IPS Incorporated.
5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b).
The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the Government’s needs.
6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.
For the reasons specified in paragraph 4 above, IPS Incorporated the only company that can meet the Government’s needs. Additionally, this requirement will be synopsized on the Government point of entry website SAM.gov website per FAR Part 5.2.
7. Any other facts supporting the justification.
None
8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.
As stated in paragraph 4 above, only IPS Incorporated can satisfy Government requirements.
