About this file

This document is a Basic Ordering Agreement (BOA) for leased telecommunications services with KT Corporation for U.S. Forces Korea (USFK) operations. The three-year contract, valued at $14,574,525.00, will run from March 15, 2025 to March 14, 2028, and covers four primary service categories: Data Lease Service, Voice Lease Service, Other Communication Service, and Strategic Cable Route Service.

The BOA establishes comprehensive telecommunications support across multiple service types, including data circuits ranging from 2.4 kbps to 100 Gbps, voice services like Direct Outward/Inward Dialing and VoIP, and additional communication services such as Internet/WiFi, IP-VPN, IPTV, and CCTV. The contract includes specific performance requirements, with service availability thresholds ranging from 98.5% to 99.9% depending on the service type, and allows for task orders with durations of 12, 24, or 36 months. Task orders can be terminated without penalty under certain conditions, such as mission completion or changes in service requirements.

SPECIAL NOTE

All sources may submit a proposal or quote as applicable. However, the Republic of Korea (ROK)-United States (U.S.) Status of Forces Agreement (SOFA), precludes the U.S. Government from granting Invited Contractor or Technical Representative status to any offeror, for this requirement. All sources submitting a proposal or quote, as applicable, including U.S. sources, must already have, or obtain the requisite business licenses directly from the ROK Government, and conduct business in accordance with all applicable ROK laws, including but not limited to, rules and policies regarding labor, taxation, and immigration. Any contractor not already doing business in Korea as a local source, must submit adequate verification in its initial proposal or quote, that it has the requisite authorization and capacity to compete for the requirement as a local source, and to perform the contract as a local source. If an initial proposal does not fully demonstrate this authorization and capacity, it will not be further considered for award. Whether an offeror qualifies as a local source shall be determined by the Contracting Officer.

1. CONTRACT TYPE: This is a Basic Ordering Agreement (BOA) in accordance with FAR 16.703, which states, “A basic ordering agreement is a written instrument of understanding, negotiated between an agency, contracting activity, or contracting office and a contractor, that contains –

(1) terms and clauses applying to future contracts (orders) between the parties during its term,

(2) a description, as specific as practicable, of supplies or services to be provided, and

(3) methods for issuing and delivering future orders under the basic ordering agreement.

A basic ordering agreement is not a contract.” The execution of a BOA does not guarantee that the Government will place future contracts or orders with the Offeror. The Government intends to award at least three (3) BOAs.

This Basic Ordering Agreement shall be changed only by modifying the agreement itself and not by individual orders issued against it. Modifying this agreement shall not retroactively affect orders previously issued against it.

2. TASK ORDERS: Services (projects) will be ordered via individual Task Orders issued against this Basic Ordering Agreement (BOA). Each project will be competed between BOA holders (Contractors) in accordance with FAR Part 6 and FAR 16.703(d)(1)(i). The total price of each project will be negotiated and agreed to prior to Task Order issuance, that were established at time of BOA award. Pursuant to FAR 16.703(c)(v), “failure to reach agreement on price for any order issued before its price is established is a dispute under the Disputes clause included in the basic ordering agreement” herein.

Task Orders will be awarded by issuance of a Standard Form (SF) 1449 or by any other appropriate contractual instrument. All authorized U.S. Government contracting offices and organizations on the Korean peninsula may issue Task Orders against this BOA but must first coordinate their intentions with the cognizant 411th Contracting Support Brigade (CSB) Administrative Contracting Officer or Contract Specialist to ensure availability of ordering capacity.

3. URGENT & COMPELLING REQUIREMENT: For work determined to be urgent and compelling, such as disconnect data and telecommunication service, the Contracting Officer may authorize the contractor to begin work before finalizing the Task Order, provided a ceiling price limiting the Government’s obligation is established. As soon as practicable, the Contracting Officer shall proceed with settled pricing (defeminization) of the Task Order.

4. PWS & TASK ORDER INFORMATION: Work to be performed under this Agreement shall be within the Performance Work Statement (PWS) herein but will be more specifically defined and/or controlled by the Task Orders issued by the Contracting or Ordering Officer. Task Orders shall be in writing and include the following information:

i. Technical description of the requirement

ii. Basic Ordering Agreement number and Task Order number

iii. Appropriation and funding data

iv. The total cost or price of the order

v. Applicable special instructions as required (i.e., shipping, delivery, quality, degree, place of inspection and place of acceptance, payment method).

vi. Other pertinent information

5. PERIOD OF PERFORMANCE: The term of this Basic Ordering Agreement is three (3) calendar years from the date of award. In accordance with FAR 16.703(c)(vi)(2), this agreement “shall be reviewed annually before the anniversary of its effective date” at which point the Contracting Officer will determine whether to continue the agreement based on the contractor’s past performance during the preceding performance period.
