1. Description

The Contractor shall provide real estate property sales closing services for single family properties owned by the U.S.

Department of Housing and Urban Development (HUD) located within the State of Wisconsin for the Denver

Homeownership Center (HOC). HUD intends to issue one or more contracts against this solicitation.

1.1 This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal

Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.

1.2 DU208WR-12-R-0008 is issued as a request for proposal (RFP). The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-58 (May 18, 2012).

1.3 This is a total small business set-aside. The NAICS code is 541191 and the size standard for a small business concern is $10 million.

1.4 This contract has a base period of one year plus four one-year options. This is a fixed unit price contract with disincentives. The Performance Work Statement (PWS) is at Attachment A.

1.5 HUD reserves the right to unilaterally revise the geographic area in accordance with the Changes Clauses of the contract, if such action is determined to be in the best interest of the government. Only the Contracting Officer has the authority to make a revision to the geographic area.

1.6 HUD may procure the services of additional contractors if such action is determined to be in the best interest of the government.

2. Minimum and Maximum Quantities

2.1. HUDAR 2452.216-76 Minimum and Maximum Quantities and Amounts for Order

(a) The minimum quantity or amount to be ordered under this contract shall not be less than 300 property closings.

(b) The maximum quantity or amount to be ordered under this contract shall not exceed 20,000 property closings.

2.2. HUD is not required to assign properties beyond the contract minimum quantity stated in paragraph 2.1. There are no minimum quantities for the base and individual option periods, only for the life of the contract.

2.3. The quantities stated in paragraph 2.1 above are for property closing services only. There are no minimum or maximum quantities for Recordation or Title Search Services, which are ancillary items.

3. Assignments/Ordering

3.1. The Contractor shall perform all services assigned. HUD’s Asset Manager (AM) contractor(s), on behalf of the

Government Technical Representative (GTR), will assign property closings to the Contractor. Services other than closings will be assigned directly by the GTR or Government Technical Monitor (GTM). In the event that more than one contractor is performing in a geographic area, whether one or more contracts are currently in existence, awarded at the time of initial award of this contract, or awarded subsequently, assignments will be made on an equal basis beginning on the date of award, regardless of unit price, subject to the monthly ordering maximum stated in the contract (see paragraph 6.3 below), except as specified in paragraphs 3.2 and 3.3 below.

3.2. In the event that the GTR or GTM determines that a contractor is unable to meet any specific contract performance requirement, the GTR or GTM, with the approval of the Contracting Officer, may authorize the AM to make assignments unequally for a period of no more than 30 days, by reducing assignments by up to 30% with the balance of the assignments being distributed to the other contractor(s) on an equal basis; subject to the monthly ordering maximum stated in the contract(s). The Contracting Officer may approve the continuation of unequal assignments for an additional 60 days if the problems requiring unequal assignments persist. Additional remedies may be invoked if the

Final Draft 06012012 DR Page 2 problem(s) continue beyond 60 days, ranging from permanently reducing assignments to the contractor and obtaining services of another contractor to initiating termination procedures.

3.3. In the event that an unequal number of assignments is made, other than as a result of a the inability of a contractor to meet performance requirements, the Contracting Officer may authorize the AM to make assignments unequally until such time as the error in the number of assignments has been equalized among the contractors, provided that each contractor continues to receive, subject to the monthly ordering maximum stated in its contract, at least 70% of the number of assignments it would receive were the assignments distributed equally.

4. Price Schedule

4.1. As total compensation for all services performed under this contract, the Contractor shall be paid according to the Contract Line Item Number (CLIN) prices listed below for closings conducted.
