14. DESCRIPTION OF AMENDMENT/MODIFICATION (Organized by UCF section headings, including solicitation/contract subject matter where feasible.)
The purpose of this amendment is to:
1) Correct and Revise the following sections of the solicitation as outlined on page 2. Revised Solicitation is attached.
2) Publish the responses to questions presented by potential offeror(s) as shown on Page 3-5.
The date and time for receipt of proposals is March 13, 2017 no later than 12:00Noon Eastern Standard Time, (EST).
Except as provided herein, all terms and conditions of the document referenced in Item 9A or 10A, as heretofore changed, remains unchanged and in full force and effect.

1. The following changes are made to the SF-1449 document:
i. Total number of pages is changed From: 1-101 To: 1-102 pages
2. Block 6 is changed From: Blank To: February 03, 2017

4. Block 27a is changed from : Unchecked boxed To : Checked box ARE
5. Page 2 and all other pages of the solicitation, the footer statement “Privileged and Confidential. For Internal Use
Only.” Is hereby deleted.
6. On page 10 of the solicitation Performance Work Statements (PWS’s) for EVEN Legal Services, insert
Government Technical Representative (GTR) defined as: “An employee of the U.S. Government appointed by the Contracting Officer to perform contract administration activities in regard to technical issues. This individual has authority to provide technical direction to the Contractor as long as direction is within the scope of the contract, does not constitute a change and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract”.
7. On page 26 of the solicitation PWS for ODD Legal Services, insert Government Technical Representative (GTR) defined as: “An employee of the U.S. Government appointed by the Contracting Officer to perform contract administration activities in regard to technical issues. 8. The Quality Assurance Plan (QASP) on page 35-40 of the solicitation is applicable to both the ODD and EVEN PWS’s within the solicitation.
9. The “Work Realignment Clause” on page 81 of this solicitation is hereby moved From: Section V on page 81
To: Section III Contract Clauses on page 49.
10. The duplicate Clause 52-212-5 on page 56 of the solicitation is here deleted.
11. Section V of the solicitation starts on page 75 and is continued to page 94 of the solicitation.
Section V of the solicitation page 83 under “Proposal Submission” statement added that the offeror is allowed to bid on both PWSs if it so chooses, but that it must indicate which PWS it is submitting a proposal for and submit a separate proposal for each PWS if proposing on both PWSs.
12. In Section V of the solicitation page 90 “Management Plan” verbiage is revised to match “Management Plan” on page 85 of the solicitation.

Questions and Answers for Solicitation DU100G-17-R-0001 GNMA Legal Services
1) Q: Did your office perform a sources sought or other market research to determine this contracts suitability for small-business or other socio economic set-asides?
A: Yes, market research was performed and it was determined that this requirement was not suitable for small-business or other socio economic set-asides.
2) Q: I was curious if this was a follow-on requirement. If so, would it be possible for you to provide the incumbent information (we need the contract number and contractor).
A: This is a follow-on. The two (2) incumbents are Hunton & Williams under contract number C-OPC-23809 and Sidley Austin under contract number C-OPC-23913.
3) Q: I would like to know a few specifics not located on the SOW:
3a) Q: Name of the incumbent?
A: There are two (2) incumbents: Hunton & Williams and Sidley Austin
3b) Q: Amount of Prior Award
A: $13,397,700.00 each
3c) Q: Volume of cases by state
A: There are no cases that were litigated in courts. Under Multiclass program legal services support contracts, contractors can expect that certain issues might be reviewed/discussed in front of SEC and IRS. Under the current contracts, there were several instances of such matters that required intense involvement of legal advisors.
3d) Q: Can this be placed as a set aside for SDVOSB.
A: See answer to question 1
4) What is the back-up plan if the size of our file exceeds your server capacity? Can we deliver in person or upload to an FTP site?
The proposal submission instructions have been changed per Amendment 0001 to the solicitation to be submitted in hardcopy.
5) Please explain the proposal matrix found on page 84 of the RFP. What should be included in the Statement of Work column? And please confirm that we do not have to fill out these 3 boxes: Section L, Section M and Comments.
a. The proposal matrix found on page 84 is a suggested template for how offers shall propose. As stated in the solicitation “offerors shall submit a Proposal Matrix using the table below or similar format, which maps what is being proposed to the specific requirement in the Performance Work Statement, Amendment No. A0002 Page 4 of 5
Instructions to Offerors, or Evaluation Factorstions.. The offeror shall use the appropriate column to fill in the requirement as stipulated in the RFP to which the page/section number applies”.
6) We have made some minor edits to the past performance survey found on page 96 to clarify some terms for our references (e.g., changing references from “Government’s” to “Company’s” and from “offeror” to “contractor”) and to improve readability. Please let us know if making these edits will present any issues and, if so, we can revisit the past performance survey with our references.
a. The documents provided in the solicitation shall not be altered in any manner. If the offeror/contractor would like to submit to the Contracting Officer separate clarifying information stating that a past performance survey submitted on their behalf is from a “company” and not the “government”, they may do so in the permitted narrative for the references provided per page 85 bullet 1 of the past performance section of the solicitation.
7) With respect to the chart on page 71 of the RFP, can you explain what is meant by “percentage of effort, # of hours”?
Do you mean the percentage allocation of work on the five-year contract? Note that those percentages may be dependent on the nature of work assigned under the contract (e.g. routine monthly transactions vs. policy-related work)
a. The percentage of effort, # of hours is the commitment of the proposed key personnel for this requirement.
The percentage of allocation is of the amount of time the proposed key personnel will be available on this requirement.
8) Please confirm that neither the resumes of the key personnel nor the list of structured finance transactions of relevant experience counts against the page limitation for the Technical Approach or the Management Plan.
As stated in the solicitation Resumes for Key Personnel shall not exceed 2 pages per person submitted. For the list of structure finance transactions, they are not counted against any page limitation.
9) Are Contractor Performance Assessment Reports available in the Past Performance Information Retrieval System?
a. The contractor must note which references are in PPIRs and the government will verify if the past performance information submitted by the offeror/contractor is in the Past Performance Information Retrieval System.
10) Under Past Performance, on page 85 of the RFP, you indicate that offerors shall submit a chart reflecting "all relevant past performance performed in the three (3) year period immediately preceding…" (emphasis in original). You go on to explain that if "the offeror has more than 5 relevant past performance references, then the offeror shall provide the most recent 5 references."
a. Question: Assuming that the offeror has more than 5 relevant past performances to report, what should the offeror put on the chart?
i. One interpretation is that we should list all relevant past performance in the chart based upon
Attachment 1 (with no numerical limit), but only provide the survey contained in Attachment 2 to five references.
ii. Another interpretation is that we should select 5 past performances and list only those 5 in the chart and then provide the survey to those 5 references (except to the extent that past performance for a reference is available in the PPIRS).
iii. Which of these interpretations is correct?

b. The contractor shall select all relevant past performances performed in the three (3) year period immediately preceding submission of the proposal up to and no more than 5 past performances references. In addition, the contractor shall submit surveys for each past performance reference provided.
ALL OTHER TERMS AND CONDITIONS STATED IN THE SOLICITATION REMAIN UNCHANGED.
