PART I

SECTION B - SUPPLIES OR SERVICES AND PRICES/COSTS

The Contractor shall furnish all necessary materials and personnel, and shall perform technical non-personal services and program support necessary for the Long Term Pavement Performance (LTPP) Program, under this indefinite-delivery-indefinite-quantity (IDIQ) contract utilizing cost reimbursable and/or fixed-price task orders in accordance with FAR 16.504. Cost reimbursable task orders may be incrementally funded.

SECTION C - DESCRIPTION/SPECIFICATIONS/WORK STATEMENT

C.1 BACKGROUND

The Long-Term Pavement Performance (LTPP) study began in 1987 under the Strategic Highway Research Program (SHRP). LTPP field data collection began in 1989 as a 20-year program. While some of that potential has already been realized, full realization will require work beyond 2009. Since 1992, FHWA has maintained and expanded upon the original SHRP goals through a staff effort in the Office of Infrastructure R&D, LTPP Team, with active input from the State departments of transportation and with the cooperation of the Canadian provincial transportation agencies.

The 20+ year LTPP program has accumulated a huge amount of data, as well as a mass of documentation and related tools. These data, documentation, and related tools comprise the comprehensive LTPP Information Management System (IMS), including both the Pavement Performance Database (PPDB) and the Central Traffic Database (CTDB). It is the world’s largest pavement performance database. Researchers and engineers in the federal government, state highway departments, industry associations, consulting firms, international community and universities are and will use the LTPP database in research, development, and design projects for decades to come.

The LTPP PPDB was designed to store the majority of the data collected by the LTPP program for public dissemination and use. It is a relational database originally implemented in Oracle® 5 format and currently in Oracle® 10i system housed on a Microsoft Windows server. The PPDB contains pavement related data, computed parameters, and summary weather and traffic data. In addition to a production database, the system development environment is stored on the server.

Two clones of the production database, along with data loader programs, data quality checks programs, and data entry forms comprise the development environment.

In this RFP, the LTPP CTDB refers to the Oracle® based relational database that contains the processed traffic monitoring data tables from raw traffic data submitted by the transportation highway agencies, as well as the data collected from the LTPP SPS Traffic Data Collection Pooled-Fund Study. The data from both the highway agencies and the traffic pooled-fund study are processed using the LTPP Traffic Analysis (LTAS) software. Example tables include the individual axle counts by load ranges, truck classification counts, etc.

The main LTPP IMS database is currently housed, operated, and maintained by the LTPP Technical Support Services Contractor (TSSC). In order to provide long-term support and continual access to the LTPP database to the public, FHWA has purchased a new server to house and operate the LTPP IMS database, both PPDB and CTDB at the FHWA Turner-Fairbank Highway Research Center (TFHRC). Under this contract, the LTPP IMS database will be housed, operated, and maintained at the FHWA TFHRC, in McLean, VA.

In addition to the LTPP IMS, the LTPP Ancillary Information Management System (AIMS) houses the additional information collected by the LTPP program that are not contained in PPDB or CTDB. Examples include LTPP reports, manuals, plans, software, correspondence, raw data files, scanned paper forms, video files, distress maps, etc.

Technical support services for the LTPP program, especially in the database operations, are needed to ensure data quality and access of the comprehensive LTPP IMS (PPDB and CTDB).

The success of the technical assistance effort requires an organization that possesses flexibility and the willingness to cooperate with the numerous agencies and organizations involved in the LTPP program.

C.2 SCOPE

The scope of this contract is to provide engineering, technical, logistical, and administrative support services for the LTPP Program. This includes such things as development and conduct of LTPP studies and all necessary facilities, equipment, services, supplies, materials, and personnel associated with pavement, database, and traffic engineering. Performance shall encompass, but not necessarily be limited to, the following activities:

Provide technical support to the LTPP staff in the development and implementation of procedures and specifications for the quality control and quality assurance (QC/QA) on data in the comprehensive LTPP Information Management System (IMS).

Provide technical support to FHWA for the maintenance and operation of the LTPP IMS

Servers and its customers as necessary.

Investigate and implement LTPP IMS database enhancements and expansion. Examples include incorporation of additional data collection on both the existing and new pavement sections, database refinement, enhancement in order to make the LTPP database easier to use by the public, and the possibility of incorporating other data sources, such as TFHRC Accelerated Loading Facility (ALF) data, TFHRC materials lab, Long-Term Bridge Performance Data (LTBP), etc. into IMS.

Coordination and integration activities with other LTPP contractors, the FHWA, participating States and Canadian Provinces, and LTPP customers as required.

Participate in the development, refinement, and assessment of pavement performance monitoring activities conducted in support of the LTPP research and provide technical services in the conduct of pavement performance monitoring activities including such items as quality and uniformity of field operations.

Provide technical support to the LTPP staff in collecting pavement monitoring and response data, materials characterization, and other related data as identified for the LTPP program.

Provide technical support in the general planning and coordination of the LTPP program, including new test section designs, reviewing and assessing LTPP experimental design and status, and addressing special needs that may arise.

Provide technical support services on special projects and data studies as directed by the

Government.

C.3 TASK AREAS

The contractor will be required to perform, at a minimum, the following types of services to satisfy the requirements of task orders issued under this contract.

TASK A - Pavement Performance Related Data Collection

Pavement performance related data collection activities include the collection of pavement distress data, the collection of pavement profile data (both longitudinal and transverse), deflection testing with falling weight deflectometers, the collection of surface characteristics data, and the collection of pavement design, construction, maintenance, materials testing, and climatic data.

The contractor may be required to perform the following, as directed by specific task orders:

1. Pavement Distress Evaluation

a. Every year, prepare, conduct, and report on distress identification/evaluation workshops to train designated personnel responsible for visual (manual) and automated distress surveys.

b. Provide technical assistance related to the distress data collection and processing, e.g. evaluation of the LTPP distress identification and quantification procedures, update pertinent documentation, and the Data Analysis and Operations Feedback Report (DAOFR) resolutions.

2. Deflection Testing – Provide technical assistance in the deflection testing area, including equipment issues, related data collection software, and other data issues.

3. Profile Measurement

a. Coordinate and participate in profile measurement workshops and evaluate the degree to which the various profile measurement devices used in LTPP provide comparable data, at a minimum of every other year, to ensure inter-regional uniformity, and conformity with specified measurement procedures.

b. Provide technical assistance related to the profile data collection and processing.

4. Climatic Data – During the fourth year of the contract, prepare plans for updating the

LTPP Climatic Database, and, upon approval by the COTR, implement those plans.

5. Materials Testing Data – Provide technical support related to materials testing program and data.

6. Miscellaneous Data – Provide technical support related to the collection of miscellaneous data, including surface characteristics, pavement design, location, construction, maintenance, rehabilitation, etc.

TASK B - Traffic Data Collection and Processing

The primary objective of this task is to promote uniform, consistent, and superior quality traffic data collection and processing. In order to accomplish this objective, the contractor may be required to perform the following at the FHWA TFHRC site, as directed by specific task orders.

1. Operate and maintain the LTPP Central Traffic Data Base (CTDB).

2. Provide technical assistance to the FHWA and its contractors on the use of the LTPP

Traffic Analysis Software (LTAS). This includes, but not limited to, updating LTAS to correct processing issues; keeping software documentation current with clear and concise instructions on how to use the software; and making enhancements to the software, as directed by the COTR.

3. Provide technical assistance to the FHWA and its contractors on a daily basis with activities related to traffic data collection and processing that includes, but not limited to, preparing draft directives; helping to resolve data analysis/operations feedback reports;

and documenting data collection and review processes.

TASK C - Engineering Technical Support for the LTPP Database

The contractor shall provide assistance with data entry, data processing, Quality Control (QC) and Quality Assurance (QA) execution, data extraction from, and further development of the central LTPP Information Management System (IMS—both PPDB and CTDB), and the four Regional Information Management Systems (RIMS).

The contractor may be required to perform the following, as directed by specific task orders.:

1. IMS Specifications – On as needed basis, provide specifications for add-on software or database structure in the regional and central pavement databases, to incorporate future computed parameter values, newly collected data, and for other needs.

2. IMS QC/QA System – Support and maintain a system of automated quality control and quality assurance (QC/QA) procedures and checks on data stored in the regional and central pavement databases on an on-going basis; perform QA checks for the data uploaded into the central IMS as well as the data extracted for the LTPP Standard Data Releases; periodically update the IMS QC manual to reflect the new and revised QC checks. Assist in tracking the status of new and existing test sections, and ensure that status changes are properly recorded in the IMS.

3. Regional and Other Technical Support – Provide assistance to the LTPP regional contractors and other LTPP contractors on data entry and processing, QC and QA checks, procedural issues and data extraction. Develop and modify software to assist the LTPP regional contractors with the tracking of data. Provide support to the Ancillary Information Management System (AIMS), on as needed basis.

4. IMS Technical Operation Manuals and Policies – Compile and further develop comprehensive IMS specifications, components, and operation manual detailing the IMS QC/QA checks performed on the regional data uploads, as well as the processes and tools used to QC/QA and procedures to create LTPP annual Standard Data Releases (SDRs).

Assist in the review and revision of existing IMS manuals, procedures and documentation, and in the development of new IMS policies, procedures, documentation and reports.

5. Database Evaluation and Enhancement – Evaluate the LTPP IMS as the development continues and provide recommendations for enhancements and improvements. This will include performing necessary data studies on the LTPP data collected since the previous LTPP data studies were performed, post regional upload data evaluations, database evaluation in response to DAOFRs. Furthermore, this will include evaluation and enhancements to make the LTPP database easier to use by the pavement community.

6. Coordination and Integration – Prepare for and participate in FHWA regularly scheduled IMS coordinators teleconferences, take notes, and work and track on action items resulting from those teleconferences. Coordinate with FHWA on the IMS related work items, through regular phone conversations as well as occasional face to face meetings. Provide IMS database related technical support to the LTPP Customer Support Services team and to data users, as directed by the COTR.

TASK D - LTPP IMS Database Hardware/Software Operations

The LTPP IMS database will be housed, operated, and maintained at the FHWA TFHRC, in McLean, VA, mainly by the LTPP IMS Support on-site person. The majority of the IMS operation activities will be conducted on-site at TFHRC. The contractor shall provide adequate on-site staff to operate and maintain the LTPP database hardware and software activities, as well as other activities. The contractor shall ensure that within one year of contract award, the on-site staff shall be trained to be able to work on most IMS operation activities independently and effectively.

On-site staff need to meet the Government clearance requirements set for the on-site contractors (See Section H). For the on-site staff, the Government will provide the necessary facility and equipment at the TFHRC.

1. IMS Database Operations – Maintain and operate the central IMS hardware and software operations at FHWA TFHRC site in McLean Virginia, including:

o Implement and maintain security and backup procedures for the LTPP database on a continuous basis.

o Assistance in the LTPP IMS system Certification and Accreditation process, as well as complying with other US DOT/FHWA IT regulations, and meeting the intent of the Data Quality Act (http://www.thecre.com/pdf/20021026_dot-final.pdf ).

o Identify and carry out the LTPP database secure off-site backup storage.

o Prepare software releases and distribute to all users of the RIMS/IMS in order to keep software updated.

o Prepare and internally distribute as necessary, the data sent in as part of the interim data uploads.

o Provide functions necessary to maintain and modify data in those modules frozen and no longer modified by the regional support contracts.

o Execute the annual public release of data (SDRs). Update the IMS manuals and help in producing new manuals as directed by the Government. Periodically (minimum of once a year in conjunction of the SDRs) review and update the Data User’s Guide, data dictionary, schema tables and QA/QC documents.

2. IMS Software Development and Maintenance – Write, update, and maintain the necessary software for the IMS database operations; resolve and track Software Performance Reports (SPRs). For example, develop filter software as needed for efficient loading of data into the LTPP database. This shall include but not be limited to software for data upload, quality checks, processing and extraction, materials, monitoring, traffic and any other data that will be residing in the LTPP Database.

3. IMS Database Operations Manual – Enhance and maintain a comprehensive document with step-by-step procedures detailing the IMS data upload, quality checks, processing and extraction, creation of LTPP SDRs. This manual should cover in detail hardware and software components required to support the LTPP IMS operations, for example, various versions of Oracle Database needed for legacy programs developed over the course of the LTPP program. In addition, develop and maintain hardware/software specifications for all data processing requirements to include upload, processing and extraction of LTPP data.

4. Technical Support and Coordination – Assist FHWA and LTPP Regional contractors in evaluating new hardware and software or software upgrades. Provide IMS database related technical support to the LTPP Customer Support Services team and to data users, as directed by the COTR. Coordinate with the FHWA and other LTPP contractors on the IMS related work items, through regular phone conversations as well as occasional face to face meetings.

TASK E – Overall Support, Coordination and Integration of the LTPP Program

Coordinate with the FHWA LTPP staff and other LTPP contractors on the scheduling and prioritization of work, the reviews of procedures, problem reports, and all other activities of the LTPP Program. Provide a mechanism (e.g. an FTP site) for effective transfer of electronic data and documents for coordination among the LTPP contractors, FHWA, and other stakeholders.

Coordination and integration activities with other LTPP contractors, the FHWA, participating States and Canadian Provinces, TRB committees and Expert Task Groups (ETGs), other stakeholders, and LTPP customers as required. Attend and contribute to various meetings at the direction of the COTR.

Review, document, recommend and assist in the resolution of operational problem reports (OPR), feedback reports, and software problem reports (SPR) submitted by LTPP regional contractors and other FHWA and NCHRP contractors.

Provide technical assistance to FHWA in developing newsletter articles, presentation materials, and program documentation as directed by the COTR.

Provide technical assistance to FHWA and/or other LTPP contractors on an on-going basis with activities promoting uniform, consistent and superior quality pavement performance monitoring data. Key elements include data collection and test equipment;

data collection guidelines, software, and directives; QC & QA procedures, and problem report and resolution.

Participate in the development, refinement, and assessment of pavement performance monitoring activities conducted in support of the LTPP research and provide technical services in the conduct of pavement performance monitoring activities including such items as quality and uniformity of field operations.

Provide support services in support of the collection of pavement monitoring and response, materials characterization, and other data types in support of the LTPP research.

Provide technical support in the general planning and coordination of the LTPP experiments, reviewing and assessing LTPP experimental design and status, plan and design new test sections and/or experiments, and addressing special needs that may arise.

Investigate and implement LTPP IMS database enhancements and expansion. Examples include incorporation of additional data collection on both the existing and new pavement sections, database refinement, enhancement of the IMS database, possibility of incorporating other data sources, such as ALF, TFHRC materials lab, Long-Term Bridge Performance Data, etc. into IMS.

Provide technical support services on special projects and data studies as directed by the

COTR.

TASK F –Reporting

1. Weekly FHWA LTPP Team Staff Meeting

The Contractor’s Principle Investigator (PI), shall participate in the weekly FHWA LTPP Team Staff meeting. Physical attendance is not required. If not physically present, the contractor shall propose a plan for the PI’s participation.

2. Quarterly Progress Reports

The Contractor shall submit progress reports on a quarterly basis. The progress report shall be emailed to the Contract Administrator (daniel.confer@dot.gov) and COTR (TBD) by the 15th of the month following the quarter being reported. Each report must be technically brief and shall contain concise statements covering the activities during the reporting period including:

1. A clear and complete account of the work performed on each task order and technical directive.

2. An outline of the work to be accomplished during the next report period.

3. A description of any problem encountered or anticipated that will affect the completion of any individual task order or technical directive within the time and fiscal constraints set forth, together with recommended solutions to such problems; or, a statement that no problems were encountered.

4. A tabulation of the planned, actual and cumulative person-hours expended by contractor personnel.

5. A chart showing current and cumulative expenditures by task order and technical directive versus planned expenditures.

C.4 TECHNICAL REPORT SPECIFICATIONS

Unless specified otherwise, technical reports under this contract shall be prepared in accordance with the latest version of the Turner-Fairbank Highway Research (TFHRC) Communications Reference Guide (FHWA-RD-03-074), available at http://www.tfhrc.gov/qkref/qrgmain.htm.

C.5 REQUIREMENTS FOR IMPLEMENTING SECTION 508 STANDARDS

C.6 STAFFING

The following are recommended minimum qualifications for positions that are recommended to efficiently complete the contract. Other combinations of staffing and assignments may be submitted, but these should be clearly referenced to positions and expected responsibilities as outlined in this section.

KEY PERSONNEL

Principal Investigator (PI) - The Principal Investigator provides routine direction and general oversight to the Contractor's staff. This individual should have considerable experience on large projects involving the coordination of several agencies with highway performance monitoring, LTPP IMS database operations, pavement design and data processing. The PI should also have considerable knowledge and experience in LTPP related pavement research, pavement design, materials, performance monitoring, and development and analysis of performance models. The PI should have a Master’s degree in Civil Engineering, highway engineering related experience, and LTPP program related knowledge and significant experience in all the task areas identified in this RFP. This individual should possess administrative and supervisory skills and be in a position in the Contractor's organization to quickly and effectively direct required resources to achieve results and/or make corrections in the Contractor procedures and processes to conform to LTPP requirements.

Co-Principal Investigator (Co-PI), LTPP IMS Database Operations and Engineering Support - The Co-Principal Investigator leads the LTPP IMS Database Operations and Engineering support. The Co-PI should have minimum of a Bachelor’s Degree in Computer Science, Mathematics or Engineering, experience working on the LTPP IMS database related operations, and experience with projects involving highway pavement investigation and/or performance studies. Excellent organizational and communication skills are required of this person since this position will play a major role in coordination.

On-site and Off-site LTPP Database Support Staff - The proposed TFHRC on-site LTPP database support person will be responsible for the maintenance and operation of the LTPP server and the Oracle® based LTPP database, in coordination with and support from other off-site contractor staff. The LTPP database on-site person should have a minimum of a Bachelor’s Degree in Computer Science, Mathematics or Engineering. In addition, this person should have computer and Oracle relational database programming experience and knowledge of the latest computer equipment, distributed network hardware, Oracle® relational database systems and supporting software (Versions 6.x to 10g and beyond), Windows Professional Client, C++, CDE 2 (Oracle® tools) and Oracle® Partitioning Option. Excellent organizational and communication skills are required since this position will play a major role in coordination and documentation.

In addition to the on-site LTPP database support person, Offerors may identify additional on-site or off-site staff to work and/or communicate with the on-site LTPP database support person regularly in support of the LTPP IMS operations, LTPP database engineering support, and other related activities.

OTHER PERSONNEL

Senior Engineer(s) - Senior Engineer(s) are expected to be the primary leaders for review of LTPP data collection procedures and related activities, LTPP IMS database quality assurance, data base system quality control checks, and other LTPP database activities. Senior Engineer(s) should have a Bachelor’s Degree in Civil Engineering or equivalent with experience in the LTPP program and preferably his/her assigned area(s).

Computer Programmer(s) - The Computer Programmers should be familiar with the data processing concepts used in the LTPP program. Experience with the LTPP Database operations is highly desirable. These concepts include Windows Professional Client, C++, Oracle RDBMS - Version 8.1x, CDE 2 (Oracle tools) and Oracle Partitioning Option. Computer Programmers should have computer and database programming experience and experience and knowledge of the latest computer equipment, distributed network hardware, and Oracle relational database systems and supporting software. Computer Programmers should have a minimum of a Bachelor’s Degree in Computer Science, Mathematics or Engineering or equivalent technical experience.

Project Engineer(s) - Project Engineer(s) are expected to work on the review of LTPP data collection procedures and related activities, LTPP IMS database quality assurance, data base system quality control checks, and other LTPP database activities. Project Engineer(s) should have a Bachelor’s Degree in Civil Engineering or equivalent technical experience and experience in the LTPP program and preferably his/her assigned area.

Subject Matter Experts – In the conduct of the work under this procurement, it will at times be appropriate for the contractor to engage the services of nationally or internationally recognized experts. The Contractor may propose Subject Matter Experts (SME) Consultants in special study areas. Examples include an SME in statistical analysis and experiment design. The need for the services of such experts, as well as the specific individuals proposed, their qualifications, and the roles they are to play shall be identified in the detailed task order proposals submitted for individual task order proposal requests.

Administrative Support Staff - Administrative Support Staff experienced in MS Office programs and typical office functions and duties.

SECTION D - PACKAGING AND MARKING

Deliverables under this contract shall be prepared and packaged for shipment using best commercial practices so as to ensure safe and timely delivery.

SECTION E - INSPECTION AND ACCEPTANCE

All work hereunder shall be subject to review by the Government.

SECTION F - DELIVERIES OR PERFORMANCE

F.1 PERIOD OF PERFORMANCE

The period of performance for issuance of task orders under this IDIQ contract shall be 60 months from date of award. Any Task Order issued prior to the expiration date of this IDIQ, and not completed within that time, shall be completed by the contractor within the time specified under the task order. The contractor is required to abide by the terms and conditions of this IDIQ until the conclusion of the task order performance period. The period of performance for each Task Order will be specified within the Task Order document.

F.2 PLACE OF PERFORMANCE

Generally, work performed under this contract will either be accomplished at the Turner- Fairbank Highway Research Center in McLean, Virginia or at the Contractor’s site. However, during the performance of the contract, there may be Task Orders or Technical Directives issued by the COTR that specify other designated locations.

F.3 DELIVERABLES

All deliverables shall utilize a Microsoft Office Suite format unless otherwise approved by the COTR. Technical Reports shall be submitted in accordance with Section C.4, “TECHNICAL REPORT SPECIFICATIONS.” All work under task orders shall be completed according to the schedule negotiated for each task order.

written QC/QA plans for uniform collection of profile data; profiler specifications; letter-type profiler QC/QA reports; letter-type profiler evaluation reports; and letter-type evaluation/comparison reports.

Materials Testing: Written QA criteria and precision statements; evaluation reports of testing procedures; written documentation of LTPP materials testing protocols; updates of existing materials testing related documents and new documents in support of the LTPP materials testing program; QA review reports for the material testing program.

IMS technical operations manual, including LTPP server installation, security and maintenance details, regional uploads QC/QA and integration procedures, central IMS database maintenance and data extraction procedures, creation of LTPP SDRs, etc.

e-mails, technical memoranda, draft directives, DAOFRs and letter type reports related to the IMS operations, IMS data evaluation, data release, QC/QA reviews, regional operation support, DAOFR resolutions, and limited data studies of the data collected after the previous data studies were completed.

DELIVERABLES FOR TASK ORDERS UNDER TASK D MAY INCLUDE BUT ARE NOT LIMITED TO THE

Prepare and distribute data as necessary following interim and/or major IMS data uploads, and submit to FHWA a complete backup copy of the LTPP database software and data after each IMS upload.

Prepare and distribute software releases, update and distribute the SPR database to FHWA and LTPP contractors in Microsoft Access format.

IMS software codes.

New or updated QC processing programs, resulted from SPRs, new computed parameter tables, or other unanticipated program additions as directed by FHWA.

LTPP annual Standard Data Releases (SDRs), including submission of the final database modules, record status counts and tracking on database status and changes, and updated companion tools such as the LTPP Table Navigator software.

Various reports, documentation, and correspondence, including::

o Updated database user aid documents and tools for each SDR, e.g. data user guide, data dictionary, QC manual, and LTPP Table Navigator, etc.

o Specifications and documentation for new equipment.

o The updated LTPP IMS Oracle Database Operations Manual (covering both

PPDB and CTDB), which contains detailed descriptions of the LTPP database hardware and software components, database maintenance, backup, and security procedures, regional upload QC/QA, integration, and SDR creation steps, etc.

o Various e-mail, technical memoranda, and other IMS operation related reports, as needed or directed by the COTR.

DELIVERABLES FOR TASK ORDERS UNDER TASK E MAY INCLUDE BUT ARE NOT LIMITED TO THE

Presentation, training and/or discussion material for meetings with other LTPP contractors, TRB ETG committees, or any workshops and training sessions, as directed by the COTR.

Minutes, memoranda, letter-reports and/or e–mail messages on status or resolution of action items from meetings with other LTPP contractors, as directed by the COTR.

Summary tables tracking resolution of software problem reports (SPR) and operational problem reports (OPR) and posted in the web page. Submit/distribute quarterly.

Technical memoranda, white papers, newsletter article drafts, and/or presentation materials resulted from various technical support activities to the general planning and coordination, as well as LTPP database enhancement and expansion, as directed by the

COTR.

SECTION G - CONTRACT ADMINISTRATION DATA

G.1 TASK ORDER PROCEDURES

The following ordering procedure shall apply to all Task Orders (TOs) issued under this contract.

TOs shall be issued in accordance with FAR 52.216-18, 52.216-19, and 52.216-22 (See Section I). In addition:

a. The Contracting Officer (CO), Contract Administrator (CA), or Contracting Officer’s

Technical Representative (COTR) will issue Task Order Proposal Requests (TOPR) to the Contractor. Each TOPR will indicate the objectives or results desired by the Government.

These objectives shall be within the scope, period, and maximum value of the contract.

b. The TOPR may be issued by written communications or other electronic means. Each TOPR will state the due date for proposal submission. Late proposals will be handled in accordance with FAR 15.208.

c. Each TOPR will contain, as a minimum, the following information:

(1) COTR Name;

(2) Contract number, task order number, due date;

(3) Description of work;

(4) Deliverables;

(5) Period of Performance;

d. Proposals shall be delivered, on or before the due date, both to the COTR (See F.3) and to the

Contract Administrator at the following addresses:

Each proposal must clearly state the contract number and TOPR number on the outside of the submission.

e. The proposal shall outline the Contractor’s overall approach for completing the task order and shall, at a minimum, include:

(1) Signed cover letter stating that this is the task plan to the TOPR;

(2) Discussion of technical approach for performing the work, including detailed list of work activities, and proposed deliverables for each task;

(3) Proposed staff for performing the work items, their labor categories and roles;

(4) Estimated date of commencement of work, and any changes proposed to the schedule of performance;

(5) Budget summary for the entire period of performance, including:

Labor categories, staff names, direct labor hours, hourly rates Indirect Rates and their applications Subcontractors/Consultants and your cost analysis in accordance with

FAR 15.404-3.

Other Direct Costs with a breakout by category Travel and materials cost estimates Profit/Fee- total and the percentage and its application.

Total estimated cost for completion of the task order

f. The Contracting Officer may modify task orders in the same manner as they are issued.

g. In the event that there is a conflict between the requirements of the task order and the

Contractor’s work plan, the task order shall prevail.

h. If the Contractor either at the time of receipt of a task order or at any time during work assignment performance has reason to believe that the cost or number of labor hours will exceed the estimates set forth in the task order, the Contractor shall immediately notify the COTR and Contracting Officer in writing and suggest a revised estimate for completion of the work required. After discussion with the COTR, the Contracting Officer may issue a modification revising the terms and conditions of the task order.

i. The Contractor is not authorized to expend funds beyond those obligated to the task order.

Additionally, the effort under each task order shall not exceed the total ceiling price specified. The Limitation of Funds or Limitation of Cost clauses apply to each cost reimbursable task order individually. Therefore, the Contractor is required to notify the CO by each individual task order in accordance with clauses 52.232-22, Limitation of Funds, and 52.232-20 Limitation of Cost, as applicable.

G.2 FUNDS AVAILABLE

Cost reimbursable task orders issued under this IDIQ contract may be incrementally funded. The clause entitled "LIMITATION OF FUNDS" applies to incrementally funded cost reimbursable Task Orders issued under this contract. Any notification required by the clause shall be made in writing to the CO. In the event that an incrementally funded cost reimbursable Task Order is not funded beyond its estimated cost, the Contractor shall deliver to the CO the data collected and the material produced, in process, or acquired in connection with the performance of the project provided herein, together with a summary report of its progress and accomplishments to date.

G.3 PAYMENT – COST REIMBURSEMENT (Cost Reimbursement Task Orders)

For Cost Reimbursable task orders, the Contractor may request monthly interim payments for costs incurred during the performance of each specific task order. A statement of costs incurred by the Contractor in the performance of Cost Reimbursable task orders issued under this contract and claimed to constitute allowable costs shall support each monthly interim payment request.

Each monthly interim payment request shall be submitted in accordance with the attached, "FHWA Billing Instructions for Cost Reimbursement Contracts" to be considered proper for payment. Prior approval of the CO is required if the Contractor wishes to use a different payment request format.

In accordance with clause 52.232-25, "Prompt Payment", monthly interim payments will be made by the 30th day following receipt of proper request for payment by the designated billing office, unless audit or other review is considered necessary to ensure compliance with the terms and conditions of the contract. All interim payments hereunder will be made upon further determination by the CO that the Contractor is making adequate progress toward successful contract completion.

Final invoice payment shall be made upon the CO's determination that all contract requirements have been completed. The payment due date for final invoice shall be established in accordance with the clause 52.232-25.

G.4 PAYMENT – FIXED FEE

In accordance with the fixed-fee clause at FAR 52.216-8, and the instructions contained under this paragraph, the Contractor may request monthly payment for any applicable fixed-fee amounts stated on task orders issued under this IDIQ contract. This shall be based on the Government’s determination of satisfactory continued contract performance. After payment of 85 percent of the total fixed-fee, further payment of the fixed-fee may be withheld until a reserve of either 15 percent of the total fixed-fee or $100,000, whichever is less, is set aside. The withheld portion of the fixed-fee, if any, shall be released to the Contractor after a determination is made by the Contracting Officer that all contract requirements have been satisfactorily completed. Withholding of this amount requires no specific instruction from the Contracting Officer.

G.5 PAYMENT OF FIXED PRICE TASK ORDERS

For Fixed Price task orders issued under this IDIQ contract, unless otherwise specified in the individual task order, the Contractor may request payment for the Fixed Price specified in the task order upon the Government’s acceptance of work under that task order. When applicable, partial payment may be made for partial delivery. Payment will be authorized when the CA receives the COTR's determination of satisfactory completion or acceptance of work or deliverables required under each task order.

G.6 INDIRECT COSTS (Applies Only to Cost Type Task Orders)

Pending the establishment of final indirect cost rates which shall be negotiated based on audit of actual costs as provided in Subpart 42.7 of the Federal Acquisition Regulation, the Contractor shall be reimbursed for allowable indirect costs hereunder at the billing rate of [__TO BE NEGOTIATED__]. This INDIRECT COST provision does not operate to waive the LIMITATION OF FUNDS Clause. The Contractor's audited final indirect costs are allowable only insofar as they do not cause the Contractor to exceed the total estimated costs for performance of the contract listed on page 2 (SECTION B) and under the PAYMENT provision above.

G.7 TRAVEL AND PER DIEM

Travel and Per Diem authorized under this contract shall be reimbursed in accordance with the Government Travel Regulations currently in effect.

Travel requirements under this contract shall be met using the most economical form of transportation available. If economy class transportation is not available, the request for payment voucher must be submitted with justification for use of higher class travel indicating dates, times, and flight numbers. All travel shall be scheduled sufficiently in advance to take advantage of offered discount rates, unless otherwise directed by the COTR.

G.8 CONTRACTING OFFICER'S TECHNICAL REPRESENTATIVE (COTR)

The CO has designated __________as COTR to assist in monitoring the work under this contract. The COTR is responsible for the technical administration of the contract and technical liaison with the Contractor. The COTR IS NOT authorized to change the scope of work or specifications as stated in the contract, to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract price, delivery schedule, period of performance or other terms or conditions.

The CO is the only individual who can legally commit or obligate the Government for the expenditure of public funds. The technical administration of this contract shall not be construed to authorize the revision of the terms and conditions of this contract. The CO shall authorize any such revision in writing.

G.9 SUBCONTRACTS - ADVANCE NOTIFICATION AND CONSENT

Under this contract, the requirements of FAR 44.2, CONSENT TO SUBCONTRACTS, have been fulfilled for the following subcontracts:

Any future change or revision to the Statement of Work or other applicable aspects of this contract shall include the subcontract(s) only to the extent that performance of the subcontract(s) is directly affected by the change or revision.

G.10 ON-SITE DUTY HOURS

For on-site contractor employees, working hours shall generally be from 8:00 a.m. to 4:30 p.m.

including half hour lunch time, Monday through Friday, exclusive of legal holidays, unless otherwise requested by or approved by the COTR. Work hours for Contractor personnel shall not exceed 40 hours per week unless authorized in advance by the COTR. If vacation time of an employee is expected to exceed 10 consecutive working days or sick leave exceeds 5 consecutive working days, a replacement or a backup shall be provided.

G.11 HOLIDAYS AND ADMINISTRATIVE LEAVE

Any Contractor personnel working on Government premises shall observe only the holidays listed below:

New Year's Day Columbus Day Martin Luther King Jr.'s Birthday Veteran's Day Washington's Birthday Thanksgiving Day Memorial Day Christmas Day Independence Day Labor Day

Any other day designated by Federal statute.

Any other day designated by Executive Order.

When any such day falls on a Saturday, the preceding Friday is observed; when any such day falls on Sunday, the following Monday is observed.
