B-1 Background
The FDA has a requirement for weekly delivery of dry ice to the FDA Long Beach Resident Post. The dry ice ensures successful preservation of the FDA Import Operation frozen samples, and during transport and shipment to the laboratory for analyses. Maintaining the collected samples in compliance with FDA Compliance and Laboratory standards and regulations.
B-2 Statement of Work
The contractor shall provide all necessary labor, materials, and transportation as necessary to deliver dry ice to the FDA Long Beach Resident Post for the period of one (1) base year plus four (4) option years.
Description of Item(s):
The contractor shall deliver 400 lbs. dry ice, cut into 10 lbs. slabs once a week on the same day every week by 8:30 AM. The contractor will provide the FDA Long Beach Resident Post with a wheeled dry ice storage bin(s) for storage of weekly dry ice delivery. Ice bin dimension should not exceed 43” L x 27.5” W x 13.5” H to accommodate the space allotted in the FDA Sample Prep Room.
FDA has the option to increase, decrease, or cancel any delivery. Contractor shall receive one
(1) day advance notice in any of these situations.

Point of Contacts: To Be Identified at time of award
The contractor’ insurance agent must provide copy of certificate of insurance directly to the World Trade Center (WTC) Property Management for review/approval. Upon approval, contractor must contact FDA to schedule delivery date. FDA will notify WTC Property Management of the scheduled delivery date and approved use of freight elevator. Contractor making deliveries must sign-in at the WTC Security Office before attempting delivery to FDA.
The building has a loading dock and freight elevator accessible for contractor use to transport dry ice using freight elevator. Contractor will transport dry ice using freight elevator and be met at the 3rd floor freight elevator vestibule and escorted by an FDA staff member to the Sample Prep Room where contractor will fill the dry ice storage bin(s).
Receiving Hours:
Deliveries shall be made once a week on the same day every week by 8:30 AM, excluding holidays and any day declared an official federal holiday. If the government holiday falls on the scheduled delivery date, the delivery will be on the next business day. Holidays observed by the FDA are:

B-3 Delivery or Performance-Period Requirements
Period of Performance Option period(s) are for the period of one year each. If exercised, the options may extend the length of the contract by four additional years for a total of five years.
If exercised, the contract period of performance for option years are to be identified in each modification that exercises the respective option(s). The aforementioned period of performance terms for the options shall extend the performance period of the contract if the Government exercises the option(s) in accordance with FAR 52.217-9.
The anticipated ordering period for the Contract’s base year and option periods are as follows:

Safety Requirements:
In the performance of this contract, the contractor shall take such safety precautions as the Contracting Officer or his designee may determine it be reasonably necessary to protect the lives and health of occupants of the building.
B-4 CONTRACT VEHICLE
It is anticipated that this award will be a Firm-Fixed-Price (FFP). All deliverables shall be clearly identified, complete with clear descriptions; due dates, and at a predetermined, agreed-upon price.
B-5 FDA INVOICE SUBMISSION
The contractor shall submit all invoices to:

B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer - System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:
(i) Name and address of the contractor;
(ii) Invoice date and invoice number;
(iii) Contract/Order number (including a reference to any base award for Indefinite-Delivery/Indefinite-Quantity Contracts or Blanket Purchase Agreements);
(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:
(a) period of performance for which costs are claimed;
(b) itemized travel costs, including origin and destination;
(c) any other supporting information necessary to clarify questionable expenditures;
(d) the contractor shall include the Contract Line Item/Funding line item for each description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on government bill of lading;
(vi) Terms of any discount for prompt payment offered (Prompt Payment terms other than NET 30);
(vii) Name and address of official to whom payment is to be sent (must be the same as that in the purchase order/award, or in a proper notice of assignment)
(viii) Name, title, and phone number of person to notify in event of defective invoice;
(ix) Taxpayer Identification Number (TIN);
(x) Electronic funds transfer (EFT) banking information, including routing transit number of the financial institution receiving payment;
(xi) Name and telephone number of the FDA Contracting Officer Representative (COR) or other Program Center/Office point of contact, as referenced on the award;
(xii) For all Time-and-Materials and Labor-Hour Awards, Contractor is required to attach an invoice log addendum to each invoice which shall include, at a minimum, the following information for contract administration and reconciliation purposes:
(a) list of all invoices submitted to date under the subject award, including the following:

| (2) corresponding payment amount & date received |
(b) total amount of all payments received to date under the subject contract or order
(c) and, for definitized contracts or orders only, total estimated amounts yet to be invoiced for the current, active period of performance;
(xiii) Any other information or documentation required by the award.
C. An electronic invoice is acceptable if submitted in adobe acrobat (PDF) format. All items listed in (i) through (xiii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

52.216-18 Ordering.
Ordering (Oct 1995)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders by the individuals or activities designated in the Schedule. Such orders may be issued from June 30, 2020 through June 29, 2025 .
(b) All delivery orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order and this contract, the contract shall control.
(c) If mailed, a delivery order is considered “issued” when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.
52.216.19 Order Limitations
Order Limitations (Oct 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000.00 the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor—
(1) Any order for a single item in excess of $150,000.00.
(2) Any order for a combination of items in excess of $150,000.00 or
(3) A series of orders from the same ordering office within 10 days that together call for quantities exceeding the limitation in paragraph (b) (1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within __10___ days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
52.216-22 Indefinite Quantity Indefinite Quantity (Oct 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after June 29, 2025.
52.232-40 Providing Accelerated Payments to Small Business Subcontractors Providing Accelerated Payments to Small Business Subcontractors (Dec 2013)
(a) Upon receipt of accelerated payments from the Government, the Contractor shall make accelerated payments to its small business subcontractors under this contract, to the maximum extent practicable and prior to when such payment is otherwise required under the applicable contract or subcontract, after receipt of a proper invoice and all other required documentation from the small business subcontractor.
(b) The acceleration of payments under this clause does not provide any new rights under the Prompt Payment Act.
(c) Include the substance of this clause, including this paragraph (c), in all subcontracts with small business concerns, including subcontracts with small business concerns for the acquisition of commercial items.

Issuance of this solicitation does not constitute an award commitment on the part of the Government. This request does not commit the Government to pay for costs incurred prior to the execution of a formal contract unless specifically authorized in writing by the Contracting Officer. The Contracting Officer is the only individual who can legally obligate the Government to the expenditure of public funds should a contract result of a response to the Request for Proposal.
FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS ADDENDUM
E-6 Instructions to Offerors
(a) Single Award. The U.S. Government anticipates awarding approximately one (1) contract as a result of this solicitation.
(b) RFQ Instructions. If an offeror does not follow the instructions set forth herein, the offerors quoted may be eliminated from further consideration or the quote may be down-graded and not receive full or partial credit under the applicable evaluation criteria.
(c) Accurate and Complete Information. Offerors must set forth full, accurate and complete information as required by this RFQ. The penalty for making false statements to the government is prescribed in 18 U.S.C. 1001.
- Submission of information required by any other section of this RFP. The submission of these items in accordance with these instructions will, if the Government accepts the offer, contractually bind the Government and the successful offeror to the terms and conditions of the prospective contract. Offerors shall follow the instruction contained in this RFP and supply all information and signature/certification, as required.
- Offerors should not assume that the Contracting Officer will independently obtain information necessary to evaluate the offerors quote, and should therefore supply all information required by this RFP for the evaluation for its quote. The offerors failure to provide the information required could result in rejection of the quote.
(d) The Government reserves the right to amend or cancel the solicitation, as necessary, to meet FDA requirements.
(e) Quotes must be submitted in the English language and prices must be in U.S. dollars.
(f) Past Performance-The offeror shall submit three references for similar work performed during the last 3 years. The references must include the contract number, name of the company, point of contact, phone number and a description of the work.
