BLANKET PURCHASE AGREEMENT (BPA)

FOR

SUPPLY AND DELIVERY OF POOL CHEMICALS TO

JOINT BASE SAN ANTONIO (JBSA)

1. DESCRIPTION OF SERVICES. The contractor shall provide all tools, labor, personnel, materials and transportation necessary to perform all operations in connection with the delivery of pool chemicals to Joint Base San Antonio (JBSA) for the maintenance of swimming pools. These areas include Fort Sam Houston; Lackland; Chapman Annex; and Randolph. This service shall be performed on call and as needed.

2. PERFORMANCE OF WORK.

2.1. PLACE OF PERFORMANCE. The work performed under this contract is to be accomplished in occupied areas and shall be coordinated by the contractor; whereby, both the Government and the contractor can continue operations with the least possible interference and inconvenience to both the contractor and the using agencies. Attached Appendix A, Pool Chemical Delivery Locations, lists specific locations that require chemicals.

2.2. CHEMICAL DELIVERY. Delivery of chemicals to the required buildings’ storage facility is accomplished and arranged through a Service Request and orders must be delivered within 2 business days. All contractor deliveries shall be made in accordance with the Service Orders executed by the Contract Officer, Contracting Officer Representative (COR), Alternate COR, or authorized Government representative.

2.2.1. The COR, designated Point of Contact (POC), Alternate COR, or other authorized Government representative will sign for each delivery. If circumstances do not permit a timely signature, the Contractor shall immediately contact the COR to notify of completion of the delivery.

3. EMERGENCY SERVICE. Emergency delivery of pool chemical service may be required. The contractor shall respond to the emergency call within 3 hours of notification. The contractor will be notified by the Contracting Officer (CO) or the COR when an emergency service is required.

4. INSTALLATION ACCESS.

4.1. Criminal History Check will be conducted on all primes/subcontractor employees requiring base access. The contractor shall provide the Contracting Officer Representative a valid listing of employees needing access within 3 working days after receiving award. The list shall include employee’s name, date of birth, state driver’s license/state ID number and state of issue. Notifications of contractor employee additions and deletions shall be provided with the same information listed above and within 3 working days. Within 10 business days after receipt of the list the Government will notify the Contractor that installation access passes are available for those employees clearing the criminal history check. The duration of any pass issued will not exceed one year or the end date of the BPA. This process will be repeated annually in conjunction with the anniversary date of the BPA award.

4.2. PASS TURN IN. The contractor shall upon completion of performance or termination of the BPA the contractor shall turn in all Base identification Passes, Restricted Area Badges and any other documents issued by the government to the issuing office or COR.

5. HOURS OF OPERATION AND REPORTS. Normal duty hours are 7:00 a.m. through 5:00 p.m., Monday through Friday, except Federal Holidays. The Contractor shall not perform any of the work required by this contract on Saturdays, Sundays, or legal holidays unless authorized by the CO. List of recognized Federal Government holidays are as follows:

Note: Any of the above holidays falling on a Saturday will be observed on the preceding Friday; holidays falling on a Sunday will be observed on the following Monday

6.1. BASE CLOSURE. Scheduled work not accomplished because of base closure due to weather, exercises, or actual alert, will be accomplished as soon as possible after the reopening of the base.

6.2. ACCIDENT REPORTS. The contractor shall maintain an accurate record of accidents. The contractor shall immediately report all accidents to the COR. This report shall include: date and time of any accident, details of accident, any Government property damaged in the performance of the contract, plan for resolution of damage. The written report shall be submitted to the COR within one calendar day.

6.3 DAMAGE REPORTS. The contractor shall report any container that is damaged, corroded, or appears to be leaking, must be removed from service and the COR will be notified immediately. In all instances where Government property or equipment is damaged by the contractor employee(s), a full written report of the fact and extent of such damages shall be submitted to the Contracting Officer within one calendar day.

7. GENERAL INFORMATION.

7.1. DAMAGE TO GOVERNMENT/PRIVATE PROPERTY. The contractor shall report damages to Government buildings, equipment, or vegetation are addressed in the FAR contract clause 52.237-2 – “Protection of Government Buildings, Equipment, and Vegetation.” The Contractor shall be liable for repair/replacement for any Government or private property damaged by Contractor personnel, vehicles, equipment, or negligence. The Contract manager shall immediately advise the COR of any damages and provide an action plan for repairs or replacement.

7.2. ENVIRONMENTAL REQUIREMENTS. The Contractor shall comply with all federal, state, city, and DOD environmental laws, and regulations. Personnel from the Base Environmental Office and other base offices will conduct periodic inspections to determine compliance with base and state environmental laws and regulations. The Contractor shall immediately notify the Base Environmental Office, the CO, and the COR of contractor’s material spills, and take immediate action to control the spread of the spill. The contractor is responsible for cleaning up any spills, debris, etc. while servicing each location.

7.3. PERSONNEL PROTECTION. The Contractor shall ensure that all Contractor personnel are trained in the safe operation, use, storage, disposal, and transportation of hazardous materials. Personnel shall have the proper personnel protective equipment, gloves, glasses, boots, as required. The Contractor no matter the vendor must adhere as required by OSHA and other DOD environmental regulations.

7.4. PERMITS, LICENSES, AND CERTIFICATIONS. Unless otherwise specified in this BPA, the Contractor shall obtain all necessary permits, licenses, and certifications; give all required notices; and comply with all applicable local, county, state, federal, and DOD laws, codes, and regulations in performance of the requirements of this BPA. Maintain records of such requirements and make the documentation available to the Government for review. The Contractor shall be responsible for all OSHA, State, Environmental fines and penalties that may occur during the contract period of performance.

7.5. CHEMICALS. The contractor shall provide an inventory of hazardous materials with the applicable Material Safety Data Sheet (MSDS) that will be used to perform the required services. In addition, use reasonable care to avoid releasing hazardous material or hazardous waste, which may cause environmental damage to government structures, public land, water, or other natural resources. If the Contractor’s failure to use reasonable care causes damage to any of this property, the Contractor shall replace or repair the damage at no expense to the Government as the CO directs. If the Contractor fails or refuses to make such repair or replacement, the Contractor shall be liable for the cost, which may be deducted from the contract price.

7.6. COMMUNICATION DEVICES. The Contractor shall furnish and maintain communication devices (office phone and cell phones) to maintain communication with the COR at all times. The Contractor shall provide telephone numbers and email addresses that the COR will use to continue to contact the Contract Manager and/or Alternate Contract Manager at any time for direct communication.

7.7. VEHICLE IDENTIFICATION. The contractor shall provide all vehicles required to fulfill the requirements of this BPA. All Contractor furnished vehicles shall properly display the company logo and vehicle number while on JBSA. The company logo shall be either a magnetic sign or painted/ stenciled on both sides of the vehicle and shall be easily visible/legible to the base personnel.

7.7.1. VEHICLE OPERATIONS. The Contractor shall ensure that all employees operating company vehicles on base have a proper and current license as required by the base and Texas law. They shall also comply with all base and local traffic regulations. Contractor vehicles shall have all proper accessories, tie-downs, signage IAW 49 CFR 172.400-448, and operating lights when operating on a military base. Contractor shall have current and adequate liability insurance on all vehicles as required by Texas law. Vehicles shall be kept clean and present a professional appearance at all times. All vehicles must also meet the proper OSHA standards for having properly functioning safety equipment on board, i.e. flashing lights, reflective signs, orange cones, fire extinguishers, etc.

7.8. INTERFERENCE WITH GOVERNMENT OPERATIONS. The Contractor shall not unduly interfere with regularly scheduled Government operational activities in the performance of contract requirements. If a Government employee directs the Contractor to stop work, the Contractor shall immediately contact the COR and report the incident, to include the name of the Government personnel involved, date, time, and location.

7.9. SAFETY REQUIREMENTS AND REPORTS. The contractor shall perform all work in a safe manner as required by OSHA Safety and Health Requirements and follow all DOD Safety regulations. The Contractor shall provide a verbal and written notification to the COR within twenty-four (24) hours of an employee accident resulting in death, injury, occupational disease, etc.

8. DEFINITIONS

8.1. CONTRACTOR. A supplier or vendor having an agreement to provide specific supplies or service to the Government. The term used in this agreement refers to the prime contractor.

8.1.2. CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate this agreement, and make related determinations and findings on behalf of the Government. Note: The only individual who can legally bind the Government.

8.1.3. CONTRACTING OFFICER REPRESENTATIVE (COR). An employee of the U.S. Government appointment by the Contracting Officer to administer this agreement. Such appointments shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the agreement, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of this agreement.
