SECTION I – GENERAL AND PRICING

A. The United States Department of Justice (DOJ), Asset Forfeiture Management Staff (AFMS) has a requirement to obtain clerical, administrative, and professional services to support its nationwide asset forfeiture program.

The purpose of this contract is to obtain services from a firm qualified to provide the required asset forfeiture clerical, administrative and professional support services. The DOJ Asset Forfeiture Program (AFP) is a nationwide law enforcement program that has proven to be an effective strategy in the fight against crime. The resultant award of this solicitation will be a single award, commercial service, Indefinite Delivery/Indefinite Quantity (IDIQ) contract for clerical, administrative, and professional services (hereinafter referred to as the contract) in support of law enforcement and legal programs. The Contractor shall furnish the services necessary to complete the requirements contained in the Statement of Work (SOW) found at Section II of this document. NAICS Code 541199, All Other Legal Services has been designated for the services contained in this requirement.

B. The performance of all work under this contract shall be initiated by the issuance of task orders by a delegated Contracting Officer. Individual task orders may be issued on a firm fixed price (FFP), time-and-material (T&M), or labor-hour (LH) basis; however, the Government anticipates that the overwhelming majority of orders will be issued on a LH or T&M basis. Any fixed price orders shall be based on the fully burdened labor rates included in the contract. All other direct costs (ODC) including travel will be identified as separately priced line items on each order.

C. Fiscal Year. Offices requiring services are DOJ components and other federal agencies that have a requirement for services contained in the Statement of Work. Orders issued under this contract will not be issued for more than one year and shall not cross fiscal years. Each Task Order issued under this contract will be issued based on the Pricing Tables contained in the contract. All labor hour orders will include a Not-to-Exceed amount calculated by multiplying the estimated required quantities by the relevant fixed-unit prices. See Section III – Contract Administration for more information on Ordering. Ordering offices that require a single order for services for a period of more than one year or that crosses fiscal years; shall submit the request to the CO and COR for review and approval, prior to the issuance of the order.

D. The date of award is TBD and full performance of contract is expected to commence on TBD. Continuity of services is essential to the requirements contained in this contract; therefore, it is critical that the transition period does not disrupt existing services or Government programs. The transition period includes the phase-in of Contractor personnel and the assumption of ongoing services. The transition period is directly related to successful contract performance; however, it is not included in references to contract period of performance.

E. The proposed contract is expected to include a base period and six (6) option periods as described below:

F. Minimum and Maximum Amounts

1. The Department will order a minimum amount of $TBD under this contract. The Department will have the entire term of the contract (to include all options) to fulfill the contract minimum. The specific Contract Line Item Numbers (CLINs) and quantities will be identified in the task order(s) issued under the contract. The exercise of the renewal options does not re-establish the contract minimum. During the life of this contract, the Department may order items in any quantity up to the maximum amount specified in paragraph (b) below. If the minimum amount has not been ordered then the Department will exercise the option for the next year.

2. There are no maximum quantities or amounts for each individual CLIN, task order, or contract period. The maximum aggregate amount of all task orders issued under this contract shall not exceed Refer to Contract award form or SF30 for the entire term of the contract, including all options which may be exercised.

G. Pricing Tables

1. There are forty-two (42) pricing tables as described below. Each table also includes a price evaluation model used to calculate each offeror’s total evaluated price for award determination purposes. Only the unit pricing, adjustment factor and/or multiplier portion (each described below in this Section B) of each table will carry forward to the contract. The 42 pricing tables are inclusive of the following:

a) Metropolitan Statistical Areas (MSA) and All Other Regions. These forty-one

(41) (thirty-six (36) MSA tables + five (5) All Other tables) include all labor categories except the high level management positions. Generally, a separate task order will be issued annually by the Government for each individual location requiring services. All unit prices are fixed hourly rates for labor. The unit price for each labor category on a given table shall apply for work performed anywhere within that MSA/All Other boundary. All regions are summarized in paragraph (b) below and further detailed in Attachment 2. Attachment 4 lists all of the locations that make up each MSA.

b) Other Direct Costs (ODC). The ODC Pricing Table delineates the categories of costs which are considered allowable ODCs for task orders issued on a T&M basis. The Government will use this table to authorize and track actual ODC expenditures under T&M orders. The fixed multiplier for each CLIN includes all administrative handling costs associated with the CLIN. The multiplier is to be applied against the actual cost of the item for which reimbursement has been authorized. The billable amount shall be limited to the actual cost of the item plus the amount resulting from the application of the appropriate multiplier identified in the table (e.g., actual cost of item is

$100.00, and multiplier for the CLIN is 1.02, the total billable amount is

$102.00). For subcontracted items/services, the multiplier shall only be applied one time. For example, a subcontractor might be required to travel. It is not permissible for the subcontractor to apply a markup to the travel costs in billing the prime contractor, and then for the prime contractor to apply another markup when billing the Government. The multiplier may only be applied once, and must be applied to the original cost of the item

c) The thirty-six (36) MSAs, and the five (5) “All Other Regions” are listed in the table listed below:

2. Requirements for management and supervision identified as “high level management” are not included in the pricing tables. These required positions are as follows:

a) Program Manager

b) Regional Director – North Central

c) Regional Director – Northeast

d) Regional Director – National Capital Area

e) Regional Director – South

f) Regional Director – West

3. Pricing “high level management positions” identified above shall be built into the fixed hourly labor rates of the non-management labor categories as part of the overhead or G&A that make up these hourly rates. This is necessary as no high level management position will be billed directly to the contract. If the offeror proposes additional high level management positions, their labor rates shall be priced as part of the overhead or G&A as well.

4. Unit Prices. All contract unit prices and multipliers (applied to other direct cost items) shall be as specified in the pricing tables contained in Attachment 1. The basic contract line item number (CLIN) structure includes individual pricing tables segregated by contract period and the type of service. Each CLIN includes a one-digit prefix, a four-digit core number, and a two-character suffix. The first digit represents the contract period, i.e., for the Base Period, the first digit for all CLINs is "0"; for Option Period 1, the first digit for all CLINs is "1", etc. The first digit of the core number represents the Unit Price Table category, i.e., “1" indicates a Labor Category; “2" indicates Other Direct Costs. The remaining three digits represent the specific labor category. The two-character suffix is either “RT” for regular time, “OT” for overtime, or “OC” for other direct cost. For example, a Supervisory Financial Analyst, regular time, in Laredo, TX, during the base period of the contract would be under Table MSA 29700, CLIN 0-1004-RT.

5. The following definitions apply to the pricing tables:

a) Hourly Rates. All prices must be fixed unit prices that include all costs (fringe benefits, overhead, general and administrative and management expenses) and profit necessary to provide the level of service specified in the contract and task order. For personnel not exempt from the Service Contract Act (SCA), the Contractor shall pay at least the minimum pay and fringe benefits set forth in the Area Wage Determination (AWD) applicable to where the personnel are working (See Attachment 5 for a listing of the AWDs and Places of Performance). All orders shall be based on the fully burdened hourly rates as included in the contract.

b) Regular Time (RT). The billable rate for services performed by hourly personnel as required on a task order, or the billable hourly rate for salaried personnel as required on a task order. Regular time is considered a part of a normal schedule and will consist of five (5) eight (8) hour work days excluding, where practical, Saturday, Sunday, and the Federal holidays listed in Section III, Contract Administration.

c) Overtime (OT). Overtime will only be allowed if specifically authorized in the task order itself, or authorized in advance in writing (including e-mail or fax) by the Contracting Officer’s Representative (COR), see Section G.1. For non-exempt Contractor employees performing services related to this contract more than a forty (40) hour work week, the billable rate for the excess hours is the “overtime” rate. For exempt employees performing services related to this contract, all work shall be billed at the

“regular time” rates.

d) Adjustment Factor. For the five “All Other” tables, the factor applied against the corresponding hourly rate from the DOL AWD that applies to the specific location where the work will be performed (refer to (m) Services Performed in “All Other” Regions below). The adjustment factor shall include all costs except salaries/wages (e.g., fringe benefits, overhead, general and administrative and management expenses, and profit).

g) Orders placed against this contract shall include a performance location. The majority of services will be performed at Government sites and shall be considered the Contractor employee’s performance location. Services contained in the Statement of Work include tasks that require Contractor personnel to travel off-site to gather information and perform research. The Government will not pay for local travel related to the performance of tasks required to complete services local to the Contractor employee’s performance location.

h) The appropriate MSA’s fixed hourly rates and the ODC multipliers shall apply for the duration of any order, except when the period of performance of a task crosses a contract year and the Government has exercised its option to extend the overall contract. In these cases, the Contractor shall request a modification to the contract for the then current year contract rates/multipliers to be applied to the balance of the task order performance, effective at the beginning of the then current contract year.

i) A task order may include any combination of unit pricing to appropriately reflect the requirements, conditions and constraints.

j) Other Direct Costs. Materials and Training:

1. Materials and training procured on behalf of the Government under this contract will generally be exempt from State and local taxes. The Contracting Officer will provide a completed Standard Form 1094, U.S. Tax Exemption Certificate where appropriate (see FAR Part 29).

2. If in the Government's interest, the Contracting Officer may issue a letter(s) to the Contractor authorizing the Contractor to utilize Government sources of supply (e.g., General Services Administration supply schedules) for materials and training procured on behalf of the Government under this contract (see FAR Part 51).

k) Other Direct Costs. Travel:

1. Local travel will not be reimbursed under this contract. Local travel includes travel required to complete services within 50 miles of the Contractor employee’s normal performance location. Examples of local travel which will not be subject to reimbursement are: travel to and from normal performance location; supervisory personnel traveling to a Government site or alternative facility to oversee operations; personnel completing tasks that require travel in the area local to the performance location; personnel temporarily working at a Government site or alternative facility will consider such facility his/her normal performance location.

2. All non-local travel shall be approved in advance by the Contracting Officer’s Representative (COR) and placed on an order. All travel shall be identified in the order, with specific trips approved in advance by the COR. Reimbursement for approved travel shall be based on actual travel costs incurred during the performance of support services and shall be in accordance with Part 31 of the Federal Acquisition Regulations. All travel expenses shall be detailed in the order prior to travel to the maximum extent practicable. No travel reimbursement shall be authorized unless the Contractor provides sufficient written evidence of actual travel costs incurred to include, but not limited to receipts, ticket stubs, registers, and/or other documentation, as required by the Government. Travel requirements under this contract shall be met using the most economical form of transportation available. If economy class transportation is not available, the Contractor must submit to the COR a request for advance approval to utilize higher class travel. All travel should be scheduled sufficiently in advance to be able to take advantage of offered discount rates. Travel shall occur based on the policy contained in the current Federal Travel Regulations. Approval of travel expenses shall not exceed the per diem rates at www.gsa.gov/federaltravelregulation.

3. The Department encourages advance airfare purchases to take advantage of supersaver discounts. If the trip is canceled or travel dates are changed due to the Government’s actions, the Government will, absent special circumstances, pay airline cancellation charges or airline charges for changes in the travel dates. Documentation of the Governments action and the cancellation should be provided with the travel request and invoice.

l) Price Adjustments Under the Service Contract Labor Standards

1. General. This contract is subject to the Service Contract Labor Standards (FAR 52.222-41). For the hourly rate CLINs, applicability of the Service Contract Labor Standards is limited to those "non-exempt" CLINs as stated in paragraph 2 below. The Government will not be liable to the Contractor for any additional/increased sums/costs for which the Contractor may become liable to its employees as a result of a failure by the Contractor to properly conform or exempt its employees to the labor classifications stated in the applicable Department of Labor (DOL) Wage Rate Determinations contained in Attachment 5. Final determinations as to the proper conformance or exemption of Contractor employees under the Service Contract Labor Standards will be the responsibility of the DOL.

2. All adjustments will be based on the contractor’s proposed pricing and supporting documentation. The following table classifies each hourly rate labor category as one of the following:

Exempt. Employees performing in a bona fide executive, administrative, or professional capacity as defined in 29 CFR 541 are exempt from the Service Contract Labor Standards. These labor category CLINs will not be subject to Service Contract Labor Standards price adjustment.

Non-Exempt. Employees other than those employed in a bona fide executive, administrative, or professional capacity as defined in 29 CFR 541 are subject to the Service Contract Labor Standards. These labor category CLINs will be subject to Service Contract Labor Standards price adjustment as described in this section.

3. No labor hour price adjustments will be made during the base period of this contract to any CLINs for non-exempt labor categories except for those subject to price adjustment under FAR Clause 52.222-43 or as stated below in (m) Services Performed in “All Other” Regions.

4. There will be no adjustment to the multipliers contained in the ODC table or the adjustment factors contained in the All Other tables during the life of this contract.

5. If a position in a series is exempt because it is supervisory or managerial, the Contractor shall pay such positions at levels above those of the non-exempt positions in the same series (e.g., a Supervisory Paralegal shall be paid higher than a Paralegal/Legal Assistant III).

6. Health and Welfare (H&W) Supplement.

a. The Contractor may provide a H&W Supplement to fund the cost of benefits for participant dependents. The Health and Welfare Supplement shall be in the amount of [To Be Determined] per hour, per year. This supplement is separate from the prevailing wage determination H&W requirements.

b. This H&W Supplement ensures that all service employees remain eligible to receive dependent health and welfare benefits, including but not limited to medical, dental, and vision care. The Contractor shall document and maintain records of the provision of such benefits and make them available for inspection by authorized representatives of the Government. The Contractor shall notify employees of the Health and Welfare Supplement provided under this contract and ensure that all benefits are administered in accordance with applicable laws and regulations.

m) Services Performed in “All Other” Regions

1. The MSA pricing tables are structured to specify hourly rates for most of the areas of the country. However, there are locations that are not included within the MSAs. The five “All Other” tables (Northeast, North Central, South, West and National Capital Area) are intended to specify pricing for these areas. The hourly rates for exempt labor categories in these tables cover services performed anywhere within the region that are not covered by one of the MSA tables. The hourly rates for non-exempt labor categories cannot be determined until the Government obtains a wage determination for the specific location where the services are to be performed; therefore, the unit prices for the non-exempt CLINs in the awarded contract will be shown as

“adjustment factors” in the tables.

2. Prior to issuing a task order for work to be performed in an “All Other” area that will include non-exempt labor categories, the

Contracting Officer will obtain a DOL AWD for the locality involved. After receipt of the DOL AWD, the Contracting Officer will compute the contract unit price for the task order by applying the appropriate

"Adjustment Factor" contained in the applicable “All Other” table against the corresponding hourly rate from the DOL AWD. For example –

A DEA office in Birmingham, AL requires a Paralegal/Legal Assistant

II. The DOL AWD rate for a Paralegal/Legal Assistant II in Birmingham, AL is $22.65/hour and the Contractor's Adjustment Factor for a Paralegal/Legal Assistant II (from the South, All Other table) is 1.700. The computed final unit price for the Paralegal/Legal Assistant II in Birmingham, AL is $38.51/hour ($22.65 x 1.700). The task order will be issued using the $38.51 hourly rate. Price adjustments for any option periods will be as specified in (n), Option Periods.

n) Option Periods.

1. For any option periods which are exercised by the Government, all price adjustments shall be limited to, and in accordance with FAR clause 52.222-43, entitled "Fair Labor Standards Act and Service Contract Labor Standards - Price Adjustment (Multiple Year and Option Contracts)" or the Contractor’s escalation rates. The

Contractor’s approved annual escalation rate for all employee wages of [To Be Determined] %.

2. Non-Exempt Employees. This section is applicable if the contractor provides documentation that the Contractor’s proposed escalation does not allow the contractor to pay the minimum Service Contract Labor Standards wage rate. The Government will utilize the supporting data contained in the Contractor's proposal to verify any increase or decrease in the contract fixed unit price(s) which may be claimed by the Contractor as a result of a revised wage determination for any option period which may be exercised by the Government. The hourly rates will be adjusted to reflect the Contractor's actual increase or decrease in applicable wages and fringe benefits to the extent that the increase is made to comply with or the decrease is voluntarily made by the Contractor as a result of the DOL wage determination applicable at the beginning of the option period. For example, the prior year wage determination required a minimum wage rate of $15.00 per hour. The Contractor chose to pay $15.50. The new wage determination increases the minimum rate to $15.60 per hour. Even if the Contractor voluntarily increases the rate to $16.00 per hour, the allowable price adjustment is $.10 per hour. As stated in Clause 52.222-43, any adjustment will be limited to increases or decreases in wages and fringe benefits as described in the clause, and the accompanying increases or decreases in social security and unemployment taxes and workers' compensation insurance, but shall not otherwise include any amount for general and administrative and management costs, overhead, or profit.

3. Exempt and non-exempt employees. The Government will utilize the supporting data contained in the Contractor's proposal to verify any increase or decrease in the contract fixed unit price(s) which may be claimed by the Contractor as a request for escalation to wage rates for any option period which may be exercised by the Government. The Contractor’s request for escalation shall not exceed approved contract rates. Escalation shall be applicable to wages and fringe benefits and shall not be applied to general and administrative and management costs, overhead or profit.

6. Top-Secret Clearance. The Ordering Contracting Officer (OCO) is authorized to establish different fully burdened labor rates suited to meet unique requirements at the Order level. For services that require a top-secret security clearance or clearance higher than secret, the OCO may authorize a rate that exceeds the fully burdened rate for the POP by [ To Be Determined]%. In the rare instance that the Contractor requests order pricing in excess of the fully burdened rate, the Contractor must provide the OCO with a detailed rationale supporting the rate. The OCO may consider this rationale when evaluating whether to accept a proposed rate in excess of the fully burdened rate. The OCO is responsible for determining fair and reasonable pricing for such work in accordance with FAR subpart 15.4 and FAR 16.601. For firm fixed price orders, the OCO must be able to apply increased rates to specific services required to be performed. All orders with increased rates and the associated rationale should be sent to the AFMS COR and CO.
