I. PURPOSE
This exhibit defines the limits and method of compensation to be made to the Vendor for services set forth in Exhibit "A" and the method by which payments will be made.
II. ASSIGNMENT OF WORK
The Department will request Vendor services on an as-needed basis. Services to be provided under each request will be initiated and completed as directed by the Contract Manager by telephonic or email notification. A Letter of Authorization (LOA) will be issued for each project scheduled.
The Vendor shall monitor each request and notify the Contract Manager when work has been performed that equals 80% of the maximum amount of the LOA.
In no event will the Vendor perform work that will exceed that amount.
III. COMPENSATION
There is no budgetary ceiling; funds will be encumbered for each LOA.
This is a term contract for an indefinite quantity whereby the Vendor agrees to furnish services during a prescribed period of time. The specific period of time completes such a contract. The Department will authorize services based on need and availability of budget. Execution of this contract does not guarantee that the work will be authorized.
IV. ESTABLISHMENT OF LOA AMOUNT
For each LOA the Vendor, following the scope of services as set forth in Exhibit "A", shall prepare an estimate of work and price based on the rates established in Exhibit "C", and allowable expenses. Once an acceptable maximum amount has been agreed upon by the Vendor and the Contract Manager, a LOA shall be issued by the Contract Manager. The Contract Manager shall obtain fund approval for each authorization by an approved encumbrance prior to issuing the LOA. All work authorizations shall be completed within the term of this Contract.
V. PROGRESS PAYMENTS
B-2
The Vendor shall submit monthly invoices in a format acceptable to the Department. For the satisfactory performance of the services detailed in each LOA, the Vendor shall be paid up to the maximum amount of each LOA. Payment shall be made for the services provided, at the unit billing rates specified in Exhibit “C”, as approved by the Department. The contract billing rates shall include the costs of salaries, overhead, fringe benefits, operating margin, travel, labor, materials, equipment, incidental expenses, and subcontractor costs, if any.
Payment for expenses shall be made on the basis of actual allowable cost incurred as authorized and approved by the Department. Allowable costs should be task related and not include items normally associated with overhead which is part of the billable rates. Invoice shall include documentation of services provided and itemization of costs incurred (including receipts). Bills for travel expenses authorized by the terms of this contract and the Contract Manager shall be submitted in accordance with Section 112.061, Florida Statutes.

The Vendor has certified that ____% Minority Business Enterprise (MBE) utilization would be achieved for this contract. If MBE utilization was certified by the Vendor, an MBE payment certification form shall be submitted with each invoice to verify the MBE utilization.
VI. DETAILS OF UNIT RATES
Details of unit rates for the performance of the Vendor’s services set forth in Exhibit "A" are contained in Exhibit "C", attached hereto, and made a part hereof.
VII. LIQUIDATED DAMAGES
The Vendor acknowledges that failure to complete the services by the completion date designated on the contract document may cause the Department to incur damages that, at present are, and upon the occurrence of the failure to timely complete the services may be, difficult to determine. Moreover, the Parties wish to avoid lengthy and expensive litigation relating to failure to complete the services on time. Therefore, in the event the Vendor fails to complete the authorized services by the completion date designated on the contract document, the Department shall exercise the remedy of liquidated damages against the Vendor, in the amount of $100.00 per day for each calendar day after the designated
B-3 completion date that the Vendor fails to complete the services. The parties agree that if the Vendor is allowed to continue and finish the services, or any part of it, after expiration of the time allowed, the Department’s action shall in no way act as a waiver of liquidated damages due under this contract. The Department and Vendor agree that the calculation of liquidated damages is fair and reasonable and not a penalty for breach of contract.
VIII. FINANCIAL CONSEQUENCES
Reference is made to Standard Written Agreement, Section 3., Compensation and Payment.
IX. TANGIBLE PERSONAL PROPERTY
This contract does not involve the purchase of Tangible Personal Property, as defined in Section 273.02, Florida Statutes.
