About this file

This document is a Justification and Approval for Other than Full and Open Competition (JOFOC) for the U.S. Fish and Wildlife Service (FWS) to exercise Option Year One of an existing firm-fixed price lease contract (140F0822P0006) with Federal Contracts Corp. for specialized heavy equipment necessary to execute maintenance projects under the Great American Outdoors Act. The initial base year of the competitively awarded contract was $403,208.55, with two option years at the same price. FWS seeks to exercise the second option year to prevent delays in project execution, unsafe working conditions, and financial loss if the equipment is not available. The JOFOC cites the statutory authorities of only one responsible source and unusual and compelling urgency to justify the sole source exercise of the option year. The original base contract was awarded through full and open competition.

The related federal contract opportunity is a special notice indicating FWS's intent to award a sole source contract to Federal Contracts Corp. for equipment leasing services, while allowing other responsible sources to submit capabilities for future similar requirements.

Text3: This acquisition involves the lease of 3 specialized pieces of critical heavy equipment necessary for the execution of maintenance projects. The heavy equipment lease is vital to the refuge in completing Great American Outdoor Act Job Corp projects. The refuge is dependent on the heavy equipment and use it everyday. The refuge has invested significant resources in the lease of this equipment and it is critical to project accomplishment. The equipment was originally leased because the Service did not have in it's inventories the type of equipment necessary to accomplish the scope of the GAOA projects this equipment is necessary for, such as high-flow hydraulics to operate concrete crushing equipment which is a significant portion of the GAOA project at Wichita Mountains NWR. It is critical that the option to fund the second year of this lease be exercised because this will affect employee safety by not having the proper equipment to safely perform the scope of work and this will directly affect the governments ability to complete the scope of work in the prescribed time frame resulting in increased costs to government operations and unnecessary delays.
Text4: A. Only one responsible source and no other supplies or services will satisfy agency requirements

The government currently has a lease contract with the vendor for this equipment that was issued under a competitive solicitation. It would be in the best interest of the government to honor the existing contract/lease agreement as it may result in additional costs above and beyond the pre-agreed amount for the base and options. The equipment is currently in the government's possession and is being utilized to execute critical project work. Terminating the lease at this point would cause unreasonable delays in project execution and would also create unsafe working conditions as it would force staff to perform tasks with equipment that may not be suitable for the scope of work being performed. If forced to seek a new contract, this would result in a significant delay in project execution and economic loss. Based on the time to execute the current contract, it would take approximately 2 years to solicit a new contract and await new equipment, which is not feasible to government operations.

B. Unusual and compelling urgency

Per FAR 6.302-2(b)(2), "Delay in award of a contract would result in serious injury, financial or other, to the Government". It would be a huge financial loss to the Government because when the end of the contract is reached the refuge can purchase the equipment for a minimal amount per the contract. If the refuge is not able to purchase the equipment the refuge would lose a sizable amount of money that has been invested in the equipment. A delay would negatively impact the refuge and projects because projects would go unfinished and would lose the heavy equipment that the refuge is close to owning.

Text5: The original base contract with option years (140F0822P0006) was awarded as the result of a competitive public solicitation.
Text6: The original base contract with option years (140F0822P0006) was awarded as the result of a competitive public solicitation. Determination of Fair and Reasonable cost was established at the time of contract award via the competitive public solicitation process.
Text7: The original base contract with option years (140F0822P0006) was awarded as the result of a competitive public solicitation.
Text8: This request is to exercise option year one of a competitively award contract for leased equipment that the government currently has in it's possession. A government default on this lease would create an unreasonable financial burden on agency operations, project execution, and create an unsafe working environment for project staff. Funds are currently available and appropriate to exercise the option under this contract.
Text9: Original Contract with Options was awarded to Federal Contracts Corp, request that option year for the second year of the lease agreement be exercised.
Text10: The original base contract with option years (140F0822P0006) was awarded as the result of a competitive public solicitation. Future similar requirements will be solicited under competitive procedures as well.
Text2: The Wichita Mountains Wildlife Refuge (refuge) is requesting approval to exercise Option Year One of contract 140F0822P0006 with the Federal Contracts Corp., Leasing Servicing Center, Inc. National Cooperative Leasing. This firm fixed price contract was competed and awarded to fund a base year with option years for the life of the equipment lease. The initial base year total is $403,208.55 with two option years. The fixed price each year is $403,208.55 and the total including the base year and two option years is $1,209,625.65. This action was originally competed and the government entered into a lease agreement with the contractor upon award of the base year.
