Intentions of the Government
The Government is seeking a Contractor to join an existing joint Government and Contractor Team structure with a single goal of providing the most capable cost effective enterprise IT solutions, services, and environments to support the mission of the Command and associate programs and partners. This means the Government is seeking Contractor(s) that not only have the resources and experience to perform the requirements but will also bring new and innovative technical, business, and resourcing approaches to optimize the total organizational capability delivery to our customers.
The Government has completed a thorough evaluation of market research information from Naval Air Systems Command (NAVAIR), Naval Air Warfare Center Aircraft Division (NAWCAD), other Government agencies, policy guidance, existing Government Wide Acquisition Contracts (GWACs) and strategic vehicles, and the sources sought responses. In coordination with the Office of Small Business, discussions with Deputy Assistant Secretary of the Navy (Procurement) (DASN(P)) office, NAWCAD Procurement Group, and identification and consideration of potential industry and Government risks and mitigation approaches the Government has finalized their notional acquisition approach.
The following represents the Government's intended approach:
• Small Business Set Aside under North American Industry Classification System (NAICS) 518210
• Single Award Indefinite Delivery/Indefinite Quantity (IDIQ) Contract
• 5 Year Base Ordering Period
• 2 Year Optional Ordering Period
• 52.217-8 Option to Extend Services
• CLINS for Cost-Plus-Fixed-Fee (CPFF), Cost, and Fixed Price (FP)
• The solicitation will require a Security Facility Clearance level of TOP SECRET at time of proposal. The solicitation will require a SAFEGUARDING Security Clearance level for performance at the Contractor site of NONE at time of proposal.
• The solicitation will require a Defense Management Contract Agency (DCMA) approved Accounting System in accordance with DFARS 252.242- 7006.
• The solicitation will require a DCMA compliant purchasing system in accordance with DFARS 252.244-7001.
• The solicitation will NOT require the Prime contractor to be certified as a "Trusted Integrator" through the National Security Agency for Commercial for Classified Solutions.
• Draft Schedule:
• Estimated Draft RFP Posting – May 2023

Benefits of the proposed IDIQ approach
• Enables traditional Level-of-Effort (LOE) and Performance Based
Orders and encourages innovative approaches associated with both technical solutions, processes, and resourcing
• Enables use of CPFF and Fixed Price based on maturity of the “project” specific requirement
• Provides maximum flexibility with regard to contract and financial structures associated with different appropriations, customers, and business models without impacting the basic contract
• Include the ability to utilize Technical Direction Letters (TDL) at the order level
• Enables completion based activities to exceed 1 year without the use of option periods
• Allows phased transition of currently supported requirements via separate task or delivery orders to minimize transition risks
• Minimum guarantee allows us to begin re-compete at any time prior to the end of the base or optional ordering periods if desired or needed based on performance, changing organizational operations environment, changes of requirements, or Navy policy or direction regarding acquisition of these services
• Include Streamlined Ordering clause
Intentions of the Government in IDIQ utilization
The intention of the Government is to work collaboratively with the Awardee in the analysis and development of our task and delivery order approaches and make smart business decisions that provide us the greatest flexibility, fiscal traceability, and resource / cost benefits while trying to minimize the administrative burdens associated with the number of orders, types of orders, CLIN structures, and cost structures.

Intended CLIN Utilization
The Government intends to include a CPFF CLIN for LOE non-performance based labor.
The Government intends to include COST CLINs for incidental travel, materials, and other direct costs associated with the CPFF Labor CLIN.
The Government intends to include a to be determined (TBD) Fixed Price CLIN structure which will be utilized for highly defined performance or completion-based requirements inclusive of labor and materials AND Cloud Consumption Services from a variety of cloud service providers.
Labor performed under the FP CLIN structure will not count against the LOE clause limitation. Additionally, efforts under this CLIN will not subtract from the ceiling values of the CPFF or COST CLINs in execution.
The intention of the Government is to transition Cloud consumption from this FP CLIN structure over to other direct cloud consumption contracts over the life of the contract as appropriate and increase the number of fixed price performance requirements as they evolve in maturity and stability from a traditional level of effort approach.
The Government is considering including the ability to execute Firm Fixed Price (FFP) and/or Fixed Price Incentive Fee (FPIF) requirements.

The Government is considering the inclusion of the following clause:
5252.215-9505 EXCLUSIVE TEAMING ARRANGEMENTS WHICH INHIBIT COMPETITION (NAVAIR)(OCT 2005)
Offerors who propose teaming arrangements on an exclusive basis will be evaluated to determine whether such teaming agreements inhibit competition. In order for the Government to evaluate whether the proposed agreements inhibit competition, offerors are required to (1) provide a copy of all teaming arrangements, and (2) explain why the teaming arrangements do not inhibit competition. The documentation must include, but is not limited to: structure of the teaming arrangement, responsibilities, and liabilities; financial responsibility; managerial responsibility and accountability; and applicable legal documents. The burden of proving that any exclusive teaming arrangement proposed does not restrict competition shall rest with the Offeror. Offerors are advised that should the Government determine that any such proposed, exclusive teaming arrangement inhibits competition, (1) that determination may render the offeror's proposal ineligible for award, and (2) the Contracting Officer shall forward the matter to the appropriate authorities as prescribed by Federal Acquisition Regulation Part 3.3.
The Government intends to provide the following information to industry prior to the DRAFT RFP release:
• DRAFT Statement of Work
