JUSTIFICATION AND APPROVAL
TO PROCURE USING OTHER THAN FULL AND OPEN COMPETITION
Upon the basis of the following justification, I, as Contracting Officer, hereby approve the use of other than full and open competition of the proposed contractual action pursuant to the authority of 10 U.S.C. 2304(c)(1); Only one responsible source and no other supplies or services will satisfy agency requirements.
JUSTIFICATION
1. Agency and Contracting Activity:

2. Nature/Description of Action(s): This requirement is for the renewal of software maintenance of Aperture’s product Vista 500C for 277,436 sq. ft. of DISA raised floor area plus an additional 81,000 sq.
ft.. Vista 500C is an Aperture database, which contains floor plan drawings for each processing center.
The drawings identify equipment locations, equipment environmental requirements, total floor space, inventory and other pertinent information. In turn, this provides authorized users access to Aperture data via secure web interface, and to operate with the secure ESM operating environment. The period of performance is 9/1/10 thru 8/31/11.
3. Description of Supplies/Services: This acquisition is to procure VISTA Maintenance Renewal for 277,436 Sq Ft Based, Serial Numbers: VIS350009 and VISTA Maintenance 81,000 Renewal - Sq Ft Based, Serial Numbers: VIS350009. The estimated cost is $239,240.00.
4. Identification of Statutory Authority: Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C.2304(c)(1). (FAR 6.302-1/DFAR 206.302-1)
5. Demonstration of Contractor’s Unique Qualifications: Aperture Technologies Inc is the only company in the United States that can provide support for this proprietary COTS software and is currently providing licenses/maintenance under existing software maintenance contracts in DISA.
Aperture Technologies Inc owns all proprietary rights to the source code. Obtaining replacement software products from other sources would result in extensive software conversions resulting in additional costs for the Military Services and Agencies and central design activities, which have

30 June 2008/Version 1.1 developed in house applications using these COTS software products in their application systems.
Therefore, a competitive acquisition for this renewal is not feasible.
The proposed acquisition is for continuation of work currently being performed and implemented by Aperture Technologies Inc. This effort requires the vendor to provide for continued licenses/ maintenance of the proprietary software for the defined period.
6. FedBizOpps Announcement/Potential Sources: Intent to sole source will be issued in Fed Biz Ops. All interested sources will be considered and examined to see if they meet the Government requirements as set forth for the software to be purchased from Aperture.
7. Determination of Fair and Reasonable Cost: The Contract Specialist will perform price analysis prior to contract award to ensure that the price paid represents the best value to the Government.
Previous award data exists to evaluate Aperture pricing. Also an evaluation of offered prices and a determination by the ordering activity Contracting Officer will be made so that the award represents the best value (lowest cost technically acceptable).
8. Description of Market Research: The required Aperture software has proprietary features and a custom operating environment found only in this brand named software. These specific products are required to fit within the already established database infrastructure since they are the only ones that can be used to operate within the current systems.
9. Any Other Supporting Facts: Failure to renew the Aperture Technologies Vista 500C would impede the requesting sites ability to manage the best protection of applications.
10. Listing of Interested Sources:
Aperture Technologies Inc is the sole source provider.
11. Actions Taken to Remove Barriers to Competition: Follow on contracts for replacement products would be competitive even though maintenance for those products would be noncompetitive for proprietary products. The deliverables of this document will serve as the license/maintenance instrument until such time as the competitive actions specifying systems characteristics for the migration to open systems environment (OSE) is accomplished or the software is competitively replaced. While circumstances do not permit full and open competition for this acquisition, the Government will continue looking for ways to use products that are available from multiple vendors.
12. Statement of Period of Performance and/or Delivery Schedule: The requested period of performance is from 1 Sep 10 through 31 August 2011.
