SOLE SOURCE JUSTIFICATION UNDER SIMPLIFIED PROCEDURES

FOR CERTAIN COMMERCIAL ITEMS

UNDER FEDERAL ACQUISITION REGULATION (FAR) SUBPART 13.5

1. AGENCY AND CONTRACTING ACTIVITY:

2. DESCRIPTION OF ACTION: This action is for a sole source contract to acquire services from Process HVAC Solutions LLC to perform a system upgrade to migrate existing control points, logic, and graphics from an outdated control system to a modern control system, Delta V. WHS/AD proposes to issue a Firm-Fixed-Priced (FFP) contract utilizing Fiscal Year (FY) 2021 Operations and Maintenance (O&M) funding.

3. DESCRIPTION OF SUPPLIES/SERVICES: The Operations and Maintenance

Division of RRMC needs to integrate an existing, mission critical, control system into

Delta V. In order to integrate the older control points into Delta V, an upgrade is required to the existing custom designed Delta V Supervisory Control and Data

Acquisition (SCADA) system.

The proposed materials required to ensure continuity of operations include:

Provide engineering and oversite during upgrade

Provide necessary training for new integration and modifications

Provide updated drawings of integration work

4. AUTHORITY CITED: This action is under the procedures of under the procedures of

Federal Acquisition Regulation (FAR) 13.5 under the authority of:

5. REASON FOR AUTHORITY CITED: The Operations and Maintenance Division of

RRMC needs to integrate an existing, mission critical, control system into Delta V. In order to integrate the older control points into Delta V, an upgrade is required to the existing custom designed Delta V Supervisory Control and Data Acquisition (SCADA) system. The Government has determined that only Process HVAC Solutions, LLC is capable of providing the upgrade to Delta V. Previous acquisition history under contract

HQ003418C0039 indicates Process HVAC Solutions, LLC is the only authorized provider of warrantied service support for the Delta V SCADA software since Process

HVAC Solutions installed the current Emerson Delta V System.

Process HVAC Solutions, LLC was awarded the initial contract, HQ003415P0177 in

2015 to install the current Delta V system for RRMC. In 2018, Process HVAC Solutions, LLC was awarded a maintenance contract, HQ003418C0039, with one base and four option years that will expire in 2023. The services required under the maintenance contract for the Delta V system consists of regular service inspections, maintenance, replacement of parts, maintenance of instrumentation (hardware and software), software updates, and services. Subsequently, all maintenance to the system has been performed by Process HVAC Solutions, LLC as the registered service agreement holder. Therefore, Process HVAC Solutions, LLC is the only company capable of performing maintenance and services to the current Delta V system under the valid service agreement as indicated above. If services are provided by another company, the current service agreement becomes void.

6. EFFORTS TO OBTAIN COMPETITION: Market research was conducted on GSA

Advantage, Internet search, and SBA Small Business Dynamic Search tool in an effort to obtain local sources capable of providing the hardware and software required for upgrading the Delta V SCADA system. Since Process HVAC Solutions, LLC was awarded the current service contract, any work done by other companies will void the current contract and cost the government a substantial amount of additional money by voiding the service contract and leaving the mission critical control system in a vulnerable state.

7. FAIR AND REASONABLE COST DETERMINATION: The Contracting Officer determines that the anticipated prices will be fair and reasonable by using the techniques identified at FAR 15.404-1 (Proposal Analysis). The basis for this determination will be through a price analysis comparison with an Independent Government Estimate and previous prices paid to ensure award will be at fair and reasonable prices.

MARKET RESEARCH: Market research was conducted on GSA Advantage, Internet search, and SBA Small Business Dynamic Search tool in an effort to obtain local sources capable of providing the hardware and software required for upgrading the Delta V

SCADA system. Market research revealed that there are no other service providers for the Delta V system used by RRMC. Previous acquisition history under contract

HQ003418C0039 indicates Process HVAC Solutions, LLC is the only authorized provider of warrantied service support for the Delta V SCADA software since Process

HVAC Solutions installed the current Emerson Delta V System.

8. ANY OTHER FACTS SUPPORTING THE USE OF SOLE SOURCE: RRMC

currently utilizes this software and requires an upgrade and expansion of the existing software. The reason for the upgrade is to migrate existing control points, logic and graphics from an outdated control system to Delta V. The model that RRMC has been using was developed and installed by Process HVAC Solutions, LLC six years ago.

Changing the company that installs the hardware and software would be detrimental to

RRMC as it would require hundreds of hours of professional labor to re-create the model in the software package and shut down the current chilled water plant and air integration throughout the facility.

9. INTERESTED SOURCES: None available.

10. ACTIONS TO INCREASE COMPETITION: If more authorized sources become available in the future, it will be possible to conduct a competitive acquisition for these services. Finally, the market will continue to be surveyed for the potential for other authorized dealers for maintenance and support services for the Emerson Delta V to allow for competition.
