About this file

This is a data rights attachment that defines the intellectual property ownership and usage rights for an Other Transaction Agreement (OTA) related to the Modular Open Systems Approach (MOSA) Consortium Manager and Marketplace solicitation. The document establishes four primary categories of data rights: Unlimited Rights, Government Purpose Rights, Limited Rights, and Restricted Rights, each with specific definitions and conditions governing how the Government and vendors may use, disclose, or authorize use of technical data and software.

Under Unlimited Rights, the Government obtains full ownership and usage rights for data developed exclusively with Government funds, studies and analyses specified as contract elements, form-fit-function data, publicly available data, and data where the Government has obtained unlimited rights through other means or where restrictive conditions have expired. Government Purpose Rights apply to data developed with mixed funding, granting the Government use rights during a negotiable period that commences upon contract execution; after expiration, the Government obtains unlimited rights. Limited Rights restrict Government use and disclosure of data developed exclusively at private expense, permitting release only for emergency repair, to covered Government support vendors, or to foreign governments for evaluation purposes, with vendor notification required prior to disclosure. Restricted Rights apply to non-commercial computer software developed exclusively at private expense under an OTA, with vendors retaining the ability to negotiate for additional rights transfers. The agreement also establishes Government Ownership Rights for all OTA Works and OTA Data created during performance, including trained AI features and modifications to Background Technology, with the vendor assigned copyright to the Government while Background Technology brought to the agreement by either party remains excluded from Government ownership.

Upon expiration of the Government rights period, the Government has unlimited rights in the data including the right to authorize others to use the data for commercial purposes.

5. During the Government purpose rights period, the Government may not use or authorize other persons to use technical data marked with Government purpose rights legends for commercial purposes. The Government shall not release or disclose data in which it has Government purpose rights to any person, or authorize others to do so, unless—

b. The intended recipient is a Government vendor receiving access to the data for performance of a Government contract or agreement and the data is marked with restrictive legends.

The person asserting limited rights must be notified of the Government's intent to release, disclose, or authorize others to use such data prior to release or disclosure of the data except notification of an intended release, disclosure, or use for emergency repair or overhaul which shall be made as soon as practicable.

4. When the person asserting limited rights permits the Government to release, disclose, or have others use the data subject to restrictions on further use, release, or disclosure, the intended recipient must complete a non-disclosure agreement or receive the data in performance of a Government contract or agreement prior to release or disclosure of the limited rights data.
