About this file
This document is a justification for a sole-source award of a follow-on contract to Lockheed Martin for continuation of the Joint All Domain Warfighting Software program. The Defense Advanced Research Projects Agency proposes awarding Lockheed Martin a 30-month, cost-plus-fixed-fee contract valued at approximately $49 million to further develop the DIAMONDShield software. Lockheed Martin is the only organization capable of performing this follow-on work due to their existing investment of over $100 million and 18 months of effort under previous competitive contracts to adapt their software to meet program requirements. No other offers were received in response to the notice of intent to award posted on SAM.gov.

SUBJECT: Justification for Other than Full and Open Competition for the Lockheed Martin Joint All Domain Warfighting Software (JAWS) Program
JUSTIFICATION AND APPROVAL FOR
OTHER THAN FULL AND OPEN COMPETITION
SUBJECT: Justification for Other than Full and Open Competition for the System & Technology Research Joint All Domain Warfighting Software (JAWS) Program
PART 1- JUSTIFICATION
1. Agency and Contracting Activity Identification: This justification and approval for other than full and open competition is executed by the Defense Advanced Research Projects Agency (DARPA), Contracts Management Office (CMO), on behalf of DARPA’s Adaptive Capabilities Office (ACO). The resulting action, once approved hereby, will be contracted through DARPA
CMO.
2. Description of Action: DARPA proposes to enter into a sole-source, Cost Plus Fixed Fee (CPFF) follow-on contract to Lockheed Martin Aeronautics, Fort Worth, TX (Lockheed), for continuation of their Joint All Domain Warfighting Software (JAWS) program effort. The proposed sole-source project is a 30-month follow-on to Phase 1 and 2 activities performed by Lockheed under its current contract, Contract No. HR001121C0009, which was competitively awarded in January, 2021 under Broad Agency Announcement (BAA) No. HR001120S0022 (JAWS). The first two phases of the program are planned to last 30 months with a total budget of .
3. Description of Supplies or Services: The software currently used in contract HR001121C0009 is a collection of command and control tools. The primary tool is known as DIAMONDShield, which builds and manages tasking orders that provide the starting conditions, scheme of maneuver, and missions for military forces. This technology extends and modifies the Air Force’s Air Tasking Order used for planning air missions to additional military domains. The information it contains is the result of a deliberate planning process and provides the initial plan for military operations in a machine-readable form. It is used as inputs by other JAWS capabilities that monitor and adjust the plan as missions execute during the time period for which the order was prepared. The deliberative planning process is driven by data that describes the available assets, resource constraints, threat space information, and the Commander’s objectives for the next planning period. Throughout Phase 2, single users, with high-bandwidth access to all of the available data, has used the enhanced DIAMONDShield capability to produce orders.
In the follow-on effort, DIAMONDShield will need to support multiple users in a distributed environment, which will be multi-echelon, multi-region, and resilient. The Lockheed Martin software will be extended to support multiple users at a single echelon as well as relationships between echelons, work across multiple compute regions that do not have collocated storage, and handle the case when compute regions are intermittently connected. The government has developed a common data layer to manage data integration, and Lockheed Martin will be responsible for maintaining DIAMONDShield connections to the common data layer. Lockheed Martin will support the design and engineering of data transport. Each data layer instance may operate with different or may not contain the complete up-to-date data picture. Data access may be limited on per instance as well as per user basis. In order to do this, DIAMONDShield will need to process and implement constraints supplied by a distributed control plan, which will identify planning guidance, including authorities, constraints, specific courses of action, and other restrictions as a function of the ability for planning nodes to communicate and, therefore coordinate.
This will facilitate transition of the JAWS program to a Government Program of Record.
4. Statutory Authority Cited: The statutory authority permitting other than full and open competition is 10 U.S.C. 3204(a)(l), “Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements,” as implemented by the Federal Acquisition Regulation (FAR) Part 6.302-1.
5. Unique Qualification and Reason for Authority Cited: Lockheed is the only organization that can meet the requirements for this follow-on effort on the Government’s schedule.
DIAMONDShield was a mature, extant capability when the program began and it has been enhanced to support JAWS based upon program-specific requirements during program execution. Thus, the current capability is the product of a research effort, using proprietary technology, that cannot be easily or quickly reproduced. Awarding to an alternate source, were one even available, would result in a substantial duplication of time and cost to the Government that would not be recovered through full and open competition. DARPA has invested approximately $ into this effort through the first two program phases and by the end of Phase 2, Lockheed Martin will have spent roughly 18 months adapting their software to the specific requirements of the program.
6. Efforts Made to Ensure Offers are Solicited from as Many Potential Sources as Practicable: In accordance with FAR Part 5 and 6, a notice of the Government’s intent to award a sole source contract to Lockheed for the follow-on JAWS effort was posted on SAM.Gov on October 3, 2022 (Special Notice No. DARPA-SN-23-09). The sole source notice expired on October 18, 2022. No responses, written or verbal, were received in response to this notice.
In light of the above, the acquisition approach discussed herein remains the only reasonable approach for DARPA to accomplish its continued JAWS research goals, to include transition of the resulting technology.
7. Determination of Fair and Reasonable Costs: Lockheed will be required to submit a fully-qualified cost proposal for the follow-on JAWS effort. In accordance with FAR/DFARS Part 15, the Contracting Officer will utilize the appropriate proposal analysis techniques (e.g., cost realism and reasonableness assessments) to ensure that the final agreed-to price is fair and reasonable. Upon conclusion of negotiations, Lockheed will be required to submit a Certificate of Current Cost or Pricing Data. As indicated previously, DARPA CMO will negotiate the Lockheed contract.
8. Market Survey Conducted and Results or a Statement of Reasons Why Market Research was Not Conducted: A formal market survey was not conducted because the effort is a follow-on contract for continued provision of highly-specialized capabilities and services Lockheed has provided under an existing contract that was competitively awarded. Since the award, through various market research techniques in accordance with FAR 10.002, DARPA has maintained awareness of the state of technologies available from other sources within the relevant technology communities. In addition, the DARPA Program Manager and ACO Office Director have an in-depth understanding of the related JAWS technology, the capabilities of the contractor/scientific community, and of related/competing technologies currently available, and have determined that Lockheed is the only known contractor with the requisite capabilities and specialized expertise who can meet DARPA’s requirements for this follow-on effort.
9. Other Factors Supporting Use of Other Than Full and Open Competition: The JAWS follow-on effort is a one-time procurement to allow further refinement for successful transition of Lockheed’s service orchestration technology developed under the DARPA JAWS program.
10. Sources Who Expressed a Written Interest in the Acquisition: None – see Paragraph 6 above.
Actions to Remove or Overcome Barriers to Competition: DARPA ACO maintains an open office-wide BAA (DARPA BAA HR001122S0042) that, among other topics, brings to the research communities notice the fact that DARPA is interested in pursuing research regarding the development of advanced battle management technologies to enable timely complex battlefield operations across multiple services and domains, such as those being pursued under the JAWS project. To date, various proposals have been submitted to HR001122S0042, as well as previous ACO office-wide BAAs, providing DARPA with both alternative and complementary approaches to this problem set. In all cases, DARPA reviews and evaluated compliant proposals submitted to the office-wide BAA in accordance with the evaluation criteria outlined therein.
11. Delivery requirements: Lockheed’s deliverables under the follow-on effort will include monthly technical and financial reports, quarterly program review charts, quarterly software releases, monthly metrics status report, annual technical progress reports, and a final program report that documents their development history, including algorithmic approaches, tradeoff analyses, key research findings, lessons learned and transition status, and all of the software source code developed in direct support of the program.
12. Planned contract type: Cost Plus Fixed Fee (CPFF)
13. Anticipated Contract Dollar Amount: $ (over 30 months)
