About this file
This is a Justification and Approval document for a non-competitive procurement of temporary lodging services by the Deputy Assistant Secretary of the Army (Installations, Housing and Partnerships).
The Army seeks to enter into an In-License agreement with Rest Easy, LLC to provide temporary guest lodging at Joint Base San Antonio/Fort Sam Houston, Texas for a 12-month period from 11 July 2026 through 10 July 2027. The requirement supports the U.S. Army Medical Center of Excellence due to an acute and sudden unavailability of dormitory space for students beginning 11 July 2026. The In-License provides access to 960 Privatized Army Lodging (PAL) rooms on the installation, with maximum utilization of 355,200 room nights and a maximum contract cost of $59,300,000. Rest Easy, LLC is identified as the only non-governmental lodging operator providing on-post accommodations at the installation and is the only source capable of meeting the immediate requirement, as alternative solutions such as constructing additional student dormitories cannot be completed in time. The procurement is justified under 10 U.S.C. §2304(c)(1) for other than full and open competition based on unique source availability. Pricing is restricted to the applicable federal per diem plus additional occupant charges per room per night. The Army will publish the requirement on sam.gov with a 30-day public comment period per FAR 5.201. The justification was approved by David H. Dentino, Deputy Assistant Secretary of the Army (Installations, Housing, & Partnerships) on 9 July 2026.

METC 68W Guest Lodging
Justification and Approval
For Other Than Full and Open Competition
1. Contracting Activity: Deputy Assistant Secretary of the Army (Installations, Housing and Partnerships) (DASA(IH&P)).
2. Description of Action: The Army is entering into an In-License for the purpose of obtaining temporary lodging over a 12-month period, 11 July 2026 – 10 July 2027, in order to support centrally funded temporary lodging at Joint Base San Antonio (JBSA) /Fort Sam Houston (FSH), Texas.
3. Description of Supplies/Services: The In-License provides the ability for the Army to order rooms at JBSA/FSH. The In-License includes a maximum total of 960 rooms. Although demand for rooms is currently unknown, the use of the In-License over the 12-month period of performance is a maximum of 355,200 room nights and a maximum cost of $59,300,000.
4. Authority Cited: 10 U.S.C. §2304 (c)(1). Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Reason for Authority Cited:
The Department of War (DoW) has determined that lodging is needed to house students from the U.S. Army Medical Center of Excellence due to an acute and sudden unavailability of dorms. Students may begin moving out of dorms as soon as 11 July 2026. Privatized Army Lodging (PAL) at JBSA/FSH has 960 rooms available for modified use as double occupancy dorms that can accommodate the strict facility modifications and oversight requirements necessary to maintain command and control over the students. The PAL hotels are located on JBSA/FSH in San Antonio, TX in proximity to training, dining, medical and support facilities for the students.
Utilizing the In-License authority for PAL facilities will immediately provide on-post lodging to meet the need to temporarily house the students. Rest Easy, LLC is currently the only non-government lodging operator that can provide lodging on JBSA/FSH. Construction of other student dorms, if even feasible, could not be completed in time to meet lodging requirements described in this justification.
6. Efforts to Enhance Competition: The In-License has been narrowly tailored to apply only to centrally funded temporary lodging on JBSA/FSH for Guests as determined by the Department of the Army.
7. Market Research: I have verified that Rest Easy, LLC is the only non-governmental operator of on-post lodging at Joint Base San Antonio/Fort Sam Houston as described in this Justification. Thus, PAL lodging is uniquely qualified to provide the required lodging. This
In-License provides the most efficient means to acquire on-post lodging for Guests as quickly as possible.
8. Interested Sources: To date, no other sources have contacted the Army expressing an interest in providing on-post lodging for Guests at the installation. In accordance with FAR 5.201, as soon as possible the Army’s requirement will be published in the Contract Opportunities, sam.gov, with a thirty-day public comment period. Any bids or proposals received shall be considered.
9. Fair and Reasonable Cost Determination: I have determined that the anticipated cost or price to the Government for this action is fair and reasonable based on the fact that Rest Easy, LLC is restricted to charging not more than the applicable full per diem plus an additional occupant charge, as applicable, per room per night at the buildings subject to the In-License.
Approval
Based on the foregoing justification, I hereby approve the procurement of the U.S. Government Temporary In-License for Real Property for lodging of Guests on an other than full and open competition basis pursuant to the authority of 10 U.S.C. §2304(c)(1), subject to availability of funds, and provided that the services herein described have otherwise been authorized for acquisition.
I certify that this justification is accurate and complete to the best of my knowledge and information.
