14. DESCRIPTION OF AMENDMENT/MODIFICATION (Organized by UCF section headings, including solicitation/contract subject matter where feasible.)

The purpose of this amendment is to reopen the solicitation to allow offerors (and any new potential offerors) to propose up to two separate aircraft for individual service to Midway and Palmyra. The solicitation did not originally contemplate more than one contract aircraft. The Government received an offer for two aircraft in which the offered aircraft for Palmyra did not meet the solicitation's minimum aircraft requirements. The Government determined that the alternate offer was a reasonable alternative that all offerors should have an opportunity to consider.

The solicitation's Section A is amended to include two Item Requirements. Item Requirement

1 for one aircraft for both Midway and Palmyra (as originally contemplated within the solicitation); and Item Requirement 2 for two separate aircraft for Midway and Palmyra.

Solicitation No. D15PS00371 Amendment 1, May 28, 2015 U.S. Fish and Wildlife Service 6 Airplane Services for Midway Atoll and Palmyra Atoll NWRs

SCHEDULE OF SUPPLIES/SERVICES

A1 Service Requirements

U.S. Fish and Wildlife Service 7 Airplane Services for Midway Atoll and Palmyra Atoll NWRs

A1.3 Flight Guarantees, Basis for Payment of Flights, and Important Information.

A1.3.1 Flight Guarantee for Midway Atoll NWR. The Government guarantees 24 round trip flights each year under the contract for five years between Honolulu and Midway Atoll (if the Government exercises the individual option years). FWS plans to issue an annual flight schedule with round trip flights between Honolulu and Midway Atoll scheduled about every two weeks apart. The Contracting Officer will issue a task order each contract year for commercial aviation services in support of US Fish and Wildlife Service's (FWS) Midway Atoll National Wildlife Refuge (NWR). To mitigate the risk of bird strikes, night flight operations are required in and out of Midway Atoll during the seabird nesting and chick rearing period (from November through July). See the contract exhibit after Section C for additional information regarding Midway Atoll. Payment for flight services to and from Midway Atoll is based on round trip prices, not by the flight hour.

A1.3.2 No Flight Guarantee for Palmyra Atoll NWR. The Government does not guarantee any flights annually between Honolulu and Palmyra Atoll; however, the FWS usually plans for four to six round trips per year. The Contracting Officer will issue a task order each contract year for commercial aviation services in support of US Fish and Wildlife Service's (FWS) Palmyra Atoll National Wildlife Refuge (NWR). Round trip flights to Palmyra Atoll are intermittent but usually scheduled several months in advance.

Aircraft landings and takeoffs at Palmyra Atoll shall be conducted during daylight hours. Payment for flight services to and from Palmyra Atoll is by the flight hour.

A1.3.3 The Nature Conservancy (TNC) is a FWS cooperator at Palmyra Atoll NWR. TNC will usually enter into its own agreement with the Contractor for round trip flight services between Palmyra Atoll and Honolulu. Because the aircraft will be inspected and carded by the DOI's Office of Aviation Services, this allows for FWS passengers on TNC's flights. TNC's annual payload transportation needs are approximately 45,000 pounds (consisting of passengers, baggage, and cargo). Offeror's are highly encouraged to contact David E. Sellers, Interim Director - Palmyra Program, The Nature Conservancy of Hawai’i, 923 Nuuanu Ave, Honolulu, HI, 96817, Work 808-587-6213, Cell 808-554-8006, email: dsellers@tnc.org. TNC has limited jet fuel for sale on Palmyra.

See the contract exhibit after Section C for additional information regarding Palmyra Atoll.

A1.3.4 Miscellaneous Task Orders. The Contracting Officer may issue individual task orders for additional commercial aviation services to Midway, Palmyra, or other Pacific locations for FWS and other government agencies (i.e. The National Oceanic and Atmospheric Administration (NOAA), Federal Aviation Administration (FAA), etc.). See C26.5 regarding overnight/overday stays.

A1.3.5 Midway Temporary Aircraft. The Government acknowledges that offerors may have to locate and/or modify an aircraft that will be capable meeting the target payload amount and be capable of transporting up to 19 passengers that it does not currently have on the aircraft listing under its Federal Aviation Administration (FAA) operations specifications. If necessary, the Contractor may propose a temporary aircraft while a permanent contract aircraft is being prepared; however, the temporary aircraft must have at least 12 passenger seats, payload capability of at least 3,400 pounds, comply with the other minimum aircraft requirements stated in the Item Requirement 1 or 2, and be equipped in accordance with Section B.

A5 Funding for Task Orders and Contract's Minimum Guarantee

A5.1 Funding will not be obligated under the Indefinite-Delivery Indefinite-Quantity (IDIQ) contract. Instead, the Contracting Officer will issue individual task orders for Midway Atoll and Palmyra Atoll for each contract year covered under the contract. Each task order will obligate funding for the payment of aircraft services to Midway Atoll or Palmyra Atoll. The Contracting Officer may have to issue other funded task orders for the special needs of the Government. Only an Interior Business Center (IBC) Contracting Officer can issue task orders under this contract.

A5.2 The Minimum Guarantee under the contract, as required by contract clause 52.216-22, is the total amount for the guaranteed round trips to Midway Atoll under the first year’s task order; however, the minimum guaranteed quantity is subject to reductions due to unavailability (see C25, Unavailability and Damages). No other quantities in the schedule are subject to the minimum guarantee terms of 52.216-22 (see C6A).

A6 Aviation Fuel Information

IMPORTANT NOTICE: The round trip prices and the hourly flight rates you propose are subject to adjustment, up or down, due to the fluctuation in jet fuel price at the location referenced below. It is important for you to understand the ramifications of the contract's Economic Price Adjustment clause (see C19). The referenced price below should be considered when developing the round trip and hourly flight rates offered in your proposal. If the price per gallon for jet fuel drops significantly, the Government is entitled to a downward adjustment to the round trip prices and the hourly flight rates based upon the change in fuel price per gallon and the economic cruise speed and fuel consumption of the contract aircraft. The contractor agrees to negotiate price adjustments, up or down, based upon its aircraft fuel consumption information and the current price of fuel at the time the adjustment is requested by either party.

FOR GOVERNMENT USE ONLY – DO NOT WRITE IN THIS AREA

The Contracting Officer will complete at time of award and again if fuel adjustments are made.

A6.1 FWS/TNC Provided Jet Fuel. Fuel resupply into Midway and Palmyra is extremely limited. If a contract aircraft has a requirement for fuel for the return flight to Honolulu, jet fuel may be available for purchase on Midway Atoll from the FWS at $15.00/gallon and on Palmyra Atoll from The Nature Conservancy (TNC) at $15.00/gallon. See paragraph B25.1.1. The contract rates in the schedule, both round trip and hourly, for providing commercial aviation services are wet rates and include all fuel costs.

The contractor will not be reimbursed for aviation fuel purchases, including purchases from FWS or TNC.
