ADDENDUM 52.212-1
INSTRUCTIONS TO QUOTERS - Commercial Products and Commercial Services.
GENERAL INTENTION: Marine Corps Installations – National Capital Region (MCI-NCR) has a commercial requirement for professional artifact conservation services. In accordance with FAR Part 12 and FAR Part 13, the MCI-NCR Regional Contracting Office is issuing a commercial solicitation for the acquisition of such services. Required specifications are listed in the Schedule of Supplies/Services within this solicitation.
VENDOR QUESTIONS: Any questions about this RFQ must be submitted via email to Molly Henderson at molly.henderson@usmc.mil no later than 11:00 a.m. Eastern Time on Monday, July 08, 2024. No further questions will be accepted after this deadline. Any resultant amendment from Q&A will be posted with all Q&As. At this time, there is no planned site visit during the solicitation period.
CUSTOMER: National Museum of the Marine Corps (NMMC)
PROCUREMENT APPROACH: The Contractor’s quoted item descriptions shall reflect the characteristics and level of quality that will satisfy the Government’s need as described in the Schedule of Supplies/Services and the Performance Work Statement (PWS). A single firm-fixed price award will be issued and it is the Government’s intent to award on an “all-or-none” basis to satisfy this requirement. The Government reserves the right to issue no award at all resulting from this solicitation.
This is a notice that this order is a total set aside for small business concerns. Only quotes submitted by small business concerns will be accepted by the Government. Any quote that is submitted by a contractor that is not a small business will not be considered for award.
PAYMENT TERMS: NET 30. Invoices must be submitted via the Wide Area Workflow (WAWF) in accordance with DFARS 252.232-7006 which is included in this solicitation.
REQUIRED PERIOD OF PERFORMANCE: The Government intends to award an Indefinite Delivery Indefinite Quantity contract (IDIQ) for this requirement with a 5-year ordering period during which individual task orders may be issued/awarded under the master IDIQ contract. The ordering period for the base year shall begin upon the date of contract award.
TECHNICAL COMPLIANCE: To ensure technical compliance:
1. To ensure technical compliance the quoter must clearly demonstrate that they can meet the solicitation requirements. A mere statement that the quoter will meet the Government’s requirement is NOT sufficient.
1. Quotes should clearly state whether the quoter can meet the requested period of performance. Vendors who cannot meet the required period of performance will not be considered technically acceptable.
SUBMISSION OF QUOTES: Quotes shall be submitted no later than the time and date specified on Block 8 of page 1 of the SF1449 solicitation. Quotes shall be submitted via email to Molly Henderson at molly.henderson@usmc.mil. Vendors are responsible for ensuring their quotes have been received by the date and time specified in Block 8 on Page 1 of this solicitation. Delivery delays that cause a quote to be late are not the responsibility of the Government agency.
ADDENDUM 52.212-2
EVALUATION – Commercial Products and Commercial Services.
EVALUATION.
The provision at 52.212-2, Evaluation - Commercial Products and Commercial Services, applies to this acquisition as follows:
(a) The Government will award a contract resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation will be most advantageous to the Government.
(a)(1) The basis for award is PRICE AND OTHER FACTORS per FAR 13.106-1(a)(2).
(a)(2) Evaluation procedures per FAR 13.106-2(b)
All quotations will be ranked in order of lowest price to highest price. The following factors shall be used to evaluate Quotes:
1. Conforming to all matters with respect to the solicitation:
Quotes must clearly demonstrate the quoted items meet or exceed the extended description of supplies/services; must address each general and performance requirement with respect to the Performance Work Statement (PWS); must specify period of performance; and must meet all the terms and conditions of the solicitation.
1. Past Performance:
The apparent successful, prospective contractor shall have neutral to satisfactory past performance. Past Performance shall be evaluated in accordance with FAR 13.106-2(b)(3)(ii) and DFARS Subpart 204.76.
1. Price:
The quoter shall complete and submit Attachment 1: Pricing Table with their quote submission. The quoter’s completed pricing table will be evaluated. The Government will evaluate the average total price for each billable task across the total 5-year ordering period. In accordance with FAR 13.106-3(a), before making the award, the Contracting Officer will determine that the apparent successful, prospective contractor proposed price is fair and reasonable.
Completeness and Accuracy: The Government will review the quotes for completeness and accuracy. A determination will be made as to whether the Quoter properly completed the pricing tables. The Quoter’s quote will be checked for mathematical correctness to include the following:
1) Checking arithmetic in all computations; and
2) Ensuring all prices are summarized correctly; and
3) All prices quoted are no more than two decimal spaces.
The Government intends to evaluate quotes and award a contract without discussions with vendors. Vendors should not expect requests for clarification or additional information from the Government. Award will be based on the initial evaluation of quotes received in response to the solicitation. Therefore, quoters are cautioned that their initial quotes should contain their best terms from a technical and price standpoint. However, the Government reserves the right to conduct discussions with vendors if later determined by the Contracting Officer to be necessary. The Government may reject any or all quotes if such action is in the public interest; and may waive informalities and minor irregularities in quotes received.

ARTIFACT CONSERVATION SERVICES
NATIONAL MUSEUM OF THE MARINE CORPS (NMMC)
1. Background The National Museum of the Marine Corps (NMMC) acquires, stores, preserves and exhibits the material history representing Marine Corps’ history from 1775 to the present. As part of its mission, the NMMC is tasked with collections stewardship responsibilities to provide professional expertise for all museum artifacts and works of art within the collection located throughout all Marine Corps facilities.
The NMMC curators continually identify museum artifacts that require either conservation and/or stabilization treatment, as needed, to ensure they are managed and maintained in perpetuity. Museum artifacts that are conserved or stabilized may require custom storage boxes, trays, and/or supporting mounts made for the artifacts in preparation for storage and/or display.
1. Scope This requirement is for professional conservation services for artifacts within the NMMC collection. The conservation services required include assessment, treatment, and the fabrication of custom storage boxes, trays, and supporting storage mounts for artifacts, to include a final treatment report and photography of each artifact. See Performance Requirements listed below.
The Government intends to award an Indefinite Delivery Indefinite Quantity (IDIQ) contract for this requirement with a 5-year ordering period during which individual Task Orders may be issued/awarded under the master IDIQ contract. The Contractor shall perform services as identified in each Task Order.
1. Performance Requirements
2. Tasks: The Contractor shall provide all materials, equipment, and supplies necessary to fully carry out the following Performance Requirements for each Task Order issued. Upon completion of Performance Requirements for each Task Order, the Contractor shall notify the NMMC for final inspection and acceptance of services.
0. Intake Meeting and Site Visit to NMMC Museum Support Facility (MSF): The Contractor shall be available for an intake meeting within twenty-five (25) days of contract award and to review artifacts requiring conservation on the first Task Order. The intake meeting and review of artifacts may be completed in a single visit. Meeting and site visit will be coordinated directly with the Government Technical Point of Contact (TPOC) and take place at the NMMC MSF.
0. Conservation Assessment(s)
1. The Contractor shall provide conservation assessments with potential options for conservation and stabilization of artifacts.
0. Conservation assessment shall include inspection, analysis, and evaluation of each artifact to determine conservation needs, recommend intervention techniques and treatment solution(s).
0. The Contractor may be required to inspect, examine, and evaluate artifacts that have had past conservation treatment to determine if the artifact is still stable and sound or if further conservation and/or stabilization treatment is required. This will allow the NMMC to ensure the artifact is stable if it is scheduled to be placed on exhibit. If treatment is required, the Contractor shall prepare an assessment recommending conservation treatment to complete the necessary work per the direction of the TPOC and/or subject matter expert.
1. Conservation assessments shall be reviewed and approved by the TPOC.
1. Conservation Assessment shall be reviewed, discussed, and approved by the TPOC and/or subject matter expert(s) within ten (10) working days after assessment is received from the Contractor.
1. Conservation shall not begin until approval is provided to the Contractor by the TPOC, where applicable.
1. Conservation assessments and/or stabilization of artifacts may include, but are not limited to, the following procedures:
2. Cleaning
2. Removal of dirt, debris, grease, corrosion, verdigris, adhesives, old lacquer
2. Stabilization of existing parts or artifact finishes
2. Reintegrate areas of loss
2. Wax and buff surfaces or apply new lacquer to artifact surfaces
1. Conservation assessment for individual artifacts detailing the condition of the artifact shall include the following information:

3. Artifact name/nomenclature
3. Measurements
3. Artifact description and condition
3. Recommended conservation treatment(s)
3. Length of time for work to be completed
3. The Contractor shall provide firm-fixed pricing for all conservation services required. If more than one treatment option is proposed in the conservation assessment, the Contractor shall provide pricing for each. Any proposed conservation services shall not exceed quoted pricing for billable tasks in the Pricing Table due to the firm-fixed price (FFP) nature of the contract.
3. Specialized needs of the artifact that should be considered to include housing, proper mounts, etc., and proposal for creation of mounts for storage, boxes, and/or trays for support and safe handling of artifacts.
1. The assessment shall follow the standards as determined by the American Institute for Conservation of Historic and Artistic Works (AIC).
0. Conservation Treatment
2. The Contractor may be required to perform a variety of conservation processes for various types of materials depending on the condition of the artifacts to be conserved and/or stabilized.
0. The estimated number of artifacts that the NMMC will have conserved in any contract year will vary and may range from 25 – 70 in any year.
2. All conservation treatment processes must be approved by the TPOC and/or subject matter expert(s) prior to beginning conservation treatment. Conservation processes may include, but are not limited to the following:
1. Remove old stickers, labels, markings, old artifact identification tags, tape, unusual residues, and other materials that are not part of the original artifact.
1. Remove previously applied artifact catalog numbers and reapply the artifact catalog numbers on the artifact(s) if the numbers were required to be removed during conservation.
1. Stabilize and/or consolidate flaking or unstable paints applied to artifact surfaces; clean and stabilize painted designs where and when necessary. Clean and preserve painted designs on artifact surfaces, minimizing change and maintaining the integrity of the artifact.
1. Reintegrate areas of loss. Replicate and/or procure for the correct period and style parts or materials to replace or reintegrate areas of loss within an artifact/
1. For medals, ribbon bars or other artifacts with a textile component, treatment may occasionally involve working in conjunction with the NMMC’s contracted textile conservator to complete any necessary treatment required.
1. All elements separated from the artifacts and unable to be reattached shall be properly labeled with the artifact name and catalog number and returned to the TPOC in a proper storage container.
2. Provide a final treatment report for each artifact to include the following information:

2. Detail of new condition and conservation treatment(s) performed
4. The treatment report shall include any conservation treatment applied and the steps taken to achieve the new condition. The report shall include any previous repairs or restorations discovered during the treatment process.

5. Photo documentation with before, during, and after images for each artifact after the work is approved by the TPOC and when conservation is complete.
5. Artifacts shall be photographed from all sides with detailed photographs of areas of damage or instability and completed conservation treatment to include previous treatments, repairs, and construction techniques prior to conservation.
5. Photographs will be included within the body of the conservation treatment report and provided as separate images.
2. Fabrication details of any mounts created for artifacts
0. Fabrication of Custom Storage Boxes, Mounts, and/or other applicable storage supports
3. The Contractor may be required to provide custom storage boxes, storage mounts, supports, envelopes, trays, and/or frames for artifacts to prepare them to be safely stored and/or exhibited.
3. Artifacts may require some level of mount and/or framing using fabrics and materials appropriate and safe for display with each individual artifact. When specified, acid-free storage containers, trays, packaging, and/or mounts may be required to be made for safe storage, handling and/or display of artifacts. Storage containers and mounts to be designed shall be done in consultation with the TPOC and/or subject matter experts to ensure they meet the needs and requirements of each individual artifact. Original storage containers and mounts shall be returned to the TPOC and/or subject matter expert properly labeled with catalog number and artifact name.
3. All elements separated from the artifact and unable to be reattached shall be properly labeled with the artifact catalog number and name and returned to the TPOC in a proper storage container and/or properly placed for storage with the custom storage box made for artifact, per the direction of the TPOC and/or subject matter expert.
1. Applicable Information and/or Documents
3. Government Technical Point of Contact (TPOC): TPOC contact information to be provided at time of contract award.
0. The TPOC shall provide background material and information on artifacts, the possible exhibition and/or storage of artifacts to the Contractor, as applicable, for the artifacts requiring conservation. In some cases, there is limited historical data available that shall be provided upon request of the Contractor.
0. The TPOC may be assisted by multiple subject matter experts. The subject matter experts shall provide technical guidance and clarification in the absence of the TPOC.
0. The TPOC and/or subject matter experts shall review and approve all work. All work that does not meet the TPOC’s approval shall be rejected and reworked according to the TPOC and/or subject matter expert direction.
0. The TPOC shall have ten (10) working days to respond to the Contractor requests for information, proposals, or queries by either phone or email.
0. The TPOC may visit the Contractor’s conservation facility no less than two (2) times over the course of the contract. Each visit shall be coordinated with the Contractor.
0. The TPOC shall host initial progress meetings, generally in person or via telephone/teleconference call. Schedule, frequency, and duration are to be determined.
0. The final inspection and acceptance shall take place upon completion of conservation treatment on the agreed upon artifacts and accepted by the TPOC according to the accepted conservation treatment.
3. Period of Performance / Ordering Period: The Government intends to award an Indefinite Delivery Indefinite Quantity contract (IDIQ) for this requirement with a 5-year ordering period during which individual task orders may be issued/awarded under the master IDIQ contract. The ordering period for the base year shall begin upon the date of contract award.
3. Place of Performance:
2. The Contractor may assess artifact(s) onsite at the NMMC Museum Support Facility (MSF) or at their conservation facility. The Contractor may be required to visit other Marine Corps facilities, as directed by the TPOC, to examine artifacts on display.
2. The Contractor shall perform all conservation treatment required at their conservation facility, with the exception of artifacts that cannot be moved or transported to the Contractor’s facilities due to fragile condition, weight, or size of artifact.
1. The Contractor shall be able to perform conservation treatment on site at the NMMC and/or MSF for artifacts that cannot be easily moved or transported to the Contractor’s conservation facility due to fragile condition, weight, or size of artifact.
2. In coordination with the Contractor, the NMMC may provide transportation services for artifacts to and from the Contractor’s conservation facility. The Contractor must also be able to provide safe and secure transportation and/or in some cases, schedule fine art transportation/shipping for all artifacts that are transportable, to and from the designated NMMC location and their conservation facility, as required. The Contractor will need to coordinate transportation of NMMC artifacts with the TPOC who must approve all shipping methods utilized to and from the designated NMMC location. The Contractor shall comply with all shipping and hauling requirements of the Commonwealth of Virginia, the USMC, and all other associated authorities. All deliveries shall be coordinated with the TPOC.
2. The Contractor must be able to receive artifacts and have a secure location in which they can be received safely and free of environmental hazards.
2. The Contractor shall be responsible for their transportation to and from any NMMC facility unless otherwise agreed upon with the TPOC.

3. Government Property: The Government shall provide any artifact requiring conservation services under this contract to the Contractor. The artifact(s) provided by the NMMC under this contract are considered Government property. Once the conservation assessment is received and approved by the TPOC, the NMMC shall provide the artifact(s) to the Contractor for conservation work. Upon transfer and return of the artifact(s) to and from the NMMC, artifact transfer documentation is required for NMMC records and accountability.

3. Hours of Operation: The Contractor must be available to work during normal work hours in coordination with the TPOC, from 8:00 a.m. - 4:30 p.m., Monday through Friday, except on U.S. Federal Holidays. Visit Federal Holidays (opm.gov) to view the applicable listing of U.S. Federal Holidays.
3. Contractor Personnel / Qualifications:
7. The Contractor shall adhere to the professional standards set forth in the American Institute for Conservation of Historic and Artistic (AIC) Works Code of Ethics and Guidelines for Practice.
7. The Contractor shall provide a Certificate of Insurance to ensure proper insurance coverage of a minimum of $500,000, as determined by the TPOC while in transport to and from the conservation facility and during the conservation process.
7. The Contractor’s conservation facilities shall provide the appropriate climate and humidity controls in place providing a stable environment for Museum property meeting the following requirements: 50-60% relative humidity and 68-72 degrees temperature Fahrenheit with plus or minus 5% fluctuation.
3. Travel:
8. The Government intends to award a Firm-Fixed Price (FFP) contract type. The Contractor is responsible for all travel/per diem related expenses required to perform this contract. Any anticipated travel costs in the performance of this contract shall be included as part of the quoted rate(s). Any travel matters associated with the performance of this contract are the sole responsibility of the Contractor. The Government shall not have any financial responsibility other than paying for the FFP on each line item.
3. Government Facility Access: The Contractor must possess a current valid state driver’s license and/or form of government approved official identification containing a personal photograph. The identification is required for security purposes to access active military installations.

TASK ORDER EXAMPLE
DRAFT Task Order 1: NMMC Artifact Conservation Services Year 1 of Ordering Period under IDIQ contract M00264-24-D-XXXX
All Terms and Conditions of the master IDIQ contract and its Performance Work Statement (PWS) are hereby incorporated and applicable to this Task Order.
1. Purpose: The purpose of this task order is to conserve the fifteen (15) artifacts identified and provide all necessary pre- and post-treatment documentation in accordance with the PWS. Conservation services for the 15 artifacts identified herein includes the possible creation of any artifact storage mounts and specialized storage containers. This task order will also provide Conservation Assessments for up to twenty (20) additional artifacts to be determined by NMMC staff.
1. Tasks:
1. Intake Meeting and Site Visit to NMMC MSF
0. The Contractor will complete an intake meeting with the TPOC within twenty-five (25) days of Task Order award and review artifacts requiring conservation listed on the Task Order, if required. The intake meeting and review of artifacts may be completed in a single visit. Meeting and site visit will be coordinated directly with the TPOC and take place at the NMMC Museum Support Facility (MSF).
1. Conservation Assessments and Conservation Treatment
1. The fifteen (15) artifacts associated with this task order are listed as a single group of fifteen (15) artifacts. A brief description of each artifact’s current condition, a brief description on conservation needs, and whether the artifact requires the creation of a mount and/or specialized storage container is provided in the below charts.
1. One group of artifacts will be transferred to the Contractor at a time in accordance with the Artifacts List below, and each group has a set period of performance for all tasks to be completed for that group of fifteen (15) artifacts.
1. In accordance with the PWS, the Contractor shall:
2. Provide a conservation assessment for the fifteen (15) artifacts identified in this task order.
2. Provide conservation treatment for the fifteen (15) artifacts identified in this task order per the agreed upon treatments identified in the conservation assessments.
2. Provide a final conservation treatment report for the artifacts upon completion of conservation treatment. The final treatment report shall provide all required information in accordance with Section 3.1.3.c of the PWS.
1. Provide Conservation Assessments for Planning Purposes
2. In accordance with the PWS, the Contractor shall:
0. Assess the conservation needs of up to twenty (20) artifacts for the purpose of planning future conservation projects.
0. Provide a conservation assessment for up to twenty (20) artifacts to the Technical Point of Contact (TPOC).
0. The TPOC will schedule a site visit with the Contractor to review no more than twenty (20) artifacts for the purpose of assessing conservation needs and planning of future conservation treatment projects. The Contractor shall submit the Conservation Assessments to the TPOC within four (4) weeks after the completion of a site visit.
1. Period of Performance:
2. Conservation Assessments and Treatment for 15 artifacts: All artifacts identified herein are to be conserved and returned to NMMC within twelve (12) weeks of original transfer to Contractor. If the artifacts in the single group were broken down into smaller groupings, upon return of the first group of conserved artifacts to NMMC, the second group will be transferred to the Contractor, starting the next twelve (12) week period of performance for assessment, conservation treatment and final treatment report.
2. Conservation Assessments for Planning Purposes, up to 20 artifacts: Submit Conservation Assessment to TPOC for review within four (4) weeks after reviewing the artifacts on site at the NMMC storage facility. Conservation Assessments will be reviewed, discussed, and approved by the TPOC and subject matter experts within ten (10) working days after receipt of Conservation Assessments. Conservation work on these artifacts may be assigned at a later date.
1. Artifact List:
Conserve the following artifacts according to the Conservation Assessment and proposed treatments as agreed to and approved by the TPOC. The artifacts are prioritized based on NMMC needs for exhibition and Periods of Performance are identified for the group. The group can be broken down into smaller groupings in coordination with the TPOC but will be transferred to the Contractor in this order:

| The humidor is a wood box with a hinged lid. There are abrasions to the wood varnish layer along the sides of the lid, the back panel, and minor scuffs on the front panel. The front left corner of the felt is damaged, maybe due to insect damage. The silver plaque is tarnished, the NMMC would like the silver plaque to be polished lightly and coated with lacquer. The humidor should be cleaned throughout to remove dust and debris on the interior and on the side, panels holding pipes. |

| Silver cigarette case with repousse dragon design and initials on the front. The exterior surfaces are dark with heavy oxidation. There are minor scratches on the silver surface from use. The interior is less oxidized but has discoloration from tarnish as well. The elastic band is no longer flexible and is stretched out. | The object is a relic cross made of two pieces of wood which are now separated. The surface has a white-wash powdery surface appearance. One cross- piece has a painted inscription in black “Robert W. Hillard.” Tall piece of cross has numbers in black above and below the cross-piece junction. The cross is a relic and is in very poor condition. There is dirt & debris in the wood graining, on the surface, and insect webs and debris on the reverse of the upright piece. The bottom of the upright piece has rotted and is fragmentary. The surface paint and dirt are actively falling from the surface into the wrapping material. The edges on all the wood are soft from exposure. There is staining on the wood, some of which is obscuring the writing. There are two detached fragments of wood saved in a plastic bag in the packing. The object is fragile and there is no connection between the two pieces of wood. For exhibition purposes the Museum would like the loose material in the recesses, particularly the insect debris on the reverse of the upright plank removed, and the paint layer consolidated to prevent active flaking of debris. |

The silver elements are tarnished/oxidized to various degrees with considerable patchiness to the tarnish. All adhesive residues along the cap piece need to be removed, the spotty tarnish on the silver elements should be evened out. The cleaned silver should be coated with lacquer to retard further tarnishing. General cleaning with solvent to remove any dirt or grime on the surface. |

There is additional staining on the ribbon. Removal and minimization of corrosion on upper left side of reverse of medal to allow the inscription to be more legible. Adhesive residues on ribbon removed. Any additional work on ribbon may need to be provided by NMMC contracted textile conservator. |

There are remaining areas of gold coloration in the recesses of the design on the obverse of the medal. There is spot of corrosion on the lower right of the central design which is dark with a green corrosion spot in the center of the dark corrosion. Museum needs to have ribbon relaxed and flattened and the spot of corrosion on the obverse side of the medal reduced. Medal to be cleaned and coated with microcrystalline wax. |

The anchor mount tends to become detached from the loops. Require the medal’s ribbon to be relaxed and flattened and all metal parts should be cleaned with mineral spirits and coated with microcrystalline wax.

Archival head form fitted to dimensions of the sun helmet to hold the cork in position and prevent further physical damage. |

CLAUSES INCORPORATED BY FULL TEXT
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (MAY 2024) ALTERNATE I (FEB 2024)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.
"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
"Sensitive technology"--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
"Service-disabled veteran-owned small business (SDVOSB) concern" means a small business concern--
(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or
(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart 19.14).
(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary Identification and Records Locator Subsystem, or successor system that is maintained by the Department of Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.
