About this file

This document is an amendment to a justification and approval for a sole source contract award. The amendment modifies the original contract from firm-fixed price to add a cost reimbursement contract line item number to cover unforeseen emergency costs such as repairs to hatchery ponds, gates and equipment. Examples of items eligible for reimbursement against the cost line item include those partially allocable to the contract that cannot be pre-priced but are necessary to prevent fish loss. The process for approval and payment of cost items requires verification of need by the contracting officer's representative, determination of fair and reasonable pricing by the contracting officer, and addition of the item and funding as a cost line item allowing the contractor to invoice for payment. The original sole source justification was for the Department of the Army Corps of Engineers Portland District to award an annual contract to Ringold Springs Hatchery for the release of fall Chinook smolts and associated monitoring and evaluation activities.

AMENDMENT #1

Justification and Approval (J&A) Control # DAL 20-5186

$1.8M Fall Chinook Ringold Springs Hatchery Portland District

21 April 2020

The previously approved subject J&A (16 Jan 2020) is amended as follows:

Page 2, paragraph 2:

The type of contract is amended from a firm fix price to add a cost reimbursement (CR) contract line item number (CLIN). The purpose of the CR CLIN is to add items that cannot be identified and pre-priced, but needed to execute the contract, on an emergency basis to prevent fish loss. Examples of such items include hatchery ponds, gates, and equipment that would be partially allocable to the awarded contract.

The CR CLIN will be funded and executed with a not to exceed amount in accordance with FAR clause 52.232-22, Limitations of Funds.

The process for awarding an item against the CR CLIN is as follows:

- During performance, should any costs the contractor incurs be submitted for reimbursement without an advance agreement, the KO will review in accordance with the principles outlined above in the PWS. With respect to reasonableness specifically, the KO will review costs for reasonableness under the standards set forth in 2 C.F.R. § 200.404, and likely will rely most heavily on research regarding market prices, as outlined in 2 C.F.R. § 200.404(c). Any costs not initially determined reasonable would be negotiated.

- The requirement and receipt for the cost item will be verified/validated by the COR.

- The price will be determined to be fair and reasonable by the contracting officer.

- The item and funding will be added as a cost CLIN and the contractor will be allowed to invoice for payment.
