Continuing Coastal Engineering Services

The original Request for Qualification shall remain in full force and effect, except as modified herein, which shall take precedence over any contrary provisions in the prior documents.

SECTION I: REVISED DUE DATE

Please note that the due date for this solicitation has changed. Please see below for the revised due date.

SECTION II: QUESTIONS

• Question 1: The Proposal Requirements state the proposal shall be limited to fifty pages not including the required forms or tabs. Please confirm that the title page and table of contents are also excluded from the 50-page limit.

Answer: The title page and table of contents are not included in the page count. Please refer to Addendum 1. The page limit has been increased to seventy-five (75) pages.

• Question 2: Are we required to submit a Local Vendor Preference Affidavit if it is not applicable to our firm? Is it acceptable to include a statement that this factor does not apply?

Answer: No. If the form is not applicable, do not submit it. No additional statements are required.

• Question 3: Can we use our official letter of signing authority in place of the Corporate Resolution Form?

Answer: Yes, if the letter is executed by an officer listed on Sunbiz.org.

• Question 4: Will the City allow a Letter of Interest to be included in the submittal response, and not be included in the page count?

Answer: Yes.

• Question 5: Section 6 References notes that “In determining which projects are more related, consider related size and complexity.” Can the City provide a list of anticipated projects in the near term so that we can properly demonstrate the most relevant projects in similar size and complexity?

Answer: We do not have a list of anticipated projects as this is an open-ended contract. However, here are a few recent projects.

o Professional Design Services for Main Street Park and Boat Ramp (permitting, design, and engineering for dredging solutions) o Submerged land lease expansions o Shoreline Stabilization - Swing Bench Park o Working waterfront expansion (permitting, design, and engineering for additional dock and berthing for commercial fishing vessels)

• Question 6: Can the City define what they are looking for in Section 6 References d. vi. “Size of project?”

Answer: The City is looking for a description of the effort required to complete the project, including a brief overview of its scope, duration, resources, complexity, and impact.

• Question 7: Upon reviewing the revised solicitation document and Addendum 1, we have a follow up question to ask:

Addendum 1 Question 5 removes Section 3.8.1(J) from the Compliance Checklist. We note in the Solicitation Document Section 2.4 (pages 8-9 in the revised solicitation document), the City requires contractors provide proof of meeting minimum qualifications. It states “a. Copies of documentation demonstrating meeting this minimum requirement shall be submitted with your response. Examples of documentation may include, but are not limited to, local business tax receipts for five (5) years, corporation documents with date of inception, certificate of authority, etcetera.” , which could consume multiple pages within the 50-page limit.

Can the City confirm whether this documentation may be submitted outside the page-limited sections (e.g., as part of the Compliance Checklist), or alternatively, whether a statement within the Section 2 narrative confirming compliance will satisfy this requirement?

Answer: Please refer to Section III of Addendum 2.

• Question 8: Can you please confirm that the title page, divider pages and TOC do not count to the 75 page limit?

Answer: Correct, the title page, divider pages, and table of contents do not count toward the page limit.

• Question 9: Under Evaluation Criteria the RFQ states that there is five additional points for

MBE/WBE/DBE business. Is this scoring still applicable given USDOT Interim Final Rule (IFR) regarding DBE/MBE guidance issued October 3, 2025. DOT grant recipients may not set DBE contract goals until the applicable state's UCP recertification is complete. Will an amendment to this RFQ be issued to address the DOT's IRF and guidance on this topic?

Answer: To clarify, none of the projects completed under this RFQ will be funded by FDOT.

Additionally, as stated in the solicitation, the points are only applied in the event of a tie among the highest-ranked firms; they are not automatically granted.

• Question 10: Our firm maintains a letter signed by our Corporate Secretary and approved by our Board of Directors that identifies all individuals who are not listed on Sunbiz.org but who have Full Contract Signing Authority. This document serves as our Corporate Resolution. May we submit our letter lieu of the form titled “CORPORATE RESOLUTION”?

• Question 11: As currently worded, we believe that the indemnity provision (section 19.1, located on pages 15 and 16) of your sample Non-Exclusive Professional Services Agreement contract is not in compliance with FL Statute 725.08 and is unenforceable. Would the City consider rewording same to conform with the statute? Suggested language per FL Statutes 725.08: “The design professional shall indemnify and hold harmless the City, and its officers and employees, from liabilities, damages, losses, and costs, including, but not limited to, reasonable attorneys' fees, to the extent caused by the negligence, recklessness, or intentionally wrongful conduct of the design professional and other persons employed or utilized by the design professional in the performance of the contract.”

Answer: No. The indemnity language on pages 15 and 16 complies with Florida statutes. Our language requires the contractor and subcontractors to indemnify and hold the city harmless. By indemnifying and holding the City harmless, the contractor and subcontractors are defending the City from third-party claims relating to damage, loss, injuries, etc.

• Question 12: Our firm maintains a letter signed by our Corporate Secretary and approved by our Board of Directors that identifies all individuals who are not listed on Sunbiz.org but who have Full Contract Signing Authority. This document serves as our Corporate Resolution. May we submit our letter lieu of the form titled “CORPORATE RESOLUTION”?

• Question 13: Would the City please remove any reference to liquidated damages? We believe they are not applicable to the services of design professionals, as we do not control, set, or

Answer: Yes.

SECTION III: REVISIONS TO THE SCOPE OF WORK

• Page 14, Section 3.8.1, shall be amended to add item J.

J. Proof that the proposer meets the Contractor Minimum Qualifications listed in section 2.4.1.
