About this file

This file is a Consultant Services Agreement (CSA) template issued by the City of Sebastian, Florida's Procurement Division for use under master contracts to engage qualified consultants for professional services. The CSA outlines the framework for engaging consulting firms to perform work including preliminary planning, permitting and inspections, and contract administration. The agreement is structured to accommodate both fixed-price (lump sum) and hourly (time and materials) fee arrangements, with deliverables and estimated hours to be specified for each task. The document establishes that the City's Project Manager will certify acceptance of invoices and that the consultant and city representatives will meet at intervals determined by the city to review project progress, address issues, and discuss pertinent matters. The CSA includes provisions allowing the city to issue stop-work orders at any time and requires ten calendar days' written notice from the city if any work or deliverables are deemed unacceptable, with the city retaining all rights under Florida Statutes if work fails to meet requirements.

The agreement prohibits subcontracting or assignment of work without prior written city consent, though approval of subconsultants does not relieve the primary consultant of full performance obligations. Consultants must perform services in accordance with applicable professional standards, maintaining care, skill, and diligence, and are responsible for the professional quality, technical accuracy, and completeness of all deliverables. The consultant must correct or revise any errors or deficiencies without additional compensation upon discovery. The CSA specifies that it and any incorporated supplementary documents constitute the entire agreement between the parties, superseding all other contracts or understandings regarding the subject matter, and requires execution by the City Manager, Acting City Clerk, and Interim City Attorney.
