SPECIAL INCENTIVE FEE LANGUAGE
Special Incentive Fee (TO BE DETERMINED)
1) Special Incentive Background: The ability to maintain a CVN availability within cost and on schedule is paramount to maintaining the Navy’s operating fleet. In order to attain this goal, it is in the government’s best interest to incentivize achievement of specific benchmarks to reward timely and cost effective contractor performance. The total maximum amount of the special incentive fee under this contract is ___ percent (__%) of the total negotiated cost as summarized within Table 1 below. The summary within Table 1 below provides the maximum special incentive fee earn potential under this contract:
Table 1
Milestone Description Applicable CLINS Maximum Percentage a)
b) c) d)
TOTAL %
2) Special Incentive Description: The contractor may earn a maximum special incentive specified within the contents of this document by successfully managing the required resources to ensure that key event milestones (summarized in Table 1 and specified below) for the CVN 69 FY21 PIA are met. The purpose of the special incentives is to reward the contractor’s timely completion of contractor work to support key events and milestones throughout the availability. The special incentive fee components are detailed below: TO BE DETERMINED a) b) c) d)
All work items added after the initial issuance of Section J Attachment 1 shall not interfere with previously scheduled base meetings and shall not be included in the evaluation of meeting the incentive requirements. The contractor will schedule meetings a minimum of three (3) working days in advance from the meeting date and shall not be penalized by non-attendance by the government. When mutually agreed to by the parties, the job scoping and work integration meetings may be combined to discuss more than one work item during each meeting session. If a job scoping and/or work integration meeting is not needed to discuss a work item, the contractor and Project Manager shall document the mutual agreement in writing and the meeting shall be considered completed and credited towards the incentive calculation. Additional meetings may be called by the NSA to discuss the impact of emerging ship conditions or the complexities caused by additional work included in the package. These meetings will be supported by the contractor, but shall be considered as excluded from the evaluation incentive calculation.
Accomplished Work Scoping Meetings = Maximum Incentive Fee Total Amount
Approved Work Items
3) Special Incentive Procedures:
a) Milestone Alignment: NNSY and the Contractor will mutually agree to an alignment of milestones. Locking of milestones shall determine a baseline schedule for measurement of all contract Special Incentives.
b) Any contractor work related to form, fit, or function that is not completed, but the NNSY Project Team elects to defer in order to claim a milestone, will disqualify the contractor from receiving the incentive (provided the Contracting Officer determines the responsibility for incomplete work lies with the Contractor). NNSY, Ship’s
Force, or other contractor work, which is deferred causing NNS work to impact the milestone, shall be documented in the Section 3.c submission and evaluated by the Contracting Officer. If impacts are determined by the Contracting Officer to be outside Contractor control the incentive shall be considered earned.
c) Events that the Contracting Officer determines to be outside of the contractor’s control or Government caused delays that impact the contractor’s ability to support NNSY claiming the required milestone dates, shall be documented by the contractor in a timely manner and in a mutually agreed upon format. When providing written notice, the contractor shall annotate any anticipated impacts to the milestones as it relates to the incentive fee milestones. The information presented will be reviewed periodically to validate the cause for any delays/impacts and feedback will be provided to the contractor.
d) Any contractor caused delays will be assessed by the Government when making the final determination of incentive fee. The incentive fee associated with each milestone may be paid in whole or in part at the discretion of the Contracting Officer.
e) The work required to achieve the milestones specified within Table 1 and Section 2, may commence in one period and not be achieved until subsequent periods. Therefore, following the contracting officer’s final fee determination for each of the incentive fee items, the contractor may receive the associated special incentive fee for an item within the period in which the milestone was achieved. The total maximum amount of the special incentive fee under this contract is summarized within Table 1.
f) Within thirty (30) days of the milestone completion dates, the contractor shall prepare and submit, to the Contracting Officer, a formal narrative assessment with supporting documentation and analysis demonstrating that the contractor has successfully completed contractor work in support of NNSY claiming the associated milestone dates. The burden of proof lies with the contractor.
g) Finality of Incentive Official’s Determination: The Government will evaluate the contractor’s assessment and supporting documentation to make a determination of whether the required contractor work was completed by the milestone dates to allow NNSY to claim the specified milestones. Subsequently, the contracting officer will respond to the contractor via formal notification to notify the contractor of the amount of special incentive fee that was earned.
h) Contract modification: The special incentive fee shall be evidenced by a modification to this contract signed by the contractor and contracting officer.
i) Payment of Incentive: The contractor shall be paid the Government approved special incentive amounts earned upon submittal of the proper invoice to the cognizant payment office. The invoice shall cite the appropriate accounting data in order for payment to be issued.
